Exclusive Technology License Agreement (Chinese-English Bilingual)

("专有技术许可使用合同ProprietaryTechnologyLicenseContract甲方：PartyA:乙方PartyB:一、合同范围Contractscope1.甲方负责向乙方提供其服务所需的专有技术和技术资料，派遣技术人员来华或通过网络讲解技术资料，并对相关工艺、技术进行指导。PartyAisresponsibleforprovidingPartyBwiththeknow-howandtechnicalmaterialsrequiredforitsservices,dispatchingtechnicalpersonneltoChinaorexplainingtechnicalmaterialsthroughtheInternet,andprovidingguidanceonrelatedprocessesandtechnologies.2.如乙方需到甲方进行技术培训，甲方应为其提供出入境签证和在德工作和生活条件，负责安排乙方人员在其工厂的技术培训，使乙方人员掌握上述专有技术。IfPartyBneedstogotoPartyAfortechnicaltraining,PartyAshallprovideentry-exitvisaandworkingandlivingconditionsinGermany,andberesponsibleforarrangingtechnicaltrainingforPartyB'spersonnelinitsfactory,sothatPartyB'spersonnelcanmastertheabove-mentionedknow-how.3.如需甲方派遣技术人员到乙方工厂提供现场技术服务，乙方应为其提供出入境签证和在华工作和生活条件。甲方技术服务人员在华服务期间应遵守中国的法律和乙方的规章制度。IfPartyAneedstosendtechnicalpersonneltoPartyB'sfactorytoprovideon-sitetechnicalservices,PartyBshallprovidethemwithentry-exitvisaandworkingandlivingconditionsinChina.PartyA'stechnicalservicepersonnelshallabidebythelawsofChinaandtherulesandregulationsofPartyBduringtheirserviceinChina.4.根据乙方的需求，甲方有义务以最优惠的价格向乙方提供其使用该技术所需的零部件、原材料等，具体的供货内容双方可另行协商签订合同。AccordingtothedemandofPartyB,PartyAisobligedtoprovidePartyBwiththesparepartsandrawmaterialsrequiredfortheuseofthetechnologyatthemostpreferentialprice.Thespecificsupplycontentcanbenegotiatedandsignedbybothparties.5.乙方根据本合同对该专有技术的使用为非排他性使用，甲方可以许可他方使用。PartyB'suseoftheproprietarytechnologyinaccordancewiththiscontractisnon-exclusive,andPartyAmaylicenseotherpartiestouseit.二、合同金额Contractamount1.技术服务Technicalservice甲方按照提供相关服务人员的职级、工作时间向乙方收取服务费用。瓦塔及费舍先生收费标准为250欧元/小时，其他人员为150欧元/小时。PartyAshallcollectservicefeesfromPartyBinaccordancewiththerankandworkinghoursoftherelevantservicepersonnel.Mr.VartanandMr.Fischercharge250eurosperhourand150eurosperhourforotherpersonnel.2.技术资料Technicalinformation根据提供的具体技术资料协商收费。Accordingtothespecifictechnicaldataprovidedtonegotiatefees.3.其他相关费用Otherrelatedexpenses如双方人员因该技术培训而发生差旅及相关费用，均需自行承担，该费用不包括在本合同中。Incaseoftravelandrelatedexpensesincurredbythepersonnelofbothpartiesduetothetechnicaltraining,theexpensesshallbebornebythemselves,andsuchexpensesshallnotbeincludedinthiscontract.三、相关税费Relatedtaxes1.中国税务机关根据现行中国税法对甲方征收的税费均由乙方承担，甲方按发票金额收取费用。ThetaxesandfeesleviedbytheChinesetaxauthoritiesonPartyAinaccordancewiththecurrentChinesetaxlawsshallbebornebyPartyB,andPartyAshallcollectfeesbasedontheinvoicevalue.2.在中国境外征收的与本合同有关的一切税费由甲方负担。AlltaxesandfeesrelatedtothisContractleviedoutsideChinashallbebornebyPartyA.四、保证和索赔及乙方的权利GuaranteeandclaimandPartyB'srights1.甲方保证其所提供的专有技术是甲方实际使用的和最新的专有技术，并保证在合同执行过程中及时向乙方提供其改进和发展的技术资料。PartyAguaranteesthattheknow-howprovidedbyPartyAisthelatestandpracticalknow-howofPartyA,andguaranteestoprovidePartyBwithtechnicaldataforimprovementanddevelopmentintimeduringtheexecutionofthecontract.2.甲方保证所提供的技术资料是完整的、正确的、清晰的，并能及时交付。PartyAguaranteesthatthetechnicaldataprovidediscomplete,correctandclear,andcanbedeliveredintime.3.乙方有权对许可专有技术进行改进，由乙方独立进行的改进，其改进部分归乙方所有。PartyBshallhavetherighttoimprovethelicensedknow-how,andtheimprovementshallbeownedbyPartyBindependently.4.乙方就许可专有技术实施后取得的成果，有申请各级发明和科技奖励的权利，所获得的荣誉和物质利益归乙方所有。PartyBshallhavetherighttoapplyforinventionandscientificandtechnologicalawardsatalllevelsfortheachievementsobtainedaftertheimplementationofthelicensedproprietarytechnology,andthehonorandmaterialbenefitsobtainedshallbelongtoPartyB.5.乙方由于使用许可专有技术而给客户造成的损失，如系甲方原因，甲方应承担相应责任。PartyAshallberesponsibleforthelossescausedtocustomersbyPartyB'suseoflicensedknow-how.五、不可抗力Forcemajeure合同双方中的任何一方，由于战争或严重的水灾、火灾，台风和地震等自然灾害，以及双方同意的可作为不可抗力的其他事故而影响合同执行时，则延长履行合同的期限，延长的期限应相当于事故所影响的时间。Ifeitherpartyofthecontractaffectstheperformanceofthecontractduetowarorseriousnaturaldisasterssuchasflood,fire,typhoonandearthquake,andotheraccidentsagreedbybothpartiesasforcemajeure,thetimelimitforperformingthecontractshallbeextended,andtheextendedperiodshallbeequivalenttothetimeaffectedbytheaccident.六、侵权和保密Infringementandconfidentiality1.甲方保证其是所提供的专有技术和技术资料的合法持有者，并且有权向乙方授权使用，如发生第三方指控乙方侵权时，由甲方承担由此引发的一切法律上和经济上的责任。PartyAguaranteesthatitisthelegalholderoftheprovidedknow-howandtechnicalinformationandhastherighttoauthorizeitsusetoPartyB.IfathirdpartyaccusesPartyBofinfringement,PartyAshallbearalllegalandeconomicconsequencesarisingtherefrom.2.甲方应对乙方在实施过程中有关的技术及其经营秘密承担保密义务。本条规定的保密义务在本合同终止后继续有效。PartyAshallundertaketheconfidentialityobligationfortherelevanttechnologyandbusinesssecretsofPartyBintheimplementationprocess.Theconfidentialityobligationsstipulatedinthisarticleshallcontinuetobevalidaftertheterminationofthiscontract.3.乙方同意在合同有效期内对甲方提供的专有技术和技术资料进行保密，如果上述专有技术和技术资料中的一部分或全部被甲方或第三方公开，乙方对公开部分不再承担保密义务。PartyBagreestokeepconfidentialtheknow-howandtechnicalinformationprovidedbyPartyAduringthevalidityperiodofthecontract.Ifpartoralloftheabove-mentionedknow-howandtechnicalinformationispublishedbyPartyAorathirdparty,PartyBshallnolongerassumeconfidentialityforthedisclosedpart.4.本合同终止后乙方无权继续使用甲方提供的专有技术和技术资料。Aftertheterminationofthiscontract,PartyBhasnorighttocontinuetousetheproprietarytechnologyandtechnicalinformationprovidedbyPartyA.七、争议的解决Disputeresolution1.因执行本合同所发生的或与本合同有关的一切争议，双方应通过友好协商解决。Alldisputesarisingfromorinconnectionwiththiscontractshallbesettledbybothpartiesthroughfriendlynegotiation.2.如通过协商不能达成协议时，则可提交中国的仲裁机构或中国的法院解决。如通过仲裁解决，仲裁机构可由双方商定。如通过诉讼解决，则向乙方所在地人民法院提起诉讼。Ifnoagreementcanbereachedthroughnegotiation,itcanbesubmittedtoChina'sarbitrationinstitutionorChinesecourtforsettlement.Ifitissettledbyarbitration,thearbitrationinstitutionmaybeagreedbybothparties.Ifitissettledthroughlitigation,itshallbringalawsuittothepeople'scourtwherePartyBislocated.八、合同生效及其他Contracteffectivenessandothers1.本合同自双方签署之日起生效，期限为年，有效期满后本合同自动失效。Thiscontractshallcomeintoforcefromthedateofsigningbybothpartiesandshallbevalidforyears.2.本合同失效后，乙方不得继续使用甲方提供的专有技术，如需继续使用，双方应续签合同。Aftertheexpirationofthiscontract,PartyBshallnotcontinuetousetheproprietarytechnologyprovidedbyPartyA.ifitneedstocontinuetouse,bothpartiesshallrenewthecontract.3.本合同执行过程中，对其条款的任何变更、修改和增减，都须经双方协商同意并签署书面文件，作为合同的组成部分，与合同具有同等效力。Duringtheexecutionofthiscontract,anychange,modification,additionordeletionofitstermsshallbeagreedbybothpartiesthroughnegotiationandsignedinwriting.Asanintegralpartofthecontract,ithasthesameeffectasthecontract.4.本合同一式两份，甲乙双方各执一份，并具有同等法律效力。Thiscontractisinduplicate,witheachpartyholdingonecopyandhavingthesamelegaleffect.甲方：日期Date乙方：日期Date",)
