('和解协议与索赔免除中英合同完整版SETTLEMENTAGREEMENTANDRELEASESETTLEMENTAGREEMENTANDRELEASE和解协议与索赔免除ThisSettlementAgreementismadeandenteredintothis___dayofJanuary,2007,byandbetween___________________________________________(“_________”)andCUSTOMHOISTS,INC.,awhollyownedsubsidiaryofxxxINTERNATIONALCORPORATION(“Xxx”)(together“theParties”);本和解协议于二零零七年一月_____日由________（以下简称“________”）与xxx国际公司（xxxINTERNATIONALCORPORATION）的全资子公司CUSTOMHOISTS公司（以下简称“xxx”）（统称“当事人各方”）订立。WHEREAS,anincidentoccurredin_________________on__________________,2006,involvingatruckownedby___________________onwhichaXxxhydrauliccylinderwasmounted(the“Incident”);andWHEREAS,__________________allegesbodilyinjuryand_________________allegesdamagetoitstruckasaresultoftheIncident,forwhicheachseekscompensation(the“Claim”);andWHEREAS,Xxxforitspartdeniesthemalfunctionordefectofthereferencedhydrauliccylinder;andWHEREAS,______________,_____________________andXxxwishtosettleanyandalldisputesandclaimsbetweenthemincludingthoseraisedintheClaim;鉴于，二零零六年_____月_____日在________（地点）发生了一起事故，涉及一辆________所有的、搭载xxx液压缸的卡车（以下简称“事故”）；鉴于，________主张因该事故而身体受伤，________主张因该事故造成了损害，前述两方因此要求损害赔偿（以下简称“索赔”）；鉴于，xxx方否认上述液压缸存在故障或瑕疵缺陷；鉴于，________，________与xxx希望通过和解，解决之间存在的所有争议和索赔，其中包括索赔中所涉及的。NOW,THEREFORE,inconsiderationofthemutualpromises,representationsandcovenantssetforthherein,andforothergoodandvaluableconsiderationincludingeachpartydoingeverythingnecessarytowithdrawallclaimsintheLitigation,thesufficiencyofwhichisherebyacknowledged,_____________________andXxxagreeasfollows:因此，作为本协议各方承诺、声明与约定的对价，作为包括协议各方为撤销诉讼中所有索赔要求所必需的、与受益价值同等的对价（协议各方特此承认已充分得到上述对价），________与xxx达成一致如下：和解协议与索赔免除中英合同完整版SETTLEMENTAGREEMENTANDRELEASE1.ConsiderationforRelease(a)Upontheexecutionhereof,Xxxshallpayto____________________thesumof$------USDinfullsettlementofthedisputebetweentheparties.(b)Upontheexecutionhereof,orassoonthereafteraspracticable,thepartiesshalltakeanyactionnecessarytorenderthisSettlementAgreementfinalandofficialunderChineselaw.(c)Withinfive(5)daysafterexecutionofthisAgreement,___________shallallowXxxtotakepossessionandownershipofthecylinderatissue,withoutfurtherclaimorcompensationdue.1．索赔免除的对价（a）本协议签署之日，xxx应向_________支付___________美元，全部用以解决当事人之间的纠纷。（b）本协议签署之日或尽快于本协议签署之后，当事人各方应采取必要措施，依照中国法律规定使得本和解协议成为终局性的正式生效文本。（c）本协议签署之日起五（5）日内，___________应允许xxx无需另行索赔或赔偿而占有上述液压缸并取得其所有权。2.GeneralReleaseEffectiveupontheexecutionanddeliveryofthisAgreement,___________________and_____________________herebyfully,finally,unconditionally,irrevocablyandforeverreleaseanddischargeXxx,itssuccessorsandsubsidiarycorporations,affiliatedentities,assigns,presentandformerofficers,directors,shareholders,employeesandagents,ofandfromanyandallclaims,actions,allegations,causesofaction,demands,suits,controversies,damages,judgments,exceptions,defenses,counterclaims,set-offs,rights,powersorliabilitieswhatsoever,whetherknownorunknown,liquidatedorunliquidated,contingentorotherwise,whichtheyhad,have,ormayhaveagainstXxxfromthebeginningoftimetothedateofthisAgreement,includingbutnotlimitedtoclaimsarisinginconnectionwiththeClaimandtheIncident.2．一般性免除和解协议与索赔免除中英合同完整版SETTLEMENTAGREEMENTANDRELEASE本协议签署生效执行之日起，________与________特此全面地、最终地、无条件地、不可撤销地免除其先前、现在或将来可能的、针对xxx、xxx继承人、子公司、附属公司、受让人、公司现任与前任官员、董事、股东、员工及代理人的、从一开始到本协议之日的任何索赔、诉讼行为、主张、诉因、要求、诉求、争议、损害、判决、异议、抗辩、反诉、抵销、债权、权力或债务，无论已知或未知、无论是否已经清偿、无论现实存在还是或然，包括但不限于因上述索赔和事故而引发的索赔。3.NoAdmissionofLiabilityThepartiesagreethatthissettlementisthecompromiseofdisputedclaimsandisenteredintoinordertoavoidthetimeandexpenseoflitigatingsuchclaims.Thepartiesfurtheragreethattheconsiderationprovidedaboveisnottobeconstruedasanadmissionofanyfaultofliabilitywithrespecttoanyclaim,obligationorliabilityreleased.ItisunderstoodandagreedthatXxxexpresslydeniesanyliabilityinconnectionwith_____________________’sallegations.3．不承认过错赔偿责任当事人各方约定，本和解协议系各方为避免诉讼解决索赔而发生的时间和成本而就有争议的索赔达成的妥协。当事人各方认为，上述对价并非解释为已承认上述免除了的任何索赔、义务或责任的过错赔偿责任。协议各方理解并同意，xxx明确否认________提出的任何相关赔偿责任。4.ExpensesThepartiesheretoshalleachbeartheirrespectiveexpensesincurredinconnectionwiththepreparation,executionandperformanceofthisAgreementandintheprosecutionanddefenseoftheClaim,including,withoutlimitation,allfeesandexpensesofagents,representatives,counsel,accountants,andexperts.4．费用因本协议的制作、签署、执行以及对权利主张进行起诉、抗辩而发生的费用，应由本协议当事人各方自行负担。该费用包括但不限于聘用代理人、代表人、律师、会计、专家的费用。5.Successors,Assigns;ThirdPartyBeneficiariesThisAgreementshallinuretothebenefitof,andbebindingupon,thepartiesheretoandtheirrespectivesuccessors,affiliatedentities,assigns,representatives,andagents.和解协议与索赔免除中英合同完整版SETTLEMENTAGREEMENTANDRELEASE5．继承人、受让人、第三方受益人本协议对当事人各方及其继承人、附属机构、受让人、代表人和代理人生效，对其产生法律约束力。6.EntireAgreement;ModificationThisAgreementconstitutestheentireagreementbetweenthepartiesheretoandallprioragreementsbetweenthepartieswithrespecttheretoaresupersededbythisAgreement.ThisAgreementmaynotbemodified,supplementedoramendedexceptbyasubsequentwritteninstrumentexecutedbyallofthepartieshereto.6．协议整体性及其变更本协议构成了本协议各方达成的所有协议，此前因此达成的所有协议均被本协议所替代。除非当事人各方事后签署书面文件，否则本协议不得变更、添加、更改。7.Headings;ConstructionofAgreementTheparagraphtitlescontainedhereinaresolelyforconvenienceandshallnotbeusedtoconstrue,limitorexpandanyrightsorobligationsofthepartieshereto.ThelanguageusedinthisAgreementshallbedeemedtobethelanguagechosenbythepartiesheretotoexpresstheirmutualintent.ThisAgreementshallnotbeconstruedmorestrictlyagainstonepartythantheothermerelybyvirtueofthefactthatitmayhavebeendraftedbycounselofitschoiceandeachcounselwasgivenandexercisedfullyhisorheropportunitytoreview,modifyandapproveeachandeveryprovisionhereof.7．标题与协议的解释本协议各条标题仅为使用方便，不得用以解释、限制、扩大协议当事人的权利、义务。本协议的语言应视为协议当事人各方表达各自意愿所选择的语言。不得因该协议由一方选择的律师草拟而将本协议解释得对另一方更严格。已经给各方律师充分机会，律师已充分利用了该机会，对本协议的每一条约定进行了审查、变更，并通过之。8.GoverningLawThisAgreementandtherightsandobligationsofthepartieshereundershallbeconstruedinaccordancewithandgovernedbythelawsoftheStateofNew和解协议与索赔免除中英合同完整版SETTLEMENTAGREEMENTANDRELEASEHampshire,UnitedStatesofAmerica,notwithstandingthefactthatitmaybeexecutedinanyotherstate,provinceorcountry.8．法律的适用尽管本协议可在任何国家、省、州签署执行，但本协议及其规定的当事人的权利和义务悉受美利坚合众国新罕布舍尔州法律的管辖和解释。9.SeverabilityIfanyprovision(s)hereofshallbeheldbyancourtofcompetentjurisdictiontobeillegal,voidorunenforceable,suchprovisionsshallbeofnoforceandeffect,buttheillegalityorunenforceabilityshallhavenoeffectuponandshallnotimpairtheunenforceabilityofanyotherprovisionofthisAgreement.9．可分割性本协议任何约定被有管辖权的法院认定不合法、无效或无强制执行效力的，该规定则不生效，但该不合法和无强制效力性不得削弱本协议其它任何条款的强制执行效力。10.RepresentationsandWarranties(a)EachpartyrepresentsandwarrantsthatcorporateactionsnecessarytoapproveandauthorizethesigningofthisSettlementAgreementhavebeendulytakenandthatthisAgreementshallbeenforceablebyitsterms.(b)TheindividualsexecutingthisSettlementAgreementonbehalfofthepartiesrepresentandwarrantthattheyhavethefull,expressauthorityoftheirrespectivepartiestoexecutethisAgreement.(c)_____________________andXxxwarrantandrepresentthattheyhavenotmadeorsufferedtobemadeanyassignmentortransferofanyright,claim,demandorcauseofactioncoveredbythisSettlementAgreementandthattheyarethesoleandabsolutelegalandequitableownersofallsuchrights,claims,demandsandcausesofaction.10．声明与保证（a）协议各方声明并保证，公司已经依法采取了批准并授权签署本和解协议和解协议与索赔免除中英合同完整版SETTLEMENTAGREEMENTANDRELEASE所必需的手续，本协议各条款具有强制执行效力。（b）代表各方签署并使本协议生效者声明并保证，各方具有全面而明确的签署本协议的行为能力。（c）_____________________与xxx声明并保证，并未将本和解协议所涉及的权利、主张、要求或诉因对外转让，也未使人转让之。____________与xxx声明并保证，其为上述权利、主张、要求或诉因的唯一、绝对符合普通法和衡平法规定的所有权人。11.Confidentiality_____________________andXxxintendthatthetermsofthisSettlementAgreementshallremainconfidential;andtheyshallnotdisclosethetermsofthissettlementtoanythirdpartiesforanyreasonwhatsoeverotherthantheirattorneys,accountants,taxpreparersandstateandfederaltaxagenciesasmayberequiredforbusinesstaxreportingpurposes,oranythirdpartyasmaybeorderedbyacourtofcompetentjurisdiction.Whereapplicable,_____________________andXxx,theircounselandotheragentsorprivies（利害关系人）,maystatepubliclyonlythatthelawsuithassettledandthatthetermsofthesettlementareconfidential.11．保密事项_____________________与xxx希望将本和解协议各项约定一直保密，希望不向因经营报税所需的各方律师、会计、报税人、州纳税机关、联邦纳税机关之外的任何第三人或有管辖权的法院判令的第三人之外的任何第三人披露本和解协议的任何约定。必要时，_____________________与xxx及其律师和代理人或利害关系人可公开声明，该案已经和解，和解协议的具体约定保密。12.CounterpartsandFacsimileSignaturesThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedtobeanoriginalandallofwhichtogethershallconstituteoneandthesameagreementbindinguponallthepartieshereto,notwithstandingthatallthepartiesmaynothavesignedthesamecounterpart.AsignaturereceivedbyfacsimileshallbedeemedtobeanoriginalforallpurposesunderthisAgreement.Anypartyforwardingasignatureviafacsimileshallimmediatelythereafterforwarditsoriginalsignaturetotheotherpartyforsuchparty’sfiles.12．协议副本和传真件的签署本协议可一式一份，亦可一式多份，每份视为原件，即使并非所有各方均签署了同一副本，但所有原件构成同一协议，对协议各方产生约束力。签字文件的传真件视为原件，并出于本协议的目的。签字传真件的发出方随后应立和解协议与索赔免除中英合同完整版SETTLEMENTAGREEMENTANDRELEASE即将签字原件寄至对方，交其存档。13.AcknowledgmentThepartiesheretoacknowledgethattheyhavereadandunderstoodthisAgreement,thattheyhaveconsultedwiththeirattorneysregardingthisAgreement,andthattheyhavebeenadvisedbytheaforesaidattorneysregardingthepracticalandlegaleffectofenteringintothisAgreement,andeachofthepartiesacknowledgethattheyaresigningthisAgreementvoluntarily,withoutduressandtheyeachintendtobeboundbythisAgreementandeachofitsterms.13．确认事项协议各方确认，对本协议已经进行了阅读理解，就本协议与各自律师进行过咨询，已接到各方律师就订立本协议的事实和法律方面的影响提供的法律意见，各方确认，本协议系自愿签署，未受胁迫，愿受本协议及其各自条款的约束。和解协议与索赔免除中英合同完整版SETTLEMENTAGREEMENTANDRELEASEINWITNESSWHEREOF,thepartiesherebyhaveexecutedthisAgreementasofthedayandyearfirstwrittenabove.协议各方于上文所述日期签署，特此为证。_____________________By:_______________________________________Its:____________________________________________________________签字人：职务：XXXINTERNATIONALCORPORATIONBy:_______________________________________Its:xxx国际公司和解协议与索赔免除中英合同完整版SETTLEMENTAGREEMENTANDRELEASE签字人：职务：',)
