('高级人才寻访服务合同ContractforHeadhuntingServicePartyA甲方：Address地址：Tel.No.电话：Email邮箱：PartyB乙方：Address地址：Tel.No.电话：ProjectLeader项目负责人：-1–BankName开户银行:BankAccount银行账号：ContractNumber合同号：WHEREAS:-(1)PartyAwishestoreceiveheadhuntingservicesfortheexpansionofitsbusiness.-2–(2)PartyBhastheskills,backgroundandexperienceinprovidingheadhuntingservices.(3)PartyBiswillingtoprovidetheheadhuntingservicesandPartyAiswillingtoappointPartyBtoprovideheadhuntingservices,allinaccordancewiththeprovisionsofthisAgreement.关于:-(1)甲方就企业发展需要现希望获得高级人才寻访服务。(2)乙方有提供高级人才寻访服务所需之技巧、背景及经验。(3)乙方愿意根据本合同条款提供高级人才寻访服务，而甲方也愿意根据本合同条款委托乙方提供高级人才寻访服务。1.RightsandObligationsofPartyA甲方的权力和义务-3–1.1PartyAshallprovidethegeneralinformationofthecompanyandtheprecisedescriptionoftheconsignedpositionaswell.Whereastheheadhuntingservicehasitsowncharacteristics,PartyAshall,astheprojectgoeson,offeritsmostdetailedinformationalsupportandbestcooperationtotheprojectconsultantofPartyBtoaidPartyBinsearchingforandfindingcandidatespossiblysuitableforPartyA;甲方组织的负责人提供企业概况及委托寻访职位的准确描述。关于猎头服务项目的特殊性，甲方应根据项目进度及乙方服务规程要求，给予乙方项目顾问尽可能详细的资讯支持与配合，以便乙方寻访适合甲方的候选人；-4–1.2PartyAshallcomplywiththetermsofthisAgreementtopayalltheservicechargestoPartyBinatimelymanner;甲方需按照本合同的约定及时足额地支付首付款及全部服务费；1.3HavingreceivedavalidwrittenReportonCandidate(s)incompliancewithClause4.2hereinsubmittedbyPartyB,PartyAshallreplyinwritingtoPartyBwithintwoworkingdaysasfollows:甲方在收到乙方根据本合同第4.2条提交的有效候选人资料两个工作日內，甲方需给予乙方以下书面答复：a)Ifalltheproposedcandidatescannotmeetthebasicrequirementsforinterview,PartyAshallnotifyPartyBwiththemainreason(s)thereofforPartyBtorecalibratehunting-5–strategy;如甲方认为所有候选人均不能满足面试条件的，须通知乙方重新推荐，并说明原因；b)IfPartyAcannotreplywithintwoworkingdayspursuanttoClause1.3above,theReportonCandidate(s)shallbedeemedsatisfactoryunlessPartyAshallnotifyPartyBwithacertainreplytimeforthwith;若甲方在收到候选人资料2个工作日内不能给予乙方答复，甲方须及时与乙方联系，说明情况并重新约定答复时间，否则视为乙方推荐的候选人报告符合甲方委托要求；c)Ifthecandidate(s)meet(s)therequirementforinterview，partyAshallschedulecandidateinterviewswithin-6–threeworkingdaysofitsaforesaidreply.MeanwhilePartyAshallarrangeforinterview(s)andnotifyPartyBoftheinterviewtime(s)andarrangements,togetherwithinformationincludingtheresponsibilities,salary(pretax,includingbasesalary,annualsalaryincrease,allowance,annualpremium,bonus,dividendincome,welfarehousing.)associatedwiththejobwithinthreeworkingdaysthereof.如甲方认为乙方推荐的候选人满足面试条件的，应在给乙方初步答复后的３个工作日内安排候选人面试，并在三个工作日内通知乙方面试时间和具体安排，并说明面试该职位的具体职责、薪资待遇等，妥善安排面试官和人员接待；d)Ifthecandidatemeetstherequirementforinterview,-7–buttheinterviewcannotbescheduledwithinthreeworkingdays.PartyAshallnotifyPartyBimmediatelywiththeproperreasonandarrangeforaninterviewassoonaspracticable;若甲方不能在３个工作日内安排候选人面试，甲方须及时与乙方联系，说明原因并尽快重新约定面试时间；1.4Afterinterviewingeachcandidate,PartyAshallnotifyPartyBoftheoutcomewithinthreeworkingdaystoavoidunduedelayand/orinconveniences.Theinterviewoutcomecanbecategorizedasfollows:甲方于每位候选人面试后，需在三個工作日内通知乙方面试初选结果，以避免因延误-8–回馈情况给乙方工作及候选人带来不良影响。该面试及初选结果大致分为如下三种情况：a)Thecandidatemeetstherequirementofthejob,andPartyAdecidestosendtheoffer.PartyAshallnotifyPartyBbyofficialmeansforPartyBtonotifythecandidateandcoordinatetheinduction;如甲方确定人选录用，甲方需以书面形式通知乙方，并由乙方通知和协调候选人入职；b)PartyAneedsmoreinformationfromthecandidateorfurtherinterview;甲方希望乙方对其中人选作进一步资讯提供或第二轮面试；c)Thecandidatecannotmeettherequirement(s)ofthe-9–position.PartyBshallrecommendnewcandidate(s);如面试人选暂时不合适，乙方需再次向甲方推荐人选；d)Ifthedecisioncannotbemadewithin3workingdays,PartyAshallnotifyPartyBforthwithwiththeproperreasonandtheestimatedtimeofdeliveringtheresult.Thefinalresultshallbedeliveredwithin10workingdaysafterinterview;若甲方不能在3個工作日内通知乙方结果，甲方须及时与乙方联系，说明情况并重新约定告知结果的时间；甲方告知乙方面试结果最迟不超过面试后的10个工作日；1.5PartyBshallprovidethreemonthswarrantyservices(asdetailedinterm4.3)inrespectoftheinductedcandidateifPartyAduly,fullyandpunctuallypaysPartyBtheservicefee;-10–甲方按时、足额缴纳服务费后享受乙方提供３个月保证期服务（具体约定见4.3条款）；2.RightsandObligationsofPartyB乙方的权力和义务2.1PartyAshallcompletetheformof"ApplicationforHeadhuntingService"andsignthiscontract.UponPartyA’sdownpaymenttoPartyBpursuanttoClausehereinandPartyA’scompletionoftheApplicationforHeadhuntingServiceform,PartyBshallofficiallybeginprovidingthecontractedservice.甲方填写委托登记表、签订委托招聘服务合同及根据本合同第3.1条付清首付寻访费用后，乙方开始正式提供合同约定服务；-11–2.2PartyBshallsendviaemailorprovideasahardcopyfilethereportoncandidatesmatchingwiththeconsignedpositionwithintenworkingdaysafterthedateofthisAgreement.乙方应在签订合同后的10个工作日内，向甲方提供书面或电子邮件形式的，于委托职位相适合的有关候选人资历报告；2.3ProjectconsultantofPartyBshallfollowtheprojectsystemwithduediligenceandcareandcarryouttheprojectmeanwhileactivelycommunicatingwithPartyAandcollectingover-allinformationofpotentiallytargetedcandidates.ProjectconsultantofPartyBshallperformpre-interviewswithpotentiallytargetedcandidatesandgivean-12–objectiveevaluationandprovidePartyAwithareportoncandidates.乙方项目顾问应认真按照专案系统的要求推进专案运作，随时积极与甲方进行协调沟通，全面收集目标人选资讯，面试筛选准候选人，科学评价推荐人选，准确及时提供候选人报告；2.4Duringtheperiodofthiscontract,PartyBshallnotrecommendemployeesofPartyAordisclosebusinessinformationofPartyAtoanythirdpartythatmaygainpotentialbenefits.乙方自签订本合同的合同期时间内，不得将甲方内的工作人员、商业-13–资讯，推荐或透露给其他可能或得利益的第三方;2.5PartyBshallnotrecommendnewjob(s)fortheinductedcandidateofPartyAwithin18monthsofthepreviousinduction.乙方在甲方的候选人入职的18个月内，不得向其主动推荐新的工作职位。3.ServiceChargeandTermsofPayment服务费用及付款方式3.1WhenthisAgreementissigned,PartyAshallpay0CNYasdownpayment.PartyAshallpaycertainservicefeeforeachemployedcandidatethatPartyBrecommendedaccordingtothecomprehensiveannualsalary(pretax,interalia,thebasesalary,-14–annualsalaryincrease,allowance,annualpremium,bonus,dividendincome,welfarehousing;Ifthecomprehensiveannualsalarycannotbedetermined,theservicefeeshallbeequivalenttohis/her13months’salaryfornon-salesandmarketingpositions,and18months’salaryforsalesandmarketingpositions.)ofthecorrespondingposition.thedetailsareasfollows:CandidateisrecommendedbyPartyBwhoobtainthesalariescurrencyisCNYAnnualSalaryTotalServiceFeeStartingfee30,000CNY＜500,000CNY20%oftheannualsalary-15–≥500,000CNY20%oftheannualsalary本协议签订时，甲方支付0元作为首付寻访费用。甲方每成功聘用一个乙方推荐的候选人，都需要按照其综合年薪（注年薪包括但不限于：基本工资、年底加薪、福利补贴、年度绩效、奖金分红、股份收益、福利住房，并按税前计算；如无法计算综合年薪，则非销售职位按照13個月月薪支付服务费；销售职位按照18个月月薪支付服务费）的相应比例付給乙方服务费，具体如下：乙方推荐的候选人以人民币作为薪金结算：年薪服务费基本费用30,000CNY＜50万人民币年薪的20%，但最低收费不低于人民币3万元-16–≥50万人民币年薪的20%3.2PartyAshallpayadownpaymentof0CNYtoPartyBwithinthreeworkingdaysafterthisAgreementissigned.Andtheremainingservicefee(equalstothetotalservicefeeminusdownpayment)shallbepaid100%ofthesearchfeewithin3workingdayssincethecandidate(s)entrythiscompany.首付款支付方式如下：甲乙双方签订本合同3日内，甲方需支付给乙方首付款人民币0元整；在甲方决定录用的人选到甲方报到开始工作的三日内，甲方需一次性支付乙方100%的服务费服务费为总服务费扣除已付-17–首付款后之余额；3.3IfPartyAfailstointerviewtheReport-qualifiedcandidateasterm1.3describeswithoutsubmittingtheproperreason,PartyBmayunilaterallyterminatethisAgreement,withthedownpaymentregardedastheservicefee.如乙方推荐的候选人报告符合甲方委托要求，但甲方沒有依照合同条款1.3要求对候选人面试，也未向乙方说明不面试的理由，乙方可单方面解除本合同，而甲方所支付的首付款即为乙方的服务费；3.4IfPartyAdefaultspaymentforoverthreedays,PartyBisentitledtorequestimmediatepaymentandcompensateallrelevantdamages.-18–如甲方延期付款超过３天，乙方有权要求甲方及时付清服务费及赔偿相关损失；3.5PartyAshallbearandbefullyresponsiblefortheadditionalpaymentgeneratedbytherequestofa.PartyBinterviewingthecandidateinanothercity;b.Additionalbackgroundcheckoncandidate;c.Techniqueevaluationoncandidatefromtalentevaluationcenter;d.Otheradditionalworkingprocedures.乙方应甲方要求对在外地的候选人进行面试；对候选人进行额外背景调查、应用人才评估中心技术测评候选人等工作所产生的费用，需由甲-19–方自行依照收费标准支付及承担；3.6PartyAshallberesponsiblefortheadditionalpaymentgeneratedbytherequestofthecandidateattendingtheintervieworanyactivityinanothercity.甲方要求候选人到外地参加面试、考察等活动，产生的食宿、交通等相关费用，由甲方承担。4.SupplementaryClauses:其他事項4.1Havingdeterminedthecandidatetobeemployed,PartyAshallfaxorsendtheoriginalorcopyemploymentcontractsignedbetweenPartyAandtheemployedcandidatetoPartyB-20–forarchive.Ifthetimeandsalarystipulatedinthecontractshallbeinconsistentwiththeactualtimeandsalary,PartyAshallpaytheservicefeeaccordingtotheactualsituationtimely.甲方在同意聘用人选后，需将甲方与受聘人选所签订《员工劳动合同》之副本或原件传真至乙方存档。若合同中的时间、薪金等条款与实际不服，甲方应依照实际情况按时、足额的支付乙方服务费；4.2PartyAshallnotifyPartyBwithin24hoursifthecandidateintheReportwasrecommendedbyotherpartyorexistsinPartyA’scandidatepool,andtheReportshallberegardedasinvalid.Otherwise,includingwherePartyArequeststhenameorcontactofthecandidate,theReportshallbedeemedvalid.-21–乙方推荐的候选人，如属于甲方委托的其他猎头公司已先行推荐或甲方自有人才库中人选，甲方应在收到乙方候选人简历后2４小时内明确告知乙方，此时推荐属于无效推荐；如甲方逾期没有明确告知，或甲方直接要求乙方提供候选人姓名或联系方式，或虽属于甲方自有人才库（或他人推荐）人选但没录用而扔同意乙方推荐的，均视为有效推荐；4.3PartyAshallnotifyPartyBwithintenworkingdaysiftheemployedcandidateshallleavethecompany.Iftheemployedcandidateresignsorresignedbecausea)theviolationofthediscipline,withinthe3monthswarrantyperiod,PartyBshallprovidefreereplacement;b)PartyA’sviolationofthecontractbetweenthe-22–employedcandidateandPartyA,PartyBshallnothavetheobligationtoprovidefreereplacementoratall.如受聘人选在开始工作后３个月保证期内因违法公司章程或纪律被辞退或主动辞职离开公司，甲方应在人选离开之日起十个工作日内，向乙方发送书面告知，写清员工离职原因；如甲方要求乙方继续推荐，乙方将免费向甲方提供相同职位新的候选人。但若辞退或辞职的原因在于甲方业务变动、裁员或组织架构调整，或甲方未能履行用人单位义务、违法劳动法律法规要求，则乙方不在承担相应的保证期责任；4.4Within18monthsfromPartyA\'sreceiptofthevalidReport,PartyAshallpaytheservicefeetoPartyBforthecandidateinsaidreportif,a)PartyAestablishesanybusinessrelationship(eg.-23–consulting,part-timejob,cooperation,etc.)withthecandidate;b)PartyAmakesrecommendationofthecandidatetoanyrelatedsubject.乙方向甲方推荐过得候选人，自乙方推荐給甲方之日起的18個月内，甲方以聘用、间接聘用（如顾问、兼职、合作、代理、入股等）、向第三方推荐（包括向甲方上级或分支机构、关联企业）、等任何形式录用或建立合作关系，均视为乙方推荐录用到岗，甲方应向乙方支付全额服务费。4.5Withincontractvalidduration,thefollowingactionsareconsideredasviolationofthisAgreement:a)PartyBhuntingemployeesofPartyA;b)PartyAhiringemployeesofPartyB.-24–合同履行期内，乙方不得猎聘甲方在职员工，甲方不得聘用乙方在职员工，否则视为违约。4.6ThisAgreementisanagreementbetweenPartyAandPartyB.NeitherPartyshalldiscloseanyinformationaboutthisAgreementtoanythirdparty.EitherPartythatdisclosesanyinformationshallindemnifytheotherpartyforalllossesanddamagesresultingfromandinconnectionwithsuchdisclosure.本服务合同仅为甲乙双方约定，本合同任何资讯均不得透露給第三方，否则透露方需就所有因此造成的损失向其余一方赔偿；5.AnydisputesarisingfromthisAgreementshallbesettledthroughamicablenegotiationsbetweenPartyAandPartyB.-25–Shouldnosettlementbereachedthroughnegotiations,thecaseinquestionshallthenbesubmittedtothearbitrationauthorityforarbitration.EitherPartyhastherighttosueatthelawcourtsofthePartyBSpecialAdministrativeRegion.ShouldtheChineseandEnglishversionsofthisAgreementbeinconflict,theChineseversionshallprevail.如双方在本合同执行过程中发生争议，应本着平等互利的原则友好协商，如协商不成，由乙方所在区域法院管辖；本合同以中文条款为准。6.Thiscontractismadeinduplicateandeachandbothofthemshallhavethesamefullforceandeffectatlaw.本合同一式贰份，具同等法律效力。-26–7.ForceMajeure不可抗力NeitherPartyshallhaveanyliabilityunderorbedeemedtobeinbreachofthisAgreementforanydelaysorfailuresinperformanceofthisAgreementthatresultfromcircumstancesbeyondthereasonablecontrolofthatParty.ThePartyaffectedbysuchcircumstancesshallpromptlynotifytheotherPartyinwritingwhensuchcircumstancescauseadelayorfailureinperformanceandwhentheyceasetodoso.Ifsuchcircumstancesexistforacontinuousperiodofmorethan6months,eitherPartymayterminatethisAgreementbywrittennoticetotheotherParty.-27–如因双方不能合理控制、不可遇见、亦无法避免的事件妨碍、影响或延误任何一方根据本合同履行其全部或部分义务，遭受不可抗力事件的一方需及时书面通知另一方。如不可抗力事件维持多余６个月，任何一方可以书面通知另一方而终止本协议，而双方无需为此而承担违约责任。8.Contracts(RightsofThirdParties)Ordinance合约(第三者权力)条例ForthepurposesoftheContracts(RightsofThirdParties)Ordinance,thisAgreementisnotintendedto,anddoesnot,giveanypersonwhoisnotapartytoitanyrighttoenforceanyofitsprovisions.除本协议甲乙双方外，并无其他人士有权按《合约（第三者权力）条例》强制执行本协议内的任何权力或条款。-28–Contractvaliditytime:from2017.08.12to2018.08.11.合同有效时间2017年08月12日至2018年08月11日。PartyA(Stamp):甲方（盖章）：AuthorizedSignature:代表签字：Date:_________________日期：年月日PartyB(Stamp):乙方（盖章）：AuthorizedSignature:代表签字：Date:_________________日期：年月日-29–',)
