('JointDevelopmentAgreement合作研发协议-1)EitherPartymayatitsoptionforthwithterminatethisAgreementhereunderwithoutpaymentofanycompensationbygivingawrittennoticethereoftotheotherParty,intheeventofthehappeningofanyofthefollowing:a)InsolvencyoftheotherParty;b)Filingofavoluntarypetitioninbankruptcyorforcorporatereorganizationorforanysimilarrelieforpassingaresolutionforitswinding-uporcommencementofvoluntaryliquidationproceedingbytheotherParty;c)FilingofaninvoluntarypetitioninbankruptcyorforcorporatereorganizationorforanysimilarrelieforcommencementofinvoluntaryliquidationproceedingagainsttheotherPartyunlesssuchpetitionorproceedingissetasideorwithdrawnorceasestobeineffectwithinsixty(60)daysfromthedateofsuchfilingorcomment;d)Appointmentofreceiver,trusteeorliquidatorwithrespecttoanyoftheassetsoftheotherParty;e)ExecutionbytheotherPartyofanassignmentforthebenefitofitscreditorsunderlawsrelatingtobankruptcy,liquidationorinsolvency;f)Transfertooracquisitionbyathirdparty;g)Anysubstantialorimportantchangeintheownership,controlormanagementoftheotherParty;h)AnyunauthorizedsaleofProductsoutsideoftheconditionssetforthinthisAgreement;ori)FailuretocorrectorcureanymaterialbreachbytheotherPartyofanycovenantorobligationunderthisAgreementand/orindividualsalescontractshereunderwithin[]afterreceiptbytheotherPartyofawrittennoticefromsuchPartyspecifyingsuchbreach;j)Occurrenceofthefollowingcircumstancesmakethisagreementunnecessary,1)Chinesegovernmentannouncestoabandon[];2)theotherpartysdevelopmentworkcumulativelydelay[]autordingtotheprojectscheduleinArticle6.2)AnyexpirationorearlierterminationoftheAgreementdoesnotreleasemodifyoralteranyoftheobligationsofthePartieswhichaccruedpriortosuchexpirationortermination.AnyprovisionofthisAgreementwhichbyitscontentisintendedtosurviveexpirationorterminationshallsosurvive.JointMarketingAgreement市场合作协议-JOINTMARKETINGAGREEMENT,datedasof_________,_________,_________(M,D,Y)(thisAgreement),byandbetweenAAACorporation,a_________corporation(AAA),andBBB,Inc.,a_________corporation(BBB).WHEREAS,BBBiscurrentlyasubsidiaryofAAA;WHEREAS,BBBandAAAexpectthatequityinterestsinBBBmaybesoldtoadditionalinvestors;WHEREAS,AAAandBBBhaveundertakencertainjointadvertisingandmarketingeffortsrelatingtotheirrespectivebusinesses;andWHEREAS,BBBandAAAdesiretocontinuesuchjointadvertisingandmarketingeffortsinaccordancewiththetermsandconditionssetforthinthisAgreement.NOW,THEREFORE,inconsiderationofthepremisesandmutualpromisesandrepresentationscontainedherein,andothergoodandvaluableconsideration,thesufficiencyofwhichisherebyacknowledged,thepartiesheretodomutuallycovenant,stipulateandagreeasfollows:Section1.JointAdvertisingandMarketingEfforts.EachofBBBandAAAshall(a)continuetooffertheirrespectiveuserslinkstotheotherparty’swebsite,(b)cross-selloneanother’sproductsincludingthroughtheirpromotionalmaterialsandcustomerservicerepresentativesand(c)undertakesuchadditionalpromotionsasthepartiesshallagreefromtimetotime.AAAandBBBspecificallyagreethattheform,contentanddesignofanyandalladvertisementsorpromotionalmaterialsfeaturingtheotherpartyshallcontinuetobedevelopedbyoronbehalfofsuchpartyandshallbesubjecttosuchparty’sfinalapproval.Section2.Compensation.Inaddition,AAAshallpaytoBBBafeeof$,_________foreachcustomerofBBBwhobecomesanewcustomerofAAAasaresultofBBB’sreferralandBBBshallpaytoAAAafeeof$,_________foreachcustomerofAAAwhobecomesanewcustomerofBBBasaresultofAAA’sreferral;provided,however,thatnosuchfeeshallbedueandpayablewithrespecttoanysuchnewcustomeruntilsuchnewcustomerincursandpays$,_________inchargestothepartyresponsibleforpayingthefeehereunder.Thepartiesagreetopayallcustomerfeesduehereundertotheotherpartyasbilled.Section3.Term.ThetermofthisAgreementshallcommenceonthedatehereofandshallcontinueforaperiodoftwo(2)years(theInitialTerm)and,attheendoftheInitialTermandofeachyearthereafter,shallautomaticallyrenewforanadditionalone(1)yearperiodunlessonepartyhasgiventheotherpartysixty(60)days’priorwrittennoticeterminatingthisAgreement.FollowingtheInitialTerm,thisAgreementmaybeterminatedbyeitherpartyuponsixty(60)days’priorwrittennotice.Section4.MutualCovenantastoAdvertisements.EachofAAAandBBBherebycovenantsandagreesthattheirrespectivemarketingandadvertisingeffortsprovidedforhereinshallatalltimescomplywithallapplicablelaws,rulesandregulationsandwillnotcontainanymaterialwhichisobscene,threatening,fraudulent,harassing,libelous,infringingofthirdpartyintellectualpropertyrights,otherwiseillegalor,inthereasonablejudgmentofthepartyrequiredtodisplaytheadvertisement,offensive.Section5.Cross-LicensingProvisions.EachPartyacknowledgesthatnothingcontainedinthisAgreementtransferstotheotherPartyanyright,titleorproprietaryinterest(includingwithoutlimitationanyintellectualpropertyrights),inanypartofthemarketingorpromotionaleffortswhicharethesubjectmatterhereof,oranyproprietaryinformation(includingwithoutlimitationanytrademarks,servicemarks,tradenames,orlogos(Marks),tradesecrets,knowhow,inventions,patents(includinganyapplications,extensions,continuations,renewalsandre-issuesthereof),copyrights,designsandindustrialdesigns).EachPartyherebygrantstotheotherPartyanon-exclusive,limited,worldwide,non-transferablelicensetouseitsMarkssolelyforthepurposeofcarryingoutsuchotherParty’sobligationsunderthisAgreement,includingwithoutlimitationthemarketingandpromotionalactivitiescontemplatedbythisAgreement.Exceptasprovidedherein,nolicensesofeitherParty’sMarksaregrantedorimpliedunderthisAgreement.Section6.Liability.Neitherpartyshallhaveanyliabilitytotheotherpartyforanyerror,actoromissioninconnectionwiththemarketingactivitiestobeundertakenpursuanttothisAgreementunlessanysucherror,actoromissionderivesfromwillfulmisconductorgrossnegligence.INNOEVENTSHALLEITHERPARTYBELIABLETOTHEOTHERFORANYSPECIAL,INCIDENTALORCONSEQUENTIALDAMAGES(INCLUDING,WITHOUTLIMITATION,LOSSOFPROFITS,REVENUESORDATA),WHETHERBASEDONBREACHOFCONTRACT,TORT(INCLUDINGNEGLIGENCE)OROTHERWISE,WHETHERORNOTTHATPARTYHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGE.THELIABILITYOFEITHERPARTYFORDAMAGESORALLEGEDDAMAGESHEREUNDER,WHETHERINCONTRACT,TORTORANYOTHERLEGALTHEORY,ISLIMITEDTO,ANDWILLNOTEXCEED,THEOTHERPARTY’SDIRECTDAMAGES.Section7.Miscellaneous.(a)ThisAgreementmaynotbetransferredorassignedbyeitherparty,whethervoluntarilyorbyoperationoflaw,withoutthepriorwrittenconsentoftheotherwhichconsentmaybewithheldinsuchparty’ssolediscretion.ThisAgreementshallinuretothebenefitofandbebindinguponallpermittedsuccessorsandassigns.(b)ThisAgreementshallbegovernedbythelawsoftheStateofNewYork(regardlessofthelawsthatmightotherwisegovernunderapplicableprinciplesofconflictsoflaw)astoallmatters,including,butnotlimitedto,mattersofvalidity,construction,effect,performanceandremedies.(c)ThisAgreementmaybeexecutedincounterparts,eachofwhichshallconstituteanoriginalandbothofwhichtogethershallbedeemedtobeoneandthesameinstrument.(d)Allnotices,requests,demands,waiversandothercommunicationsrequiredorpermittedtobegivenunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenifdeliveredpersonallyorbyfacsimiletransmissionormailed(certifiedorregisteredmail,postageprepaid,returnreceiptrequested):IftoAAA,to:AAACorporationAddress:_________Attention:_________FaxNo.:_________IftoBBB,to:BBB,Inc.Address:_________Attention:_________FaxNo.:_________ortosuchotherpersonoraddressasanypartyshallspecifybynoticeinwritingtotheotherparty.Allsuchnotices,requests,demands,waiversandcommunicationsshallbedeemedtohavebeenreceivedonthedateonwhichhanddelivered,upontransmissionofthefacsimiletransmissionbythesenderandissuancebythetransmittingmachineofaconfirmationslipconfirmingthatthenumberofpagesconstitutingthenoticehavebeentransmittedwithouterror,oronthethirdbusinessdayfollowingthedateonwhichsomailed,exceptforanoticeofchangeofaddress,whichshallbeeffectiveonlyuponreceiptthereof.Inthecaseofanoticesentbyfacsimiletransmission,thesendershallcontemporaneouslymailacopyofthenoticetotheaddresseeattheaddressprovidedforabove.However,suchmailingshallinnowayalterthetimeatwhichthefacsimilenoticeisdeemedreceived.InnoeventshalltheprovisionofnoticepursuanttothisSection7(d)constitutenoticeforserviceofprocess.(e)ThisAgreementandthoseprovisionsoftheSeparationAgreement(definedbelow)specificallyreferredtohereincontaintheentireunderstandingofthepartiesheretowithrespecttothesubjectmatterofthisAgreement.ThisAgreementandsuchreferencedprovisionsoftheSeparationAgreementsupersedeallprioragreementsandunderstandings,oralorwritten,withrespecttothesubjectmatterofthisAgreement.(f)Intheeventthatanyoneormoreoftheprovisionscontainedhereinisheldinvalidorunenforceableinanyrespect,thepartiesshallnegotiateingoodfaithwithaviewtowardsubstitutingthereforasuitableandequitablesolutioninordertocarryouttheintentandpurposeofsuchinvalidprovision;provided,however,thatthevalidityandenforceabilityofanysuchprovisionineveryotherrespectandoftheremainingprovisionscontainedhereinshallnotbeinanywayimpairedthereby,itbeingintendedthatalloftherightsandprivilegesofthepartiesheretoshallbeenforceabletothefullestextentpermittedbylaw.(g)TheSectionheadingscontainedinthisAgreementareforreferenceonlyandshallnotaffectthemeaningorinterpretationofthisAgreement.(h)Anydispute,controversyorclaimarisingoutoforrelatingtothisAgreementorthebreach,terminationorvalidityhereof,oranytransactioncontemplatedherebyshallbesettledinaccordancewiththeproceduressetforthinArticleVIIIoftheSeparationAgreement,datedasof_________,_________,_________(M,D,Y),byandbetweenAAAandBBB,asifsuchArticleVIIIweresetforthhereininitsentirety.INWITNESSWHEREOF,thepartiesheretohavecausedthisAgreementtobeexecutedbytheirdulyauthorizedrepresentativesasofthedatefirstabovewritten.',)
