('Non-DisclosureAgreementDiscloser:EffectiveDate:Participant:InordertoprotectcertainconfidentialinformationthatmaybedisclosedbyDiscloser(“DISCLOSER”)tothe“Participant”above,theyagreethat:1.TheconfidentialinformationdisclosedunderthisAgreementisdescribedas:_______,applicableexplicitlytocompanyproposedandnottransferable.2.TheParticipantshallusetheconfidentialinformationreceivedunderthisAgreementforthepurposeof:Investingorpurchasingthecompanyspecifiedin1above.3.TheParticipantshallprotectthedisclosedconfidentialinformationbyusingthesamedegreeofcare,butnolessthanareasonabledegreeofcare,topreventtheunauthorizeduse,dissemination,orpublicationoftheconfidentialinformationastheParticipantusestoprotectitsownconfidentialinformationofalikenature.4.TheParticipantshallhaveadutytoprotectonlythatconfidentialinformationwhichis(a)disclosedbyDISCLOSERinwritingandmarkedasconfidentialatthetimeofdisclosure,orwhichis(b)disclosedbyDISCLOSERinanyothermannerandisidentifiedasconfidentialatthetimeofthedisclosureandisalsosummarizedanddesignatedasconfidentialinawrittenmemorandumdeliveredtotheParticipantwithin30daysofthedisclosure.5.ThisAgreementimposesnoobligationupontheParticipantwithrespecttoconfidentialinformationthatbecomesamatterofpublicknowledgethroughnofaultoftheParticipant.6.TheParticipantdoesnotacquireintellectualpropertyrightsunderthisAgreementexceptthelimitedrightofusesetoutinparagraph2above.7.DISCLOSERmakesnorepresentationorwarrantythatanyproductorbusinessplansdisclosedtotheParticipantwillbemarketedorcarriedoutasdisclosed,oratall.AnyactionstakenbytheParticipantinresponsetothedisclosureofconfidentialinformationbyDISCLOSERshallbesolelyatitsrisk.8.TheParticipantacknowledgesandagreesthattheconfidentialinformationisprovidedonanASISbasis.DISCLOSERMAKESNOWARRANTIES,EXPRESSORIMPLIED,WITHRESPECTTOTHECONFIDENTIALINFORMATIONANDHEREBYEXPRESSLYDISCLAIMSANYANDALLIMPLIEDWARRANTIESOFMERCHANTABILITYANDFITNESSFORAPARTICULARPURPOSE.INNOEVENTSHALLDISCLOSERBELIABLEFORANYDIRECT,INDIRECT,SPECIAL,ORCONSEQUENTIALDAMAGESINCONNECTIONWITHORARISINGOUTOFTHEPERFORMANCEORUSEOFANYPORTIONOFTHECONFIDENTIALINFORMATION.9.UponDISCLOSER’swrittenrequest,theParticipantshallreturntoDISCLOSERordestroyallwrittenmaterialorelectronicmediaandtheParticipantshalldelivertoDISCLOSERawrittenstatementsignedbytheParticipantcertifyingsamewithin5days.10.ThepartiesdonotintendthatanyagencyorpartnershiprelationshipbecreatedbetweenthembythisAgreement.11.TheobligationssetoutinthisAgreementshallcontinueforaperiodof24monthsfromtheEffectiveDate12.AlladditionsormodificationstothisAgreementmustbemadeinwritingandmustbesignedbybothparties.13.ThisAgreementismadeunderandshallbeconstruedaccordingtothelawsofUK.DISCLOSERAuthorizedSignatureName:Title:PARTICIPANTAuthorizedSignatureName:Title:½',)
