("CONFIDENTIALITYAGREEMENTThisConfidentialityAgreementismadeasof(date)_______________,byandbetweenCOMETTechnologiesUSAIncwhoseplaceofbusinessis2360BeringDrive,SanJose,CA95131and__________________,whoseplaceofbusinessis,_____________________________________.WHEREAS,thepartiesheretomayduringthecourseofdealingsorinvestigationofprospectivedealingsbetweenthemobtaincertainconfidentialinformationabouteachotherandaboutprojectsthatonepartyisdevelopingorinwhichonepartyhasaninterest,andthepartiesagreethatsuchinformationshallbetreatedasconfidentialinaccordancewiththetermsandconditionsofthisAgreement.NOW,THEREFORE,inconsiderationoftheforegoingpremisesandthecovenantscontainedinthisAgreement,thepartiesherebyagreeasfollows:1.DefinitionofConfidentialInformation.ForthepurposesofthisAgreement,“ConfidentialInformation”shallmeanandrefertoanyandallofthefollowingtypesofinformationnoworatanytimehereafterinthepossessionofeitherpartytothisAgreement:(a)Anyandalltechnologicalandtechnicaldatapertainingtoeitherparty’sbusinessorproductsorbusinessprojectswhichisnotavailabletothepublicatlarge;(b)Anytechnique,machine,device,instrument,tool,orformulawhichisneworwhichthepartyhasareasonablebasistobelievemaybenew,whetherornotpatentableorreducedtopracticebythepartyoranyotherpersonorentity;(c)Anyinformation,includingaformula,pattern,compilation,program,device,method,technique,orprocessthat:(i)Derivesindependenteconomicvalue,actualorpotential,fromnotbeinggenerallyknowntothepublicortootherpersonswhocanobtaineconomicvaluefromitsdisclosureoruse;(ii)Isthesubjectofeffortsthatarereasonableunderthecircumstancestomaintainitssecrecy;and(d)Anyinformationdesignatedbythedisclosingpartyinwritingtotheotherpartyasconfidential;providedthatifthedisclosureofsuchinformationismadevisuallyororally,thepartymustdesignateandidentifysuchinformationasconfidentialinwritingtotheotherpartywithinthirty(30)daysofsuchdisclosure.2.Non-DisclosureofConfidentialInformation.EachpartytothisAgreementacknowledgesandrecognizesthat,duetoitsrelationshipwiththeotherpartytothisAgreement;thepartywillhaveaccesstoandbecomeacquaintedwithConfidentialInformationbelongingtotheotherparty.EachpartyherebyacknowledgesthatsuchConfidentialInformationisvaluableandisthesolepropertyofthedisclosingparty.Eachpartyagreesnottodisclose,reveal,ordivulge,toanypersonorentity,anyoftheConfidentialInformationbelongingtotheotherparty,eitherindirectlyordirectly,ortousesuchConfidentialInformationinanyway,except(i)asallowedinSection3,(ii)withthepriorwrittenconsentoftheotherpartyor(iii)solelyandexclusivelyforthepurposeofanydiscussions,feasibilitystudies,orproposalsbetweenthepartiestothisAgreementandthemutuallyagreedtransactions,ifany,arisingtherefrom.ThepartiesagreethatCOMETTechnologiesUSAIncmaydiscloseconfidentialinformationdisclosedtoithereundertodesignatedemployeesofCOMETAGanditsotheraffiliatecompanies,providedthatsuchemployeesshallbeboundtothesameobligationsapplicabletoCOMETTechnologiesUSAInchereunder.Thepartiesagreethat_______________maydiscloseconfidentialinformationdisclosedtoithereundertodesignatedemployeesof____________________anditsotheraffiliatecompanies,providedthatsuchemployeesshallbeboundtothesameobligationsapplicableto________________hereunder.Receivingpartymaycomplywiththerequirementsofapplicablelawforthedisclosureofinformation.Intheeventofsuchademand,ReceivingPartyshallprovidepromptnoticetoandcooperatewithdisclosingparty,shouldDisclosingPartyseekaprotectiveordertolimitorpreventdisclosure.3.Exceptions.ThetermsofSection2hereinshallnotapplytoanyConfidentialInformationwhich:(a)Therecipientpartycanprovebydocumentaryevidencewasalreadyinitspossessionandsubjecttofreedisposalpriortothedisclosureoftheinformationbythedisclosingparty;(b)Ishereafterdisclosedtotherecipientpartywithouttheobligationofconfidencebyathirdpartywhodidnotderivesuchinformationdirectlyorindirectlyfromthedisclosingparty;(c)Isorbecomesgenerallyavailabletothepublicinprintedpublicationsingeneralcirculationthroughnoactordefaultonthepartoftherecipientpartyorthatofitsagents,employees,oradvisors.However,ConfidentialInformationshallnotbedeemedtobegenerallyavailabletothepublicifitisknownonlytoafewofthosepeopleto11COMETNDACOMETNDAOctober22,2014October22,2014whomitmightbeofcommercialinterest,andacombinationoftwoormoreportionsoftheConfidentialInformationshallnotbedeemedtobegenerallyavailabletothepubliconlybyreasonofeachseparateportionbeingsoavailable.(d)NothinghereinshallpreventeitherpartyfromprovidingsuchConfidentialInformationasitshalldeemappropriatetoitsprofessionaladvisors,provided,however,thatsuchprofessionaladvisorsagreetokeepallsuchConfidentialInformationconfidentialpursuanttothetermsofthisAgreement.(e)IsindependentlycreatedfororonbehalfofReceivingPartywithoutuseoforaccesstoDisclosingParty’sconfidentialInformation.4.ConfidentialityMeasures.TosecuretheconfidentialityofallConfidentialInformationreceived,therecipientpartyshall:(a)Keepseparatetheinformationandallinformationgeneratedbytherecipientpartybasedthereonfromalldocumentsandotherrecordsoftherecipientparty;(b)KeepalldocumentsandanyothermaterialbearingorincorporatinganyoftheConfidentialInformationatitsusualplaceofbusinessunlessotherwiseagreedinwritingbythedisclosingparty;(c)Notuse,reproduce,transform,orstoreanyoftheConfidentialInformationinanyexternallyaccessiblecomputerorelectronicinformationretrievalsystemortransmitsuchConfidentialInformationinanyformorbyanymeanswhatsoeveroutsideitsusualplaceofbusiness;(d)AllowaccesstotheinformationexclusivelytothoseemployeesorprofessionaladvisorsoftherecipientpartywhoreasonablyneedtoseeandusesuchConfidentialInformation;(e)InformeachemployeeorprofessionaladvisoroftherecipientpartywhoisauthorizedtoseeandusesuchConfidentialInformationoftheconfidentialnatureofsuchinformationandoftheobligationsontherecipientpartyinrespectthereto;(f)CopysuchConfidentialInformationonlytotheextentitisstrictlyrequiredforthepurposesofthearrangementsbetweenthepartieshereto;and(g)Onrequestofthedisclosingpartymadeatanytime,shalldelivertothedisclosingpartyalldocumentsandothermaterialinthepossession,custody,orcontroloftherecipientpartythatbearorincorporateanytypeofConfidentialInformationorconfirminwritingthatallsuchdocumentsandothermaterialhavebeendestroyed,ifsuchdocumentsormaterialcontaintherecipientparty’sorotherpersons’confidentialinformation.Notwithstandingtheforegoing,Recipientmaymaintainacontrolledcopyofitsrecordsinordertodocumenttheservicesprovided.5.Term.ThisAgreementshallbeeffectiveforatermoffiveyearsfromthedatefirstwrittenabove.4.NonSolicitation.Neitherpartyshall,actingdirectlyorindirectly,solicit,induceorattempttoinduceorencourageanyoftheemployeesoftheotherpartytoleavetheiremploymentwiththeotherparty,andneitherpartyshallhireapersonwhoisanemployeeoftheotherpartyunlessithasgiventheotherpartynotlessthanthreemonths'priorwrittennoticeofsuchhiring.5.GeneralProvisions.ThisAgreementshallbeinterpretedandconstruedpursuanttothelawsandproceduresoftheStateofConnecticutwithoutregardtoanyconflictsoflawsprinciples.EachpartyrepresentsandwarrantstotheotherthatthepersonexecutingthisAgreementonitsbehalfisdulyauthorizedbyallnecessarycorporateorcompanyactiontoexecuteanddeliverthisAgreement.ThisAgreementdoesnotestablishajointventureoragencyrelationshipbetweenthepartiesanddoesnotconstitutealicenseonthepartofeitherpartytouseanyoftheConfidentialInformationdisclosedhereunder,exceptinaccordancewiththetermsofthisAgreement.TotheextentthatanyprovisionofthisAgreementshallbefoundtobeillegalorunenforceableforanyreason,suchprovisionshallbedeemedmodifiedordeletedinsuchamannerastomaketheAgreement,assomodified,legalandenforceableunderapplicablelaw,andtheremainderoftheAgreementshallremaininfullforceandeffect.TheprovisionsofthisAgreementbindthepartiesheretoandeachandalloftheirrespectiveheirs,legalrepresentatives,successors,andassigns.NowaiverofanybreachofanyprovisionofthisAgreementshallbedeemedtobeawaiverofanyprecedingorsucceedingbreachofthesameoranyotherprovisionofthisAgreement.ThepartieshaveexecutedthisAgreementasofthedatefirstwrittenabove.2COMETNDACOMETNDAOctober22,2014October22,2014COMETTechnologiesUSA,INC.Name:__________________________________Signature:_______________________________Title:___________________________________Date:___________________________________COMPANY______________________Name:_____________________________Signature:__________________________Title:______________________________Date:______________________________3COMETNDACOMETNDAOctober22,2014October22,2014",)
