('CONFIDENTIALITYAGREEMENTThisagreementismadeasof________________________,____,byandbetween___________________________________________(hereinafterreferredtoas‘Company’),acorporationdulyorganizedunderthelawsoftheStateof______________,andhavingitsprincipalplaceofbusinessat______________________________________,andTheResearchFoundationofStateUniversityofNewYork(hereinafterreferredtoas‘Foundation’),havingitsprincipalplaceofbusinessat35StateStreet,Albany,NewYork12207U.S.A.(mailingaddress:P.O.Box9,Albany,NewYork12201-0009).A.ThepartiestothisAgreementhavedevelopedoracquiredtechnicalandotherproprietaryinformationrelatingtoResearchFoundationInventionCaseNumber______________________,entitled’__________________________’(hereinafterreferredtoas‘ConfidentialInformation’)andthepartieswishtoensurethattheinformationwhichmaybedisclosedtoeachotheristreatedinstrictestconfidence.B.EachofthepartiesdesirestoreceivesuchConfidentialInformationfromtheotherforthelimitedpurposeofevaluatingthesuitabilityofenteringintoabusinessrelationshiporsponsorshipofresearch,andeachpartyrecognizestheimportanceofsafeguardingsuchConfidentialInformationagainstunauthorizeduseordisclosure.Now,therefore,inconsiderationofthedisclosuresmadehereunder,andcovenantsenteredintoherewith,CompanyandFoundationagreeasfollows.CompanyandFoundationarewillingtodisclosesuchinformationtoeachotherunderthefollowingconditions:1.Eachparty’sConfidentialInformationshallbesuppliedtotheotherpartyinwritten,graphic,photographic,recorded,prototype,sample,orinanyothertangibleformandshallbeidentifiedasbeingdisclosedunderthisAgreement.AnyConfidentialInformationwhichisdisclosedinoralformshallbeidentifiedassuchatthetimeofdisclosureandconfirmedinwrittensummaryformwithinthirty(30)daysafteritsdisclosuretothereceivingparty.2.AsusedinthisAgreement,‘ConfidentialInformation’shallmeanalldata,samples,technicalandeconomicinformation,commercialization,clinicalandresearchstrategies,tradesecretsandknow-howdisclosedorprovidedbyonepartytotheotherinaccordancewithParagraph1,exceptsuchinformationwhich(a)canbeshownbythereceivingpartytohavebeeninitspossessionpriortodisclosuretoitbytheotherparty;(b)atthetimeofdisclosurehereunderis,orthereafter,becomes,throughnofaultofthereceivingparty,partofthepublicdomainbypublicationorotherwise;(c)isfurnishedtothereceivingpartybyathirdpartyafterthetimeofdisclosurehereunderasamatterofrightandwithoutrestrictiononitsdisclosure;(d)isindependentlydevelopedbyemployeesoragentsofthereceivingpartywhohavenothadaccess,directorindirect,totheConfidentialInformationreceivedfromtheother;(e)isfurnishedtoothersbythedisclosingpartywithoutrestrictionondisclosure;or(f)isdisclosedtoathirdpartywiththewrittenapprovalofthedisclosingparty.3.EachpartyagreestolimititsuseofanyConfidentialInformationreceivedfromtheotherpartytotheevaluationfortheadditionalpurposeofnegotiatingingoodfaiththetermsandconditionsofalicensingorresearchagreementbetweenthem,andfornootherpurposeunlessthepartiesshallotherwiseagreeinwriting.Eachpartyagreestonotmake,use,sell,offerforsale,orhavemade,anyproductorservicebasedupontheConfidentialInformationprovidedtoitwithoutexecutingalicensingagreement.Eachpartyfurtheragreesnottoreverseengineerordisassemblethetechnologydisclosedtoit.4.EachpartyagreestomaintaininconfidenceandnottodiscloseanyConfidentialInformationreceivedfromtheotherpartyotherthantoemployeesoragentswhohaveaneedtoknowtheConfidentialInformationforthepurposedescribedinParagraph3.5.EachpartyagreesnottomakeanycopiesinwholeorinpartofConfidentialInformationoranalyzesamplesoftangiblematerialsincludedtherein,whicharenotavailableontheopenmarketorfromothersources,foranypurposesotherthanthepurposessetforthinParagraph3,andwill,uponrequestbythedisclosingparty,returnalltangiblematerialsfurnishedhereunderandanynotesormemorandaofconversationsrelatingthereto,includinganycopiesthereof.6.ThepartyreceivingConfidentialInformationunderthisAgreementshallbeheldtothesamestandardofcareinprotectingsuchinformationasthereceivingpartynormallyemploystopreserveandsafeguarditsownConfidentialInformationofsimilarkind.7.TheobligationofthepartiesunderthisAgreementshallterminateonthefifthanniversaryofthedateofthisAgreement.8.Norightorlicenseunderanypatentapplication,patentorotherproprietaryrightisgrantedhereunderbyimplicationorotherwise.9.ThisAgreementmaynotbechangedormodifiedorreleased,discharged,abandoned,orotherwiseterminatedinwholeorinpart,exceptbyaninstrumentinwritingsignedbyadulyauthorizedofficerofeachofCompanyandFoundation.10.ThisAgreementshallbeconstruedunderthelawsoftheStateofNewYork.Inwitnesswhereof,thepartiesheretohaveexecutedthisAgreementthedayandyearfirstabovewritten.TheResearchFoundationofStateUniversityofNewYorkBy:_____________________Date:_____________________Title:____________________CompanyBy:_____________________Date:_____________________',)
