(',.国际买卖合同（中英文）InternationalPurchaseContract甲方（买方）：PartyA(Buyer):合同编号：ContractNo.:乙方（卖方）：PartyB(Seller):签订日期：Date:本合同由买卖双方商订，在合同项下，双方同意按下列条款买卖下述商品：ThiscontractismadebyboththeSellerandBuyer,wherebytheBuyeragreestobuyandtheSelleragreestoselltheundermentionedProductaccordingtothetermsandconditionsstipulatedbelow:一、产品名称、规格型号、单位、数量、金额序号产品名称规格型号单位数量单价()总金额,.ItemNo.ProductNameModelNumberUnitQuantityUnitPrice()Amount合计金额（大写）：TotalAmount:二、质量要求及技术标准Article2.QualityRequirementsandTechnicalStandard订货品质规格应完全与确认样品及买方所指定者符合，如有不符合由卖方负责，本公司可以拒绝验收。TheProductsmustentirelyconformtoconfirmedsampleandthegoodsdesignatedbyBuyer.SellershallberesponsibleforanyProductswhichareinconsistentwithconfirmedsampleand/orthegoodsdesignatedbyBuyer,BuyerhastherighttorejectsuchProducts.三、交（提）货方式、时间、地点：Article3.DeliveryTerms,Time,Place（1）交易方式：FOBXXX港DeliveryTerms:FOBXXXPort,.（2）交（提）货时间：不能迟于信用证规定之最后装船日装运-DeliveryTime:NottobelaterthanthelastshippingdatespeicfiedinL/C.（3）运输方式：货物用集装箱经由买方指定的船务代理公司安排自中国海运至爱尔兰指定港口TransportationMeans:TheProductsshallbeshippedfromshippingporttodesignateddestinationportofIrelandusingcontainer.装运期：-----------------------------------------------------ShippingDate:----------------------------------------------------（4）地点：Place:1、装运港：---------------------------------------------------------ShippingPort:XXXPort,China2、目的港：--------------------------------------------------------DestinationPort:CORK,DUBLIN四、包装标准Article4.PackingStandard所供货物必须由卖方妥善包装，适合远洋和长途内陆运输，防潮，防湿、防震，防锈，任何由于卖方包装不善而造成的损失由卖方负担。AllProductsmustbewellpackedagainstdampness,moisture,shockandrustbySellerandbesuitableforoceanandlong-distanceinnerlandcarriage.Sellershallberesponsibleforanylossanddamagesduetoimproperpacking.,.1.每项产品均应贴上产地标示之标纸及买方指定之标签ProductionareamarkandBuyer’sdesignatedlabelshallbeaffixedtoeachProduct.2.每项产品除买方指定之商标文字外不得有任何其它记号，商标或文字Nosign,trademarkorwordingshallappearoneachProduct,exceptforBuyer’sdesignatedtrademark.3.所有产品包装（含内盒及外箱）皆须印ITEMNO.及Q’TY，并需用透明胶带封口，不得打钉Thepackaging(includinginnerboxandoutercarton)ofallProductsmustbeprinteditemnumberandquantityandmustbesealedbyscotchtapewithoutanynails.4.所有产品皆须附说明书，组合图连同五金螺丝装入“零件袋”后以胶带贴在纸箱上Instructionbooks,combinationdrawingtogetherwithhardwaresnailsshallbepackagedinto“accessorybag”andaffixedtothecartonsofallProducts.5.凡易碎品（玻璃、镜片、大理石、陶瓷等）之外箱皆须注明易碎记号及FRAGILE,DONOTSTEPON及TOPLOADONLY,.Eachcartonoffragilecommodity(glass,lens,marble,pottery,etc.)shallbemarkedwiththefrangibilitysignandotherwordingof“FRAGILE,DONOTSTEPONandTOPLOADONLY”.6.所有产品均须擦拭清洁后才可包装入箱Allproductsshallnotbepackagedintocartonunlesstheyarewipedclean.五、验收条款.InspectionClause（１）卖方必须在交货前全面、准确地检验货物的质量、规格和数量，签发质量证书，证明所交货物与合同中有关条款规定相符，但此证明书不作为货物的质量、规格、性能和数量的最后依据。卖方应将记载检验细节和结果的书面报告附在质量证明书内。(1)Sellermustentirelyinspectthequality,specificationandquantityofProductsbeforeshipment,andissueQualityCertificatewhichprovesthatthedeliveredProductsconformtothisContract.SuchQualityCertificateshallnotbetakenasfinalproofrelatingtothequality,specificationandquantity.SellermustattachwrittenreportstatingdetailsandresultsofinspectiontosuchQualityCertificate.（２）在货物抵达目的港之后，买方须检验或申请＿＿＿＿商品检验局（以下称商检局）就货物质量、规格和数量进行初步检验并签发检验证明书。如果发现到货的质量、规格或数量与合同不符）除应由保险公司或船方负责者外，买方在货物到港后＿＿＿＿天内有权拒收货物，向卖方提出索赔。AftertheProductsreacheddestinationport,Buyershallinspectorapply＿＿＿＿CommodityInspectionBureau(hereinafter“CIB”)fortheinspectionofquality,specificationandquantityofProductswhowillissueinspectioncertificate.IfBuyerfindsthatthequality,specificationandquantityofthearrivedProductsare,.inconsistentwiththisContract(exceptthatinsurancecompanyorshipmentcompanyshouldtaketheresponsibility),BuyerhastherighttorejectsuchProductswithin＿＿＿daysafterthearrivalofsuchProductsandclaimagainstSeller.（３）如果发现货物质量和规格与合同规定不符，包括内在缺陷或使用不良的原材料，买方将安排商检局检验，并有权依据商检证书向卖方索赔。IfBuyerfindsthatthequality,specificationandquantityofthearrivedProductsareinconsistentwiththisContract,includinginternaldefectsordefectivematerials,BuyershallarrangeCIBtomakeinspectionandclaimagainstSellerinaccordancewithinspectioncertificate.（４）如果由于某种不能预料的原因，在合同有效期内检验证书不及办妥，买方须电告卖方延长商检期限＿＿＿＿天。Ifinspectioncertificateisn’tissuedwithintheeffectiveperiodofthisContractforcertainunexpectedreason,BuyershallinformSelleroftheextensionofperiodofCIB’sinspection.（5）货品虽经本公司抽验，出卖人所负之睱疵担保责任，仍未免除.Seller’sobligationonthewarrantyoftheProductsshallnotbereleasedthoughtheProductshavebeeninspectedbyBuyer.六、结算方式及期限Article6PaymentTerms,.1.买方应通过买卖双方都接受的银行向卖方开出以卖方为受益人的不可撤消、可转让的即期付款信用证，信用证必须在装船前30天开到卖方，信用证有效期限延至装运日期后21天在爱尔兰到期。Buyershallopenirrevocable,transferableL/CatsightstipulatingSellerasthebeneficiarythroughissuingbankacceptabletobothBuyerandSeller.SuchL/Cmustbeopened30daysinadvanceofshipmentandtheL/Cwillexpire21daysatIrelandafterthedateofshipment.2.买方须于合同签订后….天内以电汇的方式即付全部货款…..%的定金，货物离港后收到卖方正本提单复印件付清余款，卖方收款即寄正本提单及全套清关文件。因卖方责任延迟寄单而产生的一切费用由卖方承担。Buyershallpay10%oftotalamountofProductasdeposittoSellerthroughwiretransferwithinXXdaysafterthesignatureofthisContract,andpaythebalanceamountafterreceivedthecopyoforiginalB/L.SellershallsendoriginalB/LandfullsetofclearancedocumentstoBuyer.AnyandallchargesresultingfromSeller’sdelayinsendingdocumentsshallbebornebySeller.七、违约责任Article7ResponsibilityfortheBreachofthisContract1、如果卖方对货物不符合本合同规定负有责任且买方在检验期内提出索赔时，卖方在征得买方同意后，可按下列方法之一种或几种理赔：IfBuyerclaimsforcompensationwithintheinspectionperiodforthereasonthatSellershouldberesponsiblefortheProductswhichareinconsistentwiththisContract,afterobtainingtheconsentofBuyer,SellershallcompensateforBuyeraccordingtooneofthefollowingways:,.ａ．同意买方退货，并将所退货物金额用合同规定的货币偿还买方，并承担买方因退货而蒙受的一切直接损失和费用，包括利息、银行费用、运费、保险费、检验费、仓储、码头装卸及监管保护所退货物的一切其它必要的费用。AcceptsBuyer’sreturnedProductsandrefundthepurchasepriceinthecurrencystatedinthisContract,andtakesresponsibilityforalldirectlossandexpensesincurredtoBuyerduetothereturnofProducts,includinginterest,bankfees,transportationfees,insurancepremium,inspectionfeesandothernecessarychargesandexpensesforthestorage,loading,unloadingandsupervisionofthereturnedProducts.ｂ．按照货物的质量低劣程度，损坏程度和买方蒙受损失的金额将货物贬值。DevaluestheProductsaccordingtodefectivenessdegree,damagedegreeandthelossamountincurredtoBuyer.ｃ．用符合合同规定规格、质量和性能的部件替换有瑕疵部件，并承担买方所蒙受的一切直接损失和费用。ReplacesdefectivecomponentswiththoseofcomponentswhichconformtothisContractintheaspectsofspecification,qualityandperformanceandbearsalldirectlossandexpensesincurredtoBuyer.2、如果卖方在收到买方索赔书后一个月之内不予答复，则视为卖方接受索赔。SellershallbedeemedasacceptBuyer’sclaimifSellerfailedtorespondtoBuyerwithonemonthuponreceiptofBuyer’swrittenclaimletter.,.3、延期和罚款Delayandpenalty（1）买方未按合同规定日期付款，每延期一天，应偿付卖方以延期付款总额＿＿＿％的罚金。IncasethatBuyerdelaysinpayingthepaymentaccordingtothisContract,BuyershallpaytoSellerpenaltyforeachdelayday,whichisequalto＿％oftotalamount.（2）如果卖方不能按合同规定及时交货，除因不可抗力者外，若卖方同意支付延期罚款，买方应同意延期交货。IncasethatSellerfailstodelivertheProductstoBuyerinaccordancewiththisContract,exceptfortheforcemajeure,BuyershouldagreetoSeller’slatedeliveryontheconditionthatSelleragreestopaydelaypenalty.罚款通过在付款时扣除，但罚款总额不超过延期货物总值的５％，罚款率按每星期０．５％计算，少于七天者按七天计。Penaltyshallbedeductedfromtheduepayment,butthemaximumpenaltyshallnotbegreaterthatthe5%oftotalamountoftheProducts.Thepenaltyshallbechargedaccordingto0.5%weeklyrate,andthedelayperiodwhichislessthan7daysshallbedeemedas7days.如果卖方交货延期超过合同规定船期十星期时，买方有权取消合同。尽管取消了合同，但卖方仍须立即向买方交付上述规定罚款。,.BuyerhastherighttocancelthisContractincasethatSellerdelaysindeliveringtheProductsover10weeks.SellermustimmediatelypaytoBuyertheabovementionedpenaltyafterBuyer’scancellationofthisContract.八、争议解决凡因执行本合同或与本合同有关的任何争议，应由供需双方通过友好协商解决，如无法达成一致，按下列第＿＿种方式解决：AnydisputearisingoutoforinconnectionwiththisContractwhichisnotsettledbyfriendlydiscussionsshallbesolvedthroughthefollowing_______means:（一）提交---------------------------------------------仲裁委员会进行仲裁；Submitto_____________ArbitrationCommissionforarbitration;（二）向---------------------------------------------------人民法院提起诉讼。Submitto_____________forjudgment.九、其它约定的事项Article9OtherClauses（如果上述任何条款与下列附加条款不一致时，应以后者为准）(Iftheabovementionedclausesconflictwiththefollowingsupplementaryclauses,thelatershallprevail),.---------------------------------------------------------------------------------------------------------------------------------------十、本合同正本共＿＿＿份，采用中、英文书写，两种文字具有同等效力。本合同自双方签字盖章后生效，甲乙双方各执一份。Article10.ThisContractisexecutedin＿＿＿originalcounterpartsandwritteninbothChineseandEnglishwhichhaveequaleffectiveness.甲方Buyer单位名称（章）：Name（seal）:单位地址：Address:法定代表人：LegalRepresentative:电话：乙方Seller单位名称（章）：Name（seal）:单位地址：Address:法定代表人：LegalRepresentative:电话：律师见证意见：Opinionsofthelawyerwhoperformswitness:经办人：Witnessedby(Lawyer):,.Telephone:开户银行：BankName:帐号：BankAccount:Telephone:开户银行：BankName:帐号：BankAccount:',)
