Legal Service Engagement Contract for Litigation (Bilingual: Chinese & English)

("诉讼法律服务委托协议LEGALSERVICERETAINERAGREEMENT本协议由以下双方：上海XX律师事务所（以下简称“上海XX”）和股份有限公司（以下简称“委托人”），根据《中华人民共和国律师法》和其他相关法律、法规的规定于2020年月日订立。THISLEGALSERVICERETAINERAGREEMENT(the“Agreement”)ismadeon________,2020byandbetweenShanghaiDeBundLawOffices(hereinafterreferredtoas“DeBund”)and________________(hereinafterreferredtoasthe“Client”)inaccordancewithLawofthePeople'sRepublicofChinaonLawyersandotherrelevantlawsandregulations.一、特别条款SpecialTerms1.1委托事项/EntrustedIssues上海XX接受委托人的委托指定经办律师，为委托人所提供的法律服务为：委托人与案件的诉讼代理和执行代理。DeBund,asentrustedbytheClient,herebydelegateslawyerstoprovidethefollowinglegalservices:_____________________________________________(hereinafterreferredtothe“RetainingMatters”).1.2代理权限/PowerofAttorney委托人授权上海XX及其指派的经办律师代理上述法律事务，其授权上海XX的权限为：（1）为委托人提供分析案件、调查取证、提出方案，以及担任法律诉讼的第一审、第二审和执行阶段的代理人；第1页/共10页（2）具体权限有：代为提起诉讼、财产保全，代为承认、放弃、变更诉讼请求，参与谈判、进行和解，提起上诉、反诉，提供证据，申请执行，签收法律文书。1.3律师/Lawyers上海XX指派陈XX律师、律师作为本协议法律服务事项的经办律师（以下简称“律师”）。上海XX另指派一名合伙人担任本案的主管合伙人，由该主管合伙人负责指导和协调本案。Lawyer________andLawyer_________areappointedanddesignatedbyDeBund(hereinafterreferredtoasthe“Lawyers”)andshallhandletheRetainingMattersfortheClient.DeBundwillappointapartnerasthesupervisortodirectandcoordinatethecase.1.4律师费/AttorneyFee为降低委托人的法律风险，双方经协商后确定，本案律师费采用风险收费方式；上海XX为上海税务局确定的“营业税改征增值税试点律师事务所”，委托人应当另行支付律师费的6%的增值税。即Uponnegotiation,boththeClientandDeBundconfirmthat,whateverprocedurethecaseisinvolved(includingpreparationforlitigation)andhoweverthecaseisconcluded(includingbymediationandreconciliation),theClientshallpayDeBundattorneyfeeforhandlingtheRetainingMattersasfollows,inadditionalto6%VATduetoDeBundisdeterminedbytheShanghaiLocalTaxationBureauasthepilotlawfirmtobeleviedVATinsteadofbusinesstax.（1）固定报酬为陆万元整（RMB60,000）；增值税额为人民币叁仟陆佰元（RMB60000×6%），委托人应在本协议签订之日起五日内向上海XX支付上述固定报酬及增值税额共计人民币陆万叁仟陆佰元（RMB63,600）。RMBRMB60,000asbasisfeeandVATRMB________（RMB60000×6%）,totaledRMB_________tobepaidwithin5daysupontheexecutionofthisAgreement.（2）第一笔风险报酬：委托人在收到判决或签订调解/和解协议之日起五日内，按胜诉金额的3%支付风险律师费。Another3%oftheamountofmoneyrecoveredbywinningalawsuit,whichshallbepaidwithin5daysuponthereceiptofanyjudgmentand/orreconciliationor第2页/共10页mediationagreementbytheClient.本案不论在任何阶段(包括诉讼准备阶段)，以何种方式(包括和解调解方式)结案，均应按照上述标准支付。1.5增值税发票/VATInvoice上海XX应当在收到委托人支付的顾问费之日起五日内向委托人开具增值税发票。委托人需要上海XX开具增值税专用发票的，应当在签订本合同时，提供税务登记证及增值税一般纳税人认定书的复印件，并提供如下信息。否则，上海XX将开具增值税普通发票。纳税人识别号：公司地址及电话：开户银行及帐号：DeBundshall,withinfive(5)daysfromthedateofreceiptoftheconsultantfee,issuetheClienttheVATInvoice.IftheClientrequiresaSpecialVATinvoice,itshallprovidecopiesofitstaxationregistrationcertificateandcertificationofgeneralVATtaxpayer,aswellasthefollowinginformation,otherwise,DeBundshallissueplainVATInvoice.Taxpayer’sRegistrationNo:AddressandTel:BankandA/CNo:1.6其他费用/OtherExpenses经办律师在办理案件中所发生的以下费用并不包含在上述律师费内，应由委托人另行承担。双方就其他费用的收费标准约定如下：1.差旅费：由上海XX向委托人据实请求，并提供相应的单据。2.查档费等调查费用：由上海XX向委托人据实请求，并提供相应的单据。OtherexpensessuchastravellingexpensesandinvestigationsfeesshallbereimbursedbytheClientinaccordancewiththeinvoicesprovidedbytheClientandarenottobeincludedintheaboveAttorneyFee.1.7有效期间/TermofthisAgreement本协议有效期限，自签订本协议之日起至本案执行终结（判决、调解、案外和解及撤消第3页/共10页诉讼）止。ThetermofthisAgreementshallcommercefromthedayofsignaturetilltheconclusionofexecutionofthecase(judgment,reconciliation,mediationandwithdrawalofalawsuit).1.8联系信息/ContactInformation有关上海XX与委托人的联系信息如下：上海XX：上海XX律师事务所开户银行：建行上海市南京西路支行账号：31001609507050016971地址：上海市南京西路819号中创大厦21楼邮编：200041联系人：陈宗山电话：021-52134900传真：021-52134911ShanghaiDeBundLawOfficesBank:CHINACONSTRUCTIONBANK,SHANGHAIBRANCH,WestNANJINGROADSUB-BRANCHA/CNO:31001609507050016971Address:21/F,ZhongchuangBuilding,No.819,WestNanjingRoad,ShanghaiCity,P.R.C,200041Contact:Tel:021-52134900Fax:021-52134911委托人：有限公司地址：联系人：电话：传真：Client:___________________________Address:Contact:Tel:Fax:第4页/共10页二、一般条款GeneralTerms2.1上海XX和律师的义务/ObligationsofDeBundandLawyers经办律师在向委托人提供法律服务时，承担以下的义务：TheLawyershereundershallundertakethefollowingobligations:（1）经办律师必须遵守律师执业道德和执业纪律；TheLawyersshallcomplywiththeoccupationalethicsandthepracticedisciplinesoflawyers;（2）经办律师应当勤勉尽责，维护委托人的最大利益；TheLawyersshallactwithduecareanddiligenceandprotecttheutmostrightsandinterestsoftheClient,（3）经办律师应当及时向委托人报告有关本协议约定项目的进展情况；TheLawyersshallreporttotheClienttheprogressoftheagreedmattersinatimelymanner;（4）经办律师无权超越委托人授权行事。如果确有需要，应当由委托人另行给予明确的授权；UnlessotherwisespecificallyauthorizedbytheClient,theLawyersshallnotactbeyondtheauthorityofrepresentationhereunder;ifnecessary,theClientmayissueseparateexplicitpowerofauthority;（5）经办律师就本协议约定的律师费和其他费用以外，无权要求委托人支付任何其他款项。但是如有必要需经办律师代缴代付予其他机构的费用除外；TheLawyersarenotentitledtorequesttheClienttopayanyfeeotherthantheAttorneyFeeandOtherExpensesagreedhereunder,unlessthefeesarepaidontheauthorizationandinthenameoftheClienttotherelevantadministrationsorcommissions;（6）上海XX或经办律师变更联系信息的，应当及时通知委托人；DeBundandtheLawyersshallnotifytheClientuponanychangesofthecontactinformationofthemhereininatimelymanner;（7）上海XX和经办律师对委托人负有保密义务。DeBundandtheLawyersshallkeepconfidentialanyinformationconcerningthesecretoftheClient.2.2法律服务人员的安排/AssignmentofLegalPersonnel（1）法律服务过程中，上海XX有权根据法律服务的需要，另行指派其他律师、律师助理、第5页/共10页秘书处理与本协议项目有关的一般事务，包括但不限于：送达文件、调查、文件制作、文件复印、相关法律调研。Duringthelegalserviceshereunder,DeBundmay,ifthecircumstancessorequire,designateotherlawyers,legalassistantsandsecretariestoconductgeneralaffairswithrespecttotheProject,includingbutnotlimitedtodeliveringdocuments,investigation,preparingdocuments,copyingdocumentsandtherelevantlegalresearch.（2）在法律服务过程中，如果经办律师离开上海XX或者因其他原因无法代理委托人办理本协议约定事项，上海XX可以与委托人协商另行指派其他律师办理本协议约定的法律服务。If,duringthelegalserviceshereunder,theLawyersresignfromDeBundoris(are)notabletocontinuetoconducttheservicesagreedherein,DeBundmaydesignateotherlawyer(s).2.3委托人的义务/ObligationsoftheClient委托人应当承担以下的义务：TheClientshallundertakethefollowingobligations:（1）与上海XX和经办律师诚实合作，向上海XX和经办律师如实提供与本协议约定事项有关的资料，如实陈述有关的情况和信息；TocooperateingoodfaithwithDeBundandtheLawyers,and,withrespecttotheEntrustedIssues,toprovideDeBundandtheLawyerswithauthenticandcompletematerialsinatimelymannerandmaketruerepresentationsthereof;（2）如本协议项下有关的情况和事实发生变化，应及时告知上海XX或经办律师；TopromptlyinformDeBundandtheLawyersofanychangeofthesituationsandfactsconcerningtheEntrustedIssues;（3）如果委托人变更联系信息，应当及时通知上海XX和经办律师；TopromptlynotifyDeBundandtheLawyersofanychangeofitscontactinformationherein;（4）按照约定支付律师费和其他费用；TopayAttorneyFeeandOtherExpensesasagreedherein;（5）无论何种情况，委托人向上海XX和经办律师提出的要求均不得违反律师执业道德和执业纪律的规定。ShallinnocircumstancerequestDeBundortheLawyerstodoanythinginbreachoftheoccupationalethicsandthepracticedisciplinesoflawyers.第6页/共10页2.4费用支付/Payment委托人应当依照本协议约定向上海XX支付律师费和其他费用。如果委托人未能够按照本协议的约定或者费用清单的提示及时足额支付律师费和其他费用的，应当承担滞纳金滞纳金按委托人应支付款项每日万分之二计算（滞纳金＝应付款项×0.02×延期支付天数）。TheClientshallpayDeBundtheattorneyfeeandotherexpensesinaccordancewiththeAgreement.IftheClientfailstopaytheattorneyfeeandotherexpensesinfullinatimelymanneraccordingtotheContractoranyclaimsforpayment,itshallbechargedforoverduefineof0.05%ofduepaymentonadailybasis(overduefine=duepayment×0.02%×delaydays).2.5委托人财物的保管/TakingCareoftheClient’sProperty（1）上海XX和经办律师在提供法律服务的过程中所取得的由委托人提供的正本资料、文件、其他物品（以下简称“委托人财物”）均属于委托人的财产，上海XX应当在完成法律服务后，将委托人财物移交给委托人。Theoriginalmaterials,documentsandotherproperties(hereinafterreferredtoasthe“Client’sProperty”)acquiredbyDeBundandtheLawyersduringprovidinglegalservicesaretheClient’sproprietaryproperties.AndDeBundshallhandovertheClient’sPropertytotheClientwhenDeBundfinishestheperformanceofitslegalservices.（2）如果委托人未接受律师事务所移交的委托人财物，上海XX有权视需要代为保管或将委托人财物移送公证机关提存，由此产生的任何额外的费用，均应由委托人承担如由上海XX代为保管委托人财物，则保管期限不超过两年（自移交之日起算），逾期上海XX不承担任何责任。IftheClientdoesn’tacceptthepropertiesdeliveredbyDeBund,theClient’spropertyshallbetakencareofordeliveredtothenotarizationauthorityfordepositbyDeBundatitsdiscretion,andtheadditionalexpensesincurredshallbebornbytheClient.Ifitoccurs,DeBundshalltakecareoftheClient’spropertyfortwo(2)yearscommencingfromthedateofdelivery,afterwhichDeBundwillnotbearanyresponsibility.2.6保密/Confidentiality上海XX和律师对于委托人的相关信息以及与本协议项下事项有关的资料、文件和其他情况（以下简称“委托人秘密”）应当保守秘密，在未征得委托人同意的情况下，不得向任何第三方透露委托人秘密。以下内容不可视为委托人秘密：DeBundandtheLawyersshallkeepconfidentialtheClient’srelevantinformation,第7页/共10页materialsandotherinformation(hereinafterreferredtoas“Client’sTradeSecret”)exceptforthecontentssetforthbelow.WithouttheClient’sconsent,noClient’sTradeSecretshallbedisclosedtoanythirdparty.a.刑事犯罪证据；criminalevidences;b.可以公开查阅或取得的信息和资料；anyinformationwhichmaybepubliclyreferredtooracquiredc.本协议所约定的服务范围和授权权限的内容。thescopeoflegalservicesandcontentofpowerofauthorityherein.2.7利益冲突/ConflictofInterests上海XX和经办律师在提供法律服务时，应当就已经存在的或可能存在的，代理与委托人有利益冲突方的情况如实告知委托人。在发生利益冲突的情况下，委托人有权撤销对上海XX或经办律师的授权；上海XX有权作出回避的安排或解除本协议。If,inthecourseofprovidinglegalserviceshereunder,DeBundandtheLawyersrepresentanythirdpartywhichhasormayhaveconflictofinterestwiththeClient,DeBundandtheLawyersshallhonestlyinformtheClientofthesituationconcerningsuchthirdparty.Incasethataconflictofinterestoccursormayoccur,theClientshallbeentitledtocancelitsauthorizationhereunderandDeBundmaymakearrangementtoavoidsuchconflictofinterestorterminatethisAgreement.2.8协议的解除/终止/TerminationoftheAgreement（1）如果上海XX或经办律师有违反律师职业道德和执业纪律的情形，经书面通知，委托人有权随时解除本合同，该解除通知在上海XX收到之日生效。一旦收到委托人的解除通知，上海XX和经办律师立即停止向委托人提供法律服务。IntheeventthatDeBundandtheLawyersviolatetheoccupationalethicsandthepracticedisciplinesoflawyers,theClientisentitledtoterminatetheContractatanytimeandshallgiveDeBundawrittennoticeoftermination,whichshalltakeeffectivewhenitisreceivedbyDeBund.（2）如果委托人未按照本协议约定支付律师费和其他费用且延期超过三十日的，上海XX有权解除本协议，但应书面通知委托人。IftheClientdoesn’tpaytheattorneyfeeandotherexpensesasagreedinthisContractanddelaystopayoverthirty(30)days,DeBundhastherighttonotifytheClientinwritingandterminatetheContract.（3）如果委托人向上海XX或经办律师提出有违律师职业道德和执业纪律的要求，则上第8页/共10页海XX有权随时终止向委托人提供法律服务，但应书面通知委托人。IftheClientrequestDeBundandtheLawyer(s)todoanythinginviolationoftheoccupationalethicsandthepracticedisciplinesoflawyers,DeBundhastherighttonotifytheClientinwritingoftheterminationoftheContractatanytime.（4）本协议因上述情况解除，委托人承诺仍就上海XX和经办律师已经提供的法律服务支付律师费和其他费用。InanycircumstancementionedabovetheContractisterminated,theClientpromisestopayDeBundandtheLawyerstheattorneyfeeandotherexpensesforthelegalservicesalreadyprovidedtotheClient.2.9不保证/NoAssurance上海XX和经办律师向委托人提供的分析、判断和意见，均不可理解为上海XX或经办律师就委托事项作出了成功或胜诉的保证。Noanalysis,judgmentoropinionprovidedbyDeBundandtheLawyersfortheClientshallbeconstruedasanyassuranceofDeBundortheLawyersforthesuccessorwinninginlitigationsconcerningtheentrustedmatters.2.10修改/Amendment本协议经双方协商一致后，可以书面方式进行修改。委托人理解并承诺，如果委托人希望获得本协议约定服务范围以外的法律服务，应当与上海XX另行签订法律服务委托协议。TheAgreementshallbeamendedinwritingthroughnegotiationbetweenDeBundandtheClient.TheClientunderstandsandpromises,itshallconcludeaseparateagreementwithDeBundifotherlegalservicesoutsidethescopeoflegalservicesspecifiedhereinareexpectedbytheClient.2.11通知/Notice与本协议履行有关的通知应当以书面方式提交对方，书面方式可以邮寄、挂号邮寄、专人送达、传真、电子邮件等方式送达。上海XX和委托人均应视需要选择合适的送达方式。AnynoticerelatedwiththeperformanceofthisAgreementshallbemadeinwritinganddeliveredbyperson,post,registeredmail,facsimile,emailandotherways.DeBundandtheClientshallchooseanappropriatewaytodeliverthenotice.第9页/共10页2.12争议的解决/DisputeResolution上海XX与委托人之间就律师费和其他费用发生争议的，委托人可以直接与上海XX进行协商，如果协商不成的，任何一方均可向上海仲裁委员会提出仲裁。仲裁依据该会仲裁规则进行，仲裁裁决是终局的，对双方均有拘束力。AnydisputearisingoutoftheContractmaybenegotiatedbytheparties,ifnegotiationfails,eitherpartycansubmitthedisputetotheShanghaiArbitrationCommission.TheArbitrationshallbeconductedinaccordancewiththearbitrationrulesineffectatthattime.Thearbitrationawardisfinalandbindingonthebothparties.2.13签署/Signature本协议由上海XX和委托人双方共同签署。上海XX必须加盖公章；委托人如非自然人，则应当加盖公章。TheAgreementisdulysignedbyDeBundandtheClient.Also,DeBundandtheClient,ifnotbeinganindividual,shallaffixofficialseal.（以下无正文/NoTextBelow）有限公司（盖章/Seal）上海XX律师事务所（盖章）______________________(seal)ShanghaiDeBundLawOffices(seal)第10页/共10页",)
