('ConsultancyServiceAgreementThisConsultancyServiceAgreement(hereinafterrefereedas“theAgreement”)isenteredintoonthisdateonbyandbetweenXinjiangBeixinRoad&BridgeGroupCo.,Ltd.(theCompany)withitsauthorizedlegalrepresentative,Mr.(hereinafterreferredasthe“Customer”)asPartyA;and.DuringthetermofthisAgreement,ConsultantwillprovidetheCompanyThisConsultancyAgreement(the"Agreement")isenteredintobyandbetweenAAA.com,(the"Company"),a_________(Placename)company,andBBB("Consultant").1.CONSULTINGRELATIONSHIP.DuringthetermofthisAgreement,ConsultantwillprovidetheCompanyconsultingservices(the"Services")asspecifiedbytheBoardofDirectorsorthechiefexecutiveofficeroftheCompanyfromtimetotime.ConsultantshalluseConsultant\'sbesteffortstoperformtheServicessuchthattheresultsaresatisfactorytotheCompany.Consultantshalldevoteapproximately1/2ofConsultant\'stimetoperformanceoftheServices.2.FEES.AsconsiderationfortheServicestobeprovidedbyConsultantandotherobligations,theCompanyshallpaytoConsultantamonthlyamountof$,_________($,_________onanannualizedbasis)duringthetermofthisAgreementinaccordancewiththeCompany\'snormalpaymentpracticesforconsultants.AsadditionalconsiderationfortheServices,theCompanywillprovideConsultantwithsuchsupportfacilitiesandspaceasmayberequiredintheCompany\'sjudgmenttoenableConsultanttoproperlyperformtheServices.3.EXPENSES.ConsultantshallnotbeauthorizedtoincuronbehalfoftheCompanyanyexpenseswithoutthepriorwrittenconsentoftheCompany\'schiefexecutiveofficerorchieffinancialofficer.Asaconditiontoreceiptofreimbursement,ConsultantshallberequiredtosubmittotheCompanyreasonableevidencethattheamountinvolvedwasexpendedandrelatedtoServicesprovidedunderthisAgreement.4.TERMANDTERMINATION.ConsultantshallserveasaconsultanttotheCompanyforaperiodcommencingon_________,_________,_________(M,D,Y)andterminatingon_________,_________,_________(M,D,Y).ShouldeitherpartydefaultintheperformanceofthisAgreementormateriallybreachanyofitsobligationsunderthisAgreement,includingbutnotlimitedtoConsultant\'sobligationsundertheConfidentialInformationAgreementbetweentheCompanyandConsultantreferencedbelowinSection8,thenon-breachingpartymayterminatethisAgreementimmediatelyifthebreachingpartyfailstocurethebreachwithinfive(5)businessdaysafterhavingreceivedwrittennoticebythenon-breachingpartyofthebreachordefault.Notwithstandingtheabove,eitherpartymayterminatethisAgreementatanytimeuponthirty(30)days\'writtennotice.Intheeventofsuchtermination,ConsultantshallbepaidforanyportionoftheServicesthathavebeenperformedpriortothetermination.5.INDEPENDENTCONTRACTOR.Consultant\'srelationshipwiththeCompanywillbethatofanindependentcontractorandnotthatofanemployee.(a)METHODOFPROVISIONOFSERVICES:Consultantshallbesolelyresponsiblefordeterminingthemethod,detailsandmeansofperformingtheServices.Consultantmay,atConsultant\'sownexpense,employorengagetheserviceofsuchemployeesorsubcontractorsasConsultantdeemsnecessarytoperformtheServicesrequiredbythisAgreement(the"Assistants").SuchAssistantsarenottheemployeesoftheCompanyandConsultantshallbewhollyresponsiblefortheprofessionalperformanceoftheServicesbyhisAssistantssuchthattheresultsaresatisfactorytotheCompany.ConsultantshallexpresslyadvisetheAssistantsofthetermsofthisAgreement,andshallrequireeachAssistanttoexecuteaConfidentialInformationAgreementsubstantiallyintheformattachedtothisAgreementasExhibitA(the"ConfidentialityAgreement").(b)NOAUTHORITYTOBINDCOMPANY.NeitherConsultant,noranypartner,agentoremployeeofConsultant,hasauthoritytoenterintocontractsthatbindtheCompanyorcreateobligationsonthepartoftheCompanywithoutthepriorwrittenauthorizationoftheCompany.(c)NOBENEFITS.Consultantacknowledgesandagreesthat,saveforanyemployeeshareoptionswhichwouldbeeligibletotheemployees/consultantsoftheCompany,ConsultantwillnotbeeligibleforanyCompanyemployeebenefitsand,totheextentConsultantotherwisewouldbeeligibleforanyCompanyemployeebenefitsbutfortheexpresstermsofthisAgreement,ConsultantherebyexpresslydeclinestoparticipateinsuchCompanyemployeebenefits.(d)WITHHOLDING;INDEMNIFICATION.ConsultantshallhavefullresponsibilityforapplicablewithholdingtaxesforallcompensationpaidtoConsultant,itspartners,agentsoritsemployeesunderthisAgreement,andforcompliancewithallapplicablelaborandemploymentrequirementswithrespecttoConsultant\'sself-employment,soleproprietorshiporotherformofbusinessorganization,andConsultant\'spartners,agentsandemployees,includingstateworker\'scompensationinsurancecoveragerequirementsandanyUSimmigrationvisarequirements(providedthattheCompanyshallavailallreasonableassistancetotheConsultantifsorequested).Consultantagreestoindemnify,defendandholdtheCompanyharmlessfromanyliabilityfor,orassessmentof,anyclaimsorpenaltieswithrespecttosuchwithholdingtaxes,labororemploymentrequirements,includinganyliabilityfor,orassessmentof,withholdingtaxesimposedontheCompanybytherelevanttaxingauthoritieswithrespecttoanycompensationpaidtoConsultantorConsultant\'spartners,agentsoritsemployees.6.SUPERVISIONOFCONSULTANT\'SSERVICES.AlloftheServicestobeperformedbyConsultant,includingbutnotlimitedtotheServices,willbeasagreedbetweenConsultantandtheCompany\'schiefexecutiveofficer.ConsultantwillberequiredtoreporttotheCompany\'schiefexecutiveofficerconcerningtheServicesperformedunderthisAgreement.ThenatureandfrequencyofthesereportswillbelefttothediscretionoftheCompany\'schiefexecutiveofficer.7.CONSULTINGOROTHERSERVICESFORCOMPETITORS.ConsultantrepresentsandwarrantsthatConsultantdoesnotpresentlyperformorintendtoperform,duringthetermoftheAgreement,consultingorotherservicesfor,orengageinorintendtoengageinanemploymentrelationshipwith,anybusinessesorproposedbusinessesinanywayinvolvenewspaperandmagazinepublishing,videooraudioproductsdistribution,satellitechannel,internetbroadbandornarrowbandportalwhichwouldbecompetitivewiththeCompany\'sproductsorservices,orthoseproductsorservicesproposedorindevelopmentbytheCompanyduringthetermoftheAgreement(exceptforthosecompanies,ifany,listedonExhibitBattachedhereto).If,however,Consultantdecidestodoso,Consultantagreesthat,inadvanceofacceptingsuchwork,ConsultantwillpromptlynotifytheCompanyinwriting,specifyingtheorganizationwithwhichConsultantproposestoconsult,provideservices,orbecomeemployedbyandtoprovideinformationsufficienttoallowtheCompanytodetermineifsuchworkwouldconflictwiththetermsofthisAgreement,includingthetermsoftheConfidentialityAgreement,theinterestsoftheCompanyorfurtherserviceswhichtheCompanymightrequestofConsultant.IftheCompanydeterminesthatsuchworkconflictswiththetermsofthisAgreement,theCompanyreservestherighttoterminatethisAgreementimmediately.8.CONFIDENTIALITYAGREEMENT.Consultantshallsign,orhassigned,aConfidentialInformationAgreementsubstantiallyintheformattachedtothisAgreementasExhibitA(the"ConfidentialityAgreement"),onorbefore_________,_________,_________(M,D,Y).IntheeventthatConsultantisanentityorotherwisewillbecausingindividualsinitsemployorunderitssupervisiontoparticipateintherenderingoftheServices,ConsultantwarrantsthatitshallcauseeachofsuchindividualstoexecuteaConfidentialityAgreementintheformattachedasExhibitA.9.CONFLICTSWITHTHISAGREEMENT.ConsultantrepresentsandwarrantsthatneitherConsultantnoranyofConsultant\'spartners,employeesoragentsisunderanypre-existingobligationinconflictorinanywayinconsistentwiththeprovisionsofthisAgreement.ConsultantrepresentsandwarrantsthatConsultant\'sperformanceofallthetermsofthisAgreementwillnotbreachanyagreementtokeepinconfidenceproprietaryinformationacquiredbyConsultantinconfidenceorintrustpriortocommencementofthisAgreement.ConsultantwarrantsthatConsultanthastherighttodiscloseand/ororuseallideas,processes,techniquesandotherinformation,ifany,whichConsultanthasgainedfromthirdparties,andwhichConsultantdisclosestotheCompanyorusesinthecourseofperformanceofthisAgreement,withoutliabilitytosuchthirdparties.Notwithstandingtheforegoing,ConsultantagreesthatConsultantshallnotbundlewithorincorporateintoanydeliveriesprovidedtotheCompanyherewithanythirdpartyproducts,ideas,processes,orothertechniques,withouttheexpress,writtenpriorapprovaloftheCompany.ConsultantrepresentsandwarrantsthatConsultanthasnotgrantedandwillnotgrantanyrightsorlicensestoanyintellectualpropertyortechnologythatwouldconflictwithConsultant\'sobligationsunderthisAgreement.Consultantwillnotknowinglyinfringeuponanycopyright,patent,tradesecretorotherpropertyrightofanyformerclient,employerorthirdpartyintheperformanceoftheServicesrequiredbythisAgreement.10.INSURANCE.TheCompanyshallprovidetheConsultantwiththebenefitoftheCompany\'sstandarddirectorsandofficersinsurancepolicyheldbytheCompanyduringthetermofConsultant\'sdirectorshipwiththeCompanyandshall,aftertheConsultantisappointedasadirectoroftheCompanyandattherequestoftheConsultant,enterintoadirectors\'indemnificationagreementwiththeConsultantontheCompany\'sstandardterms.11.MISCELLANEOUS.(a)AMENDMENTSANDWAIVERS.AnytermofthisAgreementmaybeamendedorwaivedonlywiththewrittenconsentoftheparties.(b)SOLEAGREEMENT.ThisAgreement,includingtheExhibitshereto,constitutesthesoleagreementofthepartiesandsupersedesalloralnegotiationsandpriorwritingswithrespecttothesubjectmatterhereof.(c)NOTICES.AnynoticerequiredorpermittedbythisAgreementshallbeinwritingandshallbedeemedsufficientuponreceipt,whendeliveredpersonallyorbycourier,overnightdeliveryserviceorconfirmedfacsimile,48hoursafterbeingdepositedintheregularmailascertifiedorregisteredmail(airmailifsentinternationally)withpostageprepaid,ifsuchnoticeisaddressedtothepartytobenotifiedatsuchparty\'saddressorfacsimilenumberassetforthbelow,orassubsequentlymodifiedbywrittennotice.(d)CHOICEOFLAW.Thevalidity,interpretation,constructionandperformanceofthisAgreementshallbegovernedbythelawsoftheStateofCalifornia,withoutgivingeffecttotheprinciplesofconflictoflaws.(e)SEVERABILITY.IfoneormoreprovisionsofthisAgreementareheldtobeunenforceableunderapplicablelaw,thepartiesagreetorenegotiatesuchprovisioningoodfaith.Intheeventthatthepartiescannotreachamutuallyagreeableandenforceablereplacementforsuchprovision,then(i)suchprovisionshallbeexcludedfromthisAgreement,(ii)thebalanceoftheAgreementshallbeinterpretedasifsuchprovisionweresoexcludedand(iii)thebalanceoftheAgreementshallbeenforceableinaccordancewithitsterms.(f)COUNTERPARTS.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogetherwillconstituteoneandthesameinstrument.(g)ARBITRATION.AnydisputeorclaimarisingoutoforinconnectionwithanyprovisionofthisAgreementwillbefinallysettledbybindingarbitrationinSanMateoCounty,California,inaccordancewiththerulesoftheAmericanArbitrationAssociationbyonearbitratorappointedinaccordancewithsaidrules.ThearbitratorshallapplyCalifornialaw,withoutreferencetorulesofconflictsoflaworrulesofstatutoryarbitration,totheresolutionofanydispute.Judgmentontheawardrenderedbythearbitratormaybeenteredinanycourthavingjurisdictionthereof.Notwithstandingtheforegoing,thepartiesmayapplytoanycourtofcompetentjurisdictionforpreliminaryorinterimequitablerelief,ortocompelarbitrationinaccordancewiththisparagraph,withoutbreachofthisarbitrationprovision.ThisSection10(g)shallnotapplytotheConfidentialityAgreement.(h)ADVICEOFCOUNSEL.EACHPARTYACKNOWLEDGESTHAT,INEXECUTINGTHISAGREEMENT,SUCHPARTYHASHADTHEOPPORTUNITYTOSEEKTHEADVICEOFINDEPENDENTLEGALCOUNSEL,ANDHASREADANDUNDERSTOODALLOFTHETERMSANDPROVISIONSOFTHISAGREEMENT.THISAGREEMENTSHALLNOTBECONSTRUEDAGAINSTANYPARTYBYREASONOFTHEDRAFTINGORPREPARATIONHEREOF.(i)SOLICITATIONOFEMPLOYEES.Consultantagreesthatforaperiodoftwelve(12)monthsimmediatelyfollowingtheterminationoftheconsultantrelationshipwiththeCompanyforanyreason,whetherwithorwithoutcause,Consultantshallnoteitherdirectlyorindirectlysolicit,induce,recruitorencourageanyoftheCompany\'semployeestoleavetheiremployment,ortakeawaysuchemployees,orattempttosolicit,induce,recruit,encourageortakeawayemployeesoftheCompany,eitherforConsultantorforanyotherpersonorentity.ThepartieshaveexecutedthisAgreementontherespectivedatessetforthbelow.AAA.comBy:/S/_________Name:_________Title:_________Address:_________Date:_________,_________,_________BBBBy:/S/_________Name:_________Title:_________Address:_________Date:_________,_________,_________EXHIBITACONFIDENTIALINFORMATIONAGREEMENTEXHIBITBLISTOFCOMPANIESEXCLUDEDUNDERSECTION7_________Noconflicts_________AdditionalSheetsAttachedSignatureofConsultant:_________PrintNameofConsultant:BBBDate:_________,_________,_________',)
