('AGREEMENTFORDISCLOSUREOFCONFIDENTIALINFORMATIONTHISAGREEMENTMADE27th,Octof2006BETWEEN(hereinafterreferredtoas“”)ANDhavingaplaceofbusinessat(hereinafterreferredtoas“JUNDE”)WHEREASAVANTRONICSand………JUNDE…………………………(hereinaftercollectivelyreferredtoastheParties)haveagreedtodiscusspossiblecollaborationonprogrammesrelatingtoBluetoothProductsandTechnologies.ANDWHEREASThePartieswishtoexchangeinformationwhichmaybeofproprietaryorconfidentialnatureforthepurposesofsuchpossiblecollaboration.NOWTHEREFOREITISAGREEDASFOLLOWSTHAT:1.TheRECEIVINGPARTYshallholdinconfidenceallinformationandideasofanykindrelatingtosuchpossiblecollaboration(hereinafterreferredtoas“ConfidentialInformation”)disclosedtoitbytheDISCLOSINGPARTY,whichareidentifiedattimeofdisclosureasbeingconfidential.2.TheRECEIVINGPARTYundertakestoapplytoallConfidentialInformationdisclosedinaccordancewiththeprovisionsofthisAgreementthesamedegreeofcarewithwhichittreatsandprotectsitsownproprietaryinformationagainstpublicdisclosure.AllsuchinformationandideasshallnotbedisclosedtoanythirdpartywithoutthewrittenconsentoftheDISCLOSINGPARTY.3.TheRECEIVINGPARTYundertakestorestrictitsuseofConfidentialInformationtoworkperformedinconjunctionwiththeDISCLOSINGPARTYrelatedtosuchpossiblecollaborationandtoensurethatdisseminationofConfidentialInformationwithinitsownorganisationisonastrict“needtoknow”basis.4.TheRECEIVINGPARTYacknowledgesthatConfidentialInformationcontainsproprietaryinformationoftheDISCLOSINGPARTYandthatunauthoriseddisclosurecouldcauseunnecessarycommerciallosstotheDISCLOSINGPARTY.5.ForthepurposesofthisAgreementinformationandideasshallnotbeconsideredtobeConfidentialInformationifsuchinformationandideasare:(a)inorpassintothepublicdomainotherthanbybreachofthisAgreement,or(b)areknowntotheRECEIVINGPARTYpriortodisclosurebytheDISCLOSINGPARTY,or(c)disclosedtotheRECEIVINGPARTYwithoutrestrictionbyathirdpartyhavingthefullrighttodisclose,or(d)isindependentlydevelopedbyanemployeeoftheRECEIVINGPARTYtowhomnodisclosureofConfidentialInformationhasbeenmade.6.TheobligationsheretorelatingtoconfidentialityanduseofinformationandideasshallsurvivetheterminationofthisAgreementforaperiodofthree(3)years.17.TheRECEIVINGPARTYshallnotassignortransferanyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheDISCLOSINGPARTY.8.NothinginthisAgreementshallbedeemedtograntalicensedirectlyorbyimplicationunderanyregistereddesign,patent,copyright,tradesecretorpatentapplication.9.ThisAgreementwillautomaticallyterminateoneyearfromthedatehereofunlessextendedbymutualconsentofthepartiesinwritingprovided,however,thatnosuchterminationshallservetoreleasetheRECEIVINGPARTYfromitsobligationsastoconfidentialityandusewhichshallremaininforceinaccordancewiththeprovisionshereto.10.IntheeventofsuchterminationtheRECEIVINGPARTYundertakestoreturntotheDISCLOSINGPARTYalldocumentsandcopiesoftheConfidentialInformationdisclosedinaccordancewiththetermsandconditionsofthisAgreement.11.ThisAgreementconstitutestheentireunderstandingbetweenthePartiesrelatedtotheprotectionofConfidentialInformationdisclosedhereunderandsupersedesallpriorandcollateralcommunications,reportsandunderstandingbetweenthePartiesheretorelatingtoConfidentialInformation.12.ThisAgreementwillbegovernedbyandinterpretedinaccordancewiththeLawsofHongKongandwillbesubjecttothejurisdictionoftheCourtsofHongKong.SignedforandonbehalfofSignedforandonbehalfofAVAONICSLimitedSHENZHENJnINDUSTRYSignature........................................Signature...................….........PrintName:………………………PrintName…XUDE..........Title:…………………………..Title……PRESIDENT……2',)
