生效前，如果没有所有成员的同意，不得变更或增加内容或做解释。3.4TheMembersshallenterintotheServicesAgreement,ifitisawardedtotheJV,inaccordancewiththeProposal,ortheProposalasamended,subsequenttoitssubmission,byagreementbetweentheClientandtheJV.如果服务协议提交联合体，成员则应根据客户和联合体之间约定的建议或修订后的建议和随后提交的文件签署服务协议。3.5UpontheexecutionofthisAgreement,eachoftheMembersshallgrantaPowerofAttorneyinfavourofapersonnominatedbyitasitsRepresentative,asdesignatedinSchedule1.TheRepresentativesofeachMemberwillconstitutethePolicyCommitteeoftheJV.UnderthePowerofAttorneygrantedhim,theRepresentativeofaMembershalltherebyhaveauthoritytosigntheProposalandtheServicesAgreementonbehalfofandinthenameofthatMember.ThesignatureofitsRepresentativeshallbindeachMemberifrespectofallobligationsandliabilitiesitassumesunderthisAgreement.本协议签署后，各方应按照附表1的规定对指定代表出具授权书。各方代表组成合营体政策委员会。各方授权代表有权签署提议和服务协议，其签署对各方具有约束力。3.6SubjecttodirectionsofthePolicyCommittee,theRepresentativeoftheLeadingMembershallbetherepresentativeoftheJVforthepurposeofcorrespondenceanddiscussionwiththeClientonmattersinvolvingtheinterpretationoftheServicesAgreementandalterationstoitstermsandtotheServicestobeperformed.根据政策委员会的指示，各主要成员作为联合体的代表就服务协议的解释事宜以及相关条款的调整与客户沟通。4.0PERFORMANCEOFTHEWORK完成工作4.1TheworktobeperformedundertheServicesAgreementshallbecarriedoutinaccordancewiththetermsandconditionsoftheServicesAgreementandthisAgreement.IntheeventofanyinconsistencybetweentheServicesAgreementandthisAgreementregardingthePerformanceofthework,theServicesAgreementshallprevail,subjecttoClause4.3and4.4below.应当根据本协议和服务协议完成所约定的工作。如果本协议与服务协议不一致，则根据下述第4.3款和4.4款，以服务协议为准。4.2EachMembershallberesponsibleforfulfillingtheobligationsprescribedinSchedule3inaccordancewiththetermsoftheServicesAgreementtothesatisfactionoftheClient,subjecttoClause4.3and4.4below.各成员均应按照服务协议规定完成附件3所约定的义务并根据下述第4.3款和4.4款达到使客户满意。4.3TheapportionmentoftheJV’sobligationsbetweenthePartiesinaccordancewithSchedule3canbeamendedbyagreementbetweentheMembers,subjecttotheconsentoftheClientifrequiredbytheServicesAgreement.根据附件3，各成员的义务分配应经过客户同意后以协议予以变更，如果服务协议如是规定。4.4AnyalterationsoradditionstotheServicestobecarriedoutundertheServicesAgreementshallbemadeonlywiththeconsentorontheinstructionsoftheClientinaccordancewithServicesAgreement.ResponsibilityforcarryingoutadditionalobligationsshallbeasagreedbetweentheMembers,subjecttotheconsentoftheClientifrequiredbytheServicesAgreement.对服务协议规定的任何服务项目的变更或增加必须经过客户的同意或指示。对增加的服务成员间必须达成协议并取得客户同意。5.0LANGUAGEANDLAW语言与法律5.1ThefollowingshallbestatedinSchedule1:下列条款在附件1中阐述--thelanguageinwhichthisAgreementshallbewrittenandinterpreted;and本协议书就与解释所用之语言，及--thecountryorstate,thelawofwhichshallapplytothisagreement.本协议适用法律。6.0EXCLUSIVITY例外6.1UnlessotherwiseagreedbytheMembers,nomembershallengageinanyactivityrelatedtotheProject,unlessotherwiseagreedbytheParties,otherthanasaMemberoftheJVandinaccordancewiththetermsandconditionsofthisAgreement.EachMemberwarrantsthatitssubsidiariesandotherfirmsorindividualsoverwhichithascontrolwillcomplywiththisrequirement.除非另有约定，任何成员不得从事任何与项目相关的活动，而且各成员的关联机构、其他公司和个人亦如此。7.0EXECUTIVEAUTHORITY管理人员的授权7.1NoMembershallhaveauthoritytobindortomakeanycommitmentonbehalfoftheJVoranyotherMemberunlesssuchauthorityisexpressedinwritingbytheMembersjointlyinregardtotheJV,orbyaMemberindividuallyinregardtothe(other)Member.未经联合体成员以书面联署授权，任何成员不得代表联合体或其他成员就有关联合体，或某个成员单独就其他成员做出承诺。7.2FromthedateofthisAgreementuntilawardoftheServicesAgreementtotheJVoruntilthisAgreementshallterminateinaccordancewithitsterms,whicheveristheearlier,thefollowingmattersshallrequiretheunanimousconsentoftheMembers:从本协议生效之日起，至服务协议授予联合体或本协议终止之日止，以先者为准，下列事项必须有所有成员达成一致：--forthepurposeofsubmittingtheProposal,therespectiveresponsibilitiesandobligationstobeundertakenbytheMembersundertheServicesAgreement,subjecttotheconditionsoftheInvitation;根据招标条款规定，为了提交建议；履行相关义务；--forthepurposeofsubmittingtheProposal,thepricesandtermsandconditionsofpaymentcomprisedintheProposalasapplicabletotheJVgenerally,andtotheMembersseparately,subjecttotheconditionsoftheInvitation;and为招标而提交的建议所涉适用联合体和单独适用成员的付款条款；以及--anycommunicationto,orresponsetocommunicationfrom,theClienteitherinwrittenororalandanycommitmentofanykindoftheClientoranyotherpartyinconnectionwiththeProposal.与建议相关的与客户之间的通信和回复，无论是书面还是口头，以及对客户和其他方的任何承诺。7.3FromthedateoftheawardoftheServicesAgreementtotheJV,decisionsonthepoliciesoftheJVshallbevestedinaPolicyCommitteecomprisingtheRepresentativeofeachoftheMembersspecifiedinaccordancewithClause3.5.签订服务协议后，联合体的政策决定将得到政策委员会包括第3.5款所述的成员大代表的批准。7.4EachMembershallprovidenoticeofitsRepresentativeonthePolicyCommitteeandshallgivepriornoticeofanychangeinsuchappointments,temporaryorotherwise,asmayoccurfromtimetotime.每个成员向政策委员会通知其代表以及代表的任命、替换等事项。7.5TherepresentativeoftheLeadingMemberonthePolicyCommitteeshallbetheChairmanoftheCommittee.TheChairmanshallordinarilyconvenethemeetingsoftheCommitteeandmayinviteotherswhomhewishedtoattend,inordertoinformoradvisetheRepresentatives,ortorecordtheproceedingsoftheCommittee.政策委员会主席由主要成员担任。主席召集会议，可邀请其他参与者，向代表通报会议并记录存档。7.6IntheeventoftherebeingdisagreementbetweenmembersofthePolicyCommitteeonmattersn otheapprovaloftheClient(ifrequired)andtotheagreementoftheMembers,sub-consultantstocarryoutanyofthatMember’sobligations,providedthatinsuchcircumstancesthecontrolofandresponsibilityforundertakingthoseobligationsshallatalltimesremainvestedintheMemberinquestion.各方有权在客户（如有）同意和各方同意条件下，聘请分包商履行相关义务，但义务的履行和责任由该方承担。9.5TheengagementofSub-consultantsbytheJVshallbesubjecttotheprovisionofClause7.由联合体聘请的分包商，依照第7条规定执行。10.0ASSIGNMENTANDTHIRDPARTIES转让和第三方10.1NoMembershallsell,assign,mortgage,pledge,transferorinanywaydisposeofanyrightsorinterestsunderthisAgreement,oritsinterestsinanysumspayablebytheClientotherthanbyachargeinfavourdueundertheAgreement,withoutthepriorwrittenconsentoftheMember.未经全体成员书面同意，任何成员不得对其在协议项下的权利、利益或客户应付款项进行出售、转让和抵押。但依照本协议规定应付的费用除外。10.2ThisAgreementisexclusivelyforthebenefitoftheMembersandshallnotbeconstruedasconferring,eitherdirectlyorindirectly,anyrightsorcausesofactionuponthirdparties.本协议仅为全体成员所设立，不得理解为直接或间接授予第三方任何权利。11.0SEVERABILITY可分割性11.1IfanypartofanyprovisionofthisAgreementisfoundbyanarbitratororCourtorothercompetentauthoritytobevoidorunenforceable,suchpartoftheprovisionshallbedeemedtobedeletedfromthisAgreementandtheremainderprovisionsofthisAgreementshallcontinueinfullforceandeffect.如本协议任何部分被仲裁、法院或其他有管辖权的机构认定为无效或不可履行，该部分可以从协议中删除，但其他部分仍有效力。11.2Notwithstandingtheforegoing,theMembersshallthereuponnegotiateingoodfaithinordertoagreethetermsofamutuallysatisfactoryprovisiontobesubstitutedforthepartoftheprovisionfoundtobevoidorunenforceable.尽管有上述规定，各方可本着诚意协商，用各方都同意的条款取代被认定为无效的条款。12.0MEMBERINDEFAULT成员违约12.1IntheeventofinsolvencyofaMember,theotherMemberisherebyirrevocablyconstitutedandappointedtoactforitinallmattersaffectingperformanceofthisAgreement.如果发生某一成员破产，另一成员据此不可撤回地被指定和约定代理在所有事情动人的执行协议。12.2AMemberthatdelaysorfailstofulfillitsobligationsinwholeorinpartunderthisAgreementshallbedeemedindefaultandshallindemnifytheotherMemberinrespectoftheconsequences.ThisClause12.2maybesubstitutedbythefollowing:“AMemberwhofailswithinareasonabletimeandwithoutreasonableexcusetoperformtheServicesrequirementofitunderthisAgreement,oranyotherdutiesandobligationsseroutherein,orotherwiseagreedbetweentheMembers,orbetweentheMembersandtheClient,maybedeclaredindefaultbytheotherMember.Insuchcase,theDefaultingMembershallindemnifytheotherMembersagainstanylosses,claims,demands,costs,expensesandothermattersarisingfromsuchdefault.”某一成员延迟或未能完成协议项下全部或部分义务，应被认为违约，在与后果相关方面应赔偿另一成员。12.3AnoticeinwritingfromtheClientthattheperformanceofobligationsundertheServicesAgreementisunsatisfactoryorthatthecontinuedinvolvementofaMemberisnolongerrequiredinwholeorinpartshallforthepurposesofthisClausemeanthattheMemberconcernedisindefaultunlessotherwiseagreedbyotherMember.ThisClause12.3maybesubstitutedbythefollowing:ProcedureupondeclaringaMemberindefault.“IfanoticeinwritingisreceivedfromtheClientthattheperformanceoftheMember’sobligationsundertheServicesAgreementisunsatisfactory,oraMemberconsidersthatanotherMember’sperformanceofthoseobligationsisunsatisfactory,ameetingofthePolicyCommitteeshallbeconvened,andtheMemberinquestionshallbeaffordedanopportunitytohearthecriticismsagainstitandexplainitsposition.”业主关于服务协议项下履行义务不满意或一个成员的连续连累完全或部分地不再要求的书面通知，对这个条款来说，意味着相关成员违约，除非与另一成员另有协议。12.4IfthedefaultofaMembershallbesuchthattheMemberinquestionshallbesubstantiallyinbreachofitsobligationshereunder,theotherMembershallbeentitledtoreassigntheworkconcerned.ThisClause12.2maybesubstitutedbythefollowing:“AmotionmaythenbemadebyanyMemberforavotetobecastuponwhethertheMemberinquestionshoulddeclaredindefaultofitsobligations.AllMembers(otherthantheMemberinquestion)shallbeentitledtovotethereon.Ifa(unanimous/majority)voteisobtained,theMemberinquestionshallbedeclaredindefault.Noticeinwritingofthedeclarationincludingthereasonstherefore,shallbeservedontheDefaultingMemberwithin14daysofthePolicyCommitteeMeeting.”如果某一成员的违约是这样的，所述成员实质上违反在下面的它的义务，另一成员有资格重新分配相关工作。12.5AnyactionstakenbytheotherMemberagainstthedefaultingMemberpursuanttothisClauseshallbewithoutprejudicetoanyrightstowhichhemaybeentitledatlawagainstthedefaultingMember.另一成员相对于依照这个条款违约的成员所采取的任何行动应不使任何权利受到损害，按照法律条文，相对于违约成员，他是有资格。12.6IfareassignmentofworkundertheServicesAgreementismadeinaccordancewiththeClause,thedefaultingMembershallnotobstructtheMemberwhoundertakesthereassignedworkandshallprovidehimwithaccesstoalldocumentsandinformationnecessaryforitsproperperformance.在服务协议下重新分配工作与本条款相一致，违约成员不应房妨碍承担重新分配工作的成员，并提供他接近所有为正确的执行所必须的文件和资料。12.7AnysumsreceivedbytheJVinpaymentforthedefaultingMember’sobligationsalreadyundertakenshallbeusedtocompensateanylossordamageresultingfromthedefaultofthatMember.ThedefaultingMembershallresponsibleforprovidingguaranteesandbondsrelevanttotheobligationsallocatedtothatMemberpriortosuchreassignmentuntilthecompletionoftheServices.联合体收到的补偿违约成员已经承担的义务的所有金额应用于赔偿由那个成员违约所产生的损害损失。违约成员应该为提供有关在重新分配之前分配的义务担保和保证金负责，直到服务完成。12.8IfallofthedefaultingMember’sobligationsarereassignedinaccordancewiththeClause,theotherMembershallbeentitledtoandshall:--carryonandcompletetheperformanceoftheServicesAgreementwithouttheparticipationofthedefaultingMember,itssuccessors,receiversorotherlegalrepresentativesandcontinuetoactinaccordancewiththetermsofthisAgreement(asamendedtotakeaccountofthenonparticipationofthedefaultingMember);and--retainfortheperformanceoftheServicesAgreementallequipmentandmaterialspurchasedthereforeandallassetsownedbytheJVatthetimeofthedefaultingMemberuntilthecompletionoftheServices.ThedefaultingMember,itssuccessors,receiversorotherlegalrepresentativesshallexecuteanddoalldeeds,documentsandthingsnecessarytoenablethesaidequipmentandmaterialstocontinuetobesousedandtoenabletheJVtocontinuewithoutitsinvolvement.违约成员的所有义务按本条款重新分配，其他成员有资格并应该：---在没有违约成员参与下继续进行和完成服务协议履约，它的继承者，接受者或合法代表继续在本协议项下行动（作为道歉，考虑到违约成员不参与）。---保留为服务协议履约的已采购的所有设备和材料和在成员违约的时候JV所拥有的所有财产，直到服务完成。违约成员，它的继承者，接受者或其他合法代表应该执行和立所有的契约，文件等等对使上述设备和材料能够继续被使用和使JV能够无连累地继续来说是必须的。12.9UponcompletionorearlierterminationoftheServicesAgreementandreceiptofallamountsduethereunder,theremainingMembershallaccounttotheMemberindefaultwhichshallbeentitledtoreceiveanamountequaltoanysumsprovidedbythedefaultingMembertowardsanygeneralfundswhichshallnotpreviouslyhavebeenexpended,plussuchMember’sshareofanyfundsoftheJVduetoit,reducedbyanylossesordamageoccasionedbyitsdefault.在完成协议或提前中止协议，和收到的所有到期金额之上，剩余成员应响应违约成员，他应有资格接受由违约成员提供的等价的先前没有花费的普通资金，加上成员分享的JV资金，还原由违约引起的损害损失。12.10IntheeventthattheshareofthelosseschargeabletothedefaultingMemberexceedsanysumsprovidedbythedefaultingMembertoanygeneralfundsandtheshareofanyfundsoftheJVduetoitinaccordancewiththetermsofthisAgreement,thedefaultingMembershallpromptlypaytheexcesstotheremainingMember.在违约成员应负担的损失部分超过违约成员提供的普通资金和按照协议条件应归于JV的资金部分的总和的情况下，违约成员应迅速向剩余成员支付超过额。13.0DURATIONOFTHEAGREEMENT13.1IfithasbeenjointlyestablishedbytheMembersthattheProposalwillnotbeacceptedbytheClientorifithasnotbeenacceptedbytheClientwithintheperiodallowedforacceptanceinaccordancewiththeProposaloranyextensionofthatperiodsubsequentlyagreedbetweentheClientandtheJV,thisAgreementshallthereuponterminateforthwith.13.2IftheProposalisacceptedbytheClient,thisAgreementshallcontinuetohavefullforceandeffectandshallcontinuethesamewhentheServicesAgreementisenteredintowiththeClient,untilconfirmationhasbeenreceivedfromtheClientthattheServiceshavebeenterminated,andallaccountsrelatingtotheServicesbetweentheJVandtheClientandthirdpartiesandbetweentheMembersareacknowledgedassettled.13.3ProvidedthatthetermsofthisAgreementshallneverthelesscontinuetobindtheMemberstosuchextentandforsolongasmaybenecessarytogiveeffecttotherightsandobligationsspecifiedintheAgreement.14.0LIABILITY债务14.1EachoftheMemberswarrantsthatitwillindemnifyandkeepindemnifiedtheotherMemberagainstalllegalliabilitiesarisingoutoforinconnectionwiththeperformance,orotherwise,ofitsobligationsunderthisAgreement.每个成员保证赔偿和保持使其他成员免受由履约或协议引起的或相关的法定义务的伤害。14.2IntheeventofitbeingallegedbyoneMemberinwritingthatanylegalliabilityisattributabletotheotherMemberortotheMembers,theMembersshallusereasonableendeavorstoreachagreementontheliabilitiestobebornebyeachoftheMembers,andintheeventoftheMembersfailingtosoagree,aproperapportionmentshallbedeterminedbyarbitrationinaccordancewithClause19.ThefollowingalternativesetsofClause14and15applyintherespectivecasedescribedhereunder.ItshouldbeunderstoodthattheproposedseriesofclausesmayconflictwiththeClient’srequirementsfortheMemberstobejointlyandseverallyliable.Accordingly,itisessentialthattheClientandtheinsurersallhaveacompleteunderstandingofandagreewiththearrangementsmade.在一个成员书面主张任何合法债务可归因于其他成员的情况下，所有成员应当用适当的努力达到每个成员承担的协议义务，在成员未能同意的情况下，按照19条款仲裁，应该被确定合适的分摊。可从第14条或第15条选择其一适用于本条所述情形。各方同意，所设立的系列条款可能与客户对各方共同承担连带责任的要求不一致。重要的是，必须由客户和保险人同意所做的这种安排。Series“A”:wherecleardemarcationoftheworkispossibleA系列条款做了明确分工：14A14A系列条款(1)Schedule3tothisAgreementsetout,forthepurposesofthisAgreement,theWorksorServicesforwhicheachMemberwillbedeemedresponsible.附件3规定各方应承担责任的工程与服务。(2)EachMemberwarrantsthatitwillindemnifyandkeepindemnifiedtheotherMembersagainstalllegalliabilitiesarisingoutoforinconnectionwiththeperformance,orotherwise,ofWorksorServicesdeemedbySchedule3tobeitsresponsibility.各方承诺，将保障其他方避免因为附件3所规定的属于自己应当承担责任的工程或服务的责任而遭受承担责任。(3)EachMemberisrequiredtoco-operateandproducesuchinformationasisreasonablyrequiredbythePolicyCommittedindefendinganyclaimmadebytheClientoranythirdpartyarisingoutoforinconnectionwiththeperformanceorotherwiseoftheobligationsunderthisAgreement.为了应对客户或第三方针对义务履行而提出的索赔，各成员应合作并向委员会提供相关文件。15A15A系列条款(1)EachMemberwillmaintainInsurancecoverageasprotectionagainstalllegalliabilitiesarisingoutoforinconnectionwithWorksorServicesforwhicheachisdeemedresponsiblebySchedule3.各成员应对附件3规定的所应当负责的工程或服务予以保险。Series“B”:wherecleardemarcationoftheworkisnotpossibleB系列条款明确了工程的不可分割性。14B14B系列条款(1)EachMemberisrequiredtoco-operateandproducesuchinformationasisreasonablyrequiredbythePolicyCommittedindefendinganyclaimmadebytheClientoranythirdpartyarisingoutoforinconnectionwiththeperformanceorotherwiseoftheobligationsunderthisAgreement.为了应对客户或第三方针对义务履行而提出的索赔，各成员应合作并向委员会提供相关文件15B15B系列条款(1)[NameofMember]willmaintaininsurancecoverageasprotectionagainstalllegalliabilitiesaris gementupontheawardrenderedinanyarbitrationproceedingsmaybeenteredinanycourthavingjurisdictionbyanyoftheMembersorapplicationmybemadetosuchcourtforajudicialacceptanceoftheawardandanorderforenforcement(asthecasemaybe).仲裁裁决可以由任何成员提交给具有管辖权的法院或实际可接受该裁决的法院，由法院发出执行令（如需要）。20.0NOTICES通知20.1NoticesundertheAgreementshallbeinwritingandwilltakeeffectfromreceiptattheaddressstatedinSchedule1.deliverycanbebyhandorfacsimilemessageagainstawrittenconfirmationofreceiptorbyregisteredletterorbytelexsubsequentlyconfirmedbyletter.通知以书面做出，并按照附件1规定的地址送达生效。送达可面呈或可用取得书面收据的传真或挂号信，或随后可被确认的电传。20.2TheofficialaddressoftheJVtobeincludedonalldocumentationsignedinthenameoftheJVshallbeasdesignatedinSchedule1heretoorsuchotheraddressasshallbeagreedfromtimetotimebytheMembers,subjecttotherequirementsoftheServicesAgreement.在以联合体名义签署的所有文件上，均有联合体的官方地址。21.0SOLEAGREEMENTANDVARIATION协议的唯一性与变更21.1ThisAgreementisasspecifiedinClause1.1.7andisthesoleagreementbetweentheMembersandsupersedesanypreviousagreementsbetweenthemrelatingtothemattersreferredtoherein.VariationsandaddendamaybemadetothisAgreement,includingtheadmissionofnewmemberstotheJV,bywritteninstrumentwhichshallbeeffectiveuponbeingsignedbyallMembers(orontheirbehalfbytheirRepresentatives),providedthatifaMemberisconsideredbytheotherMembertobeindefaultpursuanttoClause12hisagreementandsignatureisnotrequired.本协议按照第1.1.7条规定，是成员之间唯一的协议，涵盖了此前与本协议相关事项的所有协议。本协议的变更和补录，包括新成员参加联合体，均由所有成员（或其代表）签署生效的书面文件确认，但如果根据第12条规定，某个成员被其他成员认为违约，该成员的同意与签署即非必需InWitnesswhereoftheMembersheretohaveexecutedThisAgreementin(placeofsigningagreement)thedayandyearfirstabovewritten.在本协议前面所列日期，各成员签署本协议，特此为证。(以下为各方签署)Signedonbehalfof(nameorMember)Witnesstothesignature(nameofsignatory)SignedSignedonbehalfof(nameorMember)Witnesstothesignature(nameofsignatory)Signed',)
