("DesignServiceAgreement(设计服务协议中英文)DesignServiceAgreementPartyA(Consigner):Address:Contact:PartyB(Consignee):Designer:IdentifyCardNo.:Contact:Emergencycontactperson:InaccordancewiththeContractLawofthePeople’sRepublicofChinaandrelevantlawsandregulationsinthePRC,bothPartiesagreethefollowingcontentthroughamicablenegotiation:Article1-CooperationDescriptionDesigninteriorwayfindingsystemofXXXX,detailspleaseseeattachment”XXXX”(Hereinafterreferredasthe“design”).Article2-TheRightsandObligations2.1PartyBshalldesignstrictlyinaccordancewithPartyA’sstandardsandrequests.2.2PartyBshallsubmitfinaldesignafterthewritingacceptanceofPartyA.Article3-CommissionandPayment3.1Within15workingdaysafterdesignbeenacceptedbyPartyA,PartyAshallpayPartyBcommissionfeeofRMBXX.3.2TheabovefeereceivablebyPartyBshallberemittedtothebankaccountdesignatedbyPartyB,TheinformationofPartyB’sbankaccountisasbelow:BankName:AccountName:BankaccountNo.:Article4-WarrantiesandCommitments4.1PartyBguaranteesthedelivereddesignworksshallbeoforiginalityanddonotcontainanycontentwhichmayinfringeanythirdparty'srights,includingbutnotlimitedtointellectualpropertyrights.Otherwise,anylegalliabilitiesgeneratedfromtheaforesaidinfringementsshallbebornebyPartyB.4.2PartyBshallberesponsibleforpromptlyrevisingorsupplementingfortheflaworerrorsin1/5DesignServiceAgreement(设计服务协议中英文)PartyB’sdesignserviceanddesignworksfreeofcharge.4.3ThedesignserviceanddesignworksthatPartyBprovidestoPartyAshallbeinconformitywithChina'slawsandregulations.Article5-BreachLiability5.1Ifeitherpartyfailstoperformorrendersnon-conformingperformance,therebycausinglosstotheotherparty,theamountofdamagespayableshallbeequivalenttotheotherparty’slossresultingfromthebreach,providedthattheamountshallnotexceedthelikelylossresultingfromthebreachwhichwasforeseenorshouldhavebeenforeseenbythebreachingpartyatthetimeofconclusionofthecontract;5.2ThefailureofpartiestocomplywithanyobligationunderthisContractbecauseofanactofwar,fire,riot,earthquake,actofpublicenemies,actionsofgovernmentalauthoritiesorforanyreasonbeyondthereasonablecontrolshallnotbedeemedabreachofthisContractandsuchpartyshallhavenoliabilitybyreasonofsuchevent.Article6-IntellectulpropertyCopyrightandrelatedintellectualpropertyrightsdesignrelatedshallvestinPartyA,PartyBcouldonlyusetheIPrightsafterPartyA’sapprovalinwritingandpayingreasonablefee.Article7-ConfidentialityofProprietaryInformationBothpartiesshallholdallinformationreceivedfromtheotherpartyinconfidenceandshallnotdiscloseorusesuchConfidentialand/orProprietaryInformation,otherwiseshouldberesponsibleforallthelossowningtothebreach.Article8-Thecontracteffectiveandrevisionterm8.1Thiscontractshallbecomeeffectivewhensignedbytherepresentativeandstampedbythetwoparties;8.2Thiscontracthasfourcopies,eachpartyhastwocopieswithequallegaleffect(Attachmentaseffectivecontractpart),anyrevisionofcontracttermsshallbebothapprovedinwrittenbybothparties.8.3Othermiscellaneousitemsuncoveredinthiscontractwillbenegotiatedbybothpartiesandsignappendixattachmentwhichhasequallegaleffectofthecontract.(Nomaintextfollowing)(Signaturepage)2/5DesignServiceAgreement(设计服务协议中英文)PartyA:PartyB:(signatureandstamp)(signature)Date:设计服务协议甲方:地址:联系方式:乙方：设计师：XX身份证号：XXX联系方式：XX紧急联络人：XXX根据《中华人民共和国合同法》以及相关法律法规，经过友好协商，甲乙双方达成如下协议：第一条合作内容XXXX形象设计，细节以附件XXXX为准。第二条权利与义务2.1乙方应严格依据甲方标准及要求设计；2.2乙方交付最终设计前应得到甲方书面确认。第三条费用和支付3/5DesignServiceAgreement(设计服务协议中英文)3.1甲方验收设计后15个工作日内支付乙方佣金人民币XX万元3.2上述佣金甲方应汇到乙方指定的银行账号。乙方的银行账号信息为：银行名：账户名：账户：第四条保证及承诺4.1乙方保证所交付的设计具有独创性，不存在任何权利瑕疵，包括但不限于知识产权瑕疵，否则，由此引起的任何法律责任由乙方承担。4.2乙方对其提供的服务及成果中出现的纰漏负责进行免费、及时的修改或补充。4.3乙方保证向甲方提供的服务及成果符合中国法律法规的要求。第五条违约责任5.1在合同履行过程中，若发生违约行为，违约方应承担自己的违约行为而给守约方造成的一切损失，但承担损失不应超过违约方在签订合同时预见或应当预见的范围；5.2甲乙双方中任何一方因战争、严重水灾、火灾、台风和地震，以及经双方认可的其他此等不可抗力事件阻碍而无法按期履行合同，将不承担违约责任。第六条知识产权因设计产生的著作权等知识产权性质权利均归甲方所有，乙方如需使用应经过甲方书面许可并支付合理费用。第七条保密条款双方均应对于磋商、缔结、履行本合同过程中获取或知悉的商业秘密负保密义务，否则违约方应承担商业秘密披露对于守约方造成的一切损失。第八条合同的效力和变更8.1本合同经双方签署并盖章后，方予生效。8.2合同正本一式肆份，甲、乙双方各持贰份，具有同等的法律效力。本协议的任何修改必须经过双方的书面同意。8.3其它未尽事宜或在本协议项下有需要增设的内容，双方协商解决，以附件形式确认，4/5DesignServiceAgreement(设计服务协议中英文)与本合同具有同等法律效力。（以下无正文）(签署页)甲方：乙方：授权代表签字（加盖公章）：签字：签署日期：5/5",)
