("媒体推广服务合同(海外红人)SocialMediaPromotionServiceAgreement(OverseasInfluencers)甲方:地址:联系人:电话:电子邮箱:PartyA:Address:ContactPerson:PhoneNumber:EmailAddress:乙方:地址:身份证明号码/出生日期:电话:电子邮箱:PartyB:Address:IdentificationNumber/DateofBirth:PhoneNumber:EmailAddress:本媒体推广服务合同(以下简称“合同”)由请填充公司(以下简称“甲方”)和请填充(以下简称“乙方”)于年月日(日期)签订,本合同从签订之日起生效。甲方委托乙方制作并交付推广内容,并在指定媒体平台发布,同时向乙方提供服务报酬,具体约定如下。第1页/共18页乙方同意按照本合同约定为甲方提供推广内容制作服务,并提供在指定媒体平台的发布、推广服务,同时接受服务报酬。具体约定如下。因此,现双方达成如下条款:ThisSocialMediaPromotionServiceAgreement(hereinafterreferredtoasAgreement)ismadeandeffectiveontheDateof//,byandbetweenPartyAandPartyB.PartyAentrustsPartyBtoprovideanddeliverPromotionalProduction,andpostonthedesignatedmediaplatform,atthesametime,PartyBhastherighttorequestPartyAtopaytheServiceRemunerationasfollows.PartyBagreetoprovide,deliverandpostPromotionalProductionasagreedhereinfortheServiceRemunerationasfollows.NOW,THEREFORE,inconsiderationofthemutualAgreementsandcovenantshereincontainedthepartiesheretoagreeasfollows:1.推广服务内容ARTICLEI.PROMOTIONALSERVICEPRODUCTION1.1.乙方需按照本合同约定的要求,为甲方指定的甲方品牌(请填充)的宣传产品制作推广素材(以下简称“推广成果”),包括但不限于视频、图片,在经过甲方审核后按照本合同约定在指定媒体平台(以下简称“平台”)发布上述推广成果。与本合同履行有关的双方邮件等往来记录视为本合同的组成部分。1.1.PartyBshallproducePromotionalmaterials(hereinafterreferredtoasPromotionalProduction)forproductsofPartyA’sbrand()designatedbyPartyA,includingbutnotlimitedtovideosandpictures,andpostthePromotionalProductiononthedesignatedmediaplatform(hereinafterreferredtoasPlatform)afterPartyA’sreviewinaccordancewiththeAgreement.AllE-mailsandothercorrespondencebetweenthepartiesinconnectionwiththeperformancehereofshallbedeemedasanintegralparthereof.1.2.推广成果内容1.2.TheContentofPromotionalProduction第2页/共18页1.2.1.乙方应制作并交付甲方审核的真实原创推广成果具体如下:序号素材种类(图片/视频)简要说明视频/图片格式数量视频长度/图片要求1.2.1.PartyBshallproduceanddeliverPartyAtoreviewthefollowingoriginalPromotionalProductionwhichisdecent,honest,andfactual:NumberTypeofProduction(picture/video)BriefDescriptionFormatQuantityVideoLength/PictureRequirements1.2.2.乙方交付的推广成果应满足包括但不限于以下验收标准:1.2.2.1.使用甲方提供的样机,按照甲方提供的产品Brief宣传甲方特定产品,推广成果中有甲方清晰产品LOGO露出;1.2.2.2.应该有包括请填充等完整机器操作或产品演示流程,具体以甲方要求为准;1.2.2.3.乙方应保证整体画面拍摄及呈现效果清晰流畅,且应保证整体风格与双方协商的风格相符;1.2.2.4.其他双方约定的验收标准。1.2.2.ThePromotionalProductiondeliveredbyPartyBshallmeetthecriteria,includingbutnotlimitedtothefollowing:1.2.2.1.PartyBshallusethesamplemachineprovidedbyPartyAandpromotePartyA’sspecificproductsaccordingtotheBriefprovidedbyPartyA.PartyA’sclearproductLOGOshallbeshowninthePromotionalProduction.1.2.2.2.ThePromotionalProductionshallincludeacompletemachineoperationoforproductdemonstrationprocess,subjecttoPartyA’srequirement.第3页/共18页1.2.2.3.PartyBshallensurethatthevisualeffectsofthePromotionalProductionisclearandsmooth,andtheoverallstyleisconsistentwiththestylenegotiatedbybothparties.1.2.2.4.Othercriteriaagreeduponbybothparties.1.3.推广成果的媒体发布1.3.PostingandUploadingthePromotionalProduction乙方应按照下述要求提供成果发布服务,甲方可以要求乙方在发布内容中添加标签、链接、标题或折扣码:序号发布内容指定发布平台乙方账号发布时间PartyBshalluploadthePromotionalProductionbyPartyB’ssocialmediaaccountsinaccordancewiththefollowingrequirements,PartyAcanrequestPartyBtoaddtags,links,discountcodesortitlesinthedescriptionoftheuploadedmedia.NumberTheContentofuploadingSpecifiedPlatformofuploadingPartyB’sSocialMediaAccountTheTimeofUploading1.4.其他:1.4.OtherProvisionsonPromotionalProduction:1.4.1.关于推广成果的制作,甲方在审核确认乙方的拍摄方案、脚本后,乙方方可按照甲方确认的拍摄方案与脚本进行拍摄及后期制作。乙方应于约定发布日期前请填充个工作日内提交成果初稿报甲方审核,甲方对内容提出更改意见的,乙方应按照甲方意见进行修改,且保证最终按合同约定按时、按量完成发布任务。1.4.1AsformakingthePromotionalProduction,PartyBcanonlyshootandproduceitinaccordancewithfinalshootingscriptapprovedbyPartyA.PartyBshallsubmitthedraftofthePromotionalProductiontoPartyAforreviewwithinworkingdayspriortotheagreeddateofuploading,PartyBshallmak第4页/共18页emodificationsaccordingtoPartyA’ssuggestionsandensurethatallthereleasedtasksarefinallycompletedontime.1.4.2.乙方最终发布前其推广成果及发布文案需经甲方审核,未经甲方的审核确认,乙方擅自发布内容的,视为无效发布,乙方有义务重新进行发布。1.4.2.AnapprovalofPromotionalProductionandthedescriptionfromPartyAisneededbeforeuploadingthecontent.IfPartyBpostanycontentwithoutpartyA'sapproval,itshallbedeemedinvalidandPartyBshallbeobligedtorepostthecontentreviewedbyPartyAagain.1.4.3.此次项目乙方内容发布应永久保留,乙方不得在未经甲方书面同意的情况下删除、修改、改变公开范围。1.4.3.ThepublicationofPromotionalProductionshallremainpermanentandPartyBshallnotdelete,modifyorchangethescopeofpublicationwithoutPartyA’sknowledgeorapproval.1.4.4.甲方对于所有需要乙方配合的时间如有变动,需提前个工作日通知对方,并在甲乙双方协调后,在双方认可的调整时间内乙方应完成推广成果制作及发布。1.4.4.IfthetimeofPartyB'scooperationischanged,PartyAshallnotifyPartyBworkingdaysinadvance,andPartyBshallcompletetheservicewithintheadjustedtimeagreedbybothparties.2.服务报酬ARTICLEⅡ.SERVICEREMUNERATION2.1.服务报酬按照条款执行:2.1.ServiceRemunerationshallbesubjecttothetermsof:2.1.1.甲方向乙方支付服务费用,服务费用总金额为美元(含税),除双方另有约定外,甲方针对此次合作项目不再支付其他任何费用。2.1.1.PartyAshallpaytheServiceFeestoPartyB,thetotalamountoftheServiceFeesisUSD(includingtax).Unlessotherwiseagreedbybothparties,PartyAshallnotpayanyotherfeesforthisService.2.1.2.甲方向乙方邮寄的样机在乙方履行完合同约定的服务后赠与乙方。第5页/共18页2.1.2.ThesamplemachinesenttoPartyBshallbegiventoPartyBforfreeuponcompletionoftheservicesagreedherein.2.1.3.甲方向乙方支付服务费用,服务费用总金额为美元(含税),除双方另有约定外,甲方针对此次合作项目不再支付其他任何费用,同时甲方向乙方邮寄的样机在乙方履行完合同约定的服务后赠与乙方。2.1.3.PartyAshallpaytheServiceFeestoPartyB,thetotalamountoftheServiceFeesisUSD(includingtax).Unlessotherwiseagreedbybothparties,PartyAshallnotpayanyotherfeesforthisservice.AndthesamplemachinesenttoPartyBshallbegiventoPartyBforfreeuponcompletionoftheservicesagreedherein.2.1.4.甲方按照乙方的推广结果按比例给付佣金。佣金计算方式为%每月的成交金额,成交金额指的是消费者使用甲方提供且乙方上传的商品链接完成付款的交易总额,以该链接的后台数据为准。2.1.4.PartyAshallpayCommissionaccordingtopartyB'spromotionresults.Commission=____%Monthlytransactionamount.TransactionamountreferstothetotalamountoftransactionsmadebyconsumersusingtheproductlinkwhichisprovidedbyPartyA,subjecttothedataofbackstageofsuchlink.2.1.5.甲方按照乙方的推广结果按比例给付佣金。佣金计算方式为%每月的成交金额,成交金额指的是消费者使用甲方提供且乙方上传的商品链接完成付款的交易总额,以该链接的后台数据为准,同时甲方向乙方邮寄的样机在乙方履行完合同约定的服务后赠与乙方。2.1.5.PartyAshallpayCommissionaccordingtopartyB'spromotionresults,andthesamplemachinesenttoPartyBshallbegiventoPartyBforfreeuponcompletionoftheservicesagreedherein.Commission=____%Monthlytransactionamount.TransactionamountreferstothetotalamountoftransactionsmadebyconsumersusingtheproductlinkwhichisprovidedbyPartyA,subjecttothedataofbackstageofsuchlink.第6页/共18页2.2.服务费用支付方式:电汇。甲方需在本合同签署完毕后的个工作日内支付总服务费用50%的预付款(即美元)。剩余50%的尾款(即美元),甲方需在乙方按照合同要求完成内容发布并经甲方验收合格后的个工作日内履行付款义务。验收不合格或有瑕疵的,甲方有权根据乙方违约情况不支付或支付部分剩余尾款。2.2.PaymentmethodofServiceFeesistelegraphictransfer.A50%deposit(USD)isdueatthetimeofsigningtheAgreement.Thefinal50%(USD)ispayablewithinworkingdaysafterPartyBhascompletedtheallServiceagreedhereinwhichhasbeenacceptedbyPartyA.IfPartyB'sservicesareunqualifiedordefectiveandarenotacceptedbyPartyA,PartyAshallhavetherightnottopayorpaypartoftheremainingServiceFeesinaccordancewiththecircumstanceofPartyB'sbreachofAgreement.2.3.佣金支付方式:电汇。每月的成交金额在次月日确定,甲方应在该日通过邮件或其它方式告知乙方上月月度成交金额及上月佣金总额,并于日内完成付款。2.3.PaymentmethodofCommissionistelegraphictransfer.Thetransactionamountofeachmonthshallbedeterminedonthedayofthenextmonth,PartyAshallinformPartyBofthemonthlytransactionamountandthetotalcommissionamountofthelastmonthbyE-mailorothermeansonthatday,andthepaymentshallbemadewithindays.2.4.乙方指定收款账户如下:开户名称:请填充开户银行:请填充银行账号:请填充银行代码:请填充2.4.ThereceivingBankAccountinformationappointedbyPartyB:AccountName:BankName:AccountNumber:第7页/共18页SwiftCode:2.5.乙方指定样机收货地址:请填充2.5.ThedeliveryaddressofsamplemachineappointedbyPartyB:3.甲乙双方权利义务ARTICLEⅢ.RIGHTSANDOBLIGATIONSOFBOTHPARTIES3.1.甲方应向乙方提供样机并邮寄至乙方指定收货地址,同时向乙方提供品牌(请填充)介绍与产品目录,发送素材Brief,包括产品链接和折扣码等。3.1.PartyAshallprovidethesamplemachinetoPartyBandsendittothedeliveryaddressappointedbyPartyB.Atthesametime,PartyBshallbeprovidedwiththeintroductionofbrand(),productcatalog,andProductBrief,includingbutnotlimitedtoproductlinksanddiscountcodes.3.2.乙方应保证其拍摄并交付的一切推广成果或由乙方传播出去的任何文字、图像、音乐作品及影视资料符合相关法律法规规定及平台规则,不会在社会中引起争议(包括但不限于违反社会主流价值观、公共道德、风俗习惯,扰乱社会秩序,破坏社会稳定),且不侵犯任何第三方的合法权益,不会引起第三人向甲方提起诉讼、仲裁或使甲方被当地行政机关处罚,否则其导致的一切责任由乙方承担,对甲方造成损失或者甲方因此被追究责任的,甲方有权向乙方追偿。3.2.PartyBshallensurethatallPromotionalProductionoranytext,image,musicandaudiovisualmaterialwhichispostedoruploadedbyPartyBcomplywithrelevantLaws,RegulationsandPlatformRules,willnotstirupcontroversyinsociety(includingbutnotlimitedtonotviolatingthesocialmainstreamvalues,publicmorality,customs,notdisturbingsocialorderandnotdestabilizingsociety),donotinfringeuponthelegitimaterightsandinterestsofanythirdparty,willnotresultinalawsuitorarbitrationbyathirdpartyagainstPartyA,andPartyAwillnotbepublishedbythelocaladministrativeauthoritiesbecauseofPartyB’sservice.OtherwisePartyBshallbeliableforanylossofPartyAwhichiscausedthereby.第8页/共18页3.3.乙方保证未经甲方同意,乙方不得将甲方的任何资料及相关信息用于本合同约定之外用途,或对第三方透露甲方的任何资料及相关信息。未经乙方同意,甲方不得将乙方任何信息告知第三方。3.3.WithouttheconsentofPartyA,PartyBshallnotuseanyPartyA'smaterialsandrelevantinformationforpurposesotherthanthoseagreedherein,ordisclosesuchinformationtoanythirdparty.WithouttheconsentofPartyB,PartyAshallnotdiscloseanyinformationofPartyBtoanythirdparty.3.4.非经甲方书面同意,乙方不得将本合同约定的权利义务转移给第三方履行,否则甲方有权立即解除合同,要求乙方返还已收取的所有费用(如有),并要求乙方支付美元的违约金,对甲方造成损失的,甲方有权向乙方进行追偿。3.4.WithoutthewrittenconsentofPartyA,PartyBmaynottransfertherightsandobligationsstipulatedhereintoanythirdpartyforperformance,otherwisePartyAshallbeentitledtoterminatetheAgreementimmediately,requirePartyBtoreturnalltheServiceFees(ifany)andpayUSDofthebreachofAgreement,andPartyBshallbeliableforanylosscausedthereby.3.5.关于推广产品类别的排他性,乙方在发布我方产品宣传内容的一个月内,不得再推广其他品牌的同款产品。3.5.Astotheexclusivityofthepromotionalproducts,PartyBshallnotpromotethesametypeoftheproductofotherbrandswithinonemonthafterreleasingPartyA’sPromotionalProduction.3.6.除合理、必要原因外,乙方所发布的内容在双方约定时间内可以被不特定多数人在指定平台内点击、阅览、查看,不会被无故屏蔽、删除、下架。3.6.Exceptforrationalandnecessaryreasons,thecontentpostedbyPartyBcanbeclicked,readorviewedbynonspecificandmultiplepeopleonthedesignatedPlatformwithinthetimeagreedbythepartiesandwillnotbeblocked,deletedorremovedwithoutreason.4.知识产权保护ARTICLEⅣ.INTELLECTUALPROPERTYPROTECTION第9页/共18页4.1.乙方基于本合作项下制作的所有平面、视频、文字素材等一切成果的知识产权等权利归甲乙双方共同所有,甲方有权出于商务宣传的目的在全球范围内使用乙方的推广成果,包括但不限于在YouTube,Instagram等媒体平台等线上线下渠道,且不必再向乙方支付任何费用。同时,乙方授权甲方在本条款约定的使用时间与范围内使用推广成果所涵盖、涉及的乙方肖像、姓名以及与肖像、姓名有关的内容。4.1.PartyAandPartyBshalljointlyowntheintellectualpropertyrightsandotherrightsofallmaterialsofpicture,video,text,musicandotherPromotionalProductionmadebyPartyBunderthisCooperation.PartyAshallhavetherighttousePromotionalProductionforbusinesspromotionpurposeswithoutpayinganyotherfeestoPartyBworldwide,includingbutnotlimitedtoonlineandofflinechannelssuchasYouTube,InstagramandotherPlatforms.PartyBauthorizesPartyAtousetheportraitandnameaswellasthecontentsrelatedtotheportraitandnameofPartyBwhichiscoveredorinvolvedinthePromotionalProductionwithinthetimeandscopeagreedhereinatthesametime.5.不可抗力ARTICLEⅤ.FORCEMAJEURE5.1.不可抗力定义:指在本协议签署后发生的、本协议签署时不能预见的、其发生与后果是无法避免或克服的、妨碍任何一方全部或部分履约的所有事件。上述事件包括地震、台风、水灾、火灾、战争、国际或国内运输中断、流行病、罢工,以及根据中国法律或一般国际商业惯例认作不可抗力的其他事件。一方缺少资金非为不可抗力事件。5.1.ForceMajeuremeansalleventsthatoccurafterthesigningofthisAgreement,whichareunforeseenatthetimeofthesigninghereof,andwhoseoccurrenceandconsequencesareunavoidableorinsurmountable,andwhichimpedetheperformanceofeitherpartyinwholeorinpart.Sucheventsincludeearthquakes,typhoons,floods,fires,wars,internationalordomestictransportationdisruptions,epidemics,strikesandothereventsrecognizedasForceMajeureunderthelawsofthePeople'sRepublicofChinaorgeneralinternationalbusinesspractices.Aparty'slackoffundsisnotaForceMajeureevent.第10页/共18页5.2.不可抗力的后果:5.2.ConsequencesofForceMajeure5.2.1.如果发生不可抗力事件,影响一方履行其在本协议项下的义务,则在不可抗力造成的延误期内中止履行,而不视为违约。5.2.1.NeitherpartyshallbeliableforitsfailuretoperformhereunderduetoanyForceMajeurebeyonditsreasonablecontrol.5.2.2.宣称发生不可抗力的一方应迅速书面通知其他各方,并在其后的十五(15)天内提供证明不可抗力发生及其持续时间的足够证据。5.2.2.Theparty(orparties)claimingthatForceMajeureoccurredshallinformtheotherParty(oreachother)ofthecaseinwritingimmediatelyandmay,providedtheevidenceoftheoccurrenceanddurationoftheForceMajeurewithinfifteen(15)daysthereafter.5.2.3.如果发生不可抗力事件,各方应立即互相协商,以找到公平的解决办法,并且应尽一切合理努力将不可抗力的影响减少到最低限度。5.2.3.IntheeventofaForceMajeure,thepartiesshouldconsultwitheachotherimmediatelyinordertofindaequitablesolutionandshallmakeeveryreasonableefforttominimizetheeffectsofForceMajeure.5.2.4.金钱债务的迟延责任不得因不可抗力而免除。5.2.4.ThemonetaryobligationfordelayshallnotbereleasedbyForceMajeure.5.2.5.迟延履行期间发生的不可抗力不具有免责效力。5.2.5.ForceMajeureoccurringduringtheperiodofdelayedperformanceshallnotbeexemptedfromliability.6.违约责任ARTICLEⅥ.LIABILITYFORBREACHOFAGREEMENT6.1.乙方未能按照本合同约定时间发布内容的,每逾期一日,乙方应向甲方支付美元违约金,逾期超过10日或因逾期导致合同目的无法实现的,甲方可单方解除合同,并有第11页/共18页权要求乙方退还服务费用(如有),并支付美元违约金,对甲方造成损失的,甲方有权向乙方追偿。6.1.fPartyBfailstopostthePromotionalProductioninaccordancewiththetimestipulatedherein,PartyBshallpayPartyAtheliquidateddamagesofUSDforeachdayoverdue.Iftheperformanceisdelayedformorethan10daysorthepurposeoftheAgreementcannotberealizedduetothedelay,PartyAmayterminatetheAgreementunilaterally,andrequirePartyBtorefundtheservicefees(ifany)andpaytheliquidateddamagesofUSD.IncaseofanylosscausedtoPartyA,PartyAshallbeentitledtoclaimcompensationfromPartyB.6.2.在下述情况下,甲方有权要求乙方支付美元违约金,对甲方造成其他损失的,甲方有权向违约方进行追偿,且甲方对乙方提供素材、推广成果的审核,并不免除乙方应承担的上述责任:6.2.1.乙方拍摄并交付的推广成果或由乙方传播出去的任何文字、图像、音乐作品及影视资料违反相关法律法规规定及平台规则;6.2.2.乙方拍摄并交付的推广成果或由乙方传播出去的任何文字、图像、音乐作品及影视资料在社会中引起争议(包括但不限于违反社会主流价值观、公共道德、风俗习惯,扰乱社会秩序,破坏社会稳定等);6.2.3.乙方拍摄并交付的推广成果或由乙方传播出去的任何文字、图像、音乐作品及影视资料侵犯任何第三方的合法权益;6.2.4.乙方拍摄并交付的推广成果或由乙方传播出去的任何文字、图像、音乐作品及影视资料引起第三人向甲方控诉;6.2.5.甲方因乙方提供的服务被当地行政机关处罚。6.2.PartyAshallbeentitledtorequirePartyBtopayUSDasliquidateddamagesandPartyBshallbeliableforanylossofPartyA,evenifthePromotionalProductionhasbeenreviewedbyPartyA:第12页/共18页6.2.1.IfthePromotionalProductionoranytext,picture,musicandaudiovisualmaterialwhichispostedoruploadedbyPartyBviolaterelevantLaws,RegulationsandPlatformRules;or6.2.2.IfthePromotionalProductionstirupcontroversyinsociety(includingbutnotlimitedtoviolatingthesocialmainstreamvalues,publicmorality,customs,disturbingsocialorderanddestabilizingsociety);or6.2.3.IfthePromotionalProductioninfringeuponthelegitimaterightsandinterestsofanythirdparty;or6.2.4.IfthePromotionalProductionresultsinalawsuitorarbitrationbyathirdpartyagainstPartyA;or6.2.5.IfPartyAispublishedbythelocaladministrativeauthoritiesbecauseofPartyB’sservice.6.3.甲乙任何一方不得擅自提前终止本合同。若因甲方原因提前终止合同,乙方有权要求甲方按照本合同约定支付其已完成服务部分的服务报酬。若因乙方原因提前终止合同,甲方有权要求乙方退还服务费用(如有),并支付美元违约金,对甲方造成损失的,甲方有权向乙方追偿。6.3.NeitherPartyshallterminatethisAgreementinadvancewithoutrationalreasons.IftheAgreementisterminatedinadvanceduetoPartyA,PartyAshalltopaypartyBthecorrespondingServiceRemunerationfortheServiceswhichhasbeencompletedasagreedherein.AndiftheAgreementisterminatedinadvanceforreasonsattributabletoPartyB,PartyAshallbeentitledtorequirePartyBtorefundtheServiceFees(ifany)andpayapenaltyforbreachofAgreementofUSD,andPartyBshallbeliableforanylossofPartyAwhichiscausedthereby.6.4.除本条另有规定外,本合同任何一方违约,守约方可向违约方发出要求纠正违约行为的书面通知。若守约方发出书面通知之日起10日内违约行为未获得纠正,守约方有权对违约方发出解除本合同的书面通知,本合同自解除通知发出之日起解除。本合同的解除不影响违约方依据本合同及法律法规之规定承担违约责任以及守约方主张自身权利。第13页/共18页6.4.Unlessotherwisespecified,uponoccurrenceofabreach,thenon-defaultingPartymaygivewrittennoticeofthebreachtothedefaultingParty.AndthePartyinbreachshallcorrectsuchbreachwithinten(10)daysfromreceiptofanoticefromthenon-defaultingPartyspecifyingthebreach.Otherwisethenon-defaultingPartyshallbeentitledtoterminatetheAgreementbysendingwrittennoticetodefaultingParty.TheterminationhereofshallnotaffectthedefaultingParty'sliabilityforbreachofAgreementandtherightsofthenon-defaultingPartyinaccordancewiththisAgreement,LawsandRegulations.6.5.在约定发布日期前乙方多次修改(次)的内容仍不符合甲方要求的,甲方有权单方解除合同,要求乙方退还服务费用(如有),并支付美元违约金,给甲方造成损失的,乙方还应当承担赔偿责任。甲方提出的修改意见不得多于两次。6.5.IfPartyBstillfailstomeetPartyA'srequirementsafterrepeatedly(times)modifyingthePromotionalProductionbeforetheagreeddateofpostinganduploadingherein,andPartyAshallbeentitledtoterminatetheAgreementunilaterally,requestPartyBtorefundtheServiceFees(ifany)andpayUSDtoPartyAasliquidateddamages,andPartyBshallbeliableforanylossofPartyAwhichiscausedthereby..PartyAshallnotputforwardthemodificationsuggestionsmorethantwice.6.6.在本合同期限内,乙方应按照下述条款的内容为甲方品牌(请填充)及其产品维持一种道德和行业上的高标准和健康积极的形象。否则甲方有权解除合同,同时有权要求乙方退还服务费用(如有),并支付甲方美元违约金,若乙方支付的违约金不足以赔偿甲方损失的,乙方应当赔偿甲方全部损失:6.6.1.乙方不应参与任何与道德和行业上的高标准相抵触的活动,不应在公开场合做出任何与推广成果中的推荐语相反的言论,或以任何方式贬抑甲方品牌()及产品。第14页/共18页6.6.2.乙方不应参与任何非法的活动或任何不道德或不雅行为或有违公序良俗的行为。这些非法行为包括但不限于吸食毒品、滥用药品、赌博、色情活动、性骚扰、私生活混乱等。6.6.PartyBshallmaintainahealthyandpositiveimagewhichmeetshighethicalandindustrialstandardsforPartyA'sbrand()anditsproductsinaccordancewiththefollowingprovisionsduringthetermhereof,otherwisePartyAshallbeentitledtoterminatetheAgreementunilaterallyandrequestPartyBtorefundtheServiceFees(ifany)andpayUSDtoPartyAasliquidateddamages.IftheliquidateddamagesareinsufficienttocoverthelosscausedtoPartyA,PartyBshallbeliabletoundertakethecorrespondingcompensations:6.6.1.PartyBshallnotparticipateinanyactivitiescontrarytohighethicalandindustrialstandards,andPartyBshallnotmakeanypublicstatementwhichiscontrarytotherecommendationsinthePromotionalProductionordenigratePartyA'sbrand()andproductsinanyway.6.6.2.PartyBshallnotengageinanyillegalactivity,orconductanyimmoral,indecentbehavior,orviolatepublicorderandmoral,includingbutnotlimitedtoabusingdrugs,gambling,participationinpornographicactivities,sexualharassmentanddisorderlyprivatelife.6.7.乙方按照本合同约定应退还服务费用或支付违约金,或承担赔偿责任的,甲方有权在及时通知乙方的情况下从其尚未支付的服务报酬中优先扣除,剩余部分乙方仍需向甲方支付。6.7.PartyAshallbeentitledtodeducttheServiceFeeswhichshouldberefundedbyPartyBandtheliquidateddamagesandothercompensationwhichshouldpaidbyPartyBinaccordancewiththisAgreementfromtheunpaidServiceRemunerationwithatimelynotification,andtheremainingpartshallstillbepaidbyPartyBasagreedherein.7.通用条款ARTICLEⅦ.GENERALTERMS第15页/共18页7.1.通知。本合同双方的住址、电话、电子信箱等为约定的联系方式,按照本合同约定的联系方式所传递的各种信件、邮函、通知、电子邮件均为有效文件,如无法送达或被通知方拒收,不影响通知送达的有效性。一方变更接收通知方式的,应以书面形式向对方确认变更,否则视为未变更。7.1.NoticeTheaddress,telephonenumber,e-mail,etc.ofbothpartiesheretoshallbetheagreedcontactinformation.Allkindsofletters,postalletters,noticesande-mailsdeliveredinaccordancewiththecontactinformationagreedhereinshallbevaliddocuments.Failuretodeliverorrejectionbythenotifiedpartyshallnotaffectthevalidityofdeliveryofthenotice.Ifeitherpartychangesitscontactinformation,itshallnotifyandconfirmtheotherpartyinwriting,otherwiseitshallbedeemedthatitscontactinformationhasnotbeenchanged.7.2.反商业贿赂。乙方不得向与其有实际或潜在业务关系的甲方的或甲方关联公司的员工或家属提供任何酬金、礼物或其它有形或无形的利益,此行为视为商业贿赂行为。一经发现,甲方除可解除本协议外,还可要求乙方支付一万美元作为违约金。7.2.Anti-commercialBriberyPartyBshallnotprovideanyremuneration,giftsorothertangibleorintangiblebenefitstoemployeesortheirfamilymembersofPartyAoraffiliatedcompaniesofPartyAwithwhomithasaphysicalorpotentialbusinessrelationship,whichshallberegardedascommercialbribery.Otherwise,PartyAmayterminatethisAgreementandrequirePartyBtopay10,000USDasliquidateddamages.7.3.法律适用。本合同的签署、生效、解释、执行和纠纷解决均按照中华人民共和国(除中国香港、澳门和台湾地区)法律进行。7.3.GoverningLawTheexecution,effectiveness,interpretation,performance,amendment,terminationanddisputeresolutionshallbegovernedbythelawofthePeople’sRepublicofChina(exceptHongKong,MacaoandTaiwan).第16页/共18页7.4.争议解决。任何由本协议产生或与本协议相关的争议,任何一方均应将该事宜提交至上海国际经济贸易仲裁委员会(SHIAC)进行仲裁。仲裁应依据申请仲裁之时现行有效的仲裁规则进行。仲裁地为上海,仲裁语言为中文。仲裁裁决是终局的,对双方均有约束力。7.4.DisputeResolutionIntheeventofanydisputewithrespecttothisAgreement,thePartiesshallsubmittherelevantdisputetotheShanghaiInternationalEconomicandTradeArbitrationCommission(SHIAC)forarbitration,inaccordancewithitsArbitrationRulesinforceatthetimeoftheapplicationforarbitration.ThearbitrationshallbeconductedinShanghai,andthelanguageusedinarbitrationshallbeChinese.ThearbitrationawardshallbefinalandbindingonallParties.7.5.语言。本协议以中、英文两种文字书写,如发生歧义以中文版本为准。7.5.LanguageThisAgreementshallbesignedinChineseandEnglishlanguage.IntheeventofanyinconsistencybetweentheChineseandEnglishlanguage,theChineseversionofthisAgreementshallprevail.7.6.有效期。本协议签署一式两份,甲方执一份,乙方执一份,具有同等法律效力。本协议自双方签字盖章之日起生效。有效期内,双方所签署的一切法律文件(包括但不限于订单、补充协议、担保协议等)均受本协议的约束。7.6.TheValidityoftheAgreement.ThisAgreementshallhavetwocounterparts,witheachpartyholdingoneoriginal.Allcounterpartsshallbegiventhesamelegaleffect.Duringthevalidityperiod,alllegaldocuments(includingbutnotlimitedtoorders,supplementaryAgreements,guaranteeAgreements,etc.)signedbybothpartiesshallbeboundbythisAgreement.7.7.本
