("招商银行最高额抵押合同英文版The-maximum-mortgage-contract(总14页)--本页仅作为文档封面,使用时请直接删除即可----内页可以根据需求调整合适字体及大小--THEMAXIMUMMORTGAGECONTRACTOctober20122THEMAXIMUMMORTGAGECONTRACTContractNo.:Mortgagee:ChinaMerchantsBankCo.,Ltd.(hereinafterreferredtoasPartyA)PrimaryPersonnelinCharge:Mortgagor(legalpersonorotherorganization):(hereinafterreferredtoasPartyB)LegalRepresentative/PrimaryPersonnelinCharge:Mortgagor(naturalperson):IDNo.:Whereas1,ThecontractwhoseNo.issignedbyPartyB(alsoasCreditApplicant)andPartyAon(YMD)(hereafterreferredasCreditAwardingAgreement),PartyAiswillingtoprovidetoPartyBlineofcredit(hereafterreferredas“lineofcredit”)in(currency)intheamountof()(includingothercurrencyoftheequivalentvalue)duringtheperiodofcreditawarding(hereafterreferredas“periodofcreditawarding”)from(YMD)to(YMD),or2,ThecontractwhoseNo.issignedby(hereafterreferredasCreditApplicant)andPartyAon(YMD)(hereafterreferredasCreditAwardingAgreement),PartyAiswillingtoprovidetoCreditApplicantlineofcredit(hereafterreferredas“lineofcredit”)in(currency)intheamountof()(includingothercurrencyoftheequivalentvalue)duringtheperiodofcreditawarding(hereafterreferredas“periodofcreditawarding”)from(YMD)to(YMD).3PartyBiswillingtomortgageit’spropertyownedordisposableaccordingtolaw,fortheguaranteeofrepaymentofdebttoPartyAinfullandontimeunderCreditAwardingAgreement.Throughverification,PartyAagreestoacceptPartyB’spropertyownedordisposableaccordingtolawasmortgage.Accordingtorelevantlawsandregulations,PartyAandPartyBenterintothiscontractwithconsensus,andbothpartiesarewillingtoabidebyfollowingclauses.Art.1MortgagedPropertyofPartyB(additionallistofmortgagedpropertymaybeattachedtothiscontract)Name:Quantityorarea:Location:Assessmentofpriceandmortgagerate:Duration:Certificationofownership:Art.2MortgageofMaximumAmountInperiodofcreditawarding,PartyAshallhavetherighttoprovidePartyB(orCreditApplicant)loanorothercreditawardingbyseveraltimes;PartyB(orCreditApplicant)shallhavetherighttoreusetherevolvinglineofcreditbycategoryofline,butnotapplicablefortheOne-timelineofcredit.Theamount,durationandconcreteusesofperloanorothercreditawardingcanbestipulatedbyspecificcontracts.Bothpartieshavenoobjectiontothatduedateofspecificbusinesslaterthantheduedateofcreditawardingperiod.ThusPartyBshallbearthewarrantyliabilitywithinthestipulatedrangeofmortgagesecurityguaranteeinarticle3ofthiscontract;IfPartyAclaimsfortherecourseinaccordingwiththeprovisionsunderCreditAwardingAgreementorotherspecificcontractsbeforethematurityofcredit.PartyB(orCreditApplicant)shallbearthewarrantyliabilitywithmortgagepropertyaswell.BankcreditbusinessprovidedbyPartyAtoPartyB(orCreditApplicant)duringtheperiodofcreditawarding,suchastradeacceptance,establishmentofaletterofcredit(Includingoverridingletterofcredit,thesamebelow),L/G,letterofshippingguaranteeetc..EventhoughexternaladvancesofPartyAmaynotoccurredbefore,butindeedhappenedafterthematurityofcredit.PartyBshallbearthewarrantyliabilitywithinthestipulatedrangeofmortgagesecurityguaranteeinArticle3ofthiscontract.4Fortherenewalagreementoralterationofvalidprovisionupontheduration,interestandamountofspecificbusinessduringtheperformanceofspecificbusinessunderCreditAwardingAgreement,ortheadjustmentofinterestrateonthebasisofCreditAwardingAgreementand/orspecificcontractsduringthemortgageguaranteeperiod.PartyBshallacceptallthiswithnonecessarytoobtaintheapprovalofPartyBornotifyPartB,andnoeffecttothemortgageguaranteeresponsibilityofPartyBstipulatedbythecontractaswell.IfPartyA’sreceiveddocumentsinletterofcreditoperationundercreditawardingagreementbefoundtohavediscrepancythroughPartyA’saudit,butcreditapplicantacceptedwiththediscrepancy,PartyBshallalsoassumethemortgageguaranteeresponsibilitywithmortgagepropertyforprincipleandinterestofcreditinPartyA’sexternalacceptanceorpayment.PartyBshallnotproposethedefense,notbecauseofacceptingwiththediscrepancybutwithouttheapprovalofPartyBornotifyPartyB.ThemodificationofL/C,L/G(orstandbyletterofcredit),acceptanceofusanceletterofcreditandextensionoftimeforpromisedpaymentatmaturityetc.PartyBshallacceptallthiswithnonecessarytoobtaintheapprovalofPartyBornotifyPartB,andnoeffecttothemortgageguaranteeresponsibilityofPartyBstipulatedbythecontractaswell.Art.3RangeofMortgageSecurityGuaranteeThesecurityguaranteerangeofthiscontractissumofloanwithinthelineofcreditprovidedtoPartyBaccordingtostipulationofCreditAwardingAgreementandprincipalbalanceofothercredit(maximumlimitis(currency)intheamountof).Andinterest,defaultinterest,compoundinterest,penalty,feestorealizemortgagerightandotherinvolvedexpensesincludedaswell.Includingbutnotlimitedto:Thereleasedbalanceofloanamountandcorrespondinginterest,defaultinterest,compoundinterest,penalty,feestorealizemortgagerightandotherinvolvedexpensesbyPartyAonthebasisofspecificcontractsunderCreditAwardingAgreement;Thebalanceofadvanceprinciple,interest,defaultinterest,compoundinterest,penalty,feestorealizemortgagerightandotherinvolvedexpenses,whichhasbeenpayadvancedforPartyBinthecauseoftheperformanceofPartyA’sobligationofpaymentofCommercialDraft,L/C,L/GandletterofshippingguaranteeunderCreditAwardingAgreement;5Thebalanceofprincipleofbankingexternalpayments,interest,defaultinterest,compoundinterest,penalty,feestorealizemortgagerightandotherinvolvedexpensesentrustedbyPartyAwithinthebusinessoftradefinancingunderCreditAwardingAgreement;PartyA’saccountreceivablecreditor'srightstransferredfromPartB(orCreditApplicant),andcorrespondingoverduepenalty(latefee)underfactoringbusiness.and/orthebasicpaymentforpurchase(basicpurchasingfunds)andrelevantexpensesoffactoringpaidbyPartyAtoPartyB(orCreditApplicant);AftertheestablishmentofaletterofcreditinterestrequestedbyPartyB(orCreditApplicant),PartyAauthorizesthebranchofCMBbanktoopenthecoveringL/Cforbeneficiary.Balanceofdebtprincipleofimportbilladvanceandshippingguaranteeandexpensesofdefaultinterest,compoundinterest,penaltyandotherinvolvedfortheopeningofL/C,butalsoadvancefortheperformanceoftheissuingbank’srightsunderthisL/C;□TheoriginalcreditawardingagreementNo.()signedbyandbetweenPartyAandPartyB.Thepartoftheunpaidbalanceinthespecificbusinesscarriedoutundertheoriginalcreditawardingagreementsincetheexecutionofthiscontract.(Ticktheboxincasetheprovisionhereinapplies.);□TheoriginalcontractNo.()/Date()/Name()signedbyandbetweenPartyAandPartyB,andtheunpaidbalanceinthespecificbusinesscarriedoutundertheaforesaidcontractsincetheexecutionofthiscontract.(Ticktheboxincasetheprovisionhereinapplies.);ExpensesfortheenforcementofPartyA’srightofmortgageandrecoveryofthePartyB’s(orCreditApplicant)debt(includingbutnolimitedtoattorneys'fees,legalfees,advertisingfees,deliveryfeeandtravelexpensesetc.).Asforrevolvinglineofcredit,iftheprovidedloanorotherbalanceofcreditexceedstheamount,PartyB(orCreditApplicant)shallnotbearthewarrantyliabilityforthepartinexcessoftheamount,butliabilityfortheloannotyetexceedscreditamountorotherbalanceofcreditandinterest,defaultinterest,compoundinterest,penaltyandotherinvolvedexpenses.Notwithstandingtheforegoing,bothpartiesclearanddefinitethat:Eventhoughtheloanorotherbalanceofcreditexceedsthecredit6amountatapointintimeduringthecreditawarding,butallkindsofbalanceofcreditnoyetexceedthesumofcreditamountwhenPartyArequiresPartyBtoassumethewarrantyliability.PartyBshallnottoproposethedefensewithaforesaidprovisions,butbearthewarrantyliabilityforallbalanceofcreditandinterest,defaultinterest,compoundinterest,penaltyandotherrelevantexpensesetc.(subjecttotheclauseof)Art.4IndependenceoftheContractThecontractisimpendentandunconditionalwithouttheinfluenceofCreditAwardingAgreement;noranyagreement/documentsignedbetweenPartyB(orCreditApplicant)andanyperson/organization;norchangeduetocheat,reorganization,closingdown,dismission,bankruptcy,audit,consolidation,separation,reformofacompanyofPartyB(orCreditApplicant);northetolerance,graceorpostponementinperformanceofthecreditor’srightsandinterestsPartyAshallenjoyonthepartofPartyB(orCreditApplicant)underCreditAwardingAgreement.Otherwisemortgageorguarantoratthesametime,thusPartyAwaivesthesequenceofmortgages,waives,altersorannulsothermortgage,alters,annulstheliabilityofguarantor,orPartyArequiresPartyBtoassumethewarrantyliabilityfirst.PartyBshallassumetheliabilitywarrantyforPartyAinaccordingwiththeprovisionsofthismortgagecontract.Art.5MortgagePeriodMortgageperiodmeanstheperiodfromthedateofexecutionofthiscontracttoexpirationtimeoflawsuitofcreditdebtunderCreditAwardingAgreement.Art.6CustodyandliabilityofmortgagedpropertyandownershipcertificateWithintheperiodofmortgage,themortgagedpropertyshallbetakengoodcareofbyPartyBortheagententrustedbyPartyB,whoisresponsiblefortherepairandmaintenance,andmakesurethatthemortgagedpropertyisallpreservedwell,andsubjecthimselftothesupervisionandinspectionfromPartyBatanytime.Withintheperiodofmortgage,shouldanydecreaseshappenowingtotheactionofPartyB,PartyAhastherighttorequestPartyBtostoptheactionandrestorethevalueorprovideanothermortgagedpropertywiththe7approvalofPartyA.AnyexpensesofrestorationorsetofanothermortgagedpropertywillbeundertakenbypartyB.PartyBshallprovidetoPartyAtheevidencedocumentsandrelevantmaterialsofownershipofthemortgagedpropertyonthedateofthecontract,andtheoriginalofMortgageRegistrationCertificateshallbekeptbyPartyBandtakengoodcareofit.IfduetoimproperstoragethecertificateofmortgagedpropertyownershipsuppliedbyPartyBislost,PartyAshallbeliablefortheexpensesofpost-register.Art.7RegistrationofMortgagedPropertyBshouldcooperatereadilywithPartyAtoconductmortgageregistrationatmortgageregistrationadministrationwiththiscontractandrelevantdocumentsduringtheperiodofrequestofPartyA.PartyBshallcorporatereadilywithPartyAIngoodfaithtocarryoutrelevantproceduresbyaforesaidprovisions.IffailtocompletetherelevantproceduresbecauseofPartyB,PartyBshalldealwithpartyAsosufferedlossesassumeliabilitytopaycompensation.Art.8InsuranceAspertherequestedrisksofPartyA,PartyBshallgiveafullinsuranceuponhismortgagedproperty,andPartyAshallbefirstbeneficiary.TheoriginalsofinsurancepolicyshallbekeptbyPartyA.TheinsurancetermshallbelongerthanthestipulatedcredittermundertheCreditAwardingAgreement.Iftermofcreditundertheagreementisextendedorcreditdebthasnotpaidoffatthematurityofcreditperiod,PartyBshallagreeontherenewalinsuranceforthemortgagedproperty.Iftheinsuredpropertyturnsintoaloss,PartyAshallhavepriorityrightinwithdrawingtheprincipalandinterestandallotherrelevantexpensesfrominsurancecompensationunderCreditAwardingAgreement,orconsultwithPartyBtoplacetheinsurancecompensationonthemarginaccount(theaccountnumberofmarginistherealopenedaccountbyPartyBinPartyA,orautomaticallygeneratednumberwhendeposittheinsurancecompensationintosystemofPartyA,thesamebelow).ForWithdrawingrelevantfunds/paymentofpayablewhenloan,discountedbill,acceptancebillorL/CandL/GunderCreditAwardingAgreementmeettothematuritydate.IfPartyBfailstoconductaninsuranceorinsurancetermextendingasstipulated,PartyAshallhavetherighttodealwithinsurancetermextendinginsteadPartyB,andthecostshallbetakenonbypartyB.8IfPartyB(orCreditApplicant)failstorepayalltheloanpayableunderCreditAwardingAgreementasexpirationofpolicy,PartyBshallconductinsurancetermextendinguponmortgagedproperty.IfPartyBfailstoconductthis,PartyAshallhavetherighttodealwithinsurancetermextendinginsteadPartyB,andthecostshallbetakenonbypartyB.Art.9LimitsofDispositionofMortgagedPropertyPartyAshallhavenorighttotransferthemortgagedpropertyinthemannerofsale,exchange,donateetc.duringmortgagetermunderthiscontract.IfPartyBindeedneedstotransferthemortgagedpropertyunderthiscontractwithcompensation,itshallfulfillthefollowingconditions:ShallthroughthewrittenapprovalofPartyAandinformthetransfereethatthetransferredpropertyismortgaged;ifPartyBfailstoinformthetransfereeofthefactorwithoutthewrittenapprovalofPartyA,thetransfershallbenullandvoid.Iftheproceedsexpectedfromthetransferofthemortgagedpropertyareevidentlylessthanitsvalue,whichcannotcompensateforcreditamountandallotherrelevantexpenses,PartyAmaydemandthatPartyBprovideanadditionalguaranty.ifPartyBfailstoprovidetoadditionalguaranty,thenmaynottransferthemortgagedproperty;PartyBshalladdtheproceedsexpectedfromthetransferofthemortgagedpropertytotheaccountdesignatedbyPartyAdirectly,fortheprepaymentofprincipleandinterestofcreditdebtandallotherrelevantexpenses,ordepositrelevantfundsintothemarginaccountofPartyBopenedinPartyA.SuchfundsshallbedeemedtobespecializedandPartyA’spossession,proceedastheguarantyofpledgeofPartyB(orCreditApplicant)‘sdebtunderCreditAwardingAgreementsincethedateofenteringintothemarginaccount.PartyBshallhavenoobjectiontothisandwillingtocooperatetoconductrelevantproceduresincoordinatewithPartyA’srequirement.AfterthefullproceedsexpectedfromthetransferofthemortgagedpropertyhasbeenaddedtotheaccountdesignatedbyPartyA,PartyAmayprovidePartyBhelptoconductthecancellationofregistrationofmortgagedpropertyandreturnthecertificateofownershipbacktoPartyB.PartyBshallnottotransfer,rentout,remortgage,orotherimproperwaystodisposethemortgagedpropertywithoutthewrittenapprovalofPartyAunderthecontract.9Art.10ExpensesBecauseofmatterinvolvingnotarization(Exceptcompulsorynotarization)orservicesreliedonthird-party,consignerpaytheexpenses.Butbothpartiesshallbearhalfoffeesifbothasconsigners.Ifthenationalrelevantpoliciesetc.normativedocumentsstipulatedthatthemortgageeshallundertakethemortgageregistrationfee,itshallbeundertakenbymortgageeunderthiscontract.Exceptotherwiseprovisionsinnormativedocumentsorduetocompetentdepartmentofregistrationmustbeundertakenbymortgagor.MortgagedpropertyunderthiscontractshallbeestimatedbyPartyB’sentrustedassessmentagencieswhichwiththeapprovalofPartyA.Asaclient,PartyBshallbeartheassessmentfee.Art.11AlterationsandAnnulmentEitherpartyshallnotmodify,changeorcancelthecontractunilaterallywithoutauthorization.Thecontractmaybemodifiedorcancelledoncethetwopartiesreachconsensusandconcludewrittenagreement.Thecontractshallstillbevalidbeforethewrittenagreementisconcluded.Art.12CommitmentforthedivisionandmergerofPartyBIftheoccurrenceofdivisionandmergeretc.ofpartyBwithinperiodofthiscontract,theorganizationafterchangeshallwhollyorrespectivelyassumetheobligationunderthiscontract.Art.13Ifanyofthefollowingoccurs,PartyAshallhavetherighttodisposethemortgagedpropertyaccordingtolaw:OneofthedefaultsstipulatedinArticleCreditAwardingAgreementoccurstoPartyB(orCreditApplicant),ortheoccurrenceofdefaultsstipulatedinspecificcontractsunderCreditAwardingAgreement;OneofthedefaultsstipulatedinArticleandofCreditAwardingAgreementoccurstoPartyBorotherpledgor/guarantor,orPartyBdefaultsonstipulatedliabilitiesinthiscontract;Theoccurrenceofdeadwithoutalegalheirordonee,asPartyBisanaturalperson;10Heir/deviseeabandoninheritance/legacy,refusetoimplementtheobligationsofrepaymentofdebt,asPartyBisanaturalperson;Theoccurrenceofclosingdown,deregistrationorrevocationofbusinesslicense,fileforbankruptcyordissolutionetc.,asPartyBisalegalpersonorotherorganization;Othermattersthatendangerenoughtotheimplementationofcreditor’srightsunderCreditAwardingAgreement.Art.14ResponsibilitiesforBreachofContractViolatethestipulationofArticle6ofthiscontract,decreaseshappenowingtotheactionsofneglectfulinmanagementandrepairofPartyB,orPartyB’sactionsendangerthemortgagedpropertydirectly.PartyAhastherighttorequestPartyBtostoptheactionandrestorethevalueorprovideanothermortgagedpropertywiththeapprovalofPartyA.ifPartyBrefusestorestoreorprovide,PartyAshallhavetherighttodisposethemortgagedpropertyinaccordancewithlawaheadoftime.ViolatethestipulationofArticle9ofthiscontract,unauthorizeddispositionofmortgagedpropertyshallbenullandvoid;PartyAhastherighttorequestPartyBtostoptheinjuriousacttothemortgagerightsofPartyAandrestorethevalueorprovideanothermortgagedpropertywiththeapprovalofPartyA,ordisposethemortgagedpropertyinaccordancewithlawaheadoftime.Theconcealmentofcondominium,dispute,letting,sealedoff,detained,configuredmortgagerights,regulatedorpriorlegalpriorityexistingofguarantee(includingbutnotlimitedtoConstructionprojectpriorityuponmortgagedproperty,orPartyBhasnoownershiporrightofdispositionuponmortgagedproperty,thuscausingalosstoaPartyA.PartyBshallprovideanothermortgagedpropertyasPartyA’srequirements.IfanyofaforesaiddefaultclauseoccursandPartyBfailstoprovideanothermortgagedpropertyasPartyA’srequirements,thenPartyBshallbearpenaltyof__%oflineofcreditunderCreditAwardingAgreement.thuscausingalosstoaPartyA,PartyBshallalsocompensateforthewholeeconomiclosses.Art.15ThecollectionofFruitsIfPartyBfailstorepaytheloan,advances,otherprincipleandinterestofcreditdebtandallotherinvolvedexpensesatthematurityofcredit,dueto11PartyA’sclaimforrightofmortgagecausethemortgagedpropertybesealedoffordetainedbythePeople’sCourtaccordingtolaw.PartyAshallbeentitledtocollectthenaturalfruitsseveredfromthemortgagedpropertyandthelegalfruitswhichPartyBmaycollectfromthemortgagedpropertysincethedateofbeingsealedoffordetained.Art.16EnforcementofMortgageRightIftheoccurrenceofanysingleormultipleclausesinArticle13orArticle,ofthiscontract,PartyAshallhavetherighttochooseoneofthefollowingwaysfortheenforcementofmortgageright:Twopartiesreachanagreementontheconversionofthemortgagedpropertyortheauctionorsaleofthemortgagedpropertydirectly,iffailtoreachanagreementwithin15dayssincetheoccurrenceofanysingleormultipleclausesinorofthiscontract,PartyAshallhavetherighttopetitionaPeople'sCourtfortheauctionorsaleofthemortgagedpropertydirectly;DisposethemortgagedpropertywithstipulatedmethodofdisputeresolutionunderCreditAwardingAgreementaccordingtolegalprocedure;PartyAshallapplytoacompetentPeople'scourtforcompulsoryexecutiondirectlyunderthecontractafterthenotarizationofcompulsoryexecutioneffectwascompletedbytwoparties;PartyAshallhavepriorityrightinsatisfyingclaimfromtheproceedsofdispositionofthemortgagedpropertyinaforesaidways.Iftheproceedsfromtheconversionofthemortgagedpropertyortheproceedsfromtheauctionorsalethereofexceedthesumofeveryloan,advancesorprincipleandinterestofothercreditdebtandallotherrelevantexpensesofPartyB(orCreditApplicant)underCreditAwardingAgreement,thebalanceshallbereturnedtoPartyB;iftheproceedsdonotcovertheclaim,thedifferenceshallberecoursebyPartyA.Art.17LapseofMortgageRightAfterPartyBhasclearoffalltheprincipleandinterestofcreditdebtunderCreditAwardingAgreementinfullandontimeatthematurityofcreditperiod,therightofmortgageshalllapseautomatically.TheCertificateofPropertyrightsofPartyBandthepolicyofpropertyinsuranceetc.retainedbyPartyAShallreturntoPartyB.Art.18Notdeemedtobewaiveroftheright12Thetolerance,graceorpostponementinperformanceoftherightsandinterestsPartyAshallenjoyduringCreditAwardingAgreementtowardanybreachofagreementordelayonthepartofPartyB(orCreditApplicant)duringthevalidityperiodofthecontractshallnotdamage,influenceorrestrictalltherightsandinterestsPartyAshallenjoyasthecreditoraccordingtotherelevantlegalprovisions,andshallnotdeemedtobewaiveroftherighttotakeactionagainsttheexistingorfuturebreachofcontract.Art.19NoticeThenoticeandrequestsetc.relatedtotheagreementbetweenPartyAandPartyBshallbesentinwriting.Ifdeliveredbyhand,therelevantdocumentsshallbedeemedtohavebeenservedontheaddresseeuponsigningforreceipt(Incasetheaddresseerefusestoreceivethedocuments,suchdocumentsshallbedeemedtohaveservedonthedateofrefusal);Ifdeliveredbymail,shallbedeemedtohavebeenservedsevendayaftersentout;fdeliveredbyfax,shallbedeemedtohavebeenservedonthefaxmachinereceivingforreceipt.ContactAddressofPartyA:;ContactAddressofPartyB:Eitherpartyshallinformtheotherpartyintimeincaseofchangingthecontactaddress,otherwiseitshallundertakeallthepossiblelossesincurredthereby.Art.20Transferofcreditor'srightsormortgagePartyAtransfersallthecreditor’srightstothirdpartyundercreditawardingagreement,therightofmaximummortgageshallalsotransferredtotheassignee,nomatterwhetherthecreditor’srightstothemaximummortgageareconfirmed.WhenPartyAtransferspartofthecreditor’srights,therightofmortgagetransferspartlywithit,asthecreditor'srightstomortgageinthiscontracthasbeenconfirmed.PartyAshallsharetherightofmortgagewiththeassignee(whohasbeentransferredpartofthecreditor’srights)bythecreditor’srightsthathavenotyettobetransferred,accordingtothepercentageofamountofthecreditor’srights.WhenPartyAtransferspartofthecreditor’srights,thePartyA’srightofmortgagetransferspartlywithitandthemaximumamountofPartyA’sprincipalclaimsecuredbyoriginalmaximummortgageincreases13correspondingly(meanthemaximumamountofPartyA’sprincipalclaimsecuredbyoriginalmaximummortgagededucttheamountoftransferredpartyofcreditor’srights)beforethecreditor'srightstomortgageinthiscontractconfirmed.Afterthepartoftheprinciplecreditor’srightsthathavenotyettobetransferredbeconfirmed.PartyAshallsharetherightofmortgagewiththeassignee(whohasbeentransferredpartofthecreditor’srights)bythecreditor’srightsthathavenotyettobetransferred,accordingtothepercentageofamountofthecreditor’srights.Art.21TermsThetermsinthiscontracthavethesamemeaningswiththestipulationinCreditAwardingAgreement,excepttheclearlydictatesotherwise.Art.22ApplicableLawandDisputeResolutionTheconclusion,interpretationofthecontractanddisputesettlementshallbesubjecttothelawsofthePRC.ThedisputesarisingfromtheperformanceofthecontractshallbesettledaccordingtotheagreedresolutionrulesinCreditAwardingAgreement.Art.23EffectivenessThecontractshalltakeeffectsincethelegalrepresentatives/majorpersonnelinchargeofthetwopartiesortheirauthorizedagentssign(oraffixseal)andaffixthecommonseal/contractseal(ifPartyBisanaturalperson,thusthecontractshalltakeeffectsincethelegalrepresentative/majorpersonnelinchargeorauthorizedagentofPartyA/signorsealandaffixthecommonseal/contractsealandPartyB’ssign)thereof,andshallbecomeinvalidautomaticallyonthedateofexpiryofmortgageorthedateonwhichPartyB(orCreditApplicant)paysoffallthedebtsitowestoPartyAandalltheotherrelevantexpensesunderCreditAwardingAgreement(thelaterofwhichshallapply).Art.24OtherIssuesArt.25SupplementaryProvisions14Thecontractcomesin(copies),thetwopartiesandholdonecopyeach,whichshallhavethesamelegaleffect.SpecialtipsThetwopartieshaveconductedsufficientconsultationoveralltheprovisionsofthecontract.Thebankhasproposedtheotherrelevantpartiestopayspecialattentiontotherelevantprovisionsonexemptionorrestrictionoftheresponsibilitiesofthebank,therightsthebankenjoysunilaterally,andincreaseofheresponsibilityofotherrelevantparties,orrestrictionoftherightsthereof,andobtaincomprehensiveandaccurateunderstandingthereof.Thebankshallgivecorrespondingexplanationtotheaforesaidprovisionsattherequestofotherrelevantparties.Thecontractingpartieshaveobtainedcompletelyunanimousunderstandingoftheprovisionsofthecontract.PartyA:(signatureandseal)Legalrepresentativeofentrustedagent:(signatureandseal)Mortgagorisalegalpersonorotherorganization,signinthissectionPartyB:(signatureandseal)Legalrepresentativeofentrustedagent:(signatureandseal)Mortgagorisanaturalperson,signinthissectionPartyB:(signatureandseal)IDNo.:Address:Datesigned:(YMD)15",)
