ntractstipulations,brandnewandunused.Warrantyperiodiswithin12monthsatone-shiftoperationfromthedateofsignaturedateinthefinalacceptancecertificate.(orwithin15monthsafterthearrivalatthebuyers’plant.)Withinthewarrantyperiod,theSellershallremovealldefectsofthegoodsduetodesign,workmanshipandimpropermaterialusedeitherbyrepairingorbyreplacingthedefectivepartsorthegoodsonhisownaccount.Regardingthepurchasingpartsstipulatedbythecustomer,thewarrantytimeofthesuppliermustbeapplied.（18）不可抗力任何一方对由于下列原因而导致不能或暂时不能履行全部或部分合同义务的，不负责任：水灾、火灾、地震、干旱、战争或其他任何双方在签约是不能预料、无法控制且不能避免和克服的事件。但受不可抗力影响的一方，应尽快地将所发生的事件通知对方，并应在事件发生后15天内将有关机构出具的不可抗力事件的证明寄交对方。如果不可抗力事件之影响超过120天，双方应协商合同继续履行或终止履行合同的事宜。FORCEMAJEURE:EitherPartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartoftheContractduetoflood,fire,earthquake,drought,waroranyothereventswhichcouldnotbepredictedatthetimeoftheconclusionoftheContract,andcouldnotbecontrolled,avoidedorovercomebytheparties.However,thePartyeffectedbytheEvenofForceMajeureshallinformtheotherpartyofitsoccurrenceinwrittenassoonaspossibleandthereaftersendacertificateoftheEventissuedbytherelevantauthoritytotheotherpartybutnolaterthan15daysafteritsoccurrence.(19）迟交和罚款(因卖方原因)：LATEDELIVERYANDPENALTY(duetotheseller’sresponsibilities)：在两周免责期外，如延迟交货除人力不可抗拒事故着外，卖方应付给买方每一星期按迟交货物总值的0.5%的迟交罚款,不足一星期的迟交日数作为一星期计算。此项罚款总额不超过全部迟交货物总值的5%，在议付货款时由银行代为扣除，或由买方在付款时进行扣除。Incaseofdelayeddelivery,exceptforforcemajeurecases,theSellersshallpaytotheBuyersforeveryweekofdelayapenaltyamountingto0.5%ofthetotalvalueofthegoodswhosedeliveryhasbeendelayed.,twoweeks’delayisacceptable.Anyfractionalpartofaweekistobeconsideredafullweek.Thetotalvalueofpenaltyshallnot,however,exceed5%ofthetotalvalueofthegoodsinvolvedinlatedeliveryandistobedeductedfromtheamountduetotheSellersbythepayingbankatthetimeofnegotiation,ortheBuyersdirectlyatthetimeofpayment.如卖方延迟交货超过原定期10星期时，买方有权终止本合同。但卖方仍应向买方缴付以上规定之罚款，不得推委或延迟。Incasetheperiodofdelayexceeds10weeksafterthestipulateddate,theBuyershavetherighttoterminatethisContractbutthesellersshallnottherebybeexemptedfromthepaymentofpenalty.(20)仲裁THEBUYER：THESELLER：4对于因履行本合同所发生的一切争议，双方应友好协商解决，如协商无法解决争议，则应将争议提交中国国际经济贸易仲裁委员会（北京），依据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。仲裁费应由败诉一方承担，但仲裁委员会另有规定的除外。ARBITRATION:AlldisputesarisingfromtheperformanceofthisContractshouldbesettledthroughfriendlynegotiations.Shouldnosettlementbereachedthroughnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission(Beijing)andtherulesofthisCommissionshallbeapplied.Theawardofthearbitrationshallbefinalandbindinguponbothparties.TheArbitrationfeeshallbebornebythelosingpartyunlessotherwiseawardedbythearbitrationorganization.在仲裁期间，除仲裁部分之外的其它合同条款应继续履行。Duringthecourseofthearbitration,theContractshallbeperformedexceptforthepartyunderarbitration.（21）本合同与技术协议相关联。3）ThecontractisconnectedwiththeTechnologyAgreement.本合同经双方代表签字后生效，一式四份，双方各执二份。SPECIALPROVISIONS:Inwitnessthereof:Thiscontractshallcomeintoeffectimmediatelyafteritissignedbybothpartiesinfouroriginalcopies;eachpartyholdstwocopies.卖方:买方:TheSeller:TheBuyer:THEBUYER：THESELLER：5',)
