of,PartyAterminatethisContractwithoutconsentofPartyB;or(五)、在委托期限内,非经乙方同意,甲方随意终止本合同;PartyBfailstoperformthisContractduetoanyotherbreachofPartyA.(六)、甲方其它违约行为,致乙方无法履行本合同的。TheotheractivitiesofbreachwhichmakePartyBunabletoperformthisconatract.第七条:乙方义务OBLIGATIONSOFPARTYB(一)、随时依甲方查询,如实向甲方报告委托事项处理情况;包括委托房地产的促销情况、看房信息反馈等;PartyBshall,attherequestofPartyA,notifyanyandallinformationrelatedtoitsservices,includingthepromotionmeasuresandfeedbacksprovidedbythepotentialbuyers;(二)、通过乙方的销售渠道,早日完成甲方委托之交易,并协助甲方与买方成交条件的斡旋;PartyBshallfulfillthetransactionentrustedbyPartyAthroughitsowndistributionchannelasquicklyaspossible,andshallprovideassistancestoPartyAforitsnegotiationwithpotentialbuyer;(三)、于成交时,协助甲方与买方签订成交合同,办理相关过户手续;PartyBshallprovideassistancestoPartyAandBuyerfortheconclusionofSalesContractandfulfillmentoftransferformalitiesuponmutualagreementisreachedbyPartyAandBuyer;(四)、不得与他人私下串通,损害甲方利益;PartyBmaynotprejudicetheinterestsofPartyAbycollusionwithanythirdparty;and(五)、在委托期限内,非经甲方同意,乙方不得随意终止本合同。Duringthetermhereof,PartyBmaynotterminatethisContractwithoutconsentofPartyA.第八条:甲方义务OBLIGATIONSOFPARTYA(一)、甲方保证对委托出售之房地产有出售之权利,且产权清楚,否则,由此给买方所造成的损失,概由甲方承担;PartyAundertakesthatithasfullrightsandauthoritiestosellthisrealestatewithoutanyencumbrances,otherwiseanyandalllossessufferedbyBuyerthere-fromshallbebornebyPartyA;(二)、为促进销售,买方需办理购房抵押贷款时,甲方需配合办理;PartyAshallprovideassistancestoBuyerfortheacquisitionofbankloans;and(三)、于买卖成交时,甲方应依法自行交纳相关交易税、费。PartyAshallpayalltaxesandfeesimposedbythecompetentauthorityforthetransactioncompletedhereunder.第九条:买卖合同签订及产权转移手续SALESCONTRACTANDTRANSFERFORMALITIES甲方与买方购房条件都达成一致时,甲方应依乙方之通知,及时与乙方所介绍之买方签订房地产买卖合同,并协助办理产权转移手续,否则,视为甲方违约。PartyAshall,ifnotifiedbyPartyB,enterintoSalesContractwiththebuyerintroducedbyPartyBasquicklyaspossibleuponthetermsandconditionsforthesaleofrealestatehereofarebothsatisfiedbyPartyAandsuchbuyer,inaddition,PartyAshallprovideassistancesforthefulfillmentoftransferformalities,itshallconstitutethebreachofPartyAifitfailstodoso.第十条:甲方无权出售或者文件不实的责任Party’sLiabilityofInvalidAuthorityorFailureofFiles甲方及/或代理人无权出售所委托的房地产,或提供的相关证件和资料不实,致本合同无效或无法履行,则甲方及/或代理人应依本合同第二条所委托之总价的1%(居住用房)、2%(非居住用房)支付乙方作为赔偿。若同时造成买方损失,亦应承担相应的赔偿责任。本条款不因本合同的无效而失效,即便本合同无效、本条款仍独立适用于甲方及/或代理人、乙方。PartyAand/oritsagentshallpaydamagestoPartyBas1%(asresidentialproperty)or2%(asnon-residentialproperty)ofpricequotedinArticle2hereofiftherealestatehereunderissolddirectlybyPartyAand/oritsagentorthisContractbecomesinvalidorfailstobeperformedduetotheincorrectofcertificatesormaterialsprovidedbyPartyA,inaddition,anyandalllossessufferedbyBuyerthere-fromshallalsobeindemnifiedbyPartyA.thisclauseshallsurvivetheinvalidityorterminationofthisContract,i.e.,thisclauseshallalsobeappliedtoPartyAand/oritsagentandPartyBafterthisContractisdeclaredasinvalid.第十一条:乙方违约处理PartyB’sBreach乙方违反本合同第七条,亦应依本合同第二条委托总价的1%(居住用房)、2%(非居住用房)向甲方支付违约金。PartyBshallpaydamagestoPartyAas1%(asresidentialproperty)or2%(asnon-residentialproperty)ofpricequotedinArticle2hereofifArticle7hereofisbreachedbyit.第十二条:争议解决DISPUTESETTLEMENT本合同若有未尽事宜,双方应友好协商,若协商不成,甲、乙双方同意以房地产所在地方法院为本合同争议的管辖法院。AnydisputesunmentionedhereinshallbesettledbythePartiesthroughamiablenegotiation,iffails,thePartiesheretoagreethatthelocalcourtinplacewherethisrealestateislocatedshallhavecompetentjurisdictiononsuchdisputes.第十三条:其他约定Miscellaneous本合同经双方签署后即生效,正本一式二份,甲、乙双方各执一份,甲、乙双方的通讯地址以本合同所载明的住址为准。ThisContractshallcomeintoeffectuponsignaturesofthePartieshavebeenmadethereon,andshallbeexecutedinduplicateandeachpartyshallhaveonecopy.第十四条:特别约定事项SpecialAgreement(签署部分略)',)
