法律顾问服务协议

("法律服务合同（LegalServiceAgreement）PartyA(甲方）：Address（地址）：Tel（电话）:PartyB（乙方）：_____________LawFirmAddress（地址）：Tel（电话）：甲方就项目（下称“项目”）中有关法律服务事宜，甲、乙双方依据《中华人民共和国民法典》和其他相关法律、法规的有关规定订立本合同。ForPartyA’slegalservicesrelatedtothe________________(hereinafterreferredtoasthe“Project”),PartyAandPartyBhaveenteredintothiscontractinaccordancewiththeCivilCodeofthePeople’sRepublicofChinaandotherrelevantlawsandregulations.第一条委托事项乙方接受甲方委托，指派律师为甲方项目提供法律服务。乙方指派的律师因不可抗力及其他特殊情况（如发生交通事故、疾病等），乙方可指派其他律师继续办理。Article1EntrustedAffairsPartyBacceptstheentrustmentofPartyAandassignslawyertoprovidelegalservicesforPartyA’sproject.Duetoforcemajoreorotherspecialcircumstances(suchastrafficaccidents,illnesses,etc.)assignedbythelawyerappointedbyPartyB,PartyBmayappointanotherlawyertoproceed.第二条服务范围乙方为项目提供的法律服务范围：。Article2ScopeofServicesThescopeoflegalservicesprovidedbyPartyBfortheproject:.第三条律师费1.律师费为：￥元；支付时间：在签订本合五日内。2.以银行转账支付的，应当支付至下述账户：名称：律师事务所开户行：银行账号：行号：Article3AttorneyFees1.Attorney'sfee:2000euros;paymenttime:withinfivedaysaftersigningthecontract.2.Whenpayingbybanktransfer,thepaymentshouldbemadetothefollowingaccount:Name:LAWFIRM;Bank'sName:;Account:Bank'sSwiftCode:BankAddress:第四条乙方的义务1、乙方律师应当勤勉、尽责地完成第二条所列法律工作。2、乙方律师应当尽最大努力维护甲方利益。3、乙方律师应当在取得甲方委托和收到甲方提供的文件资料后，及时完成委托事项，并应甲方要求通报工作进程。4、乙方律师对其获知的甲方商业秘密负有保密责任，非由法律规定或者甲方同意，不得向任何第三方披露。Article4ObligationsofPartyB1、ThelawyerofPartyBshallcompletethelegalworklistedinArticle2diligentlyandconscientiously.2.ThelawyersofPartyBshalldotheirbesttoprotecttheinterestsofPartyA.3.ThelawyersofPartyBshallcompletetheentrustedmattersinatimelymannerafterobtainingtheentrustmentofPartyAandreceivingthedocumentsandmaterialsprovidedbyPartyA,andreporttheworkprogressatPartyA'srequest.4.ThelawyersofPartyBshallberesponsibleforkeepingconfidentialthebusinesssecretsofPartyAtheyhavelearned,andshallnotdiscloseittoanythirdpartyunlessrequiredbylaworwiththeconsentofPartyA.第五条甲方的义务1.甲方应当全面、客观和及时地向乙方提供与项目有关的全部文件和背景材料，承担因违反本款而产生的不利后果。2.按本协议第三条的约定向乙方支付律师费；因不可归责于乙方的事由，委托合同解除或者委托事务不能完成的，甲方应当向乙方支付相应的报酬。3.甲方有责任对委托代理事务做出独立的判断和决策，乙方尊重甲方对委托代理事务做出的独立判断和决策；甲方非根据乙方律师提供的法律意见、建议、方案所做出的决定而造成的损失，由甲方承担。4.甲方指定为与乙方律师联系的联系人，负责转达甲方的指示和要求，提供证据材料、案件事实等；甲方更换联系人应当书面通知乙方律师。Article5PartyA'sObligations1.PartyAshallprovidePartyBwithalldocumentsandbackgroundmaterialsrelatedtotheprojectinacomprehensive,objectiveandtimelymanner,andshalltaketheadverseconsequencesarisingfromtheviolationofthisparagraph.2.InaccordancewithArticle3ofthisagreement,PartyBshallpayattorneyfeestoPartyB;iftheentrustedcontractisterminatedortheentrustedaffairscannotbecompletedduetoreasonsnotattributabletoPartyB,PartyAshallpayPartyBcorrespondingremuneration.3.PartyAisresponsibleformakingindependentjudgmentsanddecisionsonentrustedagencyaffairs,andPartyBrespectsPartyA’sindependentjudgmentsanddecisionsonentrustedaffairs;PartyA’sdecisionisnotbasedonlegalopinions,suggestionsandplansprovidedbyPartyB’slawyers,PartyAshalltakethelossescausedbythedecisionmade.4.PartyAdesignatesasthecontactpersontocontactPartyB'slawyer,responsibleforconveyingPartyA'sinstructionsandrequirements,providingevidencematerials,casefacts,etc.;PartyAshouldnotifyPartyB'slawyerinwritingtochangethecontactperson.第六条协议的变更、解除1.对本协议的任何变更，均需双方协商一致，并另行签订变更协议。2.乙方有下列情形之一的，甲方有权解除本合同：（1）未依据本协议约定或者未经甲方同意，擅自更换代理律师的；（2）乙方律师工作延误、重大失职导致甲方蒙受重大损失的。3.甲方有下列情形之一的，乙方有权解除本合同或暂停工作直至甲方纠正：（1）甲方的委托事务违反法律或者违反律师执业规范的；（2）甲方有捏造事实、伪造材料或者隐瞒重要事实情节等情形的。Article6Modificationandcancellationofagreement1.Anychangestothisagreementmustbeagreeduponbybothpartiesandaseparatechangeagreementmustbesigned.2.IfPartyBhasoneofthefollowingconditions,PartyAhastherighttoterminatethiscontract:(1)ChangingtheattorneywithoutauthorizationinaccordancewiththisagreementorwithouttheconsentofPartyA;(2)PartyB’slawyers’workdelaysormalicenegligencehavecausedPartyAtosuffermajorlosses.3.IfPartyAhasoneofthefollowingconditions,PartyBhastherighttoterminatethiscontractorsuspendworkuntilPartyAcorrects:(1)PartyA’sentrustedaffairsviolatethelaworviolatethelawyer'spracticenorms;(2)PartyAhasfabricatedfacts,fakematerials,orconcealedimportantfacts.第七条法律适用与仲裁任何因本合同引起的或与本合同有关的争议、均应提交中国国际经济贸易仲裁委员会,并根据提交仲裁申请时有效的仲裁规则进行仲裁并最终解决。Article7GoverningLawsandArbitrationAnydispute,arisingoutoforrelatingtothisContract,shallbereferredtoandfinallyresolvedbyarbitrationadministratedbytheChinaInternationalEconomicandTradeArbitrationCommission（CIETAC）underthearbitrationrulesineffectatthetimeofthesubmissionofthearbitrationclaim.第八条合同生效本合同自甲、乙双方代表人签字或加盖公章起生效，自乙方律师完成本合同的委托事务或解除本合同时终止。双方同意，本合同可以通过传真签署生效，并且视为正本合同。本合同一式三份，甲、乙双方及乙方律师各执一份，每份均有同等法律效力。Article8EffectivenessofthecontractThiscontracttakeseffectfromthesignaturebytherepresentativesofbothpartiesortheofficialsealofbothparties,anditterminateswhenthelawyerofPartyBcompletestheentrustedaffairsofthiscontractordissolvethiscontract.Bothpartiesagreethatthiscontractcanbesignedbyfaxanditwillberegardedastheoriginalcontract.Thiscontractisintriplicate,eachofwhichisheldbyPartyA,PartyBandthelawyerofPartyB,eachwiththesamelegaleffect.PartyA(甲方)：Dateofsignature:PartyB(乙方)：Dateofsignature:",)
