oldrelocationearnestmoneycouldbedeductedinthefinalpayment.4.4本协议中出现“日”形式,请务必填写具体履行期间。若未填写,则一律视为“七日内履行义务”。4.4Fortheformsof“_____days”inthisagreement,pleasebesuretofillinthespecificperformingdate.Ifthedateisblank,itwouldbetreatedas“carryoutobligationswithin7days”.4.5在本协议约定的交易条件保持不变的情况下,甲方同意乙方可以增加、减少或变更本协议中的“买受方”,且乙方依据本协议或相关补充协议已经部分履行(包括付款行为等)的,视为增加、减少、变更后的“买受方”已经部分履行。4.5PartyAagreesthatunderthesametermsandconditionshereunder,PartyBmayincrease,decreaseorchange“Buyer”,andsomeperformance(includingpaymentbehavior,etc)ofPartyBaccordingtothisagreementorrelevantsupplementalagreementswouldberegardedasthepartialperformanceoftheincrease,decreaseorchange“Buyer”.4.6税、费及公证费负担:本次交易中根据法律法规等规定所产生的所有交易税、费按以下方式承担:【□全部由乙方承担;□全部由甲方承担;□甲乙双方各自承担】。本次交易若需公证,公证费用由【□乙方承担;□甲方承担;□甲乙双方各自承担】。若甲方持有该房地产期间产生房产税及其滞纳金的(若有),甲方须在交易过户前自行支付结清。4.6Taxes,feesandnotaryfees:Allofthetransactiontaxesandfeescausinginthisdealaccordingtotheprovisionsoflawsandregulationsshouldbepaidbyfollowingways:[□BornebyPartyB;□BornebypartyA;□BornebyPartyAandPartyB].Ifthisdealneednotary,thenotaryfeeshouldbepaidby【□PartyB;□PartyA□PartyAandPartyB].PartyAshouldpaythebuildingtaxedduringitsownershipandtheoverduefine(ifany)beforetransfertheownership.五、居间报酬:丙方为甲乙双方提供房地产交易的媒介服务,促成双方达成交易条件并订立相关协议。甲乙双方应当于签订示范文本等类似合同当日,按照总房价款的2%向丙方支付居间报酬。具体承担方式为:【□全部由乙方承担2%;□全部由甲方承担2%;□甲乙双方各自承担1%】。双方同意丙方可从保管或转付的任何一笔款项中先行扣除该费用。V.Intermediaryremuneration:PartyCprovidestheintermediaryservicetoPartyAandPartyBduringtherealestatetransactioninordertocontributebothsidestoconcludethetransactionandmaketherelevantagreements.PartyAandPartyBshallpaythebrokeragefeesby2%ofthetotalhousingpricetoPartyCwhensigningtheModelTextorothersimilarcontracts.Thespecificformulamodeis:[□AllbornebypartyBfor2%;□AllbornebypartyAfor2%;□bornebyPartyAandPartyBfor1%each.]BothsidesagreethatPartyCcoulddeductthebrokeragefeesfromanyfundsthatkeptorpaidthroughPartyC.六、保证与承诺VI.GuaranteeandCommitments6.1本协议签署人均保证具有签署本协议并支付或收取定金的权利(甲方保证有权出售或已征得全体产权人的同意,在签署本协议后甲方不再新增抵押或增设阻碍交易的情形;乙方保证具备购房资质并保证买受方征信良好),若因其无权代理或无权处分或欠缺购房资质、征信不良,导致本协议无法履行或无法生效的,该方签署人应按定金责任或违约责任的标准承担责任。本条独立发生法律效力。6.1ThesignersofthisContractshouldguaranteethattheyhavetherightsofsigningthisContract,paytheearnestmoneyorreceivetheearnestmoney(PartyAshallguaranteethathehastherighttosalethehouseorbeapprovedbyallpropertyowners,aftersigningthecontract,PartyAwouldnotpledgethehouseorhinderthetransactiondeal;PartyBshallguaranteethathehasthequalificationofbuyingthehouseandhasgoodcredit).IfthisContractisdefectedorfailstobeperformedduetothefaultofanyPartycasingbyunauthorizedagency,unauthorizeddisposal,deficiencyqualificationtobuyahouseorbadcredit,suchpartyshallassumethelegalliabilities.ThisarticlehereofsurvivestheterminationofthisContract.6.2若本协议因甲乙双方中任何一方违约或合意而解除的,六个月内甲乙双方或其近亲属等有关联的人或企业私下或通过其他第三方签订该房地产买卖合同或以其他方式达成交易的,视为丙方居间成功,甲、乙双方同意按本协议约定的标准向丙方支付居间报酬。6.2IfthisagreementisreleasedcausingbythebreachofanyPartyorbothParties,bothpartiesortheirnearrelativesandotherrelatedpeopleorcompaniessignthesalescontractofthisrealestateprivatelyorbyothermeanswiththeThirdPartyinsixmonths,itwillberegardedasthatthebrokerageofPartyCissuccessfulandPartyAandPartyBarewillingtopaythebrokeragefeeaccordingtothestandardappointedinthisContract.七、定金责任:若甲方未能依照本协议约定签订买卖合同示范文本或违约不卖或相关权利人提出异议,则应向乙方双倍返还定金;若乙方未能依照本协议约定签订示范文本的,则已支付甲方的定金不予返还(含由丙方代为保管的定金)。VII.Liabilityfordeposit:Duringthecourseofthisagreement,ifPartyAbreachestheagreement,suchasdonotsignthesalescontractbyappointmentorrefusetosale,orrelevantobligeraiseobjections,PartyAshallreturnthedepositindouble;IfPartyBdidnotsignthesalescontractbyappointment,thedeposit(includingthedepositkeptbyPartyC)paidbyPartyBshallbeforfeited.八、违约责任:一方未按本协议约定履行,其行为视为违约。守约方有权要求违约方按每日总房价款0.05%承担逾期违约金后继续履行,违约方逾期不履行超过15日的,守约方有权单方解除本协议并要求违约方支付总房价款20%的违约金。VIII.Liabilityforbreachcontract:Eitherpartyinviolationofitsobligationsundertheagreement,thatis,asabreachofagreement.TheobservantPartyisentitledtorequirethebreachingpartytopay0.05%ofhousingpriceasliquidateddamagepereachdayuntilthedateonwhichsuchobligationhasbeenfullyperformed.Provided,howevertheotherpartymayterminatethisagreementifbreachingpartyfailstofulfillitsobligationfor15daysormore,insuchevent,suchbreachingpartyshallpaydamagestotheotherpartyas20%ifhousingpriceagreed.九、送达地址:在本协议签章处书写的联络地址或身份证件所载地址即为各方的有效送达地址。若任何一方联络地址变更的,应及时书面通知相对方,否则均按照寄出后次日视为已送达。IX.Addressfordelivery:TheaddresseswriteonthesignaturepartofthisagreementortheaddressesontheIDcardarethevalidaddressforservices.Ifanypartychangestheaddress,itshouldnotifytheotherPartyinwritingortheserviceswouldberegardedasbeendeliveredthenextday.十、特别告知X.SpecialNotice10.1为保障交易安全,向丙方支付任何房屋交易类代付款项时,请务必支付至丙方为户名的银行账户(户名:房地产经纪有限公司,开户行:中国银行上海南京西路支行,账号:439063596323,代付、保管款项在保管期间不计算利息),并取得印有丙方收款专用章的制式收据、电子收据(非手写)或发票原件;若本协议填写或修改的内容涉及丙方义务的内容,必须加盖丙方合同专用章方可生效,否则丙方无须就该笔款项或内容承担任何责任。10.1Inordertoguaranteethesafetyofthetransaction,whenanypartypaythePartyCmoneyofhousingtransaction,pleasepaythemoneytothebankaccountofPartyC:(Holder:SHANGHAIREALTYCO.,LTD;Bankofdeposit:BankofChina,ShanghaiWestNanjingRoadBranch;Accountnumber:4390635
