('合作协议模版（英文版）PartnershipAgreementTHISPARTNERSHIPAGREEMENTismadethis__________dayof___________,20__,byandbetweenthefollowingindividuals:Address:_____________________________________________________City/State/ZIP:______________________Address:_____________________________________________________City/State/ZIP:______________________1.NatureofBusiness.Thepartnerslistedaboveherebyagreethattheyshallbeconsideredpartnersinbusinessforthefollowingpurpose:____________________________________________________________________________________________________________________________________________________________2.Name.Thepartnershipshallbeconductedunderthenameof________________andshallmaintainofficesat[STREETADDRESS],[CITY,STATE,ZIP].3.Day-To-DayOperation.Thepartnersshallprovidetheirfull-timeservicesandbesteffortsonbehalfofthepartnership.Nopartnershallreceiveasalaryforservicesrenderedtothepartnership.Eachpartnershallhaveequalrightstomanageandcontrolthepartnershipanditsbusiness.Shouldtherebedifferencesbetweenthepartnersconcerningordinarybusinessmatters,adecisionshallbemadebyunanimousvote.Itisunderstoodthatthepartnersmayelectoneofthepartnerstoconducttheday-to-daybusinessofthepartnership;however,nopartnershallbeabletobindthepartnershipbyactorcontracttoanyliabilityexceeding$_________withoutthepriorwrittenconsentofeachpartner.4.CapitalContribution.Thecapitalcontributionofeachpartnertothepartnershipshallconsistofthefollowingproperty,services,orcashwhicheachpartneragreestocontribute:NameOfPartnerCapitalAgreed-UponCash%ShareContributionThepartnershipshallmaintainacapitalaccountrecordforeachpartner;shouldanypartner’scapitalaccountfallbelowtheagreedtoamount,thenthatpartnershall(1)havehisshareofpartnershipprofitsthendueandpayableappliedinsteadtohiscapitalaccount;and(2)payanydeficiencytothepartnershipifhisshareofpartnershipprofitsisnotyetdueandpayableor,ifitis,hisshareisinsufficienttocancelthedeficiency.5.ProfitsandLosses.Theprofitsandlossesofthepartnershipshallbedividedbythepartnersaccordingtoamutuallyagreeablescheduleandattheendofeachcalendaryearaccordingtotheproportionslistedabove.6.Term/Termination.ThetermofthisAgreementshallbeforaperiodof____years,unlessthepartnersmutuallyagreeinwritingtoashorterperiod.Shouldthepartnershipbeterminatedbyunanimousvote,theassetsandcashofthepartnershipshallbeusedtopayallcreditors,withtheremainingamountstobedistributedtothepartnersaccordingtotheirproportionateshare.7.Disputes.ThisPartnershipAgreementshallbegovernedbythelawsoftheStateof_______.AnydisputesarisingbetweenthepartnersasaresultofthisAgreementshallbesettledbyarbitrationinaccordancewiththerulesoftheAmericanArbitrationAssociationandjudgmentupontheawardrenderedmaybeenteredinanycourthavingjurisdictionthereof.8.Withdrawal/DeathofPartner.Intheeventapartnerwithdrawsorretiresfromthepartnershipforanyreason,includingdeath,theremainingpartnersmaycontinuetooperatethepartnershipusingthesamename.Awithdrawingpartnershallbeobligatedtogivesixty(60)days’priorwrittennoticeofhis/herintentiontowithdraworretireandshallbeobligatedtosellhis/herinterestinthepartnership.Nopartnershalltransferinterestinthepartnershiptoanyotherpartywithoutthewrittenconsentoftheremainingpartner(s).Theremainingpartner(s)shallpaythewithdrawingorretiringpartner,ortothelegalrepresentativeofthedeceasedordisabledpartner,thevalueofhisinterestinthepartnership,or(a)thesumofhiscapitalaccount,(b)anyunpaidloansduehim,(c)hisproportionateshareofaccruednetprofitsremainingundistributedinhiscapitalaccount,and(d)hisinterestinanyprioragreedappreciationinthevalueofthepartnershippropertyoveritsbookvalue.Novalueforgoodwillshallbeincludedindeterminingthevalueofthepartner’sinterest.9.Non-CompeteAgreement.Apartnerwhoretiresorwithdrawsfromthepartnershipshallnotdirectlyorindirectlyengageinabusinesswhichisorwhichwouldbecompetitivewiththeexistingorthenanticipatedbusinessofthepartnershipforaperiodof____________,inthose________ofthisStatewherethepartnershipiscurrentlydoingorplanningtodobusiness.INWITNESSWHEREOF,thepartnershavedulyexecutedthisAgreementonthedayandyearsetforthhereinabove.______________________________________________PartnerPartner',)
