('SALESAGREEMENTThisSalesAgreement(the“Agreement”)isenteredinto____________________(the“EffectiveDate”),byandbetween________________________,withanaddressof_____________________________(the“Seller”)and_________________,withanaddressof_______________________________,(the“Buyer”),collectively“theParties.”BACKGROUND:Selleristhemanufacturer/distributorofthefollowingproduct(s):_______________________________________________________________________;andBuyerwishestopurchasetheafore-mentionedproduct(s).THEREFORE,thePartiesagreeasfollows:1.SaleofGoods.SellershallmakeavailableforsaleandBuyershallpurchase___________________________________________________________________________________________________________________________________________________________(the“Goods”).2.Delivery.SellershalldelivertheGoodstoBuyerat______________________________.TheGoodsshallbedeemeddeliveredwhenBuyerhasaccepteddeliveryattheabove-referencedlocation.TheshippingmethodshallbedeterminedbySeller,butBuyerwillonlyberesponsibleforshippingcostsupto_______________.3.PurchasePrice&Payments.SelleragreestoselltheGoodstoBuyerfor_______________________________________________________________________.SellerwillprovideaninvoicetoBuyeratthetimeofdelivery.Allinvoicesmustbepaid,infull,withinthirty(30)days.Anybalancesnotpaidwithinthirty(30)dayswillbesubjecttoafivepercent(5%)latepaymentpenalty.4.InspectionofGoods&Rejection.BuyerisentitledtoinspecttheGoodsupondelivery.IftheGoodsareunacceptableforanyreason,Buyermustrejectthematthetimeofdeliveryuptofive(5)businessdaysfromthedateofdelivery.IfBuyerhasnotrejectedtheGoodswithinfive(5)businessdaysfromthedateofdelivery,BuyershallhavewaivedanyrighttorejectthatspecificdeliveryofGoods.Page1of3IntheeventBuyerrejectstheGoods,BuyershallallowSellerareasonabletimetocurethedeficiency.AreasonabletimeperiodshallbedeterminedbyindustrystandardsfortheparticularGoods,aswellastheSellerandBuyer.5.RiskofLoss.RiskoflosswillbeontheSelleruntilthetimewhentheBuyeracceptsdelivery.SellershallmaintainanyandallnecessaryinsuranceinordertoinsuretheGoodsagainstlossatSeller’sownexpense.6.Title.TitletotheGoodswillremainwiththeSelleruntilBuyeracceptsdelivery.7.ExcuseforDelayorFailuretoPerform.SellerwillnotbeliabletoBuyerforanydelay,non-deliveryordefaultofthisAgreementduetolabordisputes,transportationshortage,delayorshortageofmaterialstoproducetheGoods,fires,accidents,ActsofGod,oranyothercausesoutsideofSeller’scontrol.SellershallnotifyBuyerimmediatelyuponrealizationthatitwillnotbeabletodelivertheGoodsaspromised.EitherPartymayterminatethisAgreementuponsuchnotice.8.Termination.ThisAgreementmaybeterminatedatanytimebyeitherPartyuponwrittennoticetotheotherparty.BuyerwillberesponsibleforpaymentofallGoodsdeliveredandaccepteduptothedateoftermination.9.DisclaimerofWarranties.THEGOODSARESOLD‘ASIS’.SELLEREXPRESSLYDISCLAIMSALLWARRANTIES,WHETHEREXPRESSORIMPLIED,INCLUDING,BUTNOTLIMITEDTO,ANYIMPLIEDWARRANTYOFMERCHANTIBILITYORFITNESSFORAPARTICULARPURPOSE.10.LimitationofLiability.UNDERNOCIRCUMSTANCESSHALLEITHERPARTYBELIABILETOTHEOTHERPARTYORANYTHIRDPARTYFORANYDAMAGESRESULTINGFROMANYPARTOFTHISAGREEMENTSUCHAS,BUTNOTLIMITEDTO,LOSSOFREVENUEORANTICIPATEDPROFITORLOSTBUSINESS,COSTSOFDELAYORFAILUREOFDELIVERY,WHICHARENOTRELATEDTOORTHEDIRECTRESULTOFAPARTY’SNEGLIGENCEORBREACH.11.Severability.IntheeventanyprovisionofthisAgreementisdeemedinvalidorunenforceable,inwholeorinpart,thatpartshallbeseveredfromtheremainderoftheAgreementandallotherprovisionsshouldcontinueinfullforceandeffectasvalidandenforceable.12.Waiver.Thefailurebyeitherpartytoexerciseanyright,powerorprivilegeunderthetermsofthisAgreementwillnotbeconstruedasawaiverofanysubsequentorfurtherexerciseofthatright,powerorprivilegeortheexerciseofanyotherright,powerorprivilege.13.RemediesandLegalFees.Intheeventofadispute,Buyer’ssoleremedyforanyandalllossesordamagesresultingfromdefectiveGoodsorfromanyothercausewillbeforthePage2of3purchasepriceoftheparticularGoodswithrespecttowhichlossesordamagesareclaimed,plusanyshippingcostspaidbyBuyer.Intheeventsuchdisputeresultsinlegalaction,thesuccessfulpartywillbeentitledtoitslegalfees,including,butnotlimitedtoitsattorneys’fees.14.LegalandBindingAgreement.ThisAgreementislegalandbindingbetweenthePartiesasstatedabove.ThisAgreementmaybeenteredintoandislegalandbindingbothintheUnitedStatesandthroughoutEurope.ThePartieseachrepresentthattheyhavetheauthoritytoenterintothisAgreement.15.GoverningLawandJurisdiction.ThePartiesagreethatthisAgreementshallbegovernedbytheStateand/orCountryinwhichbothPartiesdobusiness.IntheeventthatthePartiesdobusinessindifferentStatesand/orCountries,thisAgreementshallbegovernedby_________law.16.EntireAgreement.ThePartiesacknowledgeandagreethatthisAgreementrepresentstheentireagreementbetweentheParties.IntheeventthatthePartiesdesiretochange,add,orotherwisemodifyanyterms,theyshalldosoinwritingtobesignedbybothparties.ThePartiesagreetothetermsandconditionssetforthaboveasdemonstratedbytheirsignaturesasfollows:“SELLER”Signed:_____________________________________By:________________
