('ConfidentialityAgreementThisConfidentialityAgreementdatedthis____dayof__________,20____between(Employer)and______________________(Employee).INCONSIDERATIONOFandasaconditionoftheEmployeremployingtheEmployeeandtheEmployerprovidingtheTechnicalandCommercialConfidentialInformationtotheEmployeeinadditiontoothervaluableconsideration,thereceiptandsufficiencyofwhichconsiderationisherebyacknowledged,thepartiestothisAgreementagreeasfollows:1.BothpartiesconfirmthatduringthetermofemploymenttheEmployeeperformsdutiesmainlyusingthematerials,conditions,technicalresources,andbusinessinformationtogenerateinventions,works,technicalproprietaryinformationandothercommercialconfidentialinformation.AllrelevantIntellectualPropertyrightsbelongtotheEmployer.Employermayhavethefullrighttousetheseinventions,works,computersoftware,technicalproprietaryinformationorcommercialconfidentialinformationtocarryouttheproductionandoperationorassignmenttoathirdparty.EmployeeshallinaccordancewithEmployer’srequirementssupplyallnecessaryinformationandtakeallnecessaryactions,includingapplication,registrationandsoon,toassistEmployertoobtainandexerciseofrelatedIntellectualPropertyrights.2.Duringtheemployment,EmployeemustabidebyanyofEmployer’spoliciesorunwrittenrulesofconfidentialitypoliciestofulfillhis/hercorrespondingconfidentialduties.EmployeeshallkeepstrictlyconfidentialityofallthetrainingcontentsandtrainingmaterialsprovidedbytheEmployerduringthetermofemployment.Employer’sconfidentialitypolicieswithoutspecificationorcleardefinitions,EmployeeshouldusegoodjudgmentinusingandrevealingproprietaryandtradesecretorothercommercialconfidentialinformationwhichbelongstotheEmployerorathirdpartywhichEmployeriscommittedtohavetheobligationtomaintainitsconfidentiality.3.Inadditiontotheneedofperforminghis/herduties,withoutEmployer’sagreement,Employeepromisesnottodisclose,inform,publish,release,teach,transferorinanyothermannertomakeathird-party(IncludingEmployer’sotheremployeeswhoshallnotknowtheConfidentialInformationaccordingtotheConfidentialityAgreement)awareoftheTechnicalorCommercialConfidentialInformation,whichbelongstotheEmployerorthethirdpartywhichEmployeris1committedtokeepconfidential.Inaddition,EmployeeshallnotuseConfidentialInformationoutsidehis/herwork.4.Bothpartiesagreethataftertheterminationofemployment,EmployeeisstillobligatedtokeepconfidentialityoftheTechnicalorCommercialConfidentialInformationwhichbelongstotheEmployerorathirdpartywhichtheEmployerisobligatedtokeepconfidential.EmployeeshallbearthesameconfidentialityobligationsasduringthetermofemploymentandshouldnotusetheConfidentialInformationunauthorized.TheseundertakingsremaininforceevenafterEmployeeresigns.ThedurationofEmployeeundertakingtheconfidentialityobligationsafterterminationistokeepconfidentialindefinitelyuntilEmployerpubliclyannouncesdecryptionofConfidentialInformation.EmployeeagreesthatEmployeralreadyconsideredconfidentialityfeeswhenpayingasalaryandsoafterterminationorresignationthereisnoneedtopayadditionalconfidentialfees.5.Employeepromisesthatwhenhe/herperformshis/herdutiesatEmployer,EmployeeshallnotuseanyunauthorizedTechnicalorCommercialConfidentialInformationthatbelongstoothersorimplementtheactswhichmayviolateothers’intellectualproperty.IfEmployeeviolatestheabovecommitmentsandmakestheEmployersufferathirdparties’infringementproceedings,Employeeshallbeliableforallincurredcosts.EmployerreservestherighttoreceivecompensationfromEmployeeforanyviolation-causedcosts.TheabovementionedexpensesandcompensationscanbedeductedfromEmployee’ssalary.6.EmployeepromisestoEmployerduringthetermofemploymentEmployeeshallnottakeapositionincludingshareholders,partner,directors,supervisors,managers,employees,agents,consultants,etc.inothercompany,enterprisesandinstitutionswhichareengagedinsimilarproductsorserviceswithoutEmployer’swrittenagreement.WhetherEmployeestillhastheaboveobligationsaftertheterminationofemployment,bothpartiescanstipulateitinaseparateagreement.Ifthepartieshavenotsignedsuchagreement,theEmployershallnottorestrictEmployee’semploymentandpositionrangeaftertermination.7.TechnicalConfidentialInformationmentionedinthiscontractincludesbutisnotlimitedtotechnicalplan,engineeringdesign,circuitdesign,manufacturingmethods,formulas,technologicalprocess,technicalstandards,computersoftware,database,researchanddevelopmentrecords,technicalreport,testreport,experimentaldataandexperimentalresults,drawings,samples,prototype,model,mould,manuals,technicaldocumentation,relevantlettersoremailsandsoon.CommercialConfidentialInformationmentionedinthiscontractincludesbutisnotlimitedtocustomercontactlists,marketingplans,procurementdocuments,purchasingsources，pricing2policy,financialinformation,andsoon.8.IfEmployeebreachesanyclauseofthisagreement,EmployeeshallpaypenaltytoEmployerfor$5,000onetime.Indisregardofwhetherpenaltyispaidornot,EmployerhastherighttoterminateEmployeeimmediatelywithoutpriornotice.9.Theagreementbecomeseffectivefromthedateofsignaturebyemployeeandemployer.10.Employerhastherighttoreviseandrenewtheagreementwithe
