ignormanufacturedefectsand/orincasethequalityandperformancearenotinconformitywiththeContract,theBuyershall,duringtheguaranteeperiod,requestCCIBtomakeasurvey.15、ClaimWithin30daysafterthearrivalofthegoodsatthedestination,shouldthequality,specificationorquantitybefoundnotinconformitywiththestipulationsoftheContractexceptthoseclaimsforwhichtheinsurancecompanyareliable,theBuyersshall,onthestrengthoftheInspectionCertificateissuedbytheCommodityInspectionBureau,havetherighttoclaimforreplacementwithnewgoods,orforcompensation,andalltheexpenses(suchasinspectioncharges,freightforreturningthegoodsandforsendingthereplacement,insurancepremium,storage,loadingandunloadingchargesetc.)shallbebornebytheSellers.Asregardsquality,theSellersshallguaranteethatif,within12monthsfromthedateoftheFinalAcceptanceofthegoods,damageoccursinthecourseofoperationbyreasonofinferiorquality,badworkmanshiportheuseofinferiormaterials.TheBuyersshallimmediatelynotifytheSellersinwritingwhendamageoccursandputforwardaclaimsupportedbyInspectionCertificateissuedbytheChinaCommodityInspectionBureau.TheCertificatesoissuedshallbeacceptedasthebaseofaclaim.TheSellers,inaccordancewiththeBuyers’claim,shallberesponsiblefortheimmediateeliminationofthedefect(s),completeorpartialreplacementofthecommodityorshalldevaluatethecommodityaccordingtothestateofdefect(s).Wherenecessary,theBuyersshallbelibertytoeliminatethedefect(s)themselvesattheSellers’expenses.IftheSellersfailtoanswertheBuyerswithinonemonthafterreceiptoftheaforesaidclaim,theclaimshallbereckonedashavingbeenacceptedbytheSellers.16、LatedeliveryandPenaltyShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMajeurecausesspecifiedinClause17ofthisContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiations.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoods.Therateofpenaltyischargedat0.5%foreveryday.IncasetheSellersfailtomakedeliverytenweekslaterthan7days,theBuyersshallhavetherighttocanceltheContractandtheSellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.17、ForceMajeureEitherPartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartoftheContractduetoflood,fire,earthquake,drought,waroranyothereventswhichcouldnotbepredictedatthetimeoftheconclusionoftheContract,andcouldnotbecontrolled,avoidedorovercomebytheparties.However,thePartyeffectedbytheEventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwrittenassoonaspossibleandthereaftersendacertificateoftheEventissuedbytherelevantauthoritytotheotherpartybutnolaterthan15daysafteritsoccurrence.IncasetheEventlastsformorethan60days,theBuyersshallhavetherighttocanceltheContract.18、ArbitrationAnydisputearisingfromtheexecutionofthisagreementshallbesettledthroughfriendlyconsultations.Incasenosettlementcanbereached,thecaseindisputeshallthenbesubmittedtoarbitrationcommissioninaccordancewithitsProvisionalRulesofProcedure.Thedecisionmadebythiscommissionshallberegardedasfinalandbindinguponbothparties.Arbitrationfeesshallbebornebythelosingparty,unlessotherwiseawarded.19、NoticesAllnoticeshallbewrittenin_____andservedtobothpartiesbyfax/courieraccordingtothefollowingaddresses.Ifanychangesoftheaddressesoccur,onepartyshallinformtheotherpartyofthechangeofaddresswithin____daysafterthechange.20、ThetermsFOB、CFR、CIFintheContractarebasedonINCOTERMS2000oftheInternationalChamberofCommerce.21、ThisContractisin______copies,effectivesincebeingsigned/sealedbybothparties.RepresentativeoftheBuyer(Authorizedsignature):RepresentativeoftheSeller(Authorizedsignature):',)
