('(Translate)No.ofContract:2015XinyuanMortgageNo.173TheMaximumMortgageContractofPettyLoanPlaceofSigning:LonghuaDistrictofHaikouCity(PartyA)Mortgagor:HongsenZHANGResidence:A11AofYitaoPavilion,CoastNo.1,No.1NorthernShimaoRoad,HaikouCityIDNo.:460103198804110632Tel.No.:(PartyB)Mortgagee:HainanXinyuanMicro-CreditCO.,LTD.Address:3rdFloor,HuitaiBuilding,No.3—8ofWesternJinmaoRoad,LonghuaDistrict,HaikouCityLegalRepresentative:ZhaohuaHUANGInordertoensurethatobligationsofborrowerinitemsoftheMaximumMortgageContractofPettyLoan(No.ofcontract:2015XinyuanMortgageNo.173,hereafterreferredasthemaincontract)signedbyHongsenZHANG(hereafterreferredastheborrower)withPartyBaretrulyfulfilled,PartyAiswillingtomortgageitspropertyfortheguaranteeofrepaymentofdebttoPartyB.Toclarifytherightsandobligationsofbothparties,accordingtostateContractLaw,GuaranteeLawandotherrelevantlawsandregulations,thecontractissignedbasedontheagreementmadebybothpartiesthroughequivalentnegotiationsArticle1TheKind,AmountandTermoftheGuaranteedPrincipleClaimTheguaranteedprincipledebtinthiscontractprovidesmaximummortgageguaranteetotheloanstipulatedinthemaincontractsignedbyPartyBandtheborrowerfromAugust(date),2015toAugust(date),2017.AgreementinthemaincontractandthePettyLoanContractunderthemaincontractshallbereferredtowhenitcomestotheamountoftheprincipal,interestrateanddebtmaturityetc.stipulatedinthemaincontractsignedbytheborrowerandPartyB,andthemaximumamountofdebtinmortgageguaranteeisRMB3.6millions.Article2TheScopeofMortgageGuaranteeThescopeofmortgageguaranteeofPartyAincludestheentireprincipalstipulatedinthemaincontract,interest,penaltyinterest,defaultfine,latefees,chargestoenforcethemortgagerightandallotherpayableexpenses.Article3TheDateonWhichthePrincipleClaimStipulatedintheMainContractisAscertainedShallbetheEarliestDateamongtheFollowingOnes1.Thedateonwhichthelastprincipleloanstipulatedinallmaincontractsisgranted;2.Ifthecollateralisseizedorimpoundedduringthemortgageperiod,thedateonwhichthemortgageregistrationauthorityreceivesthedocumentsofseizureorimpoundmentorthedateonwhichPartyAreceivesthenotificationofseizureorimpoundment(theearlierdateamongwhichshallbereferredto);3.ThedateonwhichtheborrowerorPartyAisannouncedbankruptorrevoked;4.ThedateonwhichcircumstancesinItemOneofArticleElevenofthiscontractoccur.Article4CommitmentandStatementofPartyAPartyAisthesole,validandlegalownerofthecollateralstipulatedinthiscontract,andtherearenodisputesrelatedtotheownershiporoperatingmanagementrightinthecollateral.PartyAtotallyunderstandstheuseofloanofthemainborrowerofthemaincontract;PartyAprovidesmortgageguaranteeforthemainborrowerofthemaincontractoutofthefreewillandthedeclarationofwillinthiscontractisgenuine.ThecollateralisnotanecessityforthelivelihoodofPartyB,andPartyBshallnotcounterpleadtheexecutioninthisexcusewhenPartyAdisposesthecollateralaccordingtothecontract.PartyAguaranteesthatthecollateralstipulatedinthiscontractisnotlegallyseized,impoundedorincustodyandthereshallbenorestrictionofrightinthemortgagestipulatedinthecontract.Ifthecollateralhasbeenpartlyorentirelyrented,PartyAshallinformtherenterofthemortgageandnotifyPartyBinwrittenoftherentstatus.Article5CollateralThecollateralshallbereferredtoListofCollateralinAppendix1ofthiscontract.TheagreementoncollateralvalueinAgreementoftheValueofCollateralinAppendix2ofthiscontractshallnotbereferredtoasthevaluationbasiswhenPartyBdisposesthecollateralaccordingtoArticleSevenofthiscontractandshallnotputanyrestrictiontotheexerciseofthemortgagerightofPartyB.Article6MortgageRegistrationPartyAshallcooperatewithPartyBinthelegalmortgageregistrationwithin3workingdaysafterthecontractissigned,andputotherproofofright,theoriginalcopyofmortgageregistrationdocumentsandtheoriginalcopyoftheownershipcertificateofcollateralincustodyofPartyBwithin3workingdaysafterthemortgageregistrationisdone.Article7LossorDestructionandDamageofCollateralFromthedayofthecollateralregistration,ifthecollateralisdestructed,damagedorconfiscated,theinsurancemoney,compensatorypaymentorconsiderationmoneyshallbetransferredintothecustodyofPartyBasthepledgeofcollateral.Ifthetotalofthevalueofthepledgeofcollateralagreedaboveandtheresidualvalueofthecollateralislessthanthecurrentvalueofthecollateral,PartyAshallprovidePartyBwiththeguaranteepropertywiththevalueequivalenttothedeclinedvaluewithin5workingdaysafterthenotificationofthemortgagee.Article8DisposalofCollateralFromthedayofmortgageregistration,PartyAshallnottransferthecollateralwithoutawrittenconsentfromPartyBexceptPartyAprovidesguaranteeacceptedbyPartyBorliquidatesthedebtstipulatedinthemaincontractinadvancetoPartyB.Bythedatetheprincipleclaimisascertained,iftheborrowerhasnotliquidatedthedebttoPartyB,PartyBhastherighttoconvertatdiscount,auctionorselloffthecollateralprovidedbyPartyAandisentitledtothepriorityincompensationfromthepayment.Article9PaymentfromExerciseoftheMortgageRightbyPartyBShallbeAssignedinPriorityoftheFollowingOrder:1.Paymentofchargesrelatedtotheexerciseofthemortgageright(includingbutnotlimitedtoauxiliaryexpenses,lawsuitcostsandattorney’sfees);2.LiquidationofalldebtsandinterestspayableaccordingtotheloancontracttoPartyB;3.Undertakeallguaranteeresponsibilitiesagreedinthecontract;4.Paymentofallchargesagreedinthecontract;5.RefundtoPartyA.Article10RightsandObligationsofPartyA1.Undertakeallexpendituresrelatedtothefulfillmentofthecontractpurposes,includingbutnotlimitedtoexpendituresinevaluation,appraisal,registration,notarization,insurance,custody,transportation,lawsuit,legalserviceandtheauction,sell-offandownershiptransferofthecollateral.2.Duringthemortgageperiod,PartyAshallusethecollateralproperly,takechargeoftherepairandmaintenanceofthecollateral,undertakerelevantfeesandkeepthecollateralintact.PartyBhastherighttosuperviseandexamtheconditionsofthecollateral,andPartyBshallactivelycooperate.Whenthereisormaybeaninfringementfromthethirdpartinthemortgageright,PartyAhasanobligationtonotifyPartyBandtakeactionstopreventtheoccurrenceoflosses.3.Whenthereisormaybeaninfringementfromthethirdpartinthemortgageright,PartyAhasanobligationtonotifyPartyBandhelpPartyBtoavoidtheinfringement.Article11RightsandObligationsofPartyB1.Underthefollowingcircumstances,PartyBhastherighttodisposethecollateralinadvancetoexercisethemortgageright:(1)Theborrowerdoesnotfulfilltheobligationsrelatedtothepaymentoftheprincipal,interestsandotherchargesinalimitedtimeperiodaccordingtothecontract;(2)PartyAbreakstheagreementinthecontractorhasaseriousbreachofcontract;(3)CircumstancesunderwhichtheloanofthemortgageeisfacedwithsignificantriskbecausePartyAortheborrowerisannouncedbankruptorrevokedormakesanarbitraryalterationinthecorporatestructure;(4)CircumstancesthathaveaninfluenceintheinterestofPartyBsuchasPartyA’sbeingorwillbeinginvolvedinasignificantlawsuit(orarbitration)procedure;(5)Theterminationofthemaincontractaccordingtotheagreementinthemaincontractorlawsandregulations;(6)Anadvancingcollectionofloanisrequiredaccordingtotheagreedcircumstancesinthemaincontract,buttherightofthecreditorisnotrealizedornotcompletelyrealized.2.PartyBhastherighttodisposethecollateralstipulatedinthecontractiftheborrowerfailstorepayanyprincipal,interestsorotherchargesstipulatedinthemaincontractintimeinfullamountorthecircumstanceinitem1inarticle11ofthecontractoccursandPartyAfailstoprovidetheguaranteeaccordingtotherequirementsofPartyB.3.TherestofthepaymentcalculatedasthedeductionfromthepaymentfromthedisposalofthecollateralstipulatedinthecontractofthepaymentofalldebtsinmortgageshallberefundedtoPartyA.Article12ResponsibilityforBreachofContractIfPartyAmakesafalsecommitmentorstatementinarticle3ofthiscontract,orputsgreatriskintheexerciseofmortgagerightbyPartyBthroughactionssuchasconcealingthefactthatthecollateralisinvolvedinco-ownership,disputes,reportedloss,advancingwithdrawal,seal-up,impoundment,proceduresforpublicizingnoticeforassertionofclaims,lawsuitsorarbitrationsandmortgagerightsetting,PartyAshallpay5%oftheloanprincipalasdefaultfinetoPartyB.IfthedefaultfineisnotenoughtocompensateforthelossofPartyB,PartyAshallpayfortheexcessamountoftheloss.PartyBhastherighttoexercisemortgagerightinadvanceatanytimeortakeotherremedialmeasuresintermsofthecollectionofthedefaultfine.Afterthecontractcomesintoeffect,bothpartiesshallfulfillresponsibilitiesstipulatedinthecontractandeitherpartythatfailstocarryoutorcompletelycarryoutresponsibilitiesstipulatedinthecontractshallundertaketheresponsibilityforthebreachofcontractandcompensatetheotherpartyforthelosscausedbyit.IfthecontractbecomesinvalidbecauseofthefaultofPartyA,PartyAshallcompensatethePartyBforallthelosswithinthescopeofmortgageguarantee.Article13Validity,Alteration,TerminationandFulfillmentoftheContractThecontractcomesintoeffectfromthedaybothpartiessignandstamp;ifmortgageregistrationisrequired,thecontractcomesintoeffectfromthedaymortgageregistrationisdoneinthemortgageregistrationauthority,andexpiresfromthedaytheloanprincipal,interests,compoundinterests,penaltyinterests,defaultfines,compensatorypayment,chargestofulfilltherightofcreditandallotherpayableexpensesstipulatedinthemaincontractareliquidated.Thiscontractisindependenttothemaincontract,anddoesnotbecomeinvalidwhenthemaincontractbecomesso.Ifthemaincontractbecomesinvalid,PartyAshallbejointlyandseverallyliablewiththeresponsibilityofrepaymentorcompensationcomingwithit.ThetimelimitofmortgageguaranteeistwoyearsandshallbecalculatedfromthedaywhenPartyBdemandsPartyBtofulfilltheresponsibilityofrepaymentorcompensation.Afterthecontractcomesintoeffect,eitherpartyshallarbitrarilyalterthecontractorterminateitinadvance.AnyalterationinorterminationofthecontractshallbebasedonthenegociationbetweenPartyAandPartyBandwrittenagreementshallbemade.Beforethewrittenagreementismade,allarticelsinthecontractremainvalid.Article14DisputesoccurringduringthefulfillmentofthecontractbyPartyAandPartyBshallbesettledthroughnegociationbetweenbothparties;ifdisputescannotbesettledthroughnegociation,eitherpartycanbringlawsuitstothecourtwithjurisdictioninthepalcewherePartyBislocated.PartyAandPartyBcannotorizethecompulsoryenforcementofthecontract;ifthereisab
