('销售合同SALESCONTRCT买方:卖方:Buyer:Seller:住所:住所:Address:Address:法人代表:法人代表：LegalRepresentative:LegalRepresentative:职务(Principalship)：职务(Principalship):电话(Tel):电话(Tel):传真(Fax):传真(Fax):国籍(Nationality):国籍(Nationality):China合同签订地：Placeofsigningcontract:合同编号(ContractNO.):买卖双方在平等、互利原则上，经充分协商一致，按照以下条款和条件签订本合同，以供共同遵守和履行。ThissalescontractismadebyandbetweentheBuyerandtheSelleraftersufficientnegotiationwherebytheBuyeragreestobuyandtheSelleragreestosellonthebasisofequality&mutualbenefit,asspecifiedinaccordancewiththeconditionsstipulatedbelowformutualabidanceandimplementation.第一条货物名称、规格、单位、单价、数量、价款Article1.Commodityname,specification,unit,unitprice,quantityandtotalamount序号Sn.规格Specification品名及材质CommoditynameandMaterial总长度Totallength重量（kg）WtinKgs.12345678910第二条货物生产国别：中国Article2.Placeoforigin:China第三条货物技术、质量要求标准:Article3.Requiredstandardoftechnicalandqualityofthegoods:第四条包装标准、费用承担1货物由卖方根据货物特性、运输方式及长途远洋运行的要求，按照标准，安排包装方式。必须作到防潮，防锈，防护周密，包装紧凑，牢固可靠，开箱方便，经济合理美观大方。确保货物装卸运输、仓储、保管不损不毁不降低质量，费用由卖方承担。由于包装不良而造成货物残损和灭失的应当由卖方负责赔偿。Article4.PackingstandardandallocationofcostsThemodeofpackingongoodswillbearrangedbySellerasperYB/T036·21-92standardaccordingtocharacteristicofthegoods,modeoftransportationandrequirementstolong-distanceoceanshipping.Itmustbedampproof,rustproof,rigorousdefending,compactpacking,fastness&reliable,convenientopening,economic&reasonable,nicelookinganddecent.Makesuretheloading,unloading,transporting,storing,keepingofthegoodstobefreeofdamage,destroyanddebasingquality.ThecostwillbeonSeller’saccount.ThedeformityanddestroytothegoodsduetotheweakpackingshallbeborneandcompensatedbySeller.第五条装运港：中国港目的港：_______________________Article5.Deliveryport:ChineseportDestinationport:_________________第六条装运/SHIPMENT6.1装运船只、装运日期由买方确定。买方确定后通知卖方。卖方按照所确定的船只和装运日期准备货物及办理货物的各种出口手续，费用由卖方承担。Article6.DeliveryvesselanddeliverydateDeliveryvesselanddeliverydatewillbedecidedbyBuyer.TheBuyershallinformthesametoSellerafterconfirmation.TheSellershallpreparethegoodsandtransacttherelatedexportproceduresasperthenominatedvesselanddeliverydate,thecostwillbeonSeller’saccount.6.2装运期限/时间/TimeofShipment:(加具体内容)6.3装运港/Deliveryport:(加具体内容)6.4卸货港/PortofUnloading:(加具体内容)6.5目的港口/Portofdestination:(加具体内容)6.6允许转运/Transshipmentisallowed.6.7允许分批装运/Partialshipmentisallowed.第七条通知货物装上船后，卖方在48小时内以电传方式将货物名称、合同号、货物数量、收（发）货人、货船名称、目的港和货船离港日期通知买方。Article7.NotificationTheSellershallnotifythecommodityname,contractnumber,goodsquantity,consignee(shipper),vesselname,destinationportandvesseldeparturedatetoBuyerbytelexwithin48hoursafterloadingthegoodsonthevessel.第八条货物交付时间地点合同签订后，卖方收到预付款次日起____日内，交付货物。交付地点为中国卖方营业地。Article8.DeliverytimeanddeliveryplaceThesellershalldeliverthegoodswithindaysaftersigningthecontractfromthemorrowofreceivingtheadvancepayment.ThedeliverypaceisSeller’sbusinessplaceinChina.第九条保险货物保险由买方负责，并承担费用。Article9.Insurance2TheBuyerwillbeartheinsuranceofthegoods.ThecostisonBuyer’saccount.第十条付款方式以电汇方式付款。合同签订后次日，买方支付给卖方合同标的价款总额____%的预付款，计人民币______________元（折合美元______________）。余款在货物验收后一次性付清。Article10.TermofpaymentThisbusinesswillbepaidbyT/T.TheBuyerwillpay%ofthecontractamountasadvancepaymenttoSellerafterthemorrowofsigningthecontract,i.e.RMBYuan(convertintoUS$).Thebalancepaymentwillbepaidoffafterinspectingthegoodsbyonetimeonly.第十一条风险承担货物在装船越过船舷前一切费用和风险由卖方承担。当货物越过船舷后一切费用和风险均由买方承担。Article11.AllocationofrisksAllthecostsandrisksbeforeladingandgetacrosstheshipboardarebornebySeller.AllthecostsandrisksafterthegoodsgotacrosstheshipboardarebornebyBuyer.第十二条验收1.验收在装船之前10日内，在卖方营业地进行，由双方指定人员参加。2.验收以合同约定的技术质量要求为标准，卖方提供相关的技术质量资料等单证。3.验收时发现货物不符合约定的，买方有权拒绝验收，并协商解决。对验收情况作出记录，双方签字确认。Article12.Checkandaccept1.ThecheckandacceptwillbeexecutedbynominatedpersonnelofbothpartiesatSeller’sbusinessplacewithin10daysbeforelading.2.Thetechnicalqualityrequirementswhichstipulatedinthecontractwillbelookedasthestandardofthecheckandaccept.TheSellerwillprovidetherelatedtechnicalqualitydatumetc.documents.3.Iffoundthegoodsindiscrepancywiththestipulationswhencheckandaccept,theBuyerholdstherightofrefusingtocheckandaccept.Thequestionshallbesettledthroughnegotiation.Thecircsofthecheckandacceptshallberecordedandsignedbybothpartiesforconfirmation.第十三条违约责任Article13.Breachoffaith(一)卖方违约责任1.卖方未按合同约定质量交付货物的，买方同意利用的，应当按质论价，不同意利用的，卖方给予维修，更换。如果不能维修，更换，买方有权拒收或退货，按不能交货处理。2.卖方未按合同约定数量交付货物的，少交部分应当补齐，补交部分承担迟延交付的违约责任。少交部分买方不再需要的，有权拒收，按不能交货处理。3.卖方迟延交付货物，每迟延一日，按迟延交付货物价款1‰偿付违约金。4.卖方不能交付货物的，应退回货款，造成损失的应当予以赔偿。(I).Seller’sbreachoffaith1.TheSellerdoesn’tdeliverthegoodsasperthestipulatedqualityinthecontract:iftheBuyeragreestoutilize,itshalldiscussthepricesasperthequality.IftheBuyerdoesn’tagreetoutilize,theSellershallundertaketomaintainandexchange.Iffailureonmaintainandexchange,theBuyerholdstherighttorefusetoacceptorreturnbackthegoods.Thatwillbedisposedasnon-delivery.2.IftheSellerdoesn’tdeliverthegoodsasperthestipulatedquantityinthecontract,themissingpartshallbecomplemented.Thecomplementarypartwillbearthebreachoffaithof3delayindelivery.Ifthemissingpartisnolongerneeded,theBuyerholdstherighttorefusetoaccept.Thatwillbedisposedasnon-delivery.3.IfdelayindeliverybytheSeller,1‰valueoftheoverduegoodswillbecompensatedasbreachpenaltyforeachpostponedday.4.IftheSellercannotdeliverthegoods,theyshallreturnthepayment,aswellascompensatethecausedlossduetothiscircs.(二)买方违约责任1.买方中途变更货物数量、质量的，应当协商解决，造成损失的应当予以赔偿。2.买方中途废止合同的，造成损失应当予以赔偿。3.买方无理由拒收货物的，造成损失的应当予以赔偿。4.买方迟延付款，每迟延一日，按迟延付款额1‰偿付违约金。(II)Buyer’sbreachoffaith1.IfvaryingthequantityandqualityofgoodsbytheBuyerinthemidwaycanbesettledthroughnegotiation.AnylosscomesduetothisconditionwillbecompensatedbytheBuyer.2.IftheBuyerdiscontinuesthecontractinthemidway,thelosscomesduetothisconditionwillbecompensatedbytheBuyer.3.IftheBuyerrefusestoacceptthegoodswithoutreason,anylosscomesduetothisconditionwillbecompensatedbytheBuyer.4.IfdelayinpaymentbytheBuyer,1‰amountoftheoverduepaymentwillbecompensatedasbreachpenaltyforeachpostponedday.第十四条违约金、赔偿金等经济赔偿款的支付期限按合同约定，应当偿付的违约金、赔偿金等经济赔偿款的，在明确责任后10日内付清，否则承担迟延付款的违约责任。Article14.Termofpaymentofbreachpenaltyandcompensationmoneyetc.othereconomiccompensationpaymentThepayablebreachpenaltyandcompensationmoneyetc.othereconomiccompensationpaymentstipulatedaccordingtothecontractwillbepaidoffwithin10daysaftertheobligationisclear.Otherwisetheliabilitiesforbreachofcontractfordelayinpaymentwillbeborne.第十五条未尽事宜在履行合同过程中，如有未尽事宜，可协商作出书面补充协议；如果协商不成，则按国际条约、协议、惯例和中国法律执行。Article15.UnexhaustedmattersIfthereareanyunexhaustedmattersduringtheimplementationofthecontract,theSellerandtheBuyercanmakethewrittencomplementaryagreementthroughnegotiation.Iffailureonsettledbynegotiation,itshallbecarriedoutaccordingtointernationaltreaty,agreement,traditionandChineselaw.第十六条不可抗力在履行合同期间内，由于不可抗力的原因，不能履行合同，应立即通知对方，并在20日内向对方出具有权机关出具的事故说明书，但视情况可部分或者全部免除违约责任。但应当采取措施尽量减少损失。Article16.Force-MajeureIfsomethinghappensduetoforce-majeureandresultinoneofthepartiescannotcarryoutthecontractduringexecution,thispartyshallinformtheotherpartyimmediately.Buttheaccidentexplanationdocumentwhichissuedbytherelatedcompetentauthoritiesmustbeshowedtotheotherpartywithin20days.Itcanpartlyortotallyrelievetheresponsibilityofbreachoffaithdependsontheinstance.Butsomemeasuresshallbeappliedtoreducethelossatmost.第十七条法律适用与仲裁条款GOVERNINGLAWANDARBITRATION417.1本合同，包括但不限于其订立、有效性、解释、履行以及争议的解决，应适用中华人民共和国法律，并排除其冲突法规则的适用。17.1TheContract,includingwithoutlimitationitsconclusion,validity,construction,performanceandsettlementofthedisputes,shallbegovernedbythelawofPeople’sRepublicofChina,withoutgivingeffecttotheprinciplesofconflictoflaw.17.2与本合同相关的，或由此产生的任何争议，应先由双方友好协商解决。如双方无法通过友好协商解决的，该争议应提交中国国际经济贸易仲裁委员会华南分会根据提起仲裁时有效的仲裁规则进行仲裁。仲裁应在中国深圳进行。仲裁裁决时终局的并对双方具有约束力。除非仲裁委员会另行裁决，仲裁费用应由败诉方承担。17.2Anydisputearisingfrom,orinconnectionwiththeContractshallbefirstsettledthroughfriendlynegotiationbybothParties.IncasenosettlementtodisputescanbereachedthroughamicablenegotiationbybothParties,thedisputesshallthenbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissionSouthChinaSub-commissionforarbitrationinaccordancewithitsArbitrationRulesinforceatthetimeofapplicationforarbitration.ThearbitrationshallproceedinShenzhen,P.R.China.ThearbitralawardisfinalandbindinguponbothParties.ThearbitrationfeesshallbebornebythelosingPartyexceptotherwiseawardedbythearbitrationcommission.17.3在法律许可最大程度内，仲裁过程以及仲裁裁决应保密，以便于保护相关有价值信息或者知识产权。Tothefullestextentpermittedbylaw,thisarbitrationproceedingandthearbitrator’sawardshallbemaintainedinconfidencebythePartiessoastoprotectrelevantvaluableinformationorintellectualpropertyrights.17.4在仲裁过程中，除正在进行仲裁的事项，双方应继续履行合同下各自的其它义务。Notwithstandinganyreferencetoarbitration,bothPartiesshallcontinuetoperformtheirrespectiveobligationsundertheContractexceptforthosemattersunderarbitration.第十九条采用文字本合同采用中英两种文字，均具有同等法律效力，如果两种文字解释不一致的，以中文为准。ThereareChinese(English)originalcontractsmaderespectivelyinChineseandinEnglish,bothofwhichareofthesameeffect.Whereanydifferenceordifferencesappearbetweenthesetwotexts,theChineseoriginalshallbetakenastheauthoritative.第二十条生效条款/Effectiveness本合同自双方签字之日起生效。ThisContractshallbeeffectiveasofthedatewhentheContractissignedbytheauthorizedrepresentativeofbothparties.本合同正本一式二份，买卖双方各执一份（传真件与本合同具有同等法律效力）。Theoriginalofthiscontractisconcludedinduplicates,BuyerandSellerwillholdoneshareseparately.(Thefaxcopyandthiscontractasthecoequallaweffect)买方:卖方:Buyer:Seller:法律顾问：法律顾问：Counselor:Counselor:法定代表人：法定代表人：LegalRepresentative:LegalRepresentative:5电话(Tel):电话(Tel):传真(Fax):传真(Fax):年月日6',)
