('AMERICANIZEDWELSHCOALCHARTERIssuedbytheAssociationofShipBrokersandAgents(U.S.A),Inc.NewYork-1953;Amended1979;Revised1993THISCHARTERPARTY,madeandconcludedinSHENZHENthis5thdayofDec.2009.BetweenATLANTICSHIPPINGLTDandPINGXIANGHUATIETRADECO.,LTD.OwnersofthePanama(flag)VesselMVOCEANMERRY,built1982(year)atJapan(where)Of61,347tonsof1000kilostotaldeadweightonsummerfreeboard,inclusiveofbunkers,classedinandregisteredatunderNoTheVessel\'slengthoverallisandbeamis32.20m.TheVessel\'sfullyladendraftonsummer13.02mSSW,freeboardisnowandCharterersPINGXIANGHUATIETRADECO.,LTDofthecityofGuangxi,China1.LoadingPort(s)/DischargingPort(s)ThatthesaidVesselbeingtight,staunchandstrong,andineverywayfitforthevoyage,shall,withallconvenientspeed,proceedto1SBPTarahan,BandarLampung,Sumatera,Indonesia,andthereload,alwaysafloat,andinthecustomarymannerfromtheCharterers,insuchsafeberthastheyshalldirect,afullandcompletecargoofcoalinbulktons%moreorlessintheOwners\'option;andbeingsoloaded,shalltherefromproceed,withallconvenientspeed,toHAIMEN(SHANTOU)OFGUANGDONG,CHINAorsonearthereuntoasshecansafelyget,andtheredeliverhercargo,asorderedbytheCharterers,whereshecansafelydeliverit,alwaysafloat,onhavingbeenpaidfreightattherateofUSD12PMTonbillofladingquantity.)Deleteasappropriate2.FreightPaymentTheFREIGHTshallbepaidin3.Notices&LoadingPortOrderTheMastershallgivetheCharterers(telegraphicaddress"",TelexNo,FaxNo)anddaysnoticeofthedateoftheVessel\'sexpectedreadinesstoload,andapproximatequantityofcargorequiredwiththedaynotice.TheCharterersshallbekeptadvisedbyanyformoftelecommunicationofanyalterationsinthatdate,asandwhenknown.TheCharterersshalldeclarefirstorsoleloadingportonreceiptoftheMaster\'sdaynotice,unlessdeclaredearlier.4.DischargingPortOrdersTheMastershallapplytotheCharterersbyanyformoftelecommunicationfordeclarationofthefirstorsoledischargingport96hoursbeforetheVesselisdueoff/atandtheyaretodeclaresametotheMasternotlaterthan48hoursfollowingreceiptoftheMaster\'sapplication.5.Laydays/CancellingLaytimeforloadingshallnotcommencebefore0800onthedayofShouldtheVessel\'snoticeofreadinessnothavebeentenderedinaccordancewithClause6,before1700onthedayof,theCharterersshallhavetheoptionofcancellingthisCharterParty,notlaterthanonehourafterthesaidnoticehasbeentendered.Thesaidcancellingdateshallbeextendedbyasmanydays(roundedtothenearestday)astheCharterersshallhavefailedtogiveloadingportordersasprovidedinClause3hereabove,withoutprejudicetotheOwners\'claimfordetention.IftheOwnerswarrantthat,despitetheexerciseofduediligencebytheOwners,theVesselwillnotbereadytotendernoticeofreadinessbythecancellingdate,andprovidedtheOwnersareabletostatewithreasonablecertaintythedateonwhichtheVesselwillbeready,theymay,attheearliestsevendaysbeforetheVesselisexpectedtosailfortheportorplaceofloading,requiretheChartererstodeclarewhetherornottheywillcanceltheCharter.ShouldtheChartererselectnottocancel,orshouldtheyfailtoreplywithinsevendaysorbythecancellingdate,whichevershallfirstoccur,thentheseventhdayaftertheexpecteddateofreadinessforloadingasnotifiedbytheOwnersshallreplacetheoriginalcancellingdate.ShouldtheVesselbefurtherdelayed,theOwnersshallbeentitledtorequirefurtherdeclarationsoftheCharterersinaccordancewiththisClause.6.TimeCounting(a)NoticeoftheVessel\'sreadinesstoloadanddischargeatthefirstorsoleportshallbetenderedinwritingtotheCharterersbetween0800and1700onMondaystoFridaysandbetween0800and1200onSaturdays.Followingtenderofnoticeofreadiness,laytimeshallcommence12hoursthereafter,unlesstheVessel\'sloadingordischarginghassoonercommenced.SuchnoticeofreadinessshallbetenderedwhentheVesselisintheloadingordischargingberth,ifavailable,andisinallrespectsreadytoloadordischargethecargo,unlesstheberthisnotavailableontheVessel\'sarrival,whereupontheMastermaytenderthesaidnoticefromalayberthoranchoragewithintheportlimits.(b)IftheVesselispreventedfromenteringtheportlimitsbecausethefirstorsoleloadingordischargingberth,oralayberthoranchorageisnotavailable,orontheorderoftheCharterersoranycompetentofficialbodyorauthority,andtheMasterwarrantsthattheVesselisphysicallyreadyinallrespectstoloadordischarge,hemaytendernotice,byradio,ifdesired,fromtheusualanchorageoutsidetheportlimits,whetherinfreepratiqueornot,and/orwhethercustomsclearedornot.IfafterenteringtheportlimitstheVesselisfoundnottobeready,thetimelostfromthediscoverythereof,untilsheisready,shallnotcountaslaytime,ortimeondemurrage.(c)OncetheloadingordischargingberthbecomesavailablelaytimeortimeondemurrageshallceaseuntiltheVesselisintheberth,andshiftingexpensesshallbefortheOwners\'account.(d)SubsequentPorts-Atsecondorsubsequentportsofloadingand/ordischarging,laytimeortimeondemurrageshallresumecountingfromtheVessel\'sarrivalinloadingordischargingberth,ifavailable,orifunavailable,fromthearrivaltimewithinoroutsidetheportlimits,asprovidedinparagraph(a)supra.7.Laytime(a)TheVesselshallbeloadedattheaveragerateoftonsof1000kilosperday,orpro-rataforanypartofaday,orwithinrunningdays,bothoftwenty-fourconsecutivehours,weatherpermitting,SundaysandHolidaysexcepted/included,anddischargedattheaveragerateoftonsof1000kilosperday,orpro-rataforanypartofaday,orwithinrunningdays,bothoftwentyfourconsecutivehours,weatherpermitting,SundaysandHolidaysexcepted/included.DaysPurposes(b)Vesselshallbeloadedanddischargedwithindaysoftwenty-fourconsecutivehours,weatherpermitting,SundaysandHolidaysexcepted/includedatloading,andexcepted/includedatdischarge.(c)Timeusedinloadinganddischargingduringexceptedperiods,ifany,shallcountaslaytime.Non-reversiblelaytime(d)Incasesofseparatelaytimeforloadinganddischarging,laytimeshallbenon-reversible.)Deleteasappropriate8.ExceptionsTheOwnersshallbeboundbeforeandatthebeginningofthevoyagetoexerciseduediligencetomaketheVesselseaworthy,andtohaveherproperlymanned,equippedandsupplied,andneithertheVessel,northeMaster,orOwnersshallbe,orshallbeheldliableforanylossof,ordamage,ordelaytothecargoforcausesexceptedbytheHagueRules,ortheHague-VisbyRules,whereapplicable.NeithertheVessel,herMasterorOwners,northeCharterersshall,unlessotherwiseexpresslyprovidedinthisCharterParty,beresponsibleforlossordamageto,orfailuretosupply,load,dischargeordeliverthecargoresultingfrom:ActofGod,actofwar,actofpublicenemies,piratesorassailingthieves;arrestorrestraintofprinces,rulersorpeople;embargoes;seizureunderlegalprocess;providedbondispromptlyfurnishedtoreleasevesselorcargo;floods;frosts;fogs;fires;blockades;riots;insurrections;civilcommotions;earthquakes;explosions;collisions;strandingsandaccidentsofnavigation;accidentsattheminesortomachineryortoloadingequipment;oranyothercausesbeyondtheOwners\'ortheCharterers\'control;alwaysprovidedthatsucheventsdirectlyaffecttheloadingand/ordischargingprocessoftheVessel,anditsperformanceunderthisCharterParty.9.StrikesIntheeventoflossoftimetotheVesseldirectlyaffectingtheloadingordischargingofthiscargo,causedbyastrikeorlockoutofanypersonnelconnectedwiththeproduction,mining,oranyessentialinlandtransportofthecargotobeloadedordischargedinto/fromthisVesselfrompointoforigin,upto,andincludingtheactualloadinganddischargingoperations,orbyanypersonnelessentialtotheactualloadinganddischargingofthecargo,halfthelaytimeshallcountduringsuchperiods,providedalwaysthatnoneoftheaforementionedeventsdidexistatthedateofthecharterparty.IfatanytimeduringthecontinuanceofsuchstrikesorlockoutstheVesselgoesondemurrage,saiddemurrageshallbepaidathalftheratespecifiedinClause10,hereunder,untilsuchtimeasthestrikeorlockoutterminates;thencefulldemurrageunlesstheVesselwasalreadyondemurragebeforethestrikebrokeout,inwhichcasefulldemurrageshallbepaidforitsentireperiod.10.Demurrage/DespatchDemurrage,ifincurred,atloadingand/ordischargingport(s),shallbepaidbytheChartererstotheOwnersattherateofperday,orpro-rataforpartofaday.DespatchmoneyshallbepaidbytheOwnerstotheCharterersathalfthedemurragerateforalllaytimesaved.11.CostofLoadingandDischargingThecargoshallbeloaded,dumped,spouttrimmed,anddischargedbyCharterers\'/Receivers\'stevedoresfreeofriskandexpensetotheVessel,underthesupervisionoftheMaster.Shouldthestevedoresrefusetofollowhisinstructions,theMastershallprotesttotheminwritingandshalladvisetheCharterersimmediatelythereof.12.Overtime(a)Expenses(i)Allovertimeexpensesatloadinganddischargingportsshallbeforaccountofthepartyorderingsame.(ii)Ifovertimeisorderedbyportauthoritiesorthepartycontrollingtheloadingand/ordischargingterminalorfacilityallovertimeexpensesshallbeequallysharedbetweentheOwnersandtheCharterers/Receivers.(iii)OvertimeexpensesfortheVessel\'sofficersandcrewshallalwaysbefortheOwners\'account.(b)TimeCountingIfovertimeworkorderedbytheOwnersbeperformedduringperiodsexceptedfromlaytimetheactualtimeusedshallcount;iforderedbytheCharterers/Receivers,theactualtimeusedshallnotcount;iforderedbyportauthoritiesorthepartycontrollingtheloadingand/ordischargingterminalorfacilityhalftheactualtimeusedshallcount.)Deleteasappropriate13.Opening&ClosingHatchesOpeningandclosingofhatchesatcommencementandcompletionofloadinganddischargingshallbefortheOwners\'accountandtimesousedisnottocount.AllotheropeningandclosingofhatchesshallbefortheCharterers\'accountandtimesousedshallcount.14.SeaworthyTrimCharterersshallleavetheVesselinseaworthytrimandwithcargoonboardsafelystowedtoMaster\'ssatisfactionbetweenloadingberths/portsandbetweendischargingberths/ports,respectively;anyexpensesresultingtherefromshallbeforCharterers\'accountandanytimeusedshallcount.15.ShiftingIfmorethanoneberthofloadinganddischarginghasbeenagreed,andused,costsofshifting,includingcostofbunkersused,shallbefortheCharterers\'account,timecounting.16.LighterageShouldtheVesselbeorderedtodischargeataplacewherethereisinsufficientwaterfortheVesseltoreachitinthefirsttideafterherarrivalthere,withoutlighteningandliealwaysafloat,laytimeshallcountasperClause6atasafeanchorageorlighteningplaceforsimilarsizevesselsboundforsuchaplace,andanylighterageexpensesincurredtoenablehertoreachtheplaceofdischargeshallbefortheCharterers\'account,anycustomoftheporttothecontrarynotwithstanding.Timeoccupiedinproceedingfromthelighteningplacetothedischargingberthshallnotcountaslaytimeortimeondemurrage.17.AgentsTheVesselshallbeconsignedtoagentsatport(s)ofloading,andtoagentsatport(s)ofdischarge.18.ExtraInsuranceonCargoAnyextrainsuranceoncargo,incurredowingtoVessel\'sage,class,flag,orownershiptobeforOwners\'accountuptoamaximumofandmaybedeductedfromthefreightintheCharterers\'option.TheCharterersshallfurnishevidenceofpaymentsupportingsuchdeduction.19.StevedoreDamage(a)AnydamagecausedbystevedoresshallbesettleddirectlybetweentheOwnersandthestevedores.(b)IncasetheOwnersareunsuccessfulinobtainingcompensationfromthestevedoresfordamageforwhichtheyarelegallyliable,thentheCharterersshallindemnifytheOwnersforanysumssodueandunpaid.)Sub-clause(b)isoptionalandshallapplyunlessdeleted.20.DeviationShouldtheVesseldeviatetosaveorattempttosavelifeorpropertyatsea,ormakeanyreasonabledeviation,thesaiddeviationshallnotbedeemedtobeaninfringementorbreachofthisCharterParty,andtheOwnersshallnotbeliableforanylossordamageresultingtherefromprovided,however,thatifthedeviationisforthepurposeofloadingorunloadingcargoorpassengers,itshall"primafacie",beregardedasunreasonable.21.LienandCesserTheCharterers\'liabilityunderthisCharterPartyshallceaseoncargobeingshipped,exceptforpaymentoffreight,deadfreightanddemurrage,andexceptforallothermattersprovidedforinthisCharterPartywheretheCharterers\'responsibilityisspecified.TheOwnersshallhavealienonthecargoforfreight,deadfreight,demurrageandgeneralaveragecontributionduetothemunderthisCharterParty.22.BillsofLadingThebillsofladingshallbepreparedinaccordancewiththedockorrailwayweightandshallbeendorsedbytheMaster,agentorOwners,weightunknown,freightandallconditionsasperthisCharter,suchbillsofladingtobesignedattheCharterers\'orshippers\'officewithintwentyfourhoursaftertheVesselisloaded.TheMastershallsignacertificatestatingthattheweightofthecargoloadedisinaccordancewithrailwayweightcertificate.TheCharterersaretoholdtheOwnersharmlessshouldanyshortageoccur.23.GrabDischargeNocargoshallbeloadedinanycargocompartmentinaccessibletoreachbygrabs.24.ProtectiveclausesThisCharterPartyissubjecttothefollowingclausesallofwhicharealsotobeincludedinallbillsofladingissuedhereunder:(a)"CLAUSEPARAMOUNT:ThisbillofladingshallhaveeffectsubjecttotheprovisionsoftheCarriageofGoodsbySeaActoftheUnitedStates,theHagueRules,ortheHague-VisbyRules,asapplicable,orsuchothersimilarnationallegislationasmaymandatorilyapplybyvirtueoforiginordestinationofthebillsoflading,whichshallbedeemedtobeincorporatedhereinandnothinghereincontainedshallbedeemedasurrenderbythecarrierofanyofitsrightsorimmunitiesoranincreaseofanyofitsresponsibilitiesorliabilitiesundersaidapplicableAct.IfanytermofthisbillofladingberepugnanttosaidapplicableActtoanyextent,suchtermshallbevoidtothatextent,butnofurther."and(b)"NEWBOTH-TO-BLAMECOLLISIONCLAUSE:Iftheshipcomesintocollisionwithanothershipasaresultofthenegligenceoftheothershipandanyact,neglectordefaultofthemaster,mariner,pilotortheservantsofthecarrierinthenavigationorinthemanagementoftheship,theownersofthegoodscarriedhereunderwillindemnifythecarrieragainstalllossorliabilitytotheotherornon-carryingshiporherownersinsofarassuchlossorliabilityrepresentslossof,ordamageto,oranyclaimwhatsoeveroftheownersofsaidgoods,paidorpayablebytheotherornon-carryingshiporherownerstotheownersofsaidgoodsandsetoff,recoupedorrecoveredbytheotherornon-carryingshiporherownersaspartoftheirclaimagainstthecarryingshiporcarrier.Theforegoingprovisionsshallalsoapplywheretheowners,operatorsorthoseinchargeofanyshiporshipsorobjectsotherthan,orinadditionto,thecollidingshipsorobjectsareatfaultinrespecttoacollisionorcontact".and(c)"NEWJASONCLAUSE:Intheeventofaccident,danger,damageordisasterbeforeoraftercommencementofthevoyage,resultingfromanycausewhatsoever,whetherduetonegligenceornot,forwhich,orfortheconsequencesofwhich,thecarrierisnotresponsible,bystatute,contractorotherwise,thegoods,shippers,consigneesorownersofthegoodsshallcontributewiththecarrieringeneralaveragetothepaymentofanysacrifices,lossesorexpensesofageneralaveragenaturethatmaybemadeorincurred,andshallpaysalvageandspecialchargesincurredinrespectofthegoods.Ifasalvingshipisownedoroperatedbythecarrier,salvageshallbepaidforasfullyasifsuchsalvingshiporshipsbelongedtostrangers.Suchdepositasthecarrierorhisagentsmaydeemsufficienttocovertheestimatedcontributionofthegoods,andanysalvageandspecialchargesthereonshall,ifrequired,bemadebythegoods,shippers,consigneesorownersofthegoodstothecarrierbeforedelivery".and(d)"PROTECTIONANDINDEMNITYBUNKERINGCLAUSE:TheVesselinadditiontoallotherlibertiesshallhavelibertyaspartofthecontractvoyageandatanystagethereoftoproceedtoanyportorportswhatsoeverwhethersuchportsareonoroffthedirectand/orcustomaryrouteorroutestotheportsofloadingordischargenamedinthisCharterandtheretakeoilbunkersinanyquantityinthediscretionoftheOwnerseventothefullcapacityoffueltanks,deeptanksandanyothercompartmentinwhichoilcanbecarriedwhethersuchamountisorisnotrequiredorthecharteredvoyage".25.IceClauseLoadingPort(a)IftheVesselcannotreachtheloadingportbyreasonoficewhensheisreadytoproceedfromherlastport,oratanytimeduringthevoyage,oronherarrival,oriffrostsetsinafterherarrival,theMaster-forfearoftheVesselbeingfrozenin-isatlibertytoleavewithoutcargo;insuchcasesthisCharterPartyshallbenullandvoid.(b)Ifduringloading,theMaster,forfearoftheVesselbeingfrozenin,deemsitadvisabletoleave,hehasthelibertytodosowithwhatcargohehasonboardandtoproceedtoanyotherportwithoptionofcompletingcargofortheOwners\'ownaccounttoanyportorportsincludingtheportofdischarge.AnypartcargothusloadedunderthisCharterPartytobeforwardedtodestinationattheVessel\'sexpenseagainstpaymentoftheagreedfreight,providedthatnoextraexpensesbetherebycausedtotheConsignees,freightbeingpaidonquantitydelivered(inproportioniflumpsum),allotherconditionsasperCharterParty.(c)Incaseofmorethanoneloadingport,andifoneormoreoftheportsareclosedbyice,theMasterorOwnerstobeatlibertyeithertoloadthepartcargoattheopenportandfillupelsewherefortheOwners\'ownaccountasundersub-clause(b)ortodeclaretheCharterPartynullandvoidunlesstheCharterersagreetoloadfullcargoattheopenport.VoyageandDischargingPort(d)ShouldicepreventtheVesselfromreachingtheportofdischarge,theCharterers/ReceiversshallhavetheoptionofkeepingtheVesselwaitinguntilthere-openingofnavigationandpayingdemurrageoroforderingtheVesseltoasafeandimmediatelyaccessibleportwhereshecansafelydischargewithoutriskofdetentionbyice.Suchorderstobegivenwithin48hoursaftertheOwnersorMasterhavegivennoticetotheCharterers/Receiversofimpossibilityofreachingportofdestination.(e)Ifduringdischarging,theMaster,forfearoftheVesselbeingfrozenin,deemsitadvisabletoleave,hehaslibertytodosowithwhatcargohehasonboardandtoproceedtothenearestsafeandaccessibleport.SuchporttobenominatedbytheCharterers/Receiversassoonaspossible,butnotlaterthan24runninghours,Sundaysandholidaysexcluded,ofreceiptoftheOwners\'requestfornominationofasubstitutedischargingport,failingwhichtheMasterwillhimselfchoosesuchport.(f)Ondeliveryofthecargoatsuchport,allconditionsoftheBillofLadingshallapplyandtheOwnersshallreceivethesamefreightasiftheVesselhaddischargedattheoriginalportofdestination,exceptthatifthedistancetothesubstituteportexceeds100nauticalmilesthefreightonthecargodeliveredatthatporttobeincreasedinproportion.26.GeneralAverageGeneralaverageshallbeadjustedaccordingtoYork-AntwerpRules1974,asamended1990,oranysubsequentmodificationthereof,in,andsettledincurrency.27.WarRisks1.TheMastershallnotberequiredorboundtosignBillsofLadingforanyblockadedportorforanyportwhichtheMasterorOwnersinhisortheirdiscretionconsiderdangerousorimpossibletoenterorreach.2.(A)IfanyportofloadingorofdischargenamedinthisCharterPartyortowhichtheVesselmayproperlybeorderedpursuanttothetermsoftheBillsofLadingbeblockaded,or(B)Ifowingtoanywar,hostilities,warlikeoperations,civilwar,civilcommotions,revolutions,ortheoperationofinternationallaw(a)entrytoanysuchportofloadingorofdischargeortheloadingordischargeofcargoatanysuchportbeconsideredbytheMasterorOwnersinhisortheirdiscretiondangerousor(b)itbeconsideredbytheMasterorOwnersinhisortheirdiscretiondangerousorimpossiblefortheVesseltoreachanysuchportofloadingorofdischarge-theCharterersshallhavetherighttoorderthecargoorsuchpartofitasmaybeaffectedtobeloadedordischargedatanyothersafeportofloadingorofdischargewithintherangeofloadingordischargingportsrespectivelyestablishedundertheprovisionsoftheCharterParty(providedsuchotherportisnotblockadedorthatentrytheretoorloadingordischargeofcargothereatisnotintheMaster\'sorOwners\'discretiondangerousorprohibited).IfinrespectofaportofdischargenoordersbereceivedfromtheChartererswithin48hoursaftertheyortheiragentshavereceivedfromtheOwnersarequestforthenominationofasubstituteport,theOwnersshallthenbeatlibertytodischargethecargoatanysafeportwhichtheyortheMastermayintheirorhisdiscretiondecideon(whetherwithintherangeofdischargingportsestablishedundertheprovisionsoftheCharterPartyornot)andsuchdischargeshallbedeemedtobeduefulfillmentofthecontractorcontractsofaffreightmentsofarascargosodischargedisconcerned.IntheeventofthecargobeingloadedordischargedatanysuchotherportwithintherespectiverangeofloadingordischargingportsestablishedundertheprovisionsoftheCharterParty,theCharterPartyshallbereadinrespectofthefreightandallotherconditionswhatsoeverasifthevoyageperformedwerethatoriginallydesignated.Intheevent,however,thattheVesseldischargesthecargoataportoutsidetherangeofdischargingportsestablishedundertheprovisionsoftheCharterParty,freightshallbepaidforasforthevoyageoriginallydesignatedandallextraexpensesinvolvedinreachingtheactualportofdischargeand/ordischargingthecargothereatshallbepaidbytheCharterersorcargoowners.InthislattereventtheOwnersshallhavealienonthecargoforallsuchextraexpenses.3.TheVesselshallhavelibertytocomplywithanydirectionsorrecommendationsastodeparture,arrival,routes,portsofcall,stoppages,destinations,zones,waters,deliveryorinanyotherwisewhatsoevergivenbythegovernmentofthenationunderwhoseflagtheVesselsailsoranyothergovernmentorlocalauthorityincludinganydefactogovernmentorlocalauthorityorbyanypersonorbodyactingorpurportingtoactasorwiththeauthorityofanysuchgovernmentorauthorityorbyanycommitteeorpersonhavingunderthetermsofthewarrisksinsuranceontheVesseltherighttogiveanysuchdirectionsorrecommendations.Ifbyreasonoforincompliancewithanysuchdirectionsorrecommendations,anythingisdoneorisnotdonesuchshallnotbedeemedadeviation.IfbyreasonoforincompliancewithanysuchdirectionsorrecommendationstheVesseldoesnotproceedtotheportorportsofdischargeoriginallydesignatedortowhichshemayhavebeenorderedpursuanttothetermsoftheBillsofLading,theVesselmayproceedtoanysafeportofdischargewhichtheMasterorOwnersinhisortheirdiscretionmaydecideonandtheredischargethecargo.SuchdischargeshallbedeemedtobeduefulfilmentofthecontractorcontractsofaffreightmentandtheOwnersshallbeentitledtofreightasifdischargehasbeeneffectedattheportorportsoriginallydesignatedortowhichtheVesselmayhavebeenorderedpursuanttothetermsoftheBillofLading.AllextraexpensesinvolvedinreachinganddischargingthecargoatanysuchotherportofdischargeshallbepaidbytheCharterersand/orcargoownersandtheOwnersshallhavealienonthecargoforfreightandallsuchexpenses.28.Duesand/orTaxes29.TransferTheCharterersshallhavetheprivilegeoftransferringpartorwholeoftheCharterPartytoothers,guaranteeingtotheOwnersduefulfillmentofthisCharterParty.30.AddressCommissionAnaddresscommissionof%ongrossfreight,deadfreight,anddemurrageisduetotheCharterersatthetimethesearepaid,Vessellostornotlost.TheCharterersshallhavetherighttodeductsuchcommissionsfromsuchpayments.31.BrokerageCommissionAbrokeragecommissionof%ongrossfreight,deadfreightanddemurrageispayablebytheOwnerstoatthetimeoftheOwnersreceivingthesepayments.32.Arbitration(a)NEWYORKAlldisputesarisingoutofthiscontractshallbearbitratedatNewYorkinthefollowingmanner,andsubjecttoU.S.Law:OneArbitratoristobeappointedbyeachofthepartiesheretoandathirdbythetwosochosen.Theirdecisionorthatofanytwoofthemshallbefinal,andforthepurposeofenforcinganyaward,thisagreementmaybemadearuleofcourt.TheArbitratorsshallbecommercialmen,conversantwithshippingmatters.SuchArbitrationistobeconductedinaccordancewiththerulesoftheSocietyofMaritimeArbitratorsInc.FordisputeswherethetotalamountclaimedbyeitherpartydoesnotexceedUS$thearbitrationshallbeconductedinaccordancewiththeShortenedArbitrationProcedureoftheSocietyofMaritimeArbitratorsInc.(b)LONDONAlldisputesarisingoutofthiscontractshallbearbitratedatLondonand,unlessthepartiesagreeforthwithonasingleArbitrator,bereferredtothefinalarbitramentoftwoArbitratorscarryingonbusinessinLondonwhoshallbemembersoftheBalticMercantile&ShippingExchangeandengagedinShipping,onetobeappointedbyeachoftheparties,withpowertosuchArbitratorstoappointanUmpire.NoawardshallbequestionedorinvalidatedonthegroundthatanyoftheArbitratorsisnotqualifiedasabove,unlessobjectiontohisactionbetakenbeforetheawardismade.AnydisputearisinghereundershallbegovernedbyEnglishLaw.FordisputeswherethetotalamountclaimedbyeitherpartydoesnotexceedUS$367thearbitrationshallbeconductedinaccordancewiththeSmallClaimsProcedureoftheLondonMaritimeArbitratorsAssociation.Delete(a)or(b)asappropriateWherenofigureissuppliedintheblankspacethisprovisiononlyshallbevoidbuttheotherprovisionsofthisclauseshallhavefullforceandremainineffect.',)
