("编号：___________________进口代理合同甲方：________________________________乙方：________________________________签订日期：________年_______月_______日甲方：_____________________________________PartyA:______________________Co.,Ltd.乙方：_____________________________________PartyB:______________________Co.,Ltd经甲乙双方共同协商，就甲方_______________________________委托乙方代理清关、运输等事宜，达成协议如下：Throughfriendlynegotiation,aboutPartyAentrustingPartyBasPartyA'sagentofcustomsclearanceandshipmentof_________________________,aswellas_______________________thingsrelated,PartyAandPartyBhasreachedthefollowingagreement:第一条：委托事项Article1:ItemsofTrust甲方的_________________________委托乙方代理的行为，由乙方登记建档，随时接受海关稽查，双方必须遵守《海关法》和其他相关的法律法规。TheactionthatPartyAentrustsPartyBasitsconsigneeshallberegisteredandfiledbyPartyBforthesakeofcustomsinspectionatanytime,andbothPartiesshallabidebyTheCustomsLawandothercorrespondinglawsandregulations.第二条：甲方的责任和义务Article2:PartyA'sResponsibilitiesandObligations1.___________________________甲方在货物运抵口岸前向乙方提供报关合同、报关发票、委托书及货物流向等报关所需文件和相关资料。__________运单收货人及到站地址需准确无误，如因甲方提供运单、文件及收货人等单证不齐、有误造成不能及时通关，产生的滞留费、变更费及口岸相关费用由甲方承担。1.PartyAshallprovidecustomsclearancedocumentsandmaterials,suchascontract,invoice,proxyanddistributiondestination,andsoon,toPartyBbeforegoodsarriveshallbeaccuratewithoutanymistake.PartyAshallcoverretentioncharge,changefeeandalternationcostcausedbydelayedcustomsclearance,incasethedelayedcustomsclearancearecausedbyincomplete,wrongdocuments,suchasdeliverysheet,filesandconsignee,providedbyPartyA.2.货物进入中国口岸前，甲方必须把所需资金一次性转入乙方指定账户，用于交纳货物通关等各项费用。2.PartyAshalltransfermoneyrequired,whichshallbeusedascustomsclearancefee,intothedesignatedaccountofPartyBatatimebeforegoodsarriveinChina.3.如因甲方资金原因所产生的口岸滞留、仓储、海关滞报等费用，由甲方承担。3.PartyAshallcoverthefeesofportretention,storageanddelayeddeclaration,incasethefeesarecausedbyPartyA'sfinancialmatter.第三条：乙方的责任和义务Article3:PartyB'sResponsibilitiesandObligations1.乙方负责审核甲方提供的合同及文件等单证是否齐全、有效。1.PartyBshallberesponsibleforauditingwhetherdocuments,likecontractandfiles,providedbyPartyAarecompleteandvalidornot.2.由于乙方对合同条款执行不力，或因不能及时办理清关手续给甲方造成损失，甲方有权向乙方追索给甲方造成的损失。2.PartyAshallhavetherighttoclaimcompensationondamagecausedbyPartyB'sinsufficientexecutionanddelayedcustomsclearanceprocedure.3.乙方在办理甲方所委托业务时，按每柜收取费用。3.PartyBshallchargebypercontainerwhenprocessingtheentrustbusiness.4.乙方负责代理甲方报关、运输等工作，如因乙方原因未能及时报送、发运所产生的口岸滞留、仓储、报关滞报费用由乙方承担。4.PartyBshallberesponsibleforcustomsclearance，shipmententrusted，andsoonbyPartyA.PartyBshallcoverthecostofportretention,storageanddelayedcustomsclearance,incasethesituationofdelayedcustomsclearanceandshipmentarecausedbyPartyB.5.乙方应及时向甲方提供到货及发运情况，包括：数量、发运时间等。5.PartyBshallprovideinformationaboutarrivalandshipmentstatus,includingquantities,deliveringtime,andsoon.第四条：在执行本协议过程中，甲乙双方发生纠纷应共同协商解决，协商不能达成一致时可通过法律途径解决。Article4:Intheeventofanydisputeordifferenceofopinion,bothpartiesshallusetheirbesteffortstosettlesuchdisputeordifferenceofopinionamicablybynegotiation.However,anydisputeordifferenceofopinionwhichcannotbeamicablyandsatisfactorilybynegotiationinspiteofthebesteffortsusedbytheparties,shallbefinallysettledbylocalArbitrationcommittee.第五条：本协议一式________________份，双方各持________________份。Article5:Theagreementisin_______________________,whileeachPartykeeps_____________copy.第六条：本协议自签字盖章之日起生效，有效期______________________年。Article6:Theagreementshallcometoeffectaftersigningandsealing,andtheperiodofvalidityshalllastfor___________________year.第七条：本协议中未尽事宜，双方协商解决，并另行签字补充协议。Article7:Partiesheretomayreviseorsupplementthroughnegotiationmattersnotmentionedherein.甲方（签字、盖章）PartyA(Signature,Seal)PartyB(Signature,Seal)乙方（签字、盖章）",)
