('MEMORANDUMOFAGREEMENTBETWEENCLIENT&DESIGNCONSULTANTMEMORANDUMOFAGREEMENTmadethis29May2013betweenA(hereinaftercalled"theClient"whichexpressionincludestheirlegalrepresentatives,successorsintitleanassigns)oftheonepartandBpractisingasdesignconsultantatC(hereinaftercalled“theDesigner"whichexpressionincludeshis/legalrepresentatives,successorsintitlesandpermittedassigns)oftheotherpart.WHEREAStheClientintendstoconstructandcomplete.(hereinaftercalled\'theproject\');ANDWHEREAStheClientisdesirousofappointingtheDesignertoprovideprofessionaldesignservicesfortheProjectonthetermsandconditionshereinafterappearingITISHEREBYAGREEDBETWEENTHEPARTIESHERETOASFOLLOWS:1.0SCOPEOFWORK服务范围1.1Interiorlayoutandspatialre-planningofallareas.室内布局和所有领域的空间重新规划。1.2Interiordesignconceptualisationanddesignimplementation.室内设计构思和设计实施。1.3Interiorfinishesadvice,specificationandimplementation.室内饰面咨询，规范和实施。1.4Interiorlightingconceptualisation,selectionandimplementation.室内灯具构思、选择和实施。1.5Interiorfixturesspecificationanddesignforcustommade&builtinfurnitureordoorsnotalreadyinthearchitecturalschedule.为客户制作或建造于不包括建筑物内已有的家具或门上的室内固定物或附着物的规范和设计1.6Loosefurnitureconsultationandselection.活动家具的咨询和选择1.7Preparationofallnecessarydocumentsfortheimplementationfortheproject.本项目实施所需全部必要文件的准备1.8Co-ordinationwithappointedcontractors,suppliers,specialistsandotherconsultants.与指定承建商、供应商、专家和其他顾问的协商1.9Periodicalprojectsupervisionofitems1.1to1.8duringconstruction.施工期间对条款1.1至1.8的履行进行阶段性项目监督1.10Sketchesfollowedbycomputerized3Dperspectives(inhouse)ofmainareas.室内主要领域的三维电脑视觉效果的草图2.0EXCLUSIONS除外方面2.1AreasnotincludedintheDesignConsultant’sscopeofworkareExternalBuildingWorks,CivilandStructuralEngineering,ExternalLandscape,MechanicalandElectricalEngineering,Plumbing&AirConditioningEngineering,QuantitySurveying&Computer3Danimation.不包含在设计咨询服务范围的领域是室外建造工程，土木及结构工程，外部景观，机电工程，水暖和空调系统工程，工料测量和电脑三维动画。2.2Whilethescopeofworksincludessupervisionandinstallation,itdoesnotcoverthemaintenanceordefectsliabilityperiodfollowingtheawardofthe‘PracticalCompletionCertificate’tothecontractorifany.尽管服务范围包括监督和安装，但它不包含提交（如有，）承建商“实际完成证书”以后期间的维护或者缺陷责任。2.3WhiletheDesignerwillprovideintentdrawingsoftypicalfinishesandfixtures,allshopdrawingsforspecialiststradesmenandproprietysystemsorproductsmustbesubmittedbytherespectivesubcontractorsappointedforthisproject.Theymayinclude:尽管设计方将提供典型饰面及固定物的意向图，但为专业施工人员和配套系统或产品的所有施工图纸必须由各自为该项目指定的分包商提交，他们应该包括：2.3.1Stoneworks石材工程2.3.2Externalwindowsordoors(includingpocketdoors)外部窗户或门（包括小型的门）2.3.3Elevatorsandliftdrawings电梯和升降机图纸2.3.4Mechanical&Electricaldrawings(shouldtherebenoM&Econsultantappointed)机电图纸（如果没有指定的机电咨询顾问）2.3.5Audiovisual&ITrelatedequipment视听及与计算机相关的设备2.3.6Importedwardrobesorkitchens进口衣柜或厨房3.0FEES费用3.1ThefeefortheconceptualdesignphasethroughprojectconstructionphaseshallbeChargedbasedonunitrateUSDollarPerSquareFootanddesignableareaofSquareFoot.ThelumpsumofUSDollars:000.00USDThreeHundredEightySevenThousandAndSevenHundredDollarsOnly-(excludinganylocalgoverningwithholdingtaxes).Thefeeshallbepayablebytheclientasaddressedbelowinthepaymentschedule.在项目建设阶段的概念性设计阶段的费用应该以每英尺美元和英尺有效设计面积来计算。包干费用总计：000.00，大写：元整（不包括任何政府预扣税）。客户应按以下付款进度支付相应款项。3.2PaymentSchedule付款进度4.0TERMSOFPAYMENT支付条款4.1PaymentsaredueandpayableuponpresentationoftheDesignConsultant’sinvoiceuponcertifyingoffeesaccordingtoparagraph3.2.Aninterestof1%shallbechargedondelinquentpaymentspast30days.根据设计方出示并依据3.2条要求的费用证明资料认证的款项是到期可支付的款项。超过三十天的延迟支付款项，设计方有权收取逾期款项1%的利息。4.2Paymentsduringconstructionphaseshallbemademonthly,inproportiontothelengthoftheconstructionperiodasdefineintheWorkProgrammeChart.建设阶段应按月支付，根据工作计划表规定的建设进度，按比例支付。4.3PaymentsforadditionalservicesandforreimbursableexpensesshallbemademonthlyuponpresentationofDesignConsultantsstatementofservicesrendered,orexpensesincurred.额外服务和可报销费用应根据设计方出示的关于相关服务或发生的费用的凭据按月支付。5.0DEFINITIONOFSERVICES服务的定义5.1ConceptualDesignPhase概念性设计阶段Understandingofclient’sneedandformulationofconceptdesignforclient’sapproval.IncludesadvisingoftheneedforAuthoritysubmissionsandadditionalconsultantswhereappropriate.ConceptIllustrationswillbepreparedfortheclient’sunderstandingofthedesignintent.Nodetailingisdoneatthisstage.Subsequentchangesaftertheapprovalofconceptdesignaredeemedadditionalservicesandshallbechargeableaccordingtoparagraph7.0unlessotherwisestated.了解客户的需求，制作经客户同意的概念型设计。包括咨询相关管理当局和其他合适的咨询顾问的需STAGE阶段S($)比例（美元）UPONCOMMISSION:-dueuponacceptanceandendorsementofthisagreementbyclient根据承诺：经客户同意且签署本协议30%UPONCOMMENCEMENTOFDESIGNDEVELOPMENT-dueuponapprovalofconceptualdesignbyclient根据深化设计的承诺经客户批准概念性设计40%CONSTRUCTIONPHASE-dueintwostages:-Midconstructionperiod-Endofconstructionperiod(date------)建设期间开始的两个阶段中间建设期间建设末尾期间15%15%TOTALPROJECTFEE项目费用总计100%求。概念插图是为客户理解设计意图而准备的。该阶段不进行任何细节设计。在客户批准概念性设计后的后续变更应该被视为额外的服务，应根据第7条收取相应款项，除非双方另有约定。5.2DesignDevelopmentPhase深化设计阶段Developmentoftheapprovedconceptdesignforclient’sapproval.Includespreparationofworkingdrawingsforconstruction,andselectionofmaterialsandfinishes.对经客户批准的概念性设计进行深化。包括为建设施工用的工作图纸的准备，材料和饰面的选择。Appointedconsultantsshallbecoordinatedtoproduceacompletedesign.制定顾问应协调制作出一个完整的设计。Necessarydetailingwillbeproducedatthisstage.必要的细节设计将在该阶段完成。Projectcostincrementcanbeimplementedatthisstageifclientdesireforbetterqualitymaterial/finishesthatisnotprovidedforintheoriginalbudgetoradditionalservices.该阶段客户可以要求获得质量比最初商谈提供或额外服务中约定的质量更好的材料或饰面，相应的，调增相关项目费用。AdjustedprojectfeeshallproposebyDesignConsultantinthe‘FeeAmendmentSchedule’uponclient’srequestforprojectfeeincrement.调整的项目费用应有设计咨询单位在“费用变更单”中根据客户要求而导致项目费用的增量提议。The‘FeeAmendmentSchedule’shallsupercedeparagraph3.2.Changesrequestedbytheclientaftertheapprovalofproductiondrawingsaredeemedadditionalservicesandshallbechargeableaccordingtoparagraph7.0unlessotherwisestated.客户要求的对施工图的设计变更被批准后，“费用变更单”将取代第3.2条的约定，被视为额外的服务，应根据第7条收取相应款项，除非双方另有约定。5.3ProjectDocumentationPhase项目文件阶段Preparationofallnecessarytechnicalspecificationsfortheproject.准备该项目所需的所有必要的技术性规定。Allnecessarydesigncoordinationwithotherconsultantsshallbecompletedbythisstage.与其他设计单位协调所有的设计必须在该阶段完成。Relevantauthorityapprovalforcommencementofworkshallbeawardedbythisstage,whenappropriate.该阶段合适时间应获得相关部门同意开工的批示。Clientshallbenotifieduponcompletionofthisstage.完成该阶段时应通知客户。Anychangesrequestedbyclientatthisstageshallbedeemedadditionalservicesandshallbechargeableaccordingtoparagraph7.0unlessotherwisestated.客户在该阶段要求的任何变更应被视为额外的服务，除非双方另有约定，应根据第7条收取相应款项。5.4ConstructionPhase建设施工阶段Implementationoftheapproveddesign.经批准同意的设计的实施DesignConsultantshallsupervisesiteinstallation,reviewallselectedmaterialsintheapproveddocumentationdeliveredtosite,forsizequalityandconditions,andtorejectmaterialsthatisnotaccordingtospecification.设计方应监督现场安装，检查所有批准文件中选定的被运至现场的材料，包括规格、质量和品质，拒收不符合规范的材料。TheDesignconsultantshallprovidefinalinspectionandaPracticalCompletionCertificateshallbeawardeduponConsultant’ssatisfactionthatallworkshasbeencompletedaccordancetoapproveddrawings.设计方应提供最终的检验以及提交表明咨询方认为所有工作根据批准图纸已经完成的实际完成证明。Changesbyclientatthisstageareconsideredadditionalservicesandshallbechargeableaccordingtoparagraph7.0.客户在该阶段要求的任何变更应被视为额外的服务，除非双方另有约定，应根据第7条收取相应款项。Inaddition,adelayfeeshallbechargedforadditionalcostoflabour,overheads,warehousing,andmaterialcostinaccordancetothescheduleinthespecificationsastheresultofdelaysandcostincurredbysuchrequest.此外，设计方有权收取因延误施工工期而导致的人工费用、间接成本、仓储和材料费用等逾期费用，以及因此而导致的的其他损失。6.0AMENDMENTOFAPPROVEDDRAWINGSBYDESIGNCONSULTANT设计终稿的变更6.1TheDesignConsultantreservedtherighttochangeapproveddesign,detailing,materials,finishesandspecificationduetounforeseencircumstancesthatisnotwithinthecontroloftheDesignConsultant.Suchchangesshallbecommutedtotheclientandnoadditionalservicechargeshallbepayablebytheclient.Howeveradditionalcostincurredtolabourandmaterialshallbereimbursedbytheclient.由于不可预见即设计方无法掌控的情况，设计方保留对设计终稿的设计、细节设计、材料、完成和规范的修改权。此等设计修改应减轻客户的义务，即客户无需就该等设计的修改向设计方支付额外的费用。但额外的人工费和材料费应由客户承担。7.0COMPENSATIONFORADDITIONALSERVICES额外服务费用7.1Forprojectrepresentationbeyondthatisalreadymentioned,compensationshallbecomputedasfollows:OneHundredSingaporeDollarsPerHour(S$100.00/Hour)对于上述提到的额外服务的补偿费，应按每小时100新加坡元计算7.2ThisServiceshallbeapprovedbyclientinwritingbeforetheDesignConsultantprovidessuchservices.设计方在提供额外服务前应获得客户事先的书面许可。7.3IncaseswhichDesignConsultantwaveredorloweredchargesofadditionalservicesofaparticularrequest,theyaredeemedone-offprovisionofthesubjectmatterconcern,anddonotrenderthisparagraphvoidforsubsequentrequestarising,eveniftheyaresimilarrequests.除非设计方同意对某项特定的额外服务给予优惠或降低收费，否则他们对于每一特定主题的收费是单独收费，不会因为之后而来设计要求是相似的而放弃收取费用。8.0REIMBURSABLEEXPENSES可补偿费用8.1ReimbursableExpensesareinadditiontocompensationforbasicandadditionalservices.ItshallincludecostincurredbytheDesignConsultantanditsemployeesintheinterestoftheproject,asidentifiedinthefollowingclauses.可补偿费用是指除基本和附加服务外的费用。包括设计方及其工作人员为了项目利益而发生的费用，具体由以下条款确认。8.2ExpensesforalltravelrelatedcostincludingbusinessclassairfareswithSingaporeAirlinesorEquivalent,5starhotelaccommodation,surfacetransportationandluggagehandlingorcourierservices.包含新加坡航空商务舱或其他等价机票、五星级酒店住宿费、地面交通费、包裹搬运费或快递服务费在内的相关差旅费。8.3Expenseforprofessionalandperspectivedrawingsand/orscalemodelsattherequestoftheclient,plus10%handlingcharge.客户要求的专业效果图纸和/或测绘模型的费用以及10%的手续费。8.4Expenseforcourierservices,postageandhandlingofdrawings,specificationandotherdocuments.快递服务费，图纸、说明书和其他相关文件的邮费及包装费8.5Expenseforcolourprintsorcolourslideswhenrequestedbyclient.客户要求的彩印或者彩色幻灯片费用。8.6Professionalfeesandreimbursableexpensesofsupportingconsultants.辅助顾问的专业费用和可补偿费用。8.7Documentationandlithographycost,andfeespayabletoauthoritieswhererelevant.文件及印刷费用，以及支付给相关政府部门的费用。8.8SiteStaffsappointedandwillactunderthedirectionoftherelevantconsultants.Clientshallreimbursetheconsultantallexpensesincurredbysuchappointment.任命工地人员且在相关顾问的指导下工作。客户应当补偿该顾问在此任命下发生的所有花费。8.9FeeforAccreditedChecker,whererelevant.如若发生，支付给公认审核员（新加坡建筑控制法规定的）的费用。9.0PAYMENTWITHHELD支付扣留9.1NodeductionsshallbemadefromDesignconsultant’scompensationduetopenalty,liquidateddamages,orduetothecostofchangesintheWorksotherthanthose,whichtheDesignConsultanthasbeenfoundliabledueto,beliable.TheDesignConsultant’sworkshallbedeemedtobecompleteupontheimplementationoftheworkbasedontheapprovedworkingdrawingsundertheDesignDevelopmentPhase.以下费用不得被抵扣：（1）设计方由于罚金、违约金而获得的赔偿金；（2）除了被确认的由于设计方的责任而导致的设计变化而产生的费用。基于在设计开发阶段被批准的设计图纸开始施工时设计方的工作即被视为已完成。10.0DAMAGEORDESTRUCTIONOFWORKS工程毁损10.1Ifatanytimebeforethecompletionoftheproject,theworks,orequipmentoranypartthereofshallbedamaged,ordestroyedbyoperationofwar,riot,civilcommotion,naturalcatastrophe,oranyothercircumstancesbeyondthecontroloftheDesignConsultant,theclientmayrequiretheDesignConsultanttoresumeworkontheproject.TheDesignConsultantmaydosouponnotificationinwritingbytheclient.However,theremedialworkandsubsequentadditionalworksrelatingtotheprojectshallbesubjectedtoamutuallyagreedfee,beforetheworkisresumed.在项目竣工前的任何时间，如若发生由于战争，动乱，内乱，自然灾害或者其他任何不在设计方控制内的事件而导致工程、设备或者其他设施毁损灭失的，客户有权要求设计方重新开始工程的相关工作。设计方应当在收到客户的书面通知后开始工作。在工作重新开始前，双方应当确认好补救工作和随后的附加工作的具体费用。11.0CAREANDDILIGENCE谨慎勤勉义务11.1TheDesignConsultantshallexerciseallskill,careanddiligence,andshalldischargehisobligationsunderappointmentinaccordancetosoundprofessionalpractice.设计方应该运用专业技能勤勉谨慎地履行合同，并且按照约定根据合理的专业实践履行义务。12.0TERMINATION合同终止12.1Theobligationtoprovidefurtherservicesunderthisagreementmaybeterminatedbyeitherpartyupon14dayswrittennoticeintheeventofsubstantialfailurebytheotherpartytoperforminaccordancetothetermthroughnofaultoftheterminatingparty.如若发生导致合同实际履行不能的事件，一方在无过错的前提下提前14日书面通知另一方后合同义务即告终止。12.2Theclientuponmayterminatethisagreementnotlessthan14dayswrittennoticetotheDesignConsultantintheeventthattheprojectispermanentlyabandoned.Iftheclientabandonstheprojectfor90consecutivedays,theDesignconsultantmayterminatetheagreementbywrittennotice.如若工程被永久废弃，客户需提前14日书面通知设计方以终止合同。如果客户持续90日废弃该工程，设计方可书面通知终止合同。12.3Theagreementmaybeterminatedifeitherpartycommitsabreachofagreementandfailstoremedywithin14daysafterthenotificationinwritingspecifyingthebreachandrequiringitsremedy.一方违约后，另一方可以通知对方采取补救措施。违约方在收到对方的书面通知后14日内未能成功补救的，未违约方可以终止合同。12.4Thiscontractsshallterminatewithimmediateeffectifeitherpartycommitsanactofbankruptcyofcommerceproceedingofwindingup(otherthanforreasonofamalgamationorre-constructionofthecompany),orifanadministrator,liquidatororreceiverisappointedforthewholeorpartofthebusinessoftheparty.一方进入破产程序（公司合并或者重组除外）后，或者清算人或破产管理人被指派接管其全部或部分事务，本合同即告终止。12.5Intheeventofanytermination,theDesignConsultantshallbepaidforallservicesrenderedtothedatedoftermination,includinganyreimbursableexpensesandterminationexpenses.TheDesignConsultantshallsubmithisaccountforthebalanceofpaymentwith30daysoftermination.Theclientshallpayalloutstandingfeeswithin30daysuponthereceiptoftheaccount.Amonthlyinterestof1%ischargeableifpaymentduetotheDesignConsultantisnotreceivedafter30daysuponissuanceofthefinalaccount.合同终止事由发生时，客户须支付设计方包括可补偿费用以及合同终止费用在内的合同终止前发生的所有服务费用。设计方须提交合同终止30日前的收支帐户明细。客户须支付30日内帐户中列明的应付未付款项。最终账户确认后30日内没有付清的，设计方有权按每月1%收取利息。13.0OPINIONOFCOST成本建议13.1AstheDesignConsultanthasnocontroloverthecostoflabor,materials,equipmentorservicesfurnishedbyothers,aswellasthecontractor’smethodofpricing,and/ormarketconditions.Thepreliminaryestimatesofconstructioncostaremadeonthebasisofexperienceandqualifications;theyrepresentthebestjudgementasexperienceprofessionals,familiarwiththeconstructionindustry.However,theDesignConsultantdoesnotguaranteethatsuchestimateswillnotvaryfromtheactualconstructioncost,and,orfeeofservicesquotedbytherelevantparty.ServicestomodifyContractDocumentstobringtheconstructioncostwithinanylimitationestablishedbytheclientmaybeconsideredadditionalservicesandpaidforassuchbytheclientatamutuallyagreedfee.设计方不能控制由其他方提供的劳务、材料、设备和服务费用，以及施工方的定价方法和/或市场情况。初步的建设成本预估是基于经验和资历的，设计方熟悉建筑行业，代表有经验专业人员作出最好的判断。但是设计方并不确保其所做的预估一定与由相关方提供的实际的建筑成本或者服务费用相一致。在客户设立的限制下提供的修改施工成本合同文件服务将被视为附加服务，相关费用应以双方一致同意为准。',)
