('进口合同CONTRACT合同号(ContractNumber)：合同签订地点(PlaceofSigningofContract):买方(Buyer):买方地址(Address):卖方(Seller)：卖方地址(Address):兹经买卖双方同意，由买方购进，卖方岀售下列货物，并按下列条款签订本合同：ThisContractismadebyandbetweentheBuyerandtheSeller;wherebytheBuyeragreestobuyandtheSelleragreestoselltheundermentionedgoodsonthetermsandconditionsstatedbelow:1.货物描述制造工厂,生产国别，2.数量3.单价4.总值5.装运期限包装及唛头QuantityUnitPriceTotalTimeofShipmentCommodity&Desctiptions(USD/)AmountNameofCommodity(USD)Manufactures,CountryofOrigin,PackingtermsandShippingMarks总计TOTAL:Manufactures:总数量及每项允许（价格调整Price不允许部分装运Origin溢短装%Adjustment)PartialshipmentisShippingMarks:Deliverynotallowedtolerance%不允许转船条件时，提单应注明“运费已付”字样)moreorlessallowedoneachsizeandtotalquantity.6.品质条款：规格，毛重，净重，尺寸，等级，品质标准Quality:Specifications,GrossWeight,NetWeight,Dimensions.Grade,StandardofQulity7.装运口岸(PortofLoading):8.目的口岸(PortofDestination):9.付款条件：买方于___________，通过在中国的银行开立以卖方为受益人的不可撤销的即期信用证。该信用证凭本合同第10条规定的单据在开证行付款。TermofPayment:TheBuyershallopenbefore_______,withabankinChina,anirrevocableLetterofCreditinfavoroftheSellerpayableatsightattheissuingbankagainstpresentationofdocumentsinClause10ofthisContract.10.单据：各项单据均须使用与本合同相一致的文字，以便买方审核查对。Documents:TofacilitatetheBuyertocheckup,alldocumentsshouldbemadeinaversionidenticaltothatusedinthiscontract.A.提单：填写按信用证指示的通知方的空白抬头、空白背书的全套已装船的清洁提单。(如本合同为FOB价格条件时，提单应注明“运费到付"字样，如本合同为Transshipmentisnotallowed.C&F/CFR或CIF价格BillofLading:CompletesetofCleanOnBoardShippedBillofLadingmadeouttoorder,blankendorsed,showingnotifyingpartyasindicatedinrelevantLetterofCredit(marked“freightcollect”ifthepriceinthisContractisbasedonFOB;marked“freightprepaid”ifthepriceinthisContractisbasedonC&F/CFRorCIF).B.发票：注明合同号、唛头、载货船名及信用证号。Invoice:indicatingcontractNo.,shippingmarks,nameofcarryingvessel,numberoftheLetterofCredit.C.装箱单及/或重量单：注明合同号及唛头，并逐件注明毛重、净重和炉号。Packinglistand/orWeightMemo:indicatingcontractNo.,ShippingMarks,heatnumber,grossandnetweightsofeachpackage.D.制造工厂的品质及数量/重量证明书。CertificatesofQualityandQuantity/Weightofthecontractedgoodsissuedbythemanufacturer.品质证明书内应列入根据合同规定的标准按炉号进行化学成分、机械性能及其他各种试验的实际试验结果。数量/重量证明书应按炉号列明重量和总重量。QualityCertificatetoshowactualresultsofteststobemadeforeachfurnace,onchemicalcompositions,mechanicalpropertiesandallothertestscalledforbytheStandardstipulatedhereon.CertificateofQuantity/weightshouldbearthequantity/weightforeachfurnaceandtotal.E.按本合同第12条规定的装运通知传真副本。CopyoffaxadvisingshipmentaccordingtoClause12ofthisContract.ABCDE送交议付银行（正本）Tothenegotiatingbank(original)送交议付银行（副本）Tothenegotiatingbank(duplicate)11.装运条款(TermsofShipments):FOB价格的装运条件］TermsofShipments(FOB)］：装运本合同货物的船只，由买方租订舱位。卖方负担货物的一切费用和风险到货物在装运港装运上船为止。ForthegoodsorderedinthisContract,thecarryingvesselshallbearrangedbytheBuyer.TheSellershallbearallthechargesandrisksuntilthegoodsareonboardthecarryingvesselattheloadingport.a)卖方必须在合同规定的交货期限30天前，将合同号码、货物名称、数量、装运口岸及预计货物运达装运口岸日期，以传真通知买方安排舱位。并同时通知买方在装运港的船舶代理。倘在规定期内买方未接到前述通知，即作为卖方同意在合同规定期内任何日期交货，并由买方主动租订舱位。TheSellershalladvisetheBuyerbyfax,andsimultaneouslyadvisetheBuyer\'sshippingagentattheloadingport,30daysbeforethecontractedtimeofshipment,oftheContractNo.,nameofcommodity,quantity,loadingportandexpecteddateofarrivalofthegoodsattheloadingport,enablingtheBuyertoarrangesforshippingspace.AbsenceofsuchadvicewithinthetimespecifiedaboveshallbeconsideredasSeller\'sreadinesstodeliverthegoodsduringthetimeofshipmentcontractedandtheBuyershallarrangeforshippingspaceaccordingly.b)买方应在船只受载期12天前将船只、预计受载日期、装载数量、合同号码、船舶代理人，以传真通知卖方。卖方应联系船舶代理人配合船期装船。如买方因故需要变更船只或更改船期时，买方或船舶代理人应及时通知卖方。TheBuyershalladvisetheSellerbyfax,12daysbeforetheexpectedloadingdate,oftheestimatedlaydays,ContractNo.,nameofvessel,quantitytobeloadedandshippingagent.TheSellershallthenarrangewiththeshippingagentforloadingaccordingly.Incaseofnecessityforsubstitutionofvesseloralterationofshippingschedule,theBuyerortheshippingagentshalldulyadvisetheSellertothesameeffect.c)买方所租船只按期到达装运口岸后，如卖方不能按时备货装船，买方因而遭受的一切损失包括空舱费、滞期费及/或罚款等由卖方负担。如船只不能于船舶代理人所确定的受载期内到达，在港口免费堆存期满后第16天起发生的仓库租费、保险费由买方负担，但卖方仍负有载货船只到达装运口岸后立即将货物装船之义务并负担费用及风险。前述各种损失均凭原始单据核实支付。IntheeventoftheSeller\'sfailureineffectingshipmentuponarrivalofthevesselattheloadingport,alllosses,includingdeadfreight,demurrageand/orfinesetc.,thusincurred,shallbeforSeller\'saccount.Ifthevesselfailstoarriveattheloadingportwithinthelaydayspreviouslydeclaredbytheshippingagent,thestoragechargesandinsurancepremiumfromthe16thdayafterexpirationofthefreestoragetimeattheportshallbebornebytheBuyer.However,theSellershallbestillundertheobligationtoloadthegoodsonboardthecarryingvesselimmediatelyafterherarrivalattheloadingport,attheirownexpensesandrisks.Theexpensesandlossesmentionedaboveshallbereimbursedagainstoriginalreceiptsorinvoices.C&F(CFR)或CIF价格的装运条件［TermsofShipments(C&F/CFRorCIF)］：卖方负责将本合同所列货物由装运口岸到目的口岸，中途不得转船。TheSellershallundertaketoshipthecontractedgoodsfromtheportofloadingtotheportofdestination,withnotransshipmentallowed.a)卖方应在不迟于装运前30日，以传真通知买方装运船只的船名、船籍、船龄和其他有关该船的详细情况，以及每次装运货物的合同号。经买方对船只确认接受后，卖方才可装运。但买方不能无理拖延上述确认，买方应在接到通知后5个工作日内作出确认，否则即视为该船只已被确认。TheSellershall,notlaterthan30daysbeforethetimeofshipment,informtheBuyerbyFaxofthename,nationality,ageandotherdetailsofthecarryingvesselaswellasthecontractnumberofeachshipment.TheshipmentshallnotbeeffectedwithouttheconfirmationfromtheBuyerwithrespecttotheacceptabilityofthevessel,providedthatBuyershallnotunreasonablywithholdsuchconfirmation.BuyershallconfirmthevesselbyFaxwithin5workingdays,otherwisethevesselshallberegardedasconfirmed.b)卖方所租船只应适航和适货，租船时应慎重、认真地选择承运人及船只。买方不接受非保赔协会成员船只。卖方指定船舶的国籍不得违反买方所在国承诺的国际义务。ThecarryingvesselcharteredbySellershallbeseaworthyandcargoworthy.Sellershallbeobligedtoactprudentlyandconscientiouslywhenselectingthevesselandthecarrierwhencharteringsuchvessel.BuyerisjustifiedinnotacceptingvesselscharteredbySellerthatarenotmembersoftheP&ICLUB.ThenationalityofthevesselnominatedbySellershallnotbeinconflictwiththeinternationalcommitmentsundertakenbythecountrywhereBuyerislocated.c)卖方所租船只船龄不得超过15年。对超过15年船龄的船只其超龄额外保险费由卖方负担。买方不接受超过20年船龄的船只。TheageofthecarryingvesselcharteredbySellershallnotexceed15years,TheextraoverageinsurancepremiumthusincurredshallbebornebySeller.Vesselmorethan20yearsofageinnoeventbeacceptabletoBuyer.d)卖方应和载运货物的船只保持密切联系，并以最快方式通知买方船只在途中发生的一切事故，卖方应对未及时通知买方而造成买方的一切损失负责赔偿。SellershallmaintainclosecontactwiththecarryingvesselandshallnotifyBuyerbyfastestmeansofcommunicationaboutanyandallaccidentsthatmayoccurwhilethecarryingvesselisonroute.SellershallassumefullresponsibilityandshallcompensateBuyerforalllossesincurredforitsfailuretogivetimelyadviceornotificationtoBuyer.12.装运通知：卖方在货物装船后,___个小时内(填入24或48或72)将合同号、品名、件数、毛重、净重、发票金额、载货船名及装船日期以传真(传真号：-)通知买方。Adviceofshipment：TheSellershall,uponcompletionofloading,advisetheBuyerwithin_____hoursbyfax(faxNo.____)oftheContractNo.,nameofcommodity,numberofpackages,grossandnetweights,invoicevalue,nameofvesselandloadingdate.13.卸货条款(DischargingTerm)：按照卸货港惯常速度快速卸货，不计滞期费或速遣费。DischargingrateondischargingportisasperCQDcustomaryquickdespatch14.保险(Insurance)：FOB或C&F/CFR价格的保险[Insurance(FOBorC&F/CFR)]：买方应负责按___________规则投保。但卖方应按本合同第12条通知买方。如卖方未能及时通知买方，买方因而遭受的一切损失全由卖方承担。InsuranceshallbeprocuredbyBuyer，inaccordancewiththeinsuranceregulationsof_________________________.ForthispurposetheSellersshalladvisetheBuyersbyfaxoftheparticularsascalledforinClause12ofthisContract.IntheeventoftheBuyersbeingunabletoarrangeforinsuranceinconsequenceoftheSellers\'failuretosendtheaboveadvice,theSellersshallbeheldresponsibleforallthelossesthussustainedbytheBuyers.CIF价格的保险[Insurance(CIF)]:卖方应遵照________________规则按发票金额的110%投保____________________险_。InsuranceshallbeprocuredbySellerinaccordancewiththeinsuranceregulationsoffor110%oftheinvoicevalueagainst__________________.[]附加险应包括[]Additionalinsuranceshallinclude15.检验(Inspection)：15.1制造商(装运港检验机构)检验：卖方应在货物装运前向买方出具制造商(装运港检验机构)根据本合同的规定标准对货物的品质、规格、数量、重量、包装、安全、卫生或健康要求签发的检验报告。上述检验报告应构成卖方要求付款时出具的单据之一。TheSellershall,beforethetimeofshipment,providetheinspectionreportssigned15.1Inspectionbymanufacturerinspectionorganizationonloadingportbythemanufacturers（inspectionorganizationonloadingport）onthequality,specification,quantity,weight,packagingandrequirementsforsafetyandsanitation/hygieneofthegoodsinaccordancewiththestandardsstipulatedinthisContract.Theaforesaidinspectionreportsshallbeanintegralpartofthedocumentstobepresentedforpayment.15.2到货检验：买方有权在货物到达（卸货港）后向检验机构申请检验货物。检验机构是：中华人民共和国（填入相应地名，如北京等）出入境检验检疫局。15.2InspectionuponarrivalBuyershallhavetherighttoapplytotheinspectionorganizationfortheinspectionofthegoodsafterthearrivalofthegoodsat.Inspectionorganization:____________Exit-EntryInspectionandQuarantineBureauofthePeople\'sRepublicofChina.15.3最终检验：卸货港的检验证书如与制造商或装货港的检验证书有冲突，则_____________________检验证书具有最终效力。15.3FinalInspectionInspectioncertificateissuedby______________shallbefinalincaseitisinconflictwiththatissuedatloadingportorissuedbymanufacture.16.不可抗力：合同当事人一方因战争、洪水、火灾、地震、雪灾、旱灾、冰雹、飓风、暴乱、罢工、政府禁令或其他该方当事人无法控制、并在签订本合同时不能合理预见、不可避免或无法克服的事件造成其无法履行或迟延履行全部或部分合同义务，则该合同当事人应免责。但是，因不可抗力而其履约受影响的合同一方应向另一方尽快通知不可抗力事件的发生，并应在事件发生后不迟于15天，向另一方发送由主管机关或当地商会出具的关于发生不可抗力事件的证明文件。ForceMajeure:NeitherpartyshallbeliableforfailureordelaytoperformalloranypartofthisContractduetowar,flood,fire,earthquake,snowstorm,drought,hailstorm,hurricane,civilcommotion,strike,governmentprohibitionoranyothereventsthatarebeyondthecontroloftheaffectedpartyandcouldnotreasonablybeexpectedatthetimeofconclusionofthisContractorhavebeenavoidedorovercomebysuchparty.However,thepartywho\'sperformanceisaffectedbytheeventofForceMajeureshallgiveanoticetotheotherpartyofitsoccurrenceassoonaspossibleandacertificateoradocumentoftheoccurrenceoftheForceMajeureeventissuedbytherelativeauthorityorthelocalchamberofcommerceshallbesenttotheotherpartynotlaterthan15daysafteritsoccurrence.17.延迟交货及罚款：除本合同第16条人力不可抗拒事故，使卖方不能如期交货，罚款率为每10天合同金额的1%，不足10天的部分按1%计算，最多不超过合同金额的5%。卖方延期交货超过30天，买方有权提出解除合同。如果买方不宣布解除合同，则卖方除承担上述罚款外，还应赔偿其延期交付给买方造成的全部损失。DelayindeliveryandPenalty：ShouldtheSellerfailtoeffectdeliveryontimeasstipulatedinthisContractowingtocausesotherthanForceMajeureasprovidedforinClause16ofthisContract,adelaypenaltyshouldbechargedattherateof1%ofthetotalcontractvalueforevery10days,odddayslessthan10daysshouldbecounteredas10days,totalpenaltyshallnotexceed5%ofthetotalvalue.IftheSeller\'sdelayindeliveryisover30days,theBuyerisentitledtoterminatingthecontract.IncasetheBuyerchoosesnottoterminatethecontract,theSellershallcompensatetheBuyerforalllossesduetothedelayotherthanthedelaypenalty.18.索赔（Claims）：18.1如果货物的品质、规格、数量、重量、包装及对安全、卫生或健康的要求不符合本合同的规定，买方有权凭本合同第15.2条规定的检验机构签发的检验证书在货物到达最终目的地之后90日内，只要该日不超过货物到达[]卸货港[]车站[]机场之日后90日内及时向卖方提出索赔，并列明索赔理由。18.1Shouldthequality,specifications,quantity,weight,packingandrequirementsforsafety，sanitationorhygieneofthegoodsbefoundnotinconformitywiththestipulationsofthisContract,BuyershallhavetherighttolodgeclaimsagainstSellerbasedontheInspectionCertificateissuedbytheinspectionorganizationprovidedinClause15.2ofthisContractanditemizethereasonsfortheclaimswithin90daysfromthedateofarrivalofthegoodsatthefinaldestination,providedthatsuchdateshallnotexceed90daysfromthedateofarrivalofthegoodsatthe[]portofunloading[]railwaystation[]airport；18.2卖方在收到本合同第15.2规定的检验机构出具的检验证书后，应当于此后20日内答复买方的索赔要求。如果卖方未在上述期限内作出答复，则买方的索赔要求被视为接受。18.2SellershallreplytoBuyer\'sclaimnotlaterthan20daysafterreceiptoftheinspectioncertificateissuedbytheinspectionorganizationprovidedinClause15.2ofthisContractandtheclaimsshallberegardedashavingbeenacceptedifSellerfailstoreplywithintheabove-mentionedtimelimit.18.3如果卖方声称货物的数量和质量问题是由于卖方不负责任的原因造成，如属于保险公司及/或船公司的责任，卖方应承担举证责任。因索赔所发生的一切费用(包括检验费用)均由卖方负担。FOB价格条件时，如重量短缺，买方有权同时索赔短重部分的运费。18.3Sellershalltaketheburdenofproofforhisallegationthatdiscrepancyofquantityandqualityisduetosomereasontowhichsellershallnotberesponsible,suchascircumstanceswheretheinsurer/carriershallberesponsible.AllcostsincludingsurveycostshallbebornbytheSellerincaseofclaim.UnderFOBterms,theBuyerisentitledtotheoverpaidfreightaccordinglyincaseofshortage.19.通知(Notices)：任何通知应以书面形式，并应有专人送交、传真发送或航空快件寄送，专人送交时视为已给予通知；如以传真发送，则发送之日第二天视为已给予通知；如航空快件寄送，则另一方当事人在本合同抬头列明的地点收到信件时，通知视为送达。Anynoticetobegivenhereundershallbeinwritingandshallbehanddelivered,transmittedbyfacsimileorsentbyexpressairmailshallbedeemedgivenwhensohand-delivered,oriftransmittedbyfacsimile,onedayafterthedateofsuchfacsimilesotransmitted,orifsentbyexpressairmailwhenreceived,bytheotherpartyattheaddressesspecifiedattheheadofthisContract.20.法律的适用：除非另有约定，本合同适用《联合国国际货物销售合同公约》并在《联合国国际货物销售合同公约》没有规定的情况下适用中国法。Applicablelaw：Unlessotherwiseagreed,theUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG)andChineseLaw(incaseofthosemattersnotstipulatedinCISG)shallbeapplied.21.仲裁：一切因执行本合同或与本合同有关的争执，应由双方通过友好方式协商解决。如经协商不能得到解决时，应提交中国国际经济贸易仲裁委员会，按其仲裁规则进行仲裁。仲裁委员会的仲裁为终局裁决，对双方均有约束力。仲裁费用除仲裁委员会另有决定外，由败诉一方负担。Arbitration：AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledbyfriendlynegotiation.Ifnosettlementcanbereached,thecaseindisputeshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewithitsrulesofArbitration.ThedecisionmadebytheCommissionshallbeacceptedasfinalandbindinguponbothparties.Thefeesforarbitrationshallbebornbythelosingpartyunlessotherwiseawarded.22.其他(Miscellaneous)：22.1所有的附件和补充协议构成本合同不可缺少的一部分。AlltheannexesandthesupplementaryagreementsshallformanintegralpartofthisContract.22.2本合同中所有“(不)超过”、“内”、“前”、“后”所指日期或时间均包含本数。Allthedateortimereferredtoby“(not)exceed”or“(no)morethan”or“within”or“before”or“after”inthisContractshallincludethegivenfigure.22.3本合同用中文和英文书就，两种语言具有同等效力；如出现不一致之处，应以英文为AuthorizedRepresentative:Signature)ThisContractismadeoutinChineseandEnglish,thetwoversionsareequallyauthentic;Incasethetwoversionsareinconsistent,theEnglishversionshallprevail.22.4生效日期本合同正本一式_________份，双方各持_________份，自双方法定代表人或授权代表签字、双方盖章后生效。Dateofeffectiveness：ThisContractisin_______originalcopiesandwith________copy/copiesforeachparty,shallbecomeeffectivefromthedateithasbeendulysignedbybothparties\'representativesorauthorizedrepresentativesandsealedbybothparties买方：（盖章）Buyer:（Seal）授权代表：（签字）AuthorizedRepresentative:（Signature）卖方：（盖章）Seller:（Seal）授权代表：（签字）legal',)
