("Seller”).1.5“DestinationAirportrfjsort技术出口合同（商务部2007版）政府示范文本要点国外购买方与国内销售方签订的专利、专业技术等技术转让合约。其附12个附件。ContractforEquipmentSalesandTechnologyLicensingContractNo.__________________ThisContract(hereinafterreferredtoasthe“Contract”)ismadeandenteredintoasof(thedateofsignature)in(theplaceofsignature)throughfriendlynegotiationbyandbetween,acompanyincorporatedandexistingunderthelawsofwithitsregisteredaddressat,andwithitsprincipalplaceofbusinessat(hereinafterreferredtoasthe“Buyer”),and________________,acompanyincorporatedandexistingunderthelawsofthePeople'sRepublicofChinawithitsregisteredaddressat,andwithitsprincipalplaceofbusinessat(hereinafterreferredtoastheWhereas,theBuyerdesirestoengagetheSellertoprovidetheEquipment,relateddesign,TechnicalDocumentation,TechnicalServiceandTechnicalTrainingandtoobtainfromtheSelleralicenseofPatentand/orKnow-howinrelationtotheErection,TestRun,Commissioning,PerformaneeTest，operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts.Nowitisherebymutuallyagreedasfollows:Article1Definitions1.1“AcceptaneethenBuyesacceptedtheEquipmentinaccordaneewithArticle11.5.1.2“Commissioning”meanstheoperationoftheEquipmentinaccordaneewithArticle11.4forthepurposeofcarryingoutPerformaneeTest.1.3“Contract”meansthisContractsignedbyetwd®ntheBuyerandtheSeller,includingAppendicesattachedwhichshallformanintegralpartofthisContract.1.4“ContractProducts”referstoalltypesoftheproductsmanufacturedwithPatentand/orKnow-howundertheContract,detailsofwhicharespecifiedinAppendix1.1.6“EffectiveDateoftheContract”meansthedatewhentheContractentersintoforceuponfulfillmentofalltheconditionsstatedinArticle18.1.1.7“Equipment”meaqsipnmient,machinery,instruments,sparepartsandmaterialssuppliedbytheSelleraslistedinAppendix3.1.8“Erection”meansplacingtheEquipmenttothepositionsaccordingtothedesigndrawings,andconnectingitwithrelevantequipmentandutilities.1.9“Improvement”referstonewfindingsand/ormodificationsmadeinthevalidityperiodoftheContractbyeitherpartyonPatentand/orKnow-howintheformofnewdesigns,formulas,recipes,ingredients,indices,parameters,calculations,oranyotherindicators.1.10“JobSite”meansthesitewheretheEquipmentshallbelocatedand/orerected,namely.1.11“Kriowv”referstoanyvaluabletechnicalknowledge,data,indices,drawings,designsandothertechnicalinformation,concerningtheErection,TestRun,Commissioning,PerformaneeTest,operationandmaintenancefortheEquipmentaswellasmanufactureoftheContractProducts,developedandownedorlegallyacquiredandpossessedbytheSelleranddisclosedtotheBuyerbytheSeller,whichisunknowntoeitherpublicortheBuyerbeforetheDateofEffectivenessofthisContract,andforwhichappropriateprotectionmeasureshavebeentakenbytheSellerforkeepingKnow-howinsecrecy.ThespecificdescriptionofKnow-howissetforthinAppendix3.1.12“LastShipment”meanstheshipmentwithwhichtheaccumulatedinvoicevalueofshippedgoodshasreached()percentofthetotalEquipmentprice.1.13“Patent”referstoanyandalloftheeffectivepatentrightsp®ssedbytheSellerandlicensedtotheBuyerundertheContractinconnectionwiththeErection,TestRun,Commissioning,PerformaneeTest,operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,theNo.andlistofwhicharesetforthinAppendix3.1.14“PerformaneeTest”meansthetestsforexaminingwhethertheEquipmentisabletomeetguaranteefiguresspecifiedinAppendix1.1.15“TechnicalDocumentation”meansthetechnicalindicesanddata,specifications,drawings,processes,technicalandqualitystandards,andotherdocumentscarryingthedescriptionsandexplanationsofPatent,Know-howandothertechnicalinformation,inconnectionwiththeErection,TestRun,Commissioning,PerformaneeTest,operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,tobeprovidedbytheSelleraslistedinAppendix4.1.16“TechnicalService”meansthetechnicalinstruction,assistaneeandguidaneerenderedbytheSellerasperAppendix6.1.17“TechnicalTraining”meansthetrainingrenderedbytheSellerasperAppendix7.1.18“TestRun”meanstheinitialrunofasinglemachineorthewholesystemoftheEquipmentwithoutmaterials.1.19“WarrantyPeriod”meanstheperiodofthewOveintyytheSellerasspecifiedinArticle12.2,duringwhichtheSellerisresponsibleforthedefectsoftheEquipmentasperArticle12.Article2ScopeoftheContract2.1TheSeller'sObligation2.1.1TheSellershallsupplytheEquipment,providethedesign.TechnicalDocumentation,andconducttheTechnicalServiceandTechnicalTraining,andgranttheBuyerarighttousethePatentand/orKnow-howassetforthintheContract.2.1.2TheSellershallsupplytheEquipmentwhichislistedinAppendix3,thespecificationisdetailedinAppendix1.2.1.3TheSellershallprovidedesigninaccordaneewithAppendix5,andsubmittotheBuyertheTechnicalDocumentationlistedinAppendix4.2.1.4TheSellershallconducttheTechnicalServicesattheJobSiteasperAppendix6.2.1.5TheSellershallconducttheTechnicalTrainingasperAppendix7.2.2TheBuyer'sObligation2.2.1TheBuyershallathisowncostsandexpenses,providetheSellerwithallinformationanddataconcerningthedesignasperAppendix2.TheBuyershallensurethecompleteness,correctnessandaccuracyofallsuchinformationanddata.2.2.2TheBuyershallathisowncostsandexpenses,obtainallnecessaryimportpermits,undertakecustomsclearanee,takedeliveryoftheEquipmenttobesuppliedbytheSellerandtransportthemtotheJobSiteintime.2.2.3TheBuyershallathisowncostsandexpenses,performallthecivilworks,construction,Erection,TestRun,CommissioningandPerformaneeTestinaccordaneewiththeTechnicalDocumentationundertheTechnicalServicesrenderedbytheSellerasperAppendix6.2.2.4TheBuyershallathisowncostsandexpenses,supplyalltheequipments,sparepartsandfacilitiesrequired,exceptfortheEquipmentsuppliedbytheSellerasperAppendix3.2.2.5TheBuyershallathisowncostsandexpenses,providethequalifiedandappropriatetechnicalpersonnel,labor,tools,utilitiesandtheJobSiteintimeforErection,TestRun,Commissioning,andPerformaneeTestasspecifiedinAppendix2.2.2.6TheBuyershallathisowncostsandexpenses,performnecessaryadministrationandsecurityguardattheJobSite.Article3GrantofLicense3.1TheSelleragreestogranttotheBuyerandtheBuyeragreestoobtainfromtheSelleralicensetomanufacturetheContractProductsaswellastoconductErection,TestRun,Commissioning,PerformaneeTest,operationandmaintenancefortheEquipmentwithPatentand/orKnow-howaswellastouseandselltheContractProducts.Thename,model,specification,andtechnicaldataoftheContractProductsaredetailedinAppendix1.TheBuyershallnotmakeuseofPatentand/orKnow-howforanypurposesotherthanthosestipulatedintheContractwithoutpriorwrittenapprovalfromtheSeller.TheannualoutputoftheContractProductsmanufacturedbytheBuyershallinnocaseexceed3.2(Option1)ThelicensegrantedundertheContractshallbeanexclusivelicense.TheSellershallnotretainitsrighttograntthelicensestoanythirdparties,ortoexplorePatentand/orKnow-howaswellastoselltheContractProductsbyitselfwithintheterritoryspecifiedinArticle3.4.(Option2)ThelicensegrantedundertheContractshallbeanon-exclusivelicense.TheSellershallretainitsrighttograntthelicensestoanythirdparties,andtoexplorePatentand/orKnow-howaswellastoselltheContractProductsbyitselfwithintheterritoryspecifiedinArticle3.4.3.3ThelicensegrantedundertheContractshallbeanon-transferableandnon-sublicensinglicense,underwhichtheBuyershallneitherbeentitledtotransfernorgrantsub-licensetoanythirdpartywithoutpriorwrittenapprovalfromtheSeller.3.4Territory3.4.1TheSelleragreestograntthelicensetotheBuyeronlywithintheterritoryof(countryorregion).TheBuyershallnotexplorePatentand/orKnow-howinanyplaceotherthantheJobSitewithoutpreviouswrittenconsentoftheSeller.3.4.2TheSelleragreestograntalicensetotheBuyertouseandselltheContractProductsonlywithintheterritoryof(Countryorregion).1ncasetheBuyerfailstoperformitsobligationsunderthisClause,alltheactuallossesanddamagesthusincurredtotheSellershallbebornebytheBuyer,andtheSellershallhavetherighttoterminatetheContractwithoutprejudicetoanyremediesspecifiedintheContract.Article4Price4.1TheBuyeragreestopaythetotalContractprice,TechnicalTrainingandTechnicalServicefeetotheSeller.4.2ThetotalContractprice,includingpriceoftheEquipment,design,TechnicalDocumentationandalicensefeeinafixedamount,shallbe(sayonly).Thebreakdownpriceisasfollows:ThepriceforEquipmentis__________________(sayonly).Feefordesignis__________________(sayonly).FeeforTechnicalDocumentationsis_________________(sayonly).Licensefeeis(Say:only).4.2.1ThetotalContractpricefortheEquipmentisfordeliveryCIF_______Port,andtheTechnicalDocumentationsisfordeliveryCIP(byair)______Airport.CIFandCIPtermshallbeinterpretedinaccordaneewithINCOTERMS2000,issuedbytheINTERNATIONALCHAMBEROFCOMMERCE(ICC).4.2.2ThetotalContractpriceincludesthepriceforsparepartslistedinAppendix3.However,thetotalContractpricedoesnotcoverthesupplyofanyotherspareparts.AttheBuyer'srequest,theSellermayprovidewithanyotherspareparts.Aseparateagreementshallbesignedbetweentheparties.4.2.3Theabovepriceisfixedandfirm.4.3ThetotalContractpricedoesnotcovertheTechnicalServicefeeandTechnicalTrainingfeespecifiedinAppendix6,7.4.4ThetotalContractpriceaswellastheTechnicalTrainingandTechnicalServicefeeshallnotberegardedorinanywaybeexplainedorinterpretedascoveringanyofthecustomduties,taxes,orcharges,fees,andexpensesuniessexpresslylistedintheContract.Article5Payment5.1DownPaymentWithin()daysaftersigningtheContract,theBuyershallpay()percentofthetotalContractpriceamountingbyT/TtotheSeller.........................TheBeginningofOption......................5.2[OptionOne:PaymentbySightL/C]ThebalaneeofthetotalContractpriceamounting(saysonly)shallbepaidbyanirrevocableLetterofCreditatsight,issuedwithin()daysaftersigningtheContractbyareputablebankinacceptabletotheSellerinfavoroftheSeller.TheLetterofCreditshallbeavailableuponthepresentationofthefollowingdocumentstill________________________(specificexpirationdateoraspecificcircumstaneefortheexpirationoftheLetterofCredit).5.2.1___________()percentofthetotalContractpriceamounting______(sayonly)shallbepaidbytheBuyertotheSellerwithin_______daysafterthefollowingdocumentshavebeensubmittedbytheSeller:(a)BillofLadinginone(1)originaland_______()copies;(b)CommercialInvoiceinone(1)originaland()copies;(c)Packinglistinone(1)originaland______()copies;(d)CertificateofOrigininone(1)originala
