ngconfirmationfiles"asrequiredbyus,includingallshipmentnotification,shippingstatusandordertrackinginformationrequestedbyusfromtimetotime,andanyotherinformationasrequestedbyustoprocesspaymentsbasedonYourProductshipmentstatus;provided,thatifyouareusingFulfillmentbyAmazontofulfillanyofyourcustomerorders,thetermssetforthintheFulfillmentbyAmazonServiceTermswillapplywithrespecttosuchorders;or(b)usetheManageYourOrderstoolinSellerCentraltomanageanduploadtherequired"shippingconfirmationfiles"fromSellerCentral.WemayprovidethisshipmentandpaymentrelatedinformationtousersoftheWebStoreSite.WewillmakeavailablecertaininformationandreportsrelatingtoYourTransactionsaswedetermineandhavenoobligationtomakeavailableanyotherinformation.Weretaintherighttousemechanismsthatrate,orallowuserstorate,yourperformanceasaseller,andtopostsuchratingsandfeedbackontheWebStoreSiteand/orAmazonSiteorotherwisemakeitpubliclyavailable.AnyuseonyourWebStoreSiteofcontentdisplayedonorlinkstotheAmazonSitewillbesubjecttothetermsoftheAmazonAssociatesOperatingAgreement.W-3YourProductTransactions.W-3.1General;SaleandFulfillment.Youwillbesolelyresponsiblefor,andbearallriskandliabilityfor,sourcing,storing,selling,fulfilling,anddeliveringallofYourProducts.Assuch,youareresponsibleforanynon-conformityordefectsin,damageto,ortheftoforclaimsregardingthedeliveryornon-deliveryofYourProducts.Youwillhandlesuchresponsibilities,andagreetocompletetransactionsfortheitemsthatyouhavelistedinaccordancewiththeseWebStoreServiceTermsandapplicableProgramPolicies.NotwithstandinganythinginthisSectionW-3.1,forthoseofYourProductsthatarefulfilledusingFulfillmentbyAmazon(ifany),theFulfillmentbyAmazonServiceTermswillapplytoourstorage,fulfillmentanddeliveryofYourProducts.YouwillnotsendcustomersemailsconfirmingordersofYourProducts.AllsalesofYourProductsonorthroughtheWebStoreSitewillbefinalandmaynotbecancelledorrevokedbyyouexceptpursuanttotheapplicabletermsandconditionsthatappearontheWebStoreSite.YouwillcomplywithallapplicableProgramPolicies,includingtheWebStoreServiceAcceptableUsePolicy.W-3.2OrderandPaymentProcessing.Wewillprocessallpayments,refundsandadjustmentsforYourTransactions.Amazon\'s,oroneofitsaffiliates\',namewillappearonthecustomer\'screditcardstatement(whichmayalsodisplay,atouroption,yourname).Wewilldeterminethetimeatwhichweprocesspayments,refundsandadjustmentsforYourTransactionsinoursolediscretion.However,youarealwaysthesellerofrecord.Weareactingasyourpaymentprocessingagentforthelimitedpurposeofprocessingpayments,refundsandadjustmentsforYourTransactions.Wemaywithholdforinvestigation,orrefusetoprocess,anyofYourTransactions.WemayalsorestrictdestinationstowhichyoumayshipYourProductssoldonorthroughtheWebStoreSite.WedonotneedtoacceptanyparticularformoforderorpaymentforYourProduct,orhonororacceptanydiscounts,coupons,giftcertificates,orotheroffersorincentivesmadeavailablebyyou.Wemayinoursolediscretionwithholdforinvestigationand/ortorefusetoprocessanytransactioninvolvingYourProductsoranyotherproductsorservicesonorthroughtheWebStoreSite.Wemayusetheservicesofoneormorethirdparty,processorsorfinancialinstitutionsinconnectionwiththeWebStoreService(each,a"Processor").IfSalesProceedsfromYourTransactionsexceed$20,000permonthforanythreeconsecutivemonths,youagreetotheadditionaltermsandconditionsbetweenyouandtheProcessor(s)setforthintheCreditCardAssociationAgreement.IfyouhaveenteredintoaseparateagreementwithoneofouraffiliatesthatgovernsorderandpaymentprocessinginconnectionwithYourTransactions,youwillbesubjecttothetermsofthatagreementnotwithstandinganythingtothecontraryinthisAgreement.W-3.3FraudandOrderStops/Cancellations.Wewillbeartheriskofcreditcardfraud(i.e.fraudulentpurchasesarisingfromthetheftandunauthorizeduseofathirdparty\'screditcardinformation)occurringinconnectionwithYourTransactions,exceptwithrespecttoYourTransactionsthatyoudonotfulfillinaccordancewiththeOrderInformationmadeavailabletoyoubyus(includingshippingYourProductonlytotherecipientandattheshippingaddressspecifiedintheOrderInformationmadeavailablebyAmazon),andyouwillbearallotherriskoffraudorloss.YouwillpromptlyinformusofanychangestotheproductmixofYourProductsoranypatternoffraudulentorotherimproperactivitieswithrespecttoanyofYourProduct(s)thathasresultedormayresultinahigherincidenceoffraudorotherimproprietyassociatedwithtransactionsinvolvingit(orthem)thanothersimilarproducts.Youwillstopand/orcancelordersofYourProductsifwesodirect(andifthecustomerhasalreadybeenchargedforsuchorders,youwillexecuterefundstherefor)andwillprovidetoustelephoneandemailcontactinformationforadesignatedcontactavailableduringbusinesshourswhomwecancontactregardingfraud,orderstopsandcancellationsandsimilarconcerns,whowillcooperatewithusandwhohasaccessandabilitypromptlytocancelorstopordersfrombeingshipped.W-3.4RefundsandReturns.ExceptforthoseofYourProducts,ifany,thatarefulfilledusingFulfillmentbyAmazon(inwhichcasetheFulfillmentbyAmazonServiceTermswillapply),youwillacceptandprocessreturnsof,and(usingthefunctionalitywemakeavailabletoyou)providerefundsandadjustmentsfor,YourProductsinaccordancewiththeseWebStoreServiceTermsandyourpoliciespostedontheWebStoreSiteatthetimeoftheapplicablesale,andyouwillcalculateandrefundanyassociatedtaxesrequiredtoberefunded.Youwillrouteallrefund(andadjustment)paymentsthroughAmazonoritsdesignatedaffiliate.Amazonoritsdesignatedaffiliatewillcredittheapplicablecustomeraccount,andyouwillreimburseAmazonforallamountssocredited.ThefunctionalitywemakeavailabletoyouforprocessingreturnsandadjustmentsmaybemodifiedordiscontinuedbyusatanytimewithoutnoticeandissubjecttotheProgramPoliciesandthetermsofthisBusinessSolutionsAgreement.ExceptforthoseofYourProducts,ifany,thatarefulfilledusingFulfillmentbyAmazon(inwhichcasetheFulfillmentbyAmazonServiceTermswillapply),wehavenoobligationtoacceptanyreturnsofanyofYourProducts.W-3.5DeliveryErrorsandNonconformities;ProductRecalls.Youareresponsibleforanynon-delivery,misdelivery,theftorothermistakeoractinconnectionwiththefulfillmentanddeliveryofYourProducts,excepttotheextentcausedby(a)creditcardfraudforwhichweareresponsibleunderSectionW-3.3;or(b)ourfailuretomakeavailabletoyouOrderInformationasitwasreceivedbyusorresultingfromaddressverification.Notwithstandingtheprevioussentence,forthoseofYourProductsthatarefulfilledusingFulfillmentbyAmazon(ifany),theFulfillmentbyAmazonServiceTermswillapplytonon-delivery,misdelivery,theftorothermistakeoractinconnectionwiththefulfillmentanddeliveryofthoseofYourProducts.Youarealsoresponsibleforanynon-conformityordefectin,oranypublicorprivaterecallof,anyofYourProducts.YouwillnotifyuspromptlyassoonasyouhaveknowledgeofanypublicorprivaterecallsofYourProducts.W-3.6A-to-zGuaranteeandChargebacks.Ifweinformyouthatwehavereceivedaclaimunderthe"A-to-zGuarantee"(oranysubstantiallyconsistentoffer),oranychargebackorotherdispute,concerningoneofYourTransactions,youwilldelivertouswithinseven(7)days:(a)proofofdeliveryoftheapplicableYourProduct(s);(b)theapplicableAmazonorderidentificationnumber;and(c)adescriptionoftheapplicableYourProduct(s).Ifyoufailtocomplywiththepriorsentence,oriftheclaim,chargeback,ordisputeisnotcausedby(i)creditcardfraudforwhichweareresponsibleunderSectionW-3.3,or(ii)ourfailuretomakeyourOrderInformationavailableasthesamewasreceivedbyusorresultingfromaddressverification,thenyouwillpromptlyreimburseusfortheamountofthecustomerpurchase(includingthePurchasePrice,allassociatedshippingandhandlingchargesandalltaxes)andallassociatedcreditcardassociation,bankorotherpaymentprocessing,re-presentmentand/orpenaltyfeesassociatedwiththeoriginalpurchaseandanychargebackorrefund,ineachcasetotheextentpaidorpayablebyusorouraffiliates.Wemayrequirethatyouestablishaseparatereserveaccount(a"Reserve")tosecuretheperformanceofyourpaymentobligationsunderthisAgreement,inanamountasdeterminedbyus.Withoutlimitingtheforegoing,wemayrequireaReserveifyouhaveahighrateofchargebacks,refunds,orotherindiciaofperformanceproblemsrelatedtoyouruseoftheWebStoreService.TheReservewillbeinanamountasdeterminedbyustocoveranticipatedchargebacksorcreditriskbasedonyourprocessinghistoryorsuchamountdesignatedbyourProcessor(s).W-4CustomerService.W-4.1General.TheprovisionsinthisSectionW-4applyonlyinconnectionwithsalesofYourProductsthroughtheWebStoreSitethatarenotfulfilledusingFulfillmentbyAmazon.ForcustomerserviceobligationspertainingtosalesofYourProductsusingSellingonAmazonorsalesofYourProductsfulfilledusingFulfillmentbyAmazon,theServiceTermsapplicabletothoseServiceswillapply.Youwillrefercustomerissuestousaccordingtotheresponsibilitiesbelow,inatimely,professionalandcourteousmannerandattheapplicable"ContactUs"form,emailaddressand/orphonenumberprovidedforsuchpurposebyus.Youwillnotestablishdirectphoneoremailtransferfunctionalityofcustomerservicecontactstous,forwardcustomeremailstous,ordiscloseourcustomerservicecontactinformationunlessinresponsetoacustomercontactconcerningacustomerserviceissueforwhichweareresponsibleundertheseWebStoreServiceTerms.W-4.2OurCustomerServiceResponsibilities.Asbetweenyouandus,wewillbesolelyresponsibleforallcustomerserviceissuesrelatingtopayment,creditcardprocessing,debitingorcrediting,andthe"A-to-zGuarantee".W-4.3YourCustomerServiceResponsibilities.UnlessprovidedotherwiseelsewhereintheseWebStoreServiceTerms,youwillbesolelyresponsibleforallcustomerserviceissuesrelatingtoYourProducts(includingpricing,rebates,iteminformation,availability,technicalsupport,functionalityandwarranty),YourProductorderfulfillmentandshippingandhandling,YourProductordercancellationbyyouoranycustomer,returns,refundsandadjustments,andfeedbackconcerningexperienceswithyourpersonnel,policiesorprocesses.Inperformingcustomerservice,youwillalwayspresentyourselfasaseparateentityfromus.W-5DataandCommunications.Weandyouwillco-ownalltheCustomerAccountInformationandWebStoreTransactionInformation.NeitheryounorwewillneedtopayanyroyaltiesoraccounttotheotherinconnectionwithyourorouruseofanyCustomerAccountInformationorWebStoreTransactionInformation.Youandyouraffiliateswill:(a)atalltimescomplywithallLaws,includinganyLawrelatedtotheuseofthistypeofinformation;and(b)complywithanyapplicablepoliciespostedontheWebStoreSiteregardinguseofthistransactionandcustomerdata.WearenotliableforprotectionorprivacyofelectronicmailorotherinformationtransferredthroughtheInternetoranyothernetworkyouoryourcustomersmayutilize,includingwithoutlimitationinconnectionwiththeprovisionoftheWebStoreService;orthebackupofanyofyourfilesordata.W-6PricingandRemittance.W-6.1YourProductPricingandTermsofSaleGenerally.YouarefreetodeterminethepriceforeachofYourProductslistedforsaleonyourWebStoreSite.W-6.2Shipping&HandlingCharges.YouwilldetermineshippingandhandlingchargesforYourProductssoldonorthroughtheWebStoreSite,butwillcomplywithanyshippingandhandlingchargeProgramPolicies.IfYourProductisfulfilledusingFulfillmentbyAmazon,thissectionwillnotapplyandtheFulfillmentbyAmazonServiceTermswillapply.W-6.3RemittanceandCompensation.W-6.3.1Fees;RemittanceofSalesProceeds.Youwillpayus:(a)applicableWebStoreReferralFees;and(b)theapplicablenon-refundableWebStoreSubscriptionFee(s)inadvanceforeachmonthofthetermofthisAgreement."WebStoreSubscriptionFee"meanstheapplicablefee(s)specifiedontheWebStoreFeeScheduleatthetimesuchfeeispayable.WithrespecttoeachofYourTransactions:(x)"SalesProceeds"hasthemeaningsetoutintheGeneralTermsoftheBusinessSolutionsAgreement;and(y)"WebStoreReferralFee"meanstheapplicablepercentageofSalesProceedsfromYourTransactionthroughtheWebStoreSitespecifiedontheWebStoreFeeScheduleatthetimeofYourTransaction.Wewillremittoyouonabi-weekly(14-day)(oratouroption,morefrequent)basisanyWebStoreSalesProceedscollectedbyusbutnotpreviouslyremittedtoyouasofthedatethatistwo(2)businessdayspriortothedateofremittance(the"RemittanceCalculationDate"),less:(aa)theWebStoreReferralFeesdueforsuchsums;and(bb)anyWebStoreSubscriptionFeesdue.YouwillacceptourremittancesundertheprevioussentenceaspaymentinfullforthesaleandshippingandhandlingofYourProducts.W-6.3.2Refunds.IfyourefundmoneytoacustomerinconnectionwithYourTransaction,andtherefundisroutedthroughus,wewillrefundtoyoutheamountoftheWebStoreReferralFeepaidbyyoutousattributabletotheamountofthecustomerrefund(excludinganyrefundedtaxes),lessthelowerof(a)fivedollars($5)or(b)twentypercent(20%)oftheWebStoreReferralFee,whichwemayretainasanadministrativefee.WewillremitanyamountstoberefundedbyusunderthissubsectionfromtimetotimetogetherwiththenextremittancetobemadebyustoyoupursuanttosubsectionW-6.3.1above.W-7ProvisionandUseoftheWebStoreService.W-7.1ControloftheWebStoreService.Wereservetherighttodetermineandcontrolallaspects(includingallfunctionality)oftheWebStoreServiceandtheAmazonMaterialsaswellastherighttore-design,modifyandremoveanyorallaspectsofthem.W-7.2LicensetotheWebStoreServiceandAmazonMaterials.SubjecttothisAgreement(including,butnotlimitedto,SectionW-7.3(LicenseRestrictions)),wegrantyoualimited,revocable,non-sublicenseable,non-assignable,non-exclusiveandroyalty-freelicenseto:(a)accessandusetheWebStoreServiceandtheAmazonMaterialsinthemannerpermittedbythisAgreement;(b)install,copy,anduseanyAmazonMaterialswemayprovide,solelyinconjunctionwithyouraccesstoanduseandoperationofyourWebStoreSite;and(c)enabletheaccesstoanduseofyourWebStoreSitebycustomers.W-7.3LicenseRestrictions.YoumaynotandmaynotauthorizeanyotherpartytodothefollowingtoorwiththeWebStoreService,theWebStoreSiteortheAmazonMaterials:(a)reverseengineer,decompile,ordisassemblethem;(b)modifyorcreatederivativeworksbasedupontheminwholeorinpart;(c)distributecopiesofthem;(d)removeanyproprietarynoticesorlabelsonthem;(e)useanyPublicSoftwareinanymannerthatrequires,pursuanttothelicenseapplicabletosuchPublicSoftware,thattheWebStoreServiceoranyAmazonMaterialsbedisclosed,licensed,distributedorotherwisemadeavailabletoanyone;or(f)resell,lease,rent,transfer,sublicense,orotherwisetransferrightstothem.Inadditiontoanyotherrightsorremediesthatwemayhave,anyuseinviolationofthissectionwillimmediatelyterminateyourrighttousetheWebStoreService,theWebStoreSiteandtheAmazonMaterials.W-7.4Ownership;ReservationofRights.Youacknowledgeandagreethatwe(orourlicensors,asapplicable)ownallright,titleandinterestinandtotheWebStoreService,theAmazonMaterials,andAmazonTrademarks,and,exceptasexplicitlyincludedinthisAgreement,youdonot,byvirtueofthisAgreementorotherwise,acquireanyownershipinterestorrightsinortotheWebStoreService,theAmazonMaterials,anyAmazonTrademarks,oranyotherintellectualpropertyortechnologythatweprovideoruseinconnectionwiththeWebStoreService.AlllicensesnotexpresslygrantedintheseWebStoreServiceTermsarereservedandnootherlicenses,immunityorrights,expressorimpliedaregrantedbyus,byimplication,estoppelsorotherwise.W-7.5URLs.W-7.5.1General.ExceptasprovidedinSectionW-7.5.2,youwillberesponsibleforsecuringallrightstotheURL(s)fortheWebStoreSite,includingmaintainingtheregistrationfortheURLswithyourdomainnameregistrars.YouwillcomplywithourrequirementsregardingtheURL(s)anditsadministrationwiththeregistrarsothatwecanprovidetheWebStoreServicetoyou.YourepresentandwarrantthattheURLsusedinconnectionwiththeWebStoreSitedoesnotviolateanyintellectualpropertyrightsoranyotherproprietaryrigh uctsregisteredinFBA,andwillprovideFulfillmentRequestsforanyUnitsfulfilledusingFBAthatarenotsoldthroughtheAmazonSite("Multi-ChannelFulfillmentUnits").YouwillpromptlyupdateanyinformationaboutYourProductsinaccordancewithourrequirementsandasnecessarysothattheinformationisatalltimesaccurateandcomplete.F-3ShippingtoAmazonF-3.1ExceptasotherwiseprovidedinSectionF-3.4andSectionF-5,FBAislimitedtoUnitsthatareshippedtoandfromfulfillmentcenterslocatedwithinYourElectedCountry,tobedeliveredtocustomersinYourElectedCountryonly.YouwillshipUnitstousinaccordancewithapplicableProgramPolicies.YouwillberesponsibleforallcostsincurredtoshiptheUnitstotheshippingdestination(includingcostsoffreightandtransitinsurance)andAmazonwillnotpayanyshippingcostsexceptasprovidedinSectionF-3.2.Youareresponsibleforpaymentofallcustoms,duties,taxesandothercharges.InthecaseofanyimproperlypackagedorlabeledUnit,wemayreturntheUnittoyouatyourexpense(pursuanttoSectionF-7)orre-packageorre-labeltheUnitandchargeyouanadministrativefee.F-3.2Youwillnotdelivertous,andwemayrefusetoaccept,anyshipmentorUnsuitableUnit.WemayreturnordisposeofanyUnsuitableUnitasprovidedinSectionF-7(andyouwillbedeemedtohaveconsentedtosuchaction):(a)immediatelyifwedetermineinoursolediscretionthattheUnitcreatesasafety,healthorliabilityrisktoAmazon,ourpersonneloranythirdparty;(b)ifyoufailtodirectustoreturnordisposeofanyUnsuitableUnitwithinthirty(30)daysafterwenotifyyouthattheUnithasbeenrecalled;or(c)exceptasotherwiseprovidedinthisSectionF-3.2,ifyoufailtodirectustoreturnordisposeofanyUnsuitableUnitwithinninety(90)daysafterwenotifyyouthatweareinpossessionofit.Inaddition,youwillreimburseusforanyexpensesweincurinconnectionwithanyUnsuitableUnits.F-3.3IfYourElectedCountryistheUnitedStates,wemay,atouroption,allowyoutoshipUnitsatyourexpense(asdescribedinSectionF-9.2)tofulfillmentcentersusingdiscountedshippingratesthatwemaymakeavailabletoyouforcertaincarriers.Insuchevent,youwillusetheprocessesandsupplytheinformationthatwerequireforyoutoobtainsuchdiscountedrates.Youalsomustcomplywithstandardoperatingprocedures,weightandsizerestrictions,andothershippingrequirementsoftheapplicablecarriers.Ifweprovideyouwiththeestimatedshippingcostspriortoshipment,youacknowledgeandagreethatactualshippingcostsmayvaryfromsuchestimates.Inaddition,iftheweightoftheUnit,asdeterminedbytheapplicablecarrier,differsfromthatsubmittedbyyoutousforpurposesofdeterminingtheestimatedshippingcosts,then:(a)youmaybechargedmorethantheestimatedshippingcostsifthecarrierdeterminesthatsuchUnitweighsmorethanassubmittedbyyou;or(b)youmaybechargedthefullamountoftheestimatedshippingcostsevenifthecarrierdeterminestheweighttobelessthanthatsubmittedbyyou.Youwillnotuseourcarrieraccountinformation(e.g.,carrieraccountnumber,amountofshippingrates,etc.)foranypurpose,nordisclosesuchinformationtoanythirdparty,andyouwillprotectsuchinformationasAmazon’sconfidentialinformationinaccordancewithSection11oftheBusinessSolutionsAgreement.Asbetweenyou,usandourcarrier,youwillbetheshipperofrecord,andwewillbethepayerofrecordwithrespecttoallUnitsshippedtoususingsuchdiscountedrates.TitleandriskoflossforanyUnitshippedusingdiscountedratesprovidedbyusunderthisSectionwillremainwithyou,andourprovisionofsuchshippingrateswillnotcreateanyliabilityorresponsibilityforuswithrespecttoanydelay,damageorlossincurredduringshipment.Youherebyauthorizetheapplicablecarriertoprovideuswithallshipmenttrackinginformation.F-3.4IfyoushipUnitsfromoutsideofYourElectedCountrytofulfillmentcenters,youwilllistyourselfastheimporter/consigneeandnominateacustomsbroker.IfAmazonislistedonanyimportdocumentation,AmazonreservestherighttorefusetoaccepttheUnitscoveredbytheimportdocumentsandanycostsassessedagainstorincurredbyAmazonwillbecollectedfromYourBankAccount,deductedfromamountspayabletoyou,orbyothermethodatourelection.F-4StorageWewillprovidestorageservicesasdescribedintheseFBAServiceTermsonceweconfirmreceiptofdelivery.WewillkeepelectronicrecordsthattrackinventoryofUnitsbyidentifyingthenumberofUnitsstoredinanyfulfillmentcenter.WewillnotberequiredtophysicallymarkorsegregateUnitsfromotherinventoryunits(e.g.,productswiththesameAmazonstandardidentificationnumber)ownedbyus,ouraffiliatesorthirdpartiesintheapplicablefulfillmentcenter(s).IfweelecttocommingleUnitswithsuchotherinventoryunits,bothpartiesagreethatourrecordswillbesufficienttoidentifywhichproductsareUnits.WemaymoveUnitsamongfacilities.IfthereisalossofordamagetoanyUnitswhiletheyarebeingstored,wewill,asyoursoleremedy,payyoutheReplacementValue(asdescribedanddefinedintheFBAGuidelines)andyouwill,atourrequest,provideusavalidtaxinvoicefortheReplacementValuepaidtoyou.IfwepayyoutheReplacementValueofaUnit,wewillbeentitledtodisposeoftheUnitpursuanttoSectionF-7.PaymentoftheReplacementValueisourtotalliabilityforanydutiesorobligationsthatweorouragentsorrepresentativesmayhaveasabaileeorwarehouseman,andyouronlyrightorremedythatyoumayhaveasabailor.Atallothertimes,youwillbesolelyresponsibleforanylossof,ordamageto,anyUnits.Ourconfirmedreceiptofdeliverydoesnot:(a)indicateorimplythatanyUnithasbeendeliveredfreeoflossordamage,orthatanylossordamagetoanyUnitlaterdiscoveredoccurredafterconfirmedreceiptofdelivery;(b)indicateorimplythatweactuallyreceivedthenumberofUnitsofYourProduct(s)specifiedbyyouforsuchshipment;or(c)waive,limitorreduceanyofourrightsundertheBusinessSolutionsAgreement.Wereservetherighttoimpose,andchangefromtimetotime,schedulingrestrictionsandvolumelimitationsonthedeliveryandstorageofyourinventoryinfulfillmentcenters,andyouwillcomplywithanyoftheserestrictionsorlimitations.F-5FulfillmentAspartofourfulfillmentservices,wewillshipUnitsfromourinventoryofYourProductstotheshippingaddressesinYourElectedCountryincludedinvalidcustomerorders,orsubmittedbyyouaspartofaFulfillmentRequest.WemayshipUnitstogetherwithproductspurchasedfromothermerchants,includinganyofouraffiliates.WealsomayshipUnitsseparatelythatareincludedinasingleFulfillmentRequest.IfYourElectedCountryistheUnitedStatesandyouelecttoparticipateinourexportfulfillmentservices,wewillalsoshipYourProductsthatwedeterminetobeeligible(each,a"Foreign-EligibleProduct")toForeignAddresseswithincountrieswedeterminetobeeligibleforforeignshipments,subjecttotheadditionaltermsonforeignshipmentsintheFBAGuidelines.F-6CustomerReturnsF-6.1Youwillberesponsibleforandwillacceptandprocessreturnsof,andproviderefundsandadjustmentsfor,anyMulti-ChannelFulfillmentUnitsinaccordancewiththeBusinessSolutionsAgreement(includingtheapplicableProgramPolicies).F-6.2WewillreceiveandprocessreturnsofanyAmazonFulfillmentUnitsthatwereshippedtoaddresseswithinYourElectedCountryinaccordancewiththetermsofyourSellerAgreement,theseFBAServiceTermsandtheProgramPolicies.AnySellableUnitsthatarealsoAmazonFulfillmentUnitsandthatareproperlyreturnedwillbeplacedbackintotheinventoryofYourProductsintheFBAProgram.WemayfulfillcustomerordersforYourProductswithanyreturnedAmazonFulfillmentUnits.ExceptasprovidedinSectionF-7,youwillretaketitleofallUnitsthatarereturnedbycustomers.F-6.3ExceptasprovidedinSectionF-5,wewill,atyourdirection,eitherreturnordisposeofanySellingonAmazonUnitthatisreturnedtousandthatwedetermineisanUnsuitableUnitasprovidedinSectionF-7.WithoutlimitationofourrightsunderSectionF-7.1,wemayelecttoreturnordisposeofthatUnsuitableUnitasprovidedinSectionF-7,andyouwillbedeemedtohaveconsentedtoourelectionifyoufailtodirectustoreturnordisposeoftheUnsuitableUnitwithinninety(90)daysafterwenotifyyouoftheUnsuitableUnit.F-6.4IfAmazonreceivesacustomerreturnofaMulti-ChannelFulfillmentUnit,youwilldirectustoreturnordisposeoftheUnitatyourowncostfailingwhichwemaydisposeoftheUnitasprovidedinSectionF-7.F-7ReturnstoYouandDisposalF-7.1Youmay,atanytime,requestthatUnitsbereturnedtoyou.WemayreturnUnitstoyouforanyreason,includinguponterminationoftheseServiceTerms.ThesereturnedshipmentswillbesenttoyourdesignatedshippingaddressthatiswithinYourElectedCountry.Ifwehaveanoutdated,incorrectorinternationaladdressforyou,orifwecannotmakearrangementsforyoutopayforthereturnshipment,theUnit(s)willbedeemedabandonedandwemayelecttodisposeoftheUnit(s)asprovidedherein.F-7.2Youmay,atanytime,requestthatwedisposeofUnits.WemaydisposeofanyUnitweareentitledtodisposeofinthemannerweprefer.TitletoeachdisposedUnitwilltransfertousatnocosttousasnecessaryforustodisposeoftheUnit,andwewillretainallproceeds,ifany,receivedfromthedisposalofanyUnit.F-7.3YouwillpromptlynotifyusofanyrecallsorthreatenedrecallsofanyofYourProductsandcooperateandassistusinconnectionwithanyrecalls,includingbyinitiatingtheproceduresforreturningitemstoyouunderourstandardprocesses.Youwillberesponsibleforallcostsandexpensesyou,weoranyofouroryouraffiliatesincurinconnectionwithanyrecallorthreatenedrecallofanyofYourProducts(includingthecoststoreturn,store,repair,liquidateordelivertoyouoranyvendoranyoftheseproducts).F-8CustomerServiceF-8.1ForMulti-ChannelFulfillmentUnitswewillhavenocustomerserviceobligationsotherthantopassanyinquiriestoyourattentionatthecontactyouprovide,andtomakeavailableareasonableamountofinformationregardingthestatusofthefulfillmentofYourProductsifyourequestitandifandtotheextentwepossesstherequestedinformation.YouwillensurethatallofyourpoliciesandmessagingtoyourcustomersregardingshippingofYourProductsandotherfulfillment-relatedmatters,reflectourpoliciesandrequirements,includingwithregardtoshippingmethods,returnsandcustomerservice;and,youwillconspicuouslydisplayonyourwebsite(s),inemailsorinothermediaorcommunicationsanyspecificdisclosures,messaging,notices,andpolicieswerequire.F-8.2Wewillberesponsibleforandhavesolediscretionregardingallcustomerserviceissuesrelatingtopackaging,handlingandshipmentandcustomerreturns,refundsandadjustmentsrelatedtoAmazonFulfillmentUnits.Wewillhavetherighttodeterminewhetheracustomerwillreceivearefund,adjustmentorreplacementforanyAmazonFulfillmentUnitandtorequireyoutoreimburseuswherewedetermineyouhaveresponsibilityinaccordancewiththeBusinessSolutionsAgreement(includingtheseServiceTermsandtheProgramPolicies).ExceptasprovidedinthisSectionF-8regardinganyAmazonFulfillmentUnits,customerservicewillbehandledassetforthinyourSellerAgreement.F-8.3InsituationsrelatingtoAmazonFulfillmentUnitswherethewrongitemwasdeliveredortheitemwasdamagedorlostorismissing,unlesswedeterminethatthebasisforsuchrequestiscausedbyyouoranyofyouremployees,agentsorcontractors,wewill,asyoursoleandexclusiveremedyandatouroption:(a)foranyAmazonFulfillmentUnit,(i)shipareplacementUnittothecustomerandpayyoutheReplacementValue(asdescribedintheFBAGuidelines)forthereplacementUnit,or(ii)processarefundtothecustomerandpayyoutheReplacementValuefortheUnit;or(b)foranyMulti-ChannelFulfillmentUnit,payyoutheReplacementValuefortheUnit(andyouwill,atourrequest,provideusavalidtaxinvoicefortheReplacementValuepaidtoyou).AnycustomerrefundwillbeprocessedinaccordancewiththeSellingonAmazonServiceTerms.NotwithstandingtheSellingonAmazonServiceTerms,wewillbeentitledtoretaintheapplicablefeespayabletousundertheSellingonAmazonServiceTermsandtheseServiceTerms,respectively.ExceptasexpresslyprovidedinthisSectionF-8.3,youwillberesponsibleforallcostsassociatedwithanyreplacementorreturn.F-8.4IfweprovideareplacementUnitorrefundasdescribedinSectionF-8.3toacustomerandthatcustomerreturnstheoriginalUnittous,wewillbeentitledtodisposeoftheUnitpursuanttoSectionF-7,or,ifitisaSellableUnit,wemay,atouroption,placesuchUnitbackintoyourinventoryinaccordancewithSectionF-6.Ifwedoputitbackintoyourinventory,youwillreimburseusfortheReplacementValueofthereturnedUnit.AnyreplacementUnitshippedbyusundertheseServiceTermswillbedeemedtobe,andwillbetreatedinthesamemanneras,anorderandsaleofsuchUnitfromyoutothecustomerviatheAmazonSiteinaccordancewiththeBusinessSolutionsAgreementandyourSellerAgreement,andwillbesubjecttoalltermsandconditionsapplicablethereto.F-9CompensationforFulfillmentServicesF-9.1HandlingandStorageFees.YouwillpayustheapplicablefeessetforthintheFulfillmentbyAmazonFeeSchedule.YouwillbechargedtheStorageFeesbeginningontheday(uptomidnight)thattheUnitarrivesatafulfillmentcenterandisavailableforfulfillmentbyAmazon(orinthecaseofanyUnsuitableUnit,thearrivalday(uptomidnight)),untiltheearlierof:(a)theday(uptomidnight)wereceiveavalidcustomerorderforsuchproductorarequestfromyoutoreturnordisposeoftheUnit;or(b)theday(uptomidnight)weactuallyshiptheUnittoyourdesignatedreturnlocationordisposeoftheUnit.F-9.2ShippingandGiftWrap.ForanyAmazonFulfillmentUnitswewilldeterminetheamountschargedtothecustomerforshippingandgiftwrapservicesfortheUnitsthatwefulfillthroughtheFBAProgram.Asbetweenyouandus,thesechargeswillbeyourchargestothecustomer,andwewillreportthemtoyou.Wewillchargeyou(andyouwillpayus)afeeequaltotheamountofsuchchargestothecustomer.InthecaseofshipmentsofUnitssoldthroughtheAmazonSitethatqualifyforthe"SuperSaverShipping"promotion,theamountschargedtothecustomerforshippingtheSellingonAmazonUnitsthatAmazonfulfillswillfirstbechargedtothecustomerandwillnextbedeductedfromthetotalchargestothecustomerasyourpromotionandAmazonwillnotchargeyouthefeedescribedabove.IfYourElectedCountryistheUnitedStatesandyoushipUnitstoususingtheshippingratesthatwemaymakeavailablepursuanttoSectionF-3.3,youwillreimburseusfortheactualamountschargedtousbytheapplicablecarrierforsuchshipments.F-9.3Proceeds.WemaykeepallproceedsofanyUnitsthatwedisposeofortowhichtitletransfers,includingreturned,damagedorabandonedUnits.Youwillhavenosecurityinterest,lienorotherclaimtotheproceedsthatwereceiveinconnectionwiththesale,fulfillmentand/orshipmentoftheseUnits.F-10IndemnityInadditiontoyourobligationsunderSection6oftheBusinessSolutionsAgreement,youalsoagreetoindemnify,defendandholdharmlessus,ouraffiliatesandtheirandourrespectiveofficers,directors,employees,representativesandagentsagainstanyClaimthatarisesoutoforrelatesto:(a)theUnits(whetherornottitlehastransferredtous,andincludinganyUnitthatweidentifyasyourspursuanttoSectionF-4regardlessofwhethersuchUnitistheactualitemyouoriginallysenttous),includinganypersonalinjury,deathorpropertydamage;(b)theshipment,exportordeliveryofYourProductstoForeignAddresses(includingwithrespecttoanyclassificationdataandotherinformationprovidedbyyoutousinconnectiontherewith,andnotwithstandinganyrightswehaveunderSectionF-5oranycertificationswemaymakeinconnectionwiththeshipment,exportordeliveryofYourProducts);(c)anyofYourTaxesorthecollection,paymentorfailuretocollectorpayYourTaxes;and,ifapplicable(d)anysales,use,valueadded,personalproperty,grossreceipts,excise,franchise,businessorothertaxesorfees,oranycustoms,dutiesorsimilarassessments(includingpenalties,finesorinterestonanyoftheforegoing)imposedbyanygovernmentorothertaxingauthorityinconnectionwiththeshipmentofForeign-EligibleProductstoForeignAddresses(collectively,"ForeignShipmentTaxes").F-11ReleaseYouhereby,onbehalfofyourselfandsuccessors,subsidiaries,affiliates,officers,directors,shareholders,employees,assignsandanyotherpersonorentityclaimingby,through,underorinconcertwiththem(collectively,the"ReleasingParties"),irrevocablyacknowledgefullandcompletesatisfactionofandherebyunconditionallyandirrevocablyreleaseandforeverfullydischargeAmazonandeachofitsaffiliates,andanyandalloftheirpredecessors,successors,andaffiliates,pastandpresent,aswellaseachoftheirpartners,officers,directors,shareholders,agents,employees,representatives,attorneys,andassigns,pastandpresent,andeachofthemandallPersonsactingby,through,underorinconcertwithanyofthem(collectively,the"ReleasedParties"),fromanyandallclaims,obligations,demands,causesofaction,suits,damages,losses,debtsorrightsofanykindornature,whetherknownorunknown,suspectedorunsuspected,absoluteorcontingent,accruedorunaccrued,determinedorspeculative(collectively,"Losses")whichtheReleasingPartiesnowownorholdoratanytimeheretoforehaveownedorheldorinthefuturemayholdorownagainsttheReleasedParties,oranyofthem,arisingoutof,resultingfrom,orinanywayrelatedtotheshipment,exportordeliveryofYourProductstoForeignAddresses,includinganytaxregistrationorcollectionobligations.You,onbehalfofyourselfandallotherReleasingParties,recognizethatyou,andeachofthem,mayhavesomeLosses,whetherintort,productliability,contract,warrantyorotherwise,againsttheReleasedPartiesofwhichyou,oranyofthem,aretotallyunawareandunsuspecting,orwhichmayariseoraccrueafterthedateyouregisterfortheseFBAServiceTerms,whichtheReleasingPartiesaregivingupbyagreeingtotheseFBAServiceTerms.ItisyourintentioninagreeingtotheseFBAServiceTermsthattheseFBAServiceTermswilldeprivetheReleasingPartiesofeachandallsuchLossesandpreventtheReleasingPartyfromassertinganysuchLossesagainsttheReleasedParties,oranyofthem.Infurtheranceoftheintentionssetforthherein,youherebyacknowledge,onbehalfofyourselfandallotherReleasingPartiesthatyouarefamiliarwithSection1542oftheCivilCodeoftheStateofCalifornia,asfollows:"Ageneralreleasedoesnotextendtoclaimswhichthecreditordoesnotknoworsuspecttoexistinhisfavoratthetimeofexecutingtherelease,whichifknownbyhimmusthavemateriallyaffectedhissettlementwiththedebtor."You,onbehalfofyourselfandallotherReleasingParties,herebyexpresslywaiveandrelinquishanyrightsthatyouhadormayhaveunderSection1542oftheCivilCodeoftheStateofCaliforniaoranysimilarprovisionofthelawofanyotherjurisdiction,tothefullextentthatyoumaylawfullywaiveallsuchrightspertainingtothesubjectmatterofthisFBAServiceTerms.F-12DisclaimerINADDITIONTOTHEDISCLAIMERINSECTION7OFTHEBUSINESSSOLUTIONSAGREEMENT,WEHEREBYDISCLAIMANYDUTIESOFABAILEEORWAREHOUSEMAN,ANDYOUHEREBYWAIVEALLRIGHTSANDREMEDIESOFABAILOR(WHETHERARISINGUNDERUNITEDSTATESCOMMONLAWORSTATUTEOROTHERWISE),RELATEDTOORARISINGOUTOFANYPOSSESSION,STORAGEORSHIPMENTOFYOURPRODUCTSBYUSOROURAFFILIATESORANYOFOURORTHEIRCONTRACTORSORAGENTS.F-13EffectofTerminationFollowinganyterminationoftheBusinessSolutionsAgreementortheseFBAServiceTerms,wewill,asdirectedbyyou,returntoyouordisposeoftheUnitsasprovidedinSectionF-7.IfyoufailtodirectustoreturnordisposeoftheUnitswithinninety(90)daysaftertermination,thenwemayelecttoreturnand/ordisposeoftheUnitsinwholeorinpart,asprovidedinSectionF-7,andyouwillbedeemedtohaveconsentedtothis.UponanyterminationoftheseFBAServiceTerms,allrightsandobligationsofthepartiesundertheseFBAServiceTermswillbeextinguished,exceptthattherightsandobligationsofthepartiesunderSectionsF-1,F-2,F-3,F-4,F-5,F-6,F-7,F-8,F-9,F-11,F-12andF-13withrespecttoUnitsreceivedorstoredbyAmazonasofthedateofterminationwillsurvivethetermination.F-14TaxMattersYouunderstandandacknowledgethatstoringUnitsatfulfillmentcentersmaycreatetaxnexusforyouinanycountry,state,province,orotherlocalitiesinwhichyourUnitsarestored,andyouwillbesolelyresponsibleforanytaxesowedasaresultofsuchstorage.IfanyForeignShipmentTaxesorYourTaxesareassessedagainstusasaresultofperformingservicesforyouinconnectionwiththeFBAProgramorotherwisepursuanttotheseFBAServiceTerms,youwillberesponsibleforsuchForeignShipmentTaxesandYourTaxesandyouwillindemnifyandholdAmazonharmlessfromsuchForeignShipmentTaxesandYourTaxesasprovidedinSectionF-10oftheseFBAServiceTerms.F-15AdditionalRepresentationInadditiontoyourrepresentationsandwarrantiesinSection5oftheBusinessSolutionsAgreement,yourepresentandwarranttousthat:(a)youhavevalidlegaltitletoallUnitsandallnecessaryrightstodistributetheUnitsandtoperformundertheseFBAServiceTerms;(b)youwilldeliverallUnitstousinnewcondition(orinsuchconditionotherwisedescribedbyyouintheapplicableYourProductlisting)andinamerchantablecondition;(c)allUnitsandtheirpackagingwillcomplywithallapplicablemarking,labelingandotherrequirementsrequiredbyLaw;(d)noUnitisorwillbeproducedormanufactured,inwholeorinpart,bychildlabororbyconvictorforcedlabor;(e)youandallofyoursubcontractors,agentsandsuppliersinvolvedinproducingordeliveringUnitswillstrictlyadheretoallapplicableLawsofYourElectedCountry,itsterritoriesandallothercountrieswhereUnitsareproducedordelivered,regardingtheoperationoftheirfacilitiesandtheirbusinessandlaborpractices,includingworkingconditions,wages,hoursandminimumagesofworkers;and(f)thatallForeign-EligibleProducts(i)canbelawfullyexportedfromYourElectedCountryortheUnitedStates,asapplicable,withoutanylicenseorotherauthorization,and(ii)canbelawfullyimportedinto,andcomplywithallapplicableLawsof,anyEligibleCountry.FBADefinitions"AmazonFulfillmentUnits"meansUnitsfulfilledusingFBAthatareso
