foretheGrandOpeningDayofPartyB’sStore.”1.7大厦商铺面积开业率,是指“租赁标的物所在的大厦内已经开业且处于正常经营的商铺的总面积与大厦内可用于商业经营的面积的比例,其中已经开业且处于正常经营的商铺面积与大厦内可用于商业经营的面积均不包括乙方在大厦内的租用面积,但包括甲方已经出售给第三人的大厦商铺面积”。StoreOpeningRateoftheBuildingreferstothe“ratioofthetotalareaofalltheopenedstoreswithintheBuildingtothetotalareaavailableforbusinesspurposewithintheBuilding,andeitherthetotalareaofalltheopenedstores可编辑精选withintheBuildingorthetotalareaavailableforbusinesspurposewithintheBuildingexcludingtheLeasedAreaofPartyBbutincludingtheSoldAreabyPartyAtoathirdpartywithintheBuilding.”1.8租赁费用,是指“本协议项下的与使用租赁标有关的全部费用,包括但不限于租金、各类设施设备使用费、物业服务费等”。TheLeaseExpensesreferto“allthechargesforuseofthePremisesincludingbutnotlimitedtorentfortheuseofthePremises,chargesforusingfacilitysystems,andchargesforpropertymanagement,etc.”1.9装卸区域,是指“本协议租期内,甲方交由乙方、乙方员工和乙方的供应商有权专有使用的,在本协议附件一、附件二所标示的装卸货区”。TheLoadingandUnloadingAreareferstothe“loadingandunloadingareaPartyAassignstoPartyB,PartyB’semployeesandPartyB’svendor(s)fortheexclusiverighttouseasspecifiedinExhibitIandExhibitII.”1.10停车区,是指“本协议租期内,甲方自负费用负责管理(包括保安和清洁),交由乙方、乙方员工、乙方供应商、乙方顾客使用的停车区域”。ParkingLotreferstothe“parkingareaPartyAwillberesponsibleformanaging(includingsafeguardingandcleaning)atitsowncostandPartyB,PartyB’semployees,PartyB’svendorsandPartyB’scustomerswilluseduringtheTermofthisAgreement.”1.11乙方室外公共区,是指“本协议租期内,乙方有权免费专有使用本协议附件一、附件二所标示的区域”。PartyB’sOutdoorPublicAreareferstothe“areaPartyBmayhaveexclusiveuseasshowninExhibitIandExhibitIIfreeofchargeduringtheTermofthisAgreement.”第2条租赁标的物和房屋Article2LEASEHOLDPROPERTYANDPREMISES双方确认,在根据本协议确定的计算标准、附件一及附件二进行现场核实实际的租用面积(“核实的租用面积”)前,本协议约定的房屋租用面积为甲乙双方共同确认的、根据施工图纸测算出来的房屋套内面积,不包括应由该等租用面积所分摊的公用面积,但乙方有权依法使用房屋租用面积所分摊的公用面积。租赁标的物的租赁费用应根据租用面积为标准计算。双方确认,租用面积的计算标准为以墙体的中线开始计算、乙方能够使用的房屋套内面积,详见本协议附件一及附件二。ThePartiesconfirmed,beforeverificationoftheactualLeasedAreaaccordingtothecalculationstandard,ExhibitI&ExhibitII(the“VerifiedLeasedArea”),theLeasedPremiseAreamentionedinthisAgreementistheuseareaofthePremiseswhichisjointlycalculatedandconfirmedbythePartiesaccordingtotheconstructiondrawingsanddoesnotincludethesharedcommonareasallocatedtosuchLeasedArea.PartyBshallhavetherightto可编辑精选use,accordingtothelaw,thesharedcommonareaallocatedtotheLeasedAreainaccordancewiththelaw.TheLeaseExpensesoftheLeaseholdPropertywillbecalculatedonthebasisoftheLeasedArea.ThePartiesconfirmed,thecalculationstandardoftheLeasedAreaisthenetareausedbyPartyBwhichiscalculatedfromthemiddleofthewall,detailedpleaseseeExhibitI&ExhibitIII.在乙方商场开业日后的一个月内,双方将共同委托当地房管部门下属的测绘机构根据本协议确定的计算标准、附件一及附件二核实实际的租用面积。如双方所核实的租用面积与上述租用面积的误差比(如以下公式定义)不超过正负百分之三(±3%)时,双方同意执行测绘机构所核实的租用面积调整本协议约定租用面积,并签署调整租用面积的确认书;若双方所核实的租用面积与上述租用面积的误差比(如以下公式定义)超过正负百分之三(±3%)时,如该等误差是由于施工图纸变更且经乙方确认的,则双方按照测绘机构核实的租用面积调整本协议租用面积,并签署调整租用面积的确认书。否则,若误差比超出正3%时,仍按照3%标准计算并调整本协议租用面积,租赁费用将根据确认书所确定的租用面积进行计算。租用面积确定后,在本协议期间,除乙方额外要求增加或减少租用面积,双方不再对租用面积提出异议。测绘费用由申请方承担。若乙方对当地测绘机构核实的租用面积产生异议,则甲方同意乙方有权自负费用委托其他的测绘机构进行重新测绘,并以本次测绘结果为准。面积的误差比=核实的租用面积–本协议约定的租用面积本协议约定的租用面积WithinonemonthoftheGroundOpeningofPartyB’sStore,thePartieswilljointlyengageasurveycompanywhichissubordinatedofthelocalgovernmenttomeasuretheLeasedAreaaccordingtothecalculationstandardofthisAgreement,ExhibitI&ExhibitIItofinalizetheactualLeasedArea.IfthereisdifferencebetweentheVerifiedLeasedAreaandaforesaidLeasedAreaandthevariance(asdefinedaccordingtothefollowingformula)islessthanplus/minusthreepercent(\uf0b13%),thePartiesagreetoperformtheLeasedAreastipulatedinthisAgreement.Ifthevariancereferredtoaboveismorethanplus/minusthreepercent(\uf0b13%),andthevarianceisduetotheamendmentoftheconstructiondrawingwhichhasbeenconfirmedbyPartyB,thenthePartiesagreetoadjusttheLeasedAreaaccordingtotheVerifiedLeasedAreaandshallhaveawrittenconfirmationletterofit.Otherwise,ifthevarianceismorethanplus3%,theleasedareainthisAgreementwillbeadjustedby3%.Ifthevarianceismorethanminus3%,thePartieswilladjusttheleasedareainthisAgreementaccordingtothesurveyresultbyasurveyagency.Ifthevarianceismorethan-3%andwillaffectnegativelybusinessoperationsofPartyB,PartyBmaydecidetoterminatethisAgreementandPartyAshallbearallthedamagesPartyBsuffersduetothevariance.TheLeaseExpensewillbecalculatedaccordingtotheLeasedAreaconfirmedbytheconfirmationletter.UponconfirmationoftheLeasedArea,thePartieswillnotdrawoppositeopinionontheLeasedAreaduringthetermofthisAgreementunlessPartyBrequiresincreasingorreducingtheLeasedArea.可编辑精选ThesurveyfeeshallbebornebythePartiesinequalportion.IfPartyBhasdifferentopinionabouttheLeasedAreacheckedbythelocalsurveyagency,PartyBwillhavetherighttoengageothersurveyagencytosurveyagainatitsowncostandtheresultwillprevail.TheVariance=TheVerifiedLeasedArea–LeasedAreastipulatedinthisAgreementLeasedAreastipulatedinthisAgreement第3条租赁标的物建设、验收、交付Article3CONSTRUCTION,ACCEPTANCEANDPOSSESSIONOFTHELEASEHOLDPROPERTY3.1甲方将自筹资金,按照本协议附件一、附件二和附件四所约定的要求和规格完成租赁标的物的设计及施工工作,并按照本协议的约定阶段经乙方验收。甲方应按照相关法律法规的规定,尽快办理大厦工程综合竣工验收合格的备案手续。PartyAwill,atitssolecostandexpense,completethedesignandconstructionoftheLeaseholdPropertyinaccordancewiththerequirementsandspecificationsasdefinedinExhibitI,ExhibitII,andExhibitIVandwillbesubjecttotheinspectionofandtheacceptancebyPartyB.PartyAwillcompletethefilingprocedureforthecomprehensiveprojectcompetitioninspectionandacceptanceofthecompletionoftheconstructionofBuildinginaccordancewithrelevantlawsandregulationsofthePRCassoonaspossible.本协议附件中所涉及的装卸货区、停车区、顾客通道及出入通道等区域,是“不可更改的区域”。如果甲方不按照约定进行设计和施工,擅自改变此种“不可更改的区域”,则应承担违约责任。在整个租期内,甲方如需变更上述不可更改区域及对乙方商场客流有影响的其他通道或区域(如停车场出入口、大厦的主通道等),应取得乙方的书面同意。LoadingandUnloadingArea,ParkingLot,CustomersPassage,EntrancesandExitsandotherareasaredefinedas“Areasthatcannotbechanged”.IfPartyAdoesnotdesignandconstructasagreedandchangethe“Areasthatcannotbechanged”,PartyAshallbeartheliabilityofbreachofthisAgreement.DuringthewholetermoftheLease,PartyAshallgetpriorwrittenconsentfromPartyBifPartyAneedstochangetheaforesaidAreasthatCannotBeChangedorotherpassagewaysorareas(suchasEntranceandExitoftheParkingLot,themajorpassagewaytotheBuilding,etc.)3.2进场日StartingDateofConstruction“进场日”前甲方应完成或满足下列条件:(i)租赁标的物所在城市的城市商业规划已获得中国商务部或其授权机关的批准;(ii)乙方在房屋内开设乙方商场符合前述中国商务部或其授权机关批准的租赁标的物所在城市的城市商业规划;(iii)甲方已完成本协议附件五《乙方进场施工条件》约定的乙方进场施工条件。甲方应在本协议第二部分第7条约定的具体日期实现进场日。进场日实现之日,甲乙双方应另行签署有关进场日日期的确认书。可编辑精选The“StartingDateofConstruction”isthedateonwhichPartyAhasmetthefollowingconditions:(i)thecitycommercialplanningoftheCitywheretheLeaseholdPropertylocatedhasbeenapprovedbytheMinistryofCommerceofChina(“MOFCOM”)oritsauthorizeddepartment;(ii)PartyB’sopeningofStorewithinthePremisesisinconformitywiththeaforesaidcitycommercialplanningapprovedbyMOFCOMoritsauthorizeddepartment;(iii)PartyBisgrantedtoopenitsStorewithinthePremises(ifapplicable)duringacompletedhearingprocesswhichisheldbythelocalcommercialauthorityforexaminingPartyB’sopeningitsStorewithinthePremise;(iv)theconditionsbeforePartyB’sstartingconstructionassetforthinExhibitVaresatisfiedbyPartyA.PartyAshallachievethePossessionDateasstipulatedinArticle7inSectionII.UpontheachievementoftheStartingDateofConstruction,PartyAandPartyBwillexecuteaConfirmationLettertoverifytheexactdateasStartingDateofConstruction.在进场日之日或之前,甲方应为乙方在房屋内使用能源,包括但不限于水、电、燃气和/或暖气(如使用市政供暖)安装独立的能源计量表,安装前述能源计量表所产生的相关费用由甲方承担。从乙方进场日起,乙方在房屋内所使用的能源费用根据乙方的实际用量由乙方承担。OntheConstructionDateorbeforeit,PartyAshallinstallseparatemetersforenergyuse,includingbutnotlimitedtowater,electricity,gasand/orheating.ThecostandexpensesfrominstallingtheaforesaidenergymetersshallbebornebyPartyA.FromtheConstructionDateofPartyB,PartyBwillpayforitsactualuseofenergyinthePremises.即使乙方提前进场,甲方仍有义务及时完成其进场日条件,并且不因此免除甲方可能承担的任何违约责任。EvenifPartyBentersthePremisesaheadoftime,PartyAstillhastheobligationtosatisfytheconditionsfortheConstructionDateandshallnotbeexemptedfromanypossibleliabilitiesduetoPartyA’sbreachofcontract.3.3修理清单(一)RepairList(I)乙方在收到甲方要求其对附件五所约定的进场施工条件的进行验收的书面通知后,乙方应在十(10)个工作日内按照附件五《乙方进场施工条件》所定义的标准检查租赁标的物,并将不符合附件五要求的项目(以下称“修理项目(一)”)列出清单(以下称“修理清单(一)”)交给甲方进行修理。甲方须收到修理清单(一)后十五(15)日内完成修理项目(一)。若甲方在收到《修理清单(一)》后十五(15)日仍内未完成修理项目(一)的,对此,乙方有权自行或委托第三方完成修理清单(一)中的任何或全部修理项目,所产生的费用由甲方承担。甲方同意乙方可向甲方提供由第三方就其进行的前述修理项目而出具的合法有效发票。甲方收到前述修理项目发票后两(2)10个工作日内,甲方应向乙方支付与发票金额等额的款项至乙方指定的银行帐号。AfterPartyBreceiveswrittennoticefromPartyArequestingPartyBtoinspecttheconditionsbeforetheconstructionassetforthinExhibitV,PartyBwill可编辑精选inspecttheLeaseholdPropertypursuanttothestandardsspecifiedinExhibitVConditionsbeforeStartingConstructionbyPartyBwithinTen(10)workingdays,andlistoutalldefectiveitems(the“Defects(I)”)anddelivertherepairlist(the“RepairList(I)”)toPartyA.PartyAwillcuretheDefects(I)withinFifteen(15)daysfollowingitsreceiptoftheRepairList(I).IfPartyAfailstocuretheDefects(I)withinFifteen(15)daysfollowingitsreceiptoftheRepairList(I)fromPartyB,PartyBmay,atitssolediscretion,contractouttherepairworktoathirdpartyforanyorallDefects(I)setforthintheRepairList(I),thecostincurredfromtherepairsshallbebornebyPartyA.PartyAagreesthatPartyBwillprovidePartyAwithvalidinvoiceissuedbysuchthirdpartyforitsperformanceofthesaidrepairwork.PartyAwillmakepaymentequaltotheinvoiceamounttothebankaccountdesignatedbyPartyBwithinTwo(2)daysfollowingPartyA’sreceiptofsaidinvoiceforrepairwork.3.4修理清单(二)RepairList(II)在乙方收到甲方要求乙方验收租赁标的物的书面通知后,乙方应在十个工作(10)日内按照附件四《要求与规格》所规定的标准检查租赁标的物,并将有瑕疵的项目和/或不符合要求的项目(以下称“修理项目(二)”)列出清单(以下称“修理清单(二)”)交给甲方进行修理。甲方须在收到修理清单(二)后十五(15)日内完成修理项目(二)。若甲方在收到《修理清单(二)》后十五(15)日内未完成修理项目(二)的,对此,乙方有权自行决定:(i)乙方决定终止本协议;或(ii)乙方可自行完成与商场开业或营运有关的或必要的修理清单(二)中的任何或全部修理项目。甲方同意承担因其未履行本第3.4条项下的修理义务而由乙方自行完成修理清单(二)中任何或全部修理项目而产生的所有费用和款项。若乙方委托第三方代为修理修理清单(二)中的任何或全部修理项目,甲方同意乙方可向甲方提供由实际修理方就其进行的前述修理项目而出具的合法有效的发票。在甲方收到前述修理项目的发票后的两(2)日10个工作日内,甲方应向乙方支付与发票金额等额的款项至乙方指定的银行帐号。UponPartyB’sreceiptofPartyA’swrittennoticeinformingPartyBtoinspecttheLeaseholdProperty,PartyBwillinspecttheLeaseholdPropertypursuanttotherequirementsandspecificationssetforthinExhibitIVRequirementsandSpecificationswithinTen(10)days,andlistalldefectiveand/ornon-conformingitems(“Defects(II)”),andthendeliversuchrepairlist(the“RepairList(II)”)toPartyA.PartyAwillcuretheDefects(II)withinFive(5)daysfollowingitsreceiptoftheRepairList(II).IfPartyAfailstocurealltheDefects(II)withinFive(5)daysfollowingitsreceiptoftheRepairList(II)fromPartyB,PartyBmay,atitssolediscretion,either(i)terminatethisAgreement;or(ii)PartyBmayperformbyitselfanyorallrepairworksontheRepairList(II)thatpertaintoorarenecessaryfortheopeningoroperatingofPartyB’sStore.PartyAagreestoreimbursePartyBforallexpensesandcostsincurredbyPartyBinperforminganyorallrepairworksontheRepairList(II)asaresultofPartyA’snonperformanceofitsrepairobligationsunderthisArticle3.4.IfPartyBcontractsouttherepairworktoathirdpartyforanyorallDefects(II)setforthintheRepairList(II),PartyAagreesthatPartyBwillprovidePartyAwiththevalidinvoiceissuedbytherelevantthirdpartyforits可编辑精选performanceofthesaidrepairwork.PartyAwillmakepaymentequaltotheinvoiceamounttothebankaccountdesignatedbyPartyBwithintwo(2)daysfollowingPartyA’sreceiptofsaidinvoiceforrepairwork.如甲方未按上述3.3条和3.4条的约定将乙方垫付的维修费用支付给乙方,甲方未能在乙方通知后30日内支付的,乙方可在随后应支付给甲方的租赁费用中扣除有关维修费用。甲方仍需按本协议约定对乙方代为维修的项目承担维修保养责任。IfPartyAfailstomakepaymenttoPartyBintimeasspecifiedinArticle3.3andArticle3.4,PartyBmaydeducttheaforesaidmaintenancefeefromtheLeaseExpensespayabletoPartyA.PartyAshallstillbearthemaintenanceandrestorationliabilitiesasstipulatedinthisAgreement.3.5交付日PossessionDay甲方应于本协议第二部分第7条约定的具体日期实现交付日。甲乙双方需于租赁标的物交付日签署有关租赁标的物及甲方根据本协议应交付的设施的交付确认书。PartyAshallachievethePossessionDateasstipulatedinArticle7inSectionIIofthisAgreement.PartyAandPartyBwill,onthePossessionDay,executeaDeliveryConfirmationwithrespecttothedeliveryoftheLeaseholdPropertyandtheutilitiesrequiredtobedeliveredbyPartyAunderthisAgreement.在本协议所约定的交付日前,甲方必须应提供下述加盖甲方公章的以下复印件,并提供原件供乙方核验,该等材料亦构成本协议附件六的文件:BeforethedateofPossessionoftheLeaseholdPropertybyPartyBasagreedinthisAgreement,PartyAshallprovidethefollowingcopiesofdocumentsbearingitsofficialsealsandprovidetheoriginalforPartyB’schecking.ThesedocumentsareapartofExhibitVI:(1)建设工程规划许可证;TheConstructionPlanningPermit;(2)建筑工程施工许可证;ConstructionPermit;(3)建设期内环保可行性报告批复,ApprovaloftheEnvironmentFeasibilityReportduringtheConstructionTerm;(4)消防设计审核意见书;ExaminationReportonFire-preventionDesign;(5)租期内持续有效的《房屋租赁证》;ThePropertyLeasingPermitcontinuouslyvalidforthewholeTerm.(6)租赁标的物所在城市的消防部门出具的租赁标的物消防系统验收合格意见书,和允许乙可编辑精选方在租赁标的物内投入营业的其他文件;Approvalforthefire-preventionsystemwithintheLeaseholdPropertyandotherdocumentsapprovingPartyBtostartbusinessoperationintheLeaseholdPropertyissuedbythelocalfire-preventionauthority;(7)工程综合竣工验收报告或建设工程综合竣工验收备案证明书;ComprehensiveInspectionandAcceptanceReportoftheconstructionorFilingCertificateforConstructionComprehensiveInspectionandAcceptance;(8)技术监察部门出具的扶手电梯、自动坡道安全运行许可证;SafetyOperationPermitforEscalatorsandTravelatorsissuedbytheproperTechnologyInspectionAuthority;(9)甲方与租赁标的物所在城市的供电部门签定的《供电协议书》;ElectricitySupplyContractsignedwithElectricitySupplyUnit;(10)甲方的税务登记证(国税)及税务登记证(地税);CertificateofTaxRegistration(state)andCertificateofTaxationRegistration(local)ofPartyA;(11)政府有关部门颁发的经盖章的房屋测绘图;PropertySurveyReportissuedbytherelevantgovernmentalauthoritywithitsofficialseal;(12)租赁标的物所在城市的房屋管理部门颁发的有关该房屋可以用作商业用途并且所有权人为甲方的房屋产权证。PropertyproprietarycertificateissuedbythelocalgovernmentagencyapprovingthecommercialuseofthepropertyandshowingtheproprietorisPartyA.如甲方尚未在交付日前取得前述第(11)和第(12)项文件,双方同意甲方至少应在乙方商场开业后六(6)个月内向乙方提供。IfPartyAhasnotobtainedtheaforesaid(11)and(12)documents,thePartiesagreethatPartyAshallprovidethemSix(6)monthspriortotheGrandOpeningofPartyB’sStore.第4条租期Article4TERM4.1免租施工期LeaseExpensesFreeConstructionPeriod(免租施工期的约定为五个月内)在免租施工期内,乙方包括乙方的子公司、供货商、工程总包和分包公司无须支付租赁费用和/或任何管理费以及其它根据中国法律法规中所规定的甲方作为租赁标的物所有人应承可编辑精选担的任何税费,可自行在房屋内进行装修和准备工作,并可随时开业并投入营运,并享有本协议项下全部相应的权利包括房屋占有权和使用权。DuringtheLeaseExpensesFreeConstructionPeriod,PartyB(includingPartyB’ssubsidiaries,suppliers,contractors,orsubcontractors),willnotbeobligedtopayanyrentand/oranymanagementfeeand/oranytaxationand/orfeeowedtoPartyAastheowneroftheLeaseholdPropertyinaccordancewithrelevantPRClaws,regulations,willhavetherighttoconductinteriordecorationandpreparationworkatanytimeandalltherightsunderthisAgreementincludingtherighttotakepossessionofandusethePremises.4.2初始租期InitialTerm免租施工期届满的次日为第一个租约年的开始日(“开始日”),双方应签署开始日的确认函。除非本协议另有规定或双方另有其它书面约定,租赁费用应自开始日起开始计算。甲方与乙方确认本协议初始租期从开始日起至第二十(20)个租约年届满之日止(以下称“初始租期”)。ThedayfollowingtheendofLeaseExpensesFreeConstructionPerioddefinedwillbethecommencementdateofthefirstleaseyear(the“CommencementDate”);thePartiesshallexecuteaconfirmationletterontheCommencementDate.UnlessotherwisestipulatedinthisAgreementorotherwiseagreedbetweenthePartiesinwriting,theCommencementDatewillbethestartingdateofLeaseExpensescalculation.ThePartiesconfirmthattheinitialleasetermofthisAgreement(the“InitialTerm”)willcommenceontheCommencementDateofPartyB’sStorewithinthePremisesandwillterminateonthelastdayoftheTwentieth(20th)LeaseYear.4.3续约Renewal乙方有权按本协议相同的条款和条件(本协议另有约定除外)单方决定是否在本协议初始租期或前一续约期届满时续约。乙方行使该续约权的次数仅限本协议第二部分的约定。每个续约期应从初始租期或前一续约期终止日的下一日开始计算。UpontheexpirationoftheInitialTermorofaprecedingExtensionPeriod,PartyBalonemaydecidewhethertorenewthisAgreementwiththesameprovisionsandconditionsasstipulatedinthisAgreement(unlessotherwisestipulatedinthisAgreement).PartyBmayexercisethisrightofrenewalonlyforasmanytimesasstipulatedinSectionIIofthisAgreement.EachExtensionPeriodwillbeginonthedatefollowingtheexpirationoftheInitialTermortheimmediatelyprecedingExtensionPeriod.乙方有权在租期届满前,以书面方式通知甲方,根据前款约定续约,届时双方另行签订续租合同。乙方未在租期届满前向甲方发出续约的书面通知,则视为乙方不续约,本协议在租期届满时自动终止。BeforetheExpirationDateoftheLeaseTerm,PartyBhastherighttonotifyPartyAinwritingtorenewthisAgreementaccordingtotheprecedingArticle.可编辑精选PartyB’swrittennoticeconstitutestherenewedAgreementwhichisbindingontheParties.IfPartyBdoesnotissuewrittennoticetoPartyAinformingitsrenewaldecisionbeforetheexpirationoftheTerm,PartyBwillbedeemednottorenewthisAgreementandthisAgreementwillbeautomaticallyterminatedupontheexpirationoftheTerm.4.4优先承租权PrioritytoLease初始租期及续约期全部届满时,在甲方仍拥有租赁标的物所有权或出租权的前提下,如有任何第三方有意承租租赁标的物,乙方享有在与该第三方提出的同等租金和条件下优先承租租赁标的物的权利("再行租赁")。如届时并无任何第三方有意承租租赁标的物,则乙方有权按本协议列明的条款和条件再行续约,但租赁费用将由甲乙双方另行协商确认("再行续约")。UpontheexpirationoftheInitialTermandExtensionPeriodsofthisAgreement,providedthatPartyAstillhastheownershiporrighttoleaseoftheLeaseholdProperty,ifanythirdpartyintendstoleasetheLeaseholdProperty,PartyBwillhavetherightoffirstrefusaltoleasetheLeaseholdPropertyatthesamerentandconditionsofferedbysuchthirdparty("FurtherLease").Ifthereisnothirdparty\'soffer,PartyBhastherighttofurtherrenewthisAgreementatthesameprovisionsandconditionsintheAgreementexcepttheleaseexpenseswhichshallbedeterminedthroughthennegotiationbytheParties("FurtherRenewal").在甲乙双方按本条约定对租赁标的物再行租赁或再行续约的期间届满时,乙方仍享有本条所述的优先承租权,该优先承租权适用于其后任何再行租赁或再行续约期届满时。UpontheexpirationofthetermoftheaforesaidFurtherLeaseorFurtherRenewal,PartyBshallhavetheprioritytoleaseasstipulatedinthisarticlewhichwillapplytoanyfollowingFurtherLeaseorFurtherRenewal.第5条租赁费用及能源费用Article5LEASEEXPENSESANDENERGYEXPENSES5.1租赁费用LeaseExpenses双方确认,乙方按本协议约定享有停车区、装卸货区、乙方室外公共区以及各类设施设备的免费使用权的对价已被双方在确定租用面积的租赁费用时给予了充分考虑。ThePartiesconfirmthatPartyB’srightstousefreeofchargetheParkingLotandPartyB’sOutdoorPublicAreahasbeenfullytakenintoconsideredwhenthePartiesdecidetheLeaseExpensesfortheLeasedArea.5.2租赁费用支付及发票DateofPaymentofLeaseExpensesandInvoice乙方按照本协议商业条款第6条约定的支付日期、方式向甲方支付租赁费用。PartyBwillpaytheLeaseExpensestoPartyAaccordingtotheDateof可编辑精选paymentandmethodofpaymentasstipulatedinArticle6oftheCommercialTermsofthisAgreement.甲方应在每月第七(7)日或之前向乙方提供符合中国法律规定和税务行政主管部门要求的正式租金发票和(或)物业服务费发票(第一个月的租金发票和(或)物业服务费发票应于双方签署关于租赁费用起付日确认函后的七(7)个工作日内提供给乙方),该发票金额应与本协议约定的乙方当月应付租赁费用金额相同。PartyAwillissueanofficialleasinginvoiceand/orpropertyservicefeeinvoice,whichisvalidunderPRClawandconformingwiththerequirementsofPRCtaxauthority,toPartyBonorbeforetheSeventh(7th)dayofeachmonth(theofficialleasinginvoiceand/orpropertyservicefeeinvoiceforthefirstmonthwillbeprovidedtoPartyBwithinSeven(7)workingdaysfollowingtheexecutionoftheConfirmationLetterregardingtheCommenceDateoftheLeaseExpensePayment),andtheinvoiceamountwillbeequaltothatoftheLeaseExpensesthatPartyBwillpayforthatmonthaccordingtothisAgreement.甲乙双方在此确认,甲方按时向乙方提供租金发票及物业服务发票为本协议项下甲方的重要合同义务,甲方对于该义务的违反将构成其在本协议项下的严重违约。若甲方未能提供上述发票,则甲方同意乙方有权选择如下方式处理:(i)在未收到发票前,乙方暂不支付租赁费用;或(ii)乙方有权将乙方因此产生的税务损失直接从其后应付的租赁费用中直接扣除后将租赁费用的余额支付给甲方,乙方的税务损失为甲方未提供发票的金额乘以当地的所得税税率。ThePartiesagreethatPartyA’sobligationtotimelyprovidePartyBwithavalidleasinginvoiceandthepropertyservicefeeinvoiceisanessentialobligationofPartyAunderthisAgreement.BreachofthisobligationbyPartyAwillberegardedasamaterialbreachofthisAgreement.IfPartyAfailstoprovideavalidleasinginvoice,PartyAagreesthatPartyBisentitledtochoosefromthefollowing:(i)delaythepaymentoftheleaseexpensesbeforePartyBreceivesthesaidinvoice;(ii)PartyBmayclaimtoPartyAtaxdamagesincurredfromthisbydeductingdirectlyfromLeaseExpensesandpayingPartyBtheremainingamount.PartyB’staxlossesiscalculatedbytheamountofinvoicePartyAfailstoissuemultiplyingthelocalincometaxrate.5.3物业服务及物业服务费发票PropertyServiceandtheinvoiceofpropertyservicefee甲方可自行亦可委托有资质的物业服务公司(“物业公司”)对租赁标的物提供物业服务,甲方与该物业公司之间的任何约定并不改变本协议中甲方的义务。对物业公司履行与本协议相关的义务,甲方与物业公司向乙方承担连带责任。PartyAmayprovidethepropertyservicebyitselformayengageaqualifiedpropertyservicecompany(“PropertyServiceCompany”)toprovidethepropertyservicefortheLeaseholdProperty.NoagreementbetweenPartyAandthePropertyServiceCompanyshallchangeanyobligationsofPartyA可编辑精选underthisAgreement.PartyAwillbearthejointliabilityfortheliabilitiesofthePropertyServiceCompanyinrelationtothisAgreement.如甲方已委托了物业公司对租赁标的物提供物业服务,且甲方拟委托物业公司收取物业服务费及开具物业服务发票,则甲方应向乙方提供物业公司的营业执照及资质证书、同意物业公司收取物业服务费的同意函及甲方与物业公司之间的物业服务合同(上述资料应加盖甲方公章),经乙方对上述资料审核并书面同意后,甲方可委托物业公司收取物业服务费并由物业公司向乙方提供由物业公司开具的物业服务费发票。无论甲方与物业公司约定的物业服务费是否高于本协议约定的物业服务费,本协议约定的物业服务费数额均不增加。甲方确认,物业公司提供物业服务费发票的时间同样受本条5.2款的约束。IfPartyAhasengagedaPropertyServiceCompanytoprovidethepropertyservicefortheLeaseholdPropertyandPartyAproposestoentrustthePropertyServiceCompanytocollectthepropertyservicefeecomponentoftheLeaseExpensesandreleasetheinvoiceofthepropertyservicefee,PartyAshallprovidePartyBwiththebusinesslicenseandthequalificationcertificateofthePropertyServiceCompany,consentforthePropertyServiceCompanytocollectthepropertyservicefeeandpropertyservicecontractbetweenPartyAandthePropertyServiceCompany(allsuchdocumentsbeingaffixedwiththecorporatesealofPartyA).PartyAmayentrustthePropertyServiceCompanytocollectthepropertyservicefeeandreleasetheinvoiceofthepropertyservicefeeprovidedthatPartyBhasreviewedtheabovementionedmaterialsandgiveawrittenconsenttoPartyA.WhethertheamountofpropertyservicefeeagreedbyPartyAandPropertyServiceCompanyishigherthanthepropertyservicefeestatedinthisAgreementornot,theamountofthepropertyservicefeestatedinthisAgreementshallremainunincreased.PartyAconfirmsthattheinvoicesforpropertyservicefeeprovidedbythepropertyservicecompanyarealsoboundbyArticle5.2underthisAgreement.5.4能源费及其发票ChargesofenergyandRelatedInvoices至迟于房屋内乙方商场开业日的前四十五(45)个工作日,甲方应为乙方在能源经营机构完成单独立户并承担与立户相关的经营机构收费(若有该等收费)。自立户之日起至租期届满止,乙方在租用面积内的能源费用按其实际用量,单独计量,自行向相关经营机构缴纳。AtleastForty-Five(45)workingdaysimmediatelypriortotheGrandOpeningDayofPartyB’sStorewithinthePremises,PartyAwillapplyforaccountswiththerelevantenergysuppliersonbehalfofPartyBandbearalltheaccountapplicationexpensespaidtotherelevantutilitysuppliers(ifthereisanysuchfee).StartingfromthesaidaccountopeningdaytotheexpirationoftheTerm,PartyBwillbearthechargesincurredduetotheuseofenergieswithintheLeasedAreaandpaydirectlytotherelevantenergysuppliers.根据前款的约定,为实现乙方在能源经营机构的单独立户,如需乙方根据当地能源经营机构的要求分别单独与该等经营机构签订相关合同,乙方应予以协助和配合;但在任何情况可编辑精选下,乙方与该等经营机构单独签订有关合同的行为,不得被视为改变了甲方在本协议项下对能源供应设施所享有的权利和义务。甲方仍须根据本协议的约定对能源供应设施的运行管理及维修维护承担责任。Inaccordancewiththeprecedingarticle,PartyBwillassistandcooperatewiththerelevantlocalenergysupplierstoexecuterespectivelytherelevantcontractsforopeningtherelevantseparateaccountsinthenameofPartyBifrequestedbythesuppliers.UndernocircumstanceswilltheexecutionsofthecontractsbyandbetweenPartyB,andtherelevantsuppliersbeviewedasanalterationonPartyA’srightsandliabilitiesofenergysupplyingfacilitiesunderthisAgreement.PartyAwillberesponsiblefortherepairandmaintenanceofenergysupplyingfacilities.若甲方未能按本条第1款的约定为乙方在能源经营机构申请到单独立户,且前述公用设施经营机构亦不允许乙方将能源费用直接向前述公用设施经营机构支付的,则乙方应将其在租用面积内的能源费用按其实际用量向甲方支付,甲方至迟应在乙方向甲方支付前述能源费用前七(7)个工作日向乙方提供金额与乙方应支付的金额相同的增值税发票。IfPartyAfailstoopentheenergyaccountsforPartyBinaccordancewiththisArticle,andtherelevantenergysuppliersdonotallowPartyBtopayforenergyfeestothemdirectly,PartyBmaypaytheenergyfeedirectlytoPartyAandinsuchcasePartyAwillprovidePartyBwithVATinvoicesintheamountequaltotheenergyfeesatleastSeven(7)workingdayspriortothedatewhenPartyBmakesthepaymentofenergyfees.若甲方未能根据本条要求提供增值税发票,则甲方应提供上述能源费用的普通发票,且乙方因此产生的税务损失由甲方承担,乙方的税务损失为甲方未提供发票的金额乘以当地所适用的增值税税率。如甲方亦无法提供上述能源费用的普通发票,则乙方的税务损失为:甲方未提供发票的金额乘以当地所适用的增值税税率加上甲方未提供发票的金额乘以当地所适用的所得税税率。IfPartyAfailstoprovidePartyBwiththeVATinvoicespursuanttothisArticle,PartyAshallprovidethecommercialinvoiceoftheaforesaidenergyexpensesandPartyAagreesthatPartyBisentitledtoclaimtaxdamagesincurredtoPartyBbydeductingdirectlyfromLeaseExpensesandpayingPartyAtheremainingamount.PartyB’staxlossesiscalculatedbytheamountofinvoicePartyAfailstoissuemultiplyingthelocalincometaxrate.IfPartyAfailstoissuecommercialinvoiceofenergyexpenses,PartyBisentitledtodeducttaxlossesfromLeaseExpensespayabletoPartyA:theamountofinvoicePartyAfailstoissuetoPartyBmultiplyingthelocalvalueaddedtaxrateplustheamountofinvoicePartyAfailstoissuemultiplyingthelocalincometaxrate.5.5滞纳金OverdueFine如果应支付给甲方的租赁费用于本协议下应付日仍未支付,则乙方应向甲方支付滞纳金,同时甲方应向乙方提供与支付的滞纳金等额的法律规定的合法有效的票据。每逾期一日的滞纳金为人民币20000元。但是,如该等迟延非因乙方之原因,或根据本协议或双方之可编辑精选间另行达成的书面协议乙方有权延迟支付租赁费用,则乙方无须支付该等滞纳金。IfPartyBfailstopayanyLeaseExpensesdueandpayableontheduedateunderthisAgreement,PartyBwillpayanoverduefinetoPartyAwhilePartyAprovidesPartyBalawfulandvalidinvoiceorreceiptintheamountequaltotheoverduefine.TheamountoftheoverduefineforeachdelayeddaywillbeOne-TenthofOnepercent(0.1%)oftheoverdueamount.However,PartyBwillnotbeobligatedtopaytheoverduefineifthedelayisnotattributabletoPartyB,orPartyBisentitledtodelaysuchpaymentaccordingtostipulationsinthisAgreementortoanyotheragreementsinwritingagreedbybothParties.5.6无其它费用NoOtherCharges本协议下乙方支付给甲方的租赁费用构成乙方应支付给甲方的、为租赁本协议下之租赁标的物的全部款项。除本协议另有明文规定外,乙方不应被要求且不应负有向甲方支付任何其它费用或款项的义务。TheLeaseExpensespaidbyPartyBunderthisAgreementconstitutesallpaymentpayabletoPartyAbyPartyBfortheleaseoftheLeaseholdPropertyunderthisAgreement.UnlessotherwiseexpresslyprovidedinthisAgreement,PartyBwillnotbeobligatedtopaynorberesponsibleforpayinganyotherfeesoramountstoPartyA.5.7因甲方违约或怠于履行义务,乙方根据本协议的任一条款从应付给甲方的租赁费用中抵扣相应的违约金或相关费用的(该费用款项,经甲乙双方书面确认后,如甲方未在一个月内支付的,乙方可直接在其后应支付的租赁费用中进行抵扣),则该项抵扣的违约金或费用仍视为乙方已向甲方支付的租赁费用,乙方仍有权要求甲方开具全额的租赁发票,同时乙方须提供所扣除的相应的违约金或相关费用的发票。在乙方的免租使用期间及免费使用区域,甲方应负责支付此免租使用期间及免费使用区域一切与租赁标的物有关的房产税和其他税费。如税务机关等政府部门要求乙方缴纳与租赁标的物有关的房产税和其他税费,如该税费根据法律规定需由甲方承担,则乙方可从应付给甲方的租赁费用中扣除相应税费,且该项扣除的税费仍视为乙方已向甲方支付的租赁费用,乙方仍有权要求甲方开具全额的租赁发票,同时乙方须提供所扣除的相关费用的发票。IfPartyBdeductsthepenaltyorrelatedexpensesfromLeaseExpensesduetoPartyA’sbreachoftheAgreementorfailureofperformingobligationaccordingtoanyarticlesunderthisAgreement,thepenaltyortherelatedexpensesdeductedfromLeaseExpensesshallbedeemedasLeasesExpensespaidbyPartyBtoPartyAandPartyAshallstillissuethefullamountleasinginvoicetoPartyBinaccordancewiththestipulationsofthisAgreementaccordi Aoranythirdparty,PartyAshallberesponsibleforhandlingallrelatedissuesandindemnifyandholdPartyBharmlessagainstalllossesorexpensesduetosuchdisturbanceorinterruption.(3)甲方提供给乙方的各种排烟、排油、排水、供电、供水、空调、垃圾间、室外冷凝器、压缩机、卸货区、通道等,如在营运过程中引发相邻关系纠纷,则甲方应负责平息纠纷。Ifthereisanyadjacentrelationclaimarisingfromthesmokepipe,drainageforlipin,sewage,electricitysupply,watersupply,aircondition,garbageroom,outdoorcondenser,compressor,unloadingareaetc.whichissuppliedbyPartyA,PartyAshallberesponsibleforsolvingthedisputes,andwillcompensatePartyBforanylosssufferedbyPartyBinconnectionwiththeadjacentrelation.(4)在乙方商场运营时间内,甲方应确保提供必要的物业管理服务以保证乙方的经营活动,包括但不限于确保大厦内乙方商场至大厦出入口及停车区出入口相关的所有公共设施设备及公共区域,如电梯、扶梯、通道、停车区,处于正常开启运作的状态。DuringtheoperationtimeofPartyB’sStorewithinthePremises,PartyAshallprovidepropertyservicenecessaryforPartyB’soperations,includingbutnotlimitedtokeepingallsharedutilitiesandequipments,commonareawhichisrelatingtoPartyB’sStoretotheEntranceandExitoftheBuildingandParkingLotwithintheBuilding,suchasescalations,travolaters,passages,ParkingLot,innormalstatusforoperation.(5)甲方保证,在本大厦之任何部分內不会从事或允许他人从事任何违法、不道德及不正当之用途,或赌博,或任何危险性、剧毒性、产生噪音或有危害性之行业或业务,或任何可能导致乙方及乙方的分租户受到滋扰、不便或损害的用途。PartyAwarrantsthatinanypartoftheBuildingnobodyisallowedtoengage可编辑精选inanyunlawful,immoralorunjustoperations,noranydangerous,toxic,noisyorperilousbusinessoroperationsareallowed,noranyactivitiesthatmayhinder,interfereordamagePartyBorPartyB’sSublessee.(6)甲方不得将大厦内与乙方商场出入口相连的公共区域出租给任何人用于经营或促销。PartyAshallnotleaseanypublicareathatisconnectedtotheEntranceandExitofPartyB’sStoreintheBuildingtoanybodyforoperationorpromotionactivities.如甲方未能实现本条的保证,在乙方商场经营受影响的期间,乙方无须向甲方支付租赁费用,且甲方应向乙方支付每日人民币贰万元(RMB20000/天)的金额作为违约金。该违约金款项,经甲乙双方书面确认后,如甲方未在一个月内支付的,乙方可直接在其后应支付的租赁费用中进行抵扣。IfPartyAfailstokeepthepromisesinthisArticle,PartyBwillnotneedtopaytheLeaseExpensestoPartyAandPartyAshallpaytoPartyBabreachfeeofRMBOneHundredThousandYuan(RMB100,000/day)perday.PartyBisentitledtodeducttheabovebreachfeefromtherentalpayablebyPartyBtoPartyAdirectly.6.2排它性Exclusivity除非事先取得乙方的书面同意,否则,甲方不得将房屋所在大厦或大厦周围由其占用或控制的任何物业进行自营或出租给他人从事与乙方的业务相竞争的、经营形式与乙方相同或相似(购物广场、超市、生鲜市场)的任何经营活动。如果甲方违反上述约定,甲方应向乙方支付相当于届时两个月的租赁费用作为违约金。该违约金款项,经甲乙双方书面确认后如甲方未在一个月内支付的,乙方有权从今后应付的租赁费用中直接抵扣上述违约金。如果甲方的违约行为经乙方书面指正后在三月内仍然未予改正,则乙方有权解除本协议,并要求甲方支付相当于一个租约年的租赁费用作为违约金。PartyAwillnot,withoutthepriorwrittenconsentofPartyB,self-operateorleaseanypartoftheBuildingoranypartofanypropertyadjacenttothePremisescontrolledorpossessedbyPartyAtoanypartywhoengagesinabusinessidenticalorsimilarinbusinessformtoorwiththatofPartyB(suchasstore,supercenter,membershiporwarehouseclubs,electricappliancestore,supermarket,freshfoodstore)andwhoisincompetitionwiththebusinessofPartyB’business.Otherwise,PartyAshallpayPartyBanamountequaltooneyear’LeaseExpensesofthethen-currentleaseyearasliquidateddamages.IfPartyAfailstostoptheabove-mentionedconductthreemonthsafterPartyBissuesawrittennotice,PartyBisentitledtoterminatethisAgreementandtoaskPartyAforcompensation,theamountofwhichisequaltooneyear’sleaseofthePremises.6.3物业服务PropertyService甲方或其指定的物业服务公司应提供优质的物业服务,具体内容包括但不限于:可编辑精选ThepropertyserviceprovidedbyPartyAoritsdesignatedPropertyServiceCompanyshallincludebutarenotlimitedto:(i)大厦共用部位的日常维修、养护和管理,共用部位包括:屋顶、外墙面、承重墙体、楼梯间、走廊通道等;Thedailymaintenance,conserveandmanagementofthepublicareaoftheBuilding,includingbutnotlimitedto:roof,outsidemetope,mainwall,stairs,corridorsetc.;(ii)大厦共用设施设备的日常维修养护、运行和管理,共用设施设备包括:共用的上下水管道、共用照明等;Thedailymaintenance,operationandmanagementofthesharedfacilitiesandequipmentoftheBuilding.Thesharefacilitiesandequipmentinclude:sharedsewage,drainage,publiclighting;(iii)公共设施和附属建筑物、构筑物的维修、养护和管理,包括道路、化粪池、泵房、自行车棚、停车场(区)等;Themaintenance,conserveandmanagementofthePublicfacilitiesandannexeconstruction,includingpath,manurepit,pumproom,bicycleshed,parkinglotetc.;(iv)公共绿地的养护与管理;Maintenanceofthelawn;(v)公共环境卫生,包括房屋共用部位的清洁卫生,公共场所的清洁卫生、垃圾的收集;Cleaningofthepublicarea,includinggarbagedisposal;(vi)维持公共秩序,包括门岗服务、物业区域内巡查;Maintenanceofthepublicorder,includinggateserviceandsecureinspectionoftheBuilding(vii)维持大厦区域内车辆行驶秩序,对车辆停放进行管理;Keepthedrivingorderofthevehicleandmanagetheparking;(viii)消防管理服务,包括公共区域消防设施的维护;Fireprotectionmanagement,includingmaintenanceofthefireprotectionfacilities;(ix)电梯的运行和日常维护管理(本协议另有约定除外)。Dailyoperationandmaintenanceofthelift(exceptotherwiseagreedbytheParties).若甲方或甲方委托第三方所提供的物业服务不能达到本协议要求或者履行存在瑕疵,经乙可编辑精选方书面指出后仍不能达到本协议要求,则乙方有权暂停支付物业服务费,直至甲方或第三方所提供的服务达到本协议约定要求。IfPartyAoranythirdpartydesignatedbyPartyAfailstoprovidepropertyservicetothestandardstipulatedinthisAgreementorprovidesdefectivepropertyserviceandfailstoimprovetomeetthestandardsstipulatedinthisAgreementafterPartyB’swrittennotice,PartyBshallbeentitledtosuspendthepaymentofthepropertyservicefeeuntilthepropertyserviceprovidedbyPartyAorthethirdpartymeetstherequirementstipulatedinthisAgreement.6.4装卸货区LoadingandUnloadingArea甲方应按本协议附件一房屋平面图的要求,在地面上清楚地划出装卸货区的范围。在符合法律及有关规定的情况下,甲方应保证乙方和乙方供货商可享有免费在装卸货区每年三百六十五(365)天,每日二十四(24)小时不停断地装卸货物的专用权利。TheLoadingandUnloadingAreawillbeclearlymarkedonthegroundbyPartyAaccordingtothespecificationsshownintheSiteP orPublicArea,PartyAshalltakemeasurestoeliminatethelimitorhindrance;otherwise,PartyAshallpayRMBOneHundredThousandYuan(RMB100,000/day)forcompensationonabasisofnumberofdayson可编辑精选whichthelimitorhindrancelasts.PartyBisentitledtodeductthecompensationfromtheLeaseExpenses.6.7乙方的装修PartyB’sDecoration6.7.1甲方同意,自本协议第3.2条所定义的进场日起,乙方即有权进入房屋在进场日后至本协议租期届满前的任何时候对房屋进行乙方认为必要的任何添置、安装设施、设备及进行装修,包括但不限于对房屋进行室内隔间以及天花板、墙面和地面的装修装饰,在房屋内进行乙方认为适当的并符合其标准或其母公司的全球统一标准的其它任何装修活动,如安装、添加、拆除、改装设备、器具、设施、线路、悬挂物、标志、标识牌等物品等等(以下称“乙方装修”)。乙方进行乙方装修应被视为根据本协议的规定对房屋及其内部设施的正常使用,除非因该等乙方装修活动违反法律法规之禁止性规定,否则,甲方不应当予以限制或干预。乙方并有权随时单方决定对房屋内的布局及房屋出入口进行变更(如需相关政府批准则乙方需事先取得有关批准)。甲方应保证乙方可以根据其需要于晚间进行乙方装修。PartyAagreesthatPartyBmayenterintothePremisesupontheStartingDateofConstructionassetforthinArticle3.2ofthisAgreement,and,atanytimefromtheStartingDateofConstructionthroughtheexpirationoftheTermofthisAgreement,toinstallanyequipmentappliancesorfacilitiesinthePremisesanddecoratethePremises,includingbutnotlimitedto:indoorpartitions,ceilings,wallsandfloors,aswellasconductanydecorationworkinthePremiseswhichisdeemedappropriateandconsistentwithitsstandardsoritsparentcompany’sworldwideuniformstandards,suchastoinstall,add,removeoralteranyoftheequipment,appliances,facilities,lines,hangingobjects,signs,signboardsandanyothersimilarobjects(“PartyB’sDecoration”).PartyB’sDecorationwillberegardedaspartofthenormaluseofthePremisesanditsfacilitiesincompliancewiththetermsofthisAgreement.UnlesssuchPartyB’sactivitiesviolatetheregulatoryrequirementsoflawsorregulationsofPRC,PartyAwillnotintervenewithsuchdecorationactivities.PartyB,withitssoledecision,hasrighttoalterthelayoutwithinthePremisesorentranceandexitofthePremises(ifsuchalternationneedsapprovalfromrelevantauthority,PartyBshallobtainauthority’sapprovalinadvance).PartyAwillguaranteePartyB’srighttodoPartyB’sDecorationwhenandwherePartyBconsidersitnecessary,includingnighttimehours.6.7.2如果按照中国法律或当地政府规定,乙方装修应报批准或应通过招标形式进行的,甲方需负责完成以其名义申请或办理的相关手续,并协助乙方从政府机构获得进行和完成此等装修所必需的所有相关许可、批准和登记。If,accordingtothelawsofPRCortheregulationsofthelocalgovernment,theapprovalfromgovernmentauthoritiesortheinvitationtobidisrequiredforPartyB’sDecoration,exceptthattheprocedureswhicharerequiredtobeappliedorhandledinthenameofPartyAwillbehandledbyPartyA.PartyBwillgothroughalltherequiredrelevantproceduresbyitself.Inaddition,Party可编辑精选AwillassistPartyBinobtainingnecessarypermitsandapprovalsfromandregistrationswithgovernmentauthoritiesforconductingandcompletingPartyB’sDecoration.双方同意甲方应负责办理乙方装修工程的报批及申领竣工验收备案证书,甲方按本协议附件五中的《室内装饰装修及水电、通风设备工程委托合同》的约定为乙方办理相关工程执照。甲方对该等委托报批及申领竣工验收备案证书的事宜不向乙方收取任何费用,且甲方应确保乙方的装修工程取得相关政府部门的施工许可证及竣工验收备案证书(证书中应明确列明含乙方的“室内装修工程”)并向乙方提供相关证明文件。如根据当地规定乙方可以自行办理单独的相关的工程证照,甲方应予以协助,且乙方将另行通知甲方不予履行本条及本协议附件五中所附的《室内装饰装修及水电、通风设备工程委托合同》的约定。ThePartiesagreethatPartyAshallberesponsibleforapplyingfortheconstructionpermitandconstructioncompletionandacceptancecertificateofPartyB’sDecoration.PartyAshallenterintoEntrustmentContractofIndoorDecorationandConstructiononElectricity,WaterandVentilationEquipmentasspecifiedinExhibitVwithPartyBandensurethatPartyA’scontractorwillenterintorelevantcooperationagreementwithPartyB’scontractorbeforetheStartingDateofConstruction.PartyAshallensurethatPartyB’sDecorationwillobtainconstructionpermitandinspectionandacceptancecertificate(suchcertificateshallspecifyclearly“includingPartyB’sindoordecoration”)fromcompetentauthoritiesandproviderelevantprooftoPartyB.PartyAwillnotchargePartyBforsuchapplicationandentrustment.IfPartyBmayobtainrelatedconstructionlicenseonitsown,PartyAshallhelpPartyBinobtainingtheaforesaidlicenseandPartyBwilladvisePartyAnottofulfilltheEntrustmentContractofIndoorDecorationandConstructiononElectricity,WaterandVentilationEquipmentasspecifiedinExhibitV.6.7.3所有在第6.7.1条下进行的乙方装修的成果应自动被视作乙方财物,甲方不应就乙方装修向乙方收取额外的费用及租金。AlltheoutcomeofPartyB’sDecorationunderArticle6.7.1willbeautomaticallyregardedasPartyB’spropertyandPartyAwillnotchargePartyBextraexpensesandrentforPartyB’sDecoration.6.7.4乙方装修的限制LimitationonPartyB’sDecoration乙方装修不得因任何理由损坏甲方已施工完毕的公共设施或大厦的结构,不得影响公共设施的正常使用、正常维护、维修、保养。若乙方对大厦的公共设施进行改装,必须事先征得甲方的书面同意。PartyB’sDecorationwillnotcause,foranyreason,damagetothepublicfacilitiesorstructuralintegrityoftheBuildingthathasbeencompletedbyPartyA,norinterferewiththenormaloperation,repair,ormaintenanceofthepublicfacilities.AnyalterationtothepublicutilitiesoftheBuildingbyPartyBwillbeconductedwiththepriorwrittenconsentofPartyA.可编辑精选6.8房屋外标识牌SignageBoardsOutsidethePremises6.8.1标识牌的设置Erectionofsignageboards甲方应依附件一、附件二所示向乙方提供标识牌安装的位置,且应确保该等标识牌的位置取得相关利益人的同意。若根据当地政府的规定需办理安装标识牌许可的,甲方还应协助乙方取得有关政府部门对安装标识牌的许可。甲方应根据乙方的建议在停车区及大厦内的公共区域设置合适的指示牌,以指示通往乙方商场的方向和路径,相关费用由甲方承担。PartyAshallprovidetheplaceforPartyB’serectionofthesignageboardasshowninExhibitIandExhibitIIandPartyAshallensuretheplacesprovidedareagreedbyrelatingrightsholdersandapprovedbytherelevantgovernmentalauthorities.PartyAshallobtainapprovalfromrelatedgovernmentauthoritiesforerectingsignageboardsforPartyBifthisisrequiredbylocalregulations.PartyAshallerectsignageboardsshowingthedirectionsofPartyB’sStorei rredfromsuchcleaningwork.(3)负责聘用房屋内乙方商场保安人员并安装其认为适于乙方商场保安工作的防盗报警、监控系统等所有安全设施,乙方保安人员负责乙方房屋内及与乙方商场营运有关的保安工作。PartyBwillberesponsiblefortherecruitmentofthesecuritypersonnelforPartyB’sStorewithinthePremisesandsecuritysysteminstallationsuchasanti-theftalarmingsystem,monitoringsystem,etc.withinPartyB’sStore.PartyB’ssecuritypersonnelwillberesponsibleforsafeguardingthePremisesandthenormaloperationofPartyB’sStore.7.3维修维护义务的履行PerformanceofMaintenanceandRepairObligations本协议租期内,出现任何可能导致租赁标的物和/或保修设施不能正常使用的情形,甲方应可编辑精选于发现之时或乙方发出维修通知后两(2)小时内将不能正常使用的租赁标的物和/或保修设施维修至完好可使用的状态。若故障无法在前述时限维修完好,则甲方应在取得乙方书面同意后至迟于乙方发出维修通知后的三(3)日内或双方同意的其他时限内,将租赁标的物和保修设施维修至完好而可正常使用状态,但前述双方另行约定的维修时限最长不应超过十(10)天。维修如在乙方营业时间内进行,甲方须事先书面通知乙方并应避免对乙方的运营造成干扰。DuringtheTermofthisAgreement,ifanycircumstancethatmaycausetheLeaseholdPropertyand/orWarrantedFacilitiesunavailablefornormaluse,PartyAwillrepairandrestoretheLeaseholdPropertyandWarrantedFacilitiestogoodandusableconditionwithinTwo(2)hoursafteritsdiscoveryorfollowingtheissuanceofPartyB’srepairnotice.Ifsuchunusablesituationcannotbefixedwithinthetimelimit,PartyAwill,uponwrittenconsentfromPartyB,repairandrestoretheLeaseholdPropertyandWarrantedFacilitiestogoodandusableconditionwithinaperiodnolongerthanThree(3)daysorothertimelimitagreedbythePartiesaftertheissuanceofsuchrepairnoticebyPartyB,however,suchtime-limitwillnotexceedTen(10)days.IfanyrepairistobecarriedoutduringthebusinesshoursofPartyB,apriorwrittennoticewillbegivenbyPartyAtoPartyBandPartyB’sbusinesswillnotbeinterfered.若甲方未能按第7条规定的时间内履行其相关的维修义务,乙方有权选择自行或者委托他人维修,并要求甲方向乙方支付:(a)乙方将租赁标的物和/或保修设施维修至完好状态所产生的维修费用;及(b)相当于前述维修费用两(2)倍的金额作为损害赔偿金,前述维修费用和损害赔偿金乙方有权从其后应付的租赁费用中全额扣除。此外,甲方无权收取租赁标的物/或保修设施不能正常使用期间及范围内的租赁费用,并对此期间及范围内给乙方造成的直接损失(若有)承担赔偿责任。该款项,经甲乙双方书面确认后,如甲方未在一个月内支付的,乙方可在其后应支付的租赁费用中进行直接抵扣。IfPartyAfailstoperformitsrelevantrepairobligationswithinthetimelimitassetforthinArticle7,PartyBmay:(i)carryouttherepairitselfandrequestPartyAtopayPartyB:(a)therepairingcostsincurredbyPartyBinitsrestoringtheLeaseholdPropertyand/orWarrantedFacilitiestogoodandusablecondition;and(b)anamountequaltotwice(2)repaircostsasliquidateddamagesforPartyA’sbreach;anddeducttherepaircostsandliquidateddamagesfromthefullLeaseExpensesoftheimmediatefollowingmonthspayablebyPartyBtoPartyAuntilsuchrepaircostsandliquidateddamageshavebeenfullyoffset.Inaddition,PartyAshallnotcollecttheLeaseExpensesfortheperiodwhenandtotheextentwheretheLeaseholdPropertyortheWarrantedFacilitiesarenotavailablefornormaluseandPartyAwillcompensatePartyBfordirectlosses(ifany)incurredbyPartyBduringsuchperiodandtosuchextent.即使是共用范围内的设施设备,一旦严重影响乙方的正常经营或不符合政府的管制要求,甲方接到乙方的通知后应及时给予修复处理,否则乙方有权按照上一条款的约定自行维修该设备设施,如甲方未在一个月内支付的,乙方可直接在其后应支付的租赁费用中进行抵可编辑精选扣。EvenifanysharedpublicfacilitiesinpublicareaseriouslyaffectsPartyB’snormaloperationorcannotmeetgovernmentrequirements,PartyBisentitledtorepairthefacilitiesaccordingtothepreviousclauseanddeducttherepairexpensesdirectlyfromfollowingLeaseExpenses.甲方或者其指定的物业服务公司应使房屋、设施设备及其附属建筑物处于正常状态。因房屋或者其附属物等发生脱落、坠落造成他人损害的,甲方或者其指定的物业服务公司应承担侵权责任,乙方对此不承担任何责任,乙方安装及所有的附属物除外。若乙方因前述甲方的侵权行为而遭受任何损失,乙方有权要求甲方全额赔偿。另外,甲方同意,对于因房屋或者其附属物等产生的其他任何物件损害责任,均应依前述约定予以处理。PartyAorthePropertyServiceCompanyPartyAdesignatesshallkeepthePremises,facilities,equipmentsandattachmentstothePremisesinnormalcondition.PartyAorthePropertyServiceCompanydesignatedbyPartyAshallbearliabilitiesforanydamagecausedbythefallofthePremisesoritsattachments,PartyBwillnotbearanyliability.IfPartyBsuffersfromanyoftheaforesaidtorts,PartyBisentitledtorequestforfulldamagesfromPartyA.Inaddition,PartyAagrees,anydamagetoanyitemcausedbythePremisesoritsattachmentswillbedealtwithaccordingtotheaforesaidprovisions.尽管有上述约定,甲方仍需对乙方代为维修的项目承担维修保养责任。Despitetheaforesaidprovisions,PartyAshallstillbearthemaintenanceandrestorationliabilitiesasstipulatedinthisAgreement.7.4免租LeaseExpensesExemption由于甲方原因造成房屋受到毁损或不宜出租、供电供水中断或其它严重事故,致使乙方无法继续正常营业的,则在乙方无法正常营业期间,甲方应免收租赁费用并还应赔偿乙方因此而遭受的全部损失(包括但不限于实际损失和预期收益)该款项,经甲乙双方书面确认后,如甲方未在一个月内支付的,乙方可直接在其后应支付的租赁费用中进行抵扣。由于乙方原因造成房屋出现前述情况的,则乙方不享有免租的权利。由于甲方委托的物业服务公司、甲方该房屋内的其他承租人等第三方原因所引致的严重事故使乙方无法继续正常营业的,则视为由于甲方原因造成房屋出现前述情况,并按照上述第一款予以处理。PartyAwillnotchargeLeaseExpensesandpayliquidateddamages(includingactuallossesandexpectedlossestoPartyB)duringtheperiodfromthetimethePremisesisdamaged,destroyedornottenantable,andPartyBwillnotbeobligatedtopayanytaxationand/orfeepayablebyPartyAastheowneroftheLeaseholdProperty.PartyBisentitledtodeductrelevantamountfromfollowingLeaseExpensespayabletoPartyAuntilallPartyB’slossesareoffset.IfthePremisesaredamagedbyPartyB,PartyBwillnotenjoytheLeaseExpensesexemptionIfdamagesarecausedbythePropertyServiceCompanydesignatedbyParty可编辑精选AorotherlesseeofPartyAoranythirdpartyandPartyBcannotoperateproperly,thentheaforesaiddamagesareregardedascausedbyPartyAandthefirstclauseofthisArticlewillapply.7.5保险Insurance甲方应自行购买如下保险:A)按房屋重置的价值为该房屋购买财产一切险且保单格式为“一切险”;和B)公共区域内的公众责任险并附加广告牌和装饰物扩展条款、电梯责任条款和交叉责任扩展条款。甲方将向乙方出示所有有关保险事宜的单证原件,供乙方审核并复印存档,甲方并负责保持前述保险在租期内持续有效。投保的保险公司为符合中国有关法律法规的保险公司。未经乙方事先书面同意,甲方和/或其保险公司不得取消本协议项下与房屋有关的保单或修正任何保单项下的任何内容。乙方自行为其在经营范围内的公共区域及房屋内部的装修、改进设施、库存、现金及其它有形资产和公共责任购买保险。PartyAwill,atitssolecostandexpense,purchase(i)PropertyAllRiskInsuranceforthePremiseswiththePolicyFormofPropertyAllRiskatthereplacementand/orreinstatementvalueofthePremises;and(ii)PublicLiabilityInsurance,whichwillincludeanAdvertisingSignandDecorationsExtensionClause,ElevatorsLiabilityExtensionClauseandCrossLiabilityExtensionClause.ThelimitsofindemnityforeachinsuredeventunderthePublicLiabilityInsurancewillbeOneMillionUSDollar(US$1,000,000.00)andnolimitsonthesumsofaccumulativelimitsofindemnityduringthevalidpolicyterm.PartyAwillprovidePartyBwithalltheoriginalinsurancedocumentsforPartyB’sinspection,photocopyforrecordkeeping,andwillkeepsuchInsurancePoliciesinfullforceandeffectatalltimesduringtheTermofthisAgreement.PartyAensurestoincludetheinsurancecarrier’sWaiverofSubrogationRightinthePropertyAllRiskInsurancePolicyandPublicLiabilityInsurancePolicy,bywhichtheinsurancecarrierwaivesitsSubrogationRightagainstPartyB.TheinsurancecarrierwillbeaqualifiedinsurancecompanyunderrelevantlawsofthePRC.WithoutthepriorwrittenconsentofPartyB,neitherPartyAnortheinsurancecarrierwillcanceltheInsurancePoliciesormodifyanytermsoftheInsurancePoliciesrelatingtothePremisesunderthisagreement.PartyAwillnamePartyBasanadditionalinsuredorbeneficiaryofalltheInsurancePolicies.IfPartyAdoesnotnamePartyBasanadditionalinsuredorbeneficiaryofanyoftheInsurancePolicies,PartyAagreestoindemnifyPartyBforanyactuallossesarisingfromanyeventcoveredbythePropertyAllRiskInsuranceorPublicLiabilityInsuranceinaccordancewiththeinsurancecoverageandcompensationprinciplesstipulatedintherelevantInsurancePolicies.PartyBmaypurchaseinsuranceforinternalrenovations,improvements,inventory,cashandotherphysicalassetswithinthePremisesandpublicliability.乙方应为租赁标的物内乙方所有的有关设施设备投保财产险、公众责任险及其他必要的保险,否则因此所造成的损失由乙方承担。乙方应向甲方出示所有有关保险事宜的单证原件供甲方审核并复印存档,乙方并负责保持前述保险在租期内持续有效。可编辑精选第8条税费Article8TAXESANDLEVIES甲乙双方按照中国税法的规定或当地政府的税务规定承担纳税义务。为签订和履行本协议所必需且为双方共同利益而支出的其它行政性费用,如中国法律对该等费用的承担者未有明确规定,则该等费用由双方各半承担,但本协议另有约定者除外。同时,甲方有义务配合提供税务发票给乙方。ThePartiesshallpaytaxesandleviesinpursuanttotaxlawsofthePRCorstipulationsofthelocalgovernment.UnlessotherwiseagreedinthisAgreement,eachPartywillbearonehalfofotheradministrationfeeswhicharenecessaryfortheexecutionandperformanceofthisAgreementandispaidforthemutualbenefitoftheParties,unlesstheChineselawsandregulationsstipulatewhichpartymustbearsuchfees.MeanwhilePartyAshallbeobligatedtoprovidetaxinvoicestoPartyB.第9条陈述和保证Article9REPRESENTATIONSANDWARRANTIES9.1甲方向乙方陈述和保证如下:PartyArepresentsandwarrantstoPartyBthat:(1)甲方绝对拥有房屋的所有权,也是租赁标的物所附连土地的唯一合法的使用权人。甲方确认在本协议签署之日或之前租赁标的物及所占土地的土地使用权不存在任何抵押或其它任何担保权益或任何形式的法律羁绊。PartyAabsolutelyownsalltherightstothePremisesandisalsotheonlylawfuluserofthelandputoftheLeaseholdPropertyunderthisAgreement.PartyAwarrantsthattheLeaseholdPropertyandtheuserighttotherelevantlandarenotunderanymortgageandarenotunderanyothermannerofsecurityinterestorlegalencumbranceonorbeforetheexecutionofthisAgreement.如果甲方在本协议签署日之前,对租赁标的物及所占土地的土地使用权已经设定抵押,则甲方应当在本协议签署日向乙方提供格式如本协议附件八所示、内容为乙方所接受的抵押权人的书面承诺。DuringtheTermofthisAgreement,ifPartyAintendstomortgagetheLeaseholdProperty,PartyAwillservewrittennoticetoPartyBinadvanceandwillprovidePartyBwithawrittenwarrantytheformofwhichisconsistentwithExhibitVIIIofthisAgreementandthecontentofwhichisacceptedbyPartyBfromthemortgagee.在本协议租期内,甲方在对租赁标的物设定任何抵押,或进行抵押变更之前,或在租赁标的物产生任何其它法律羁绊之前,应事先书面通知乙方,并应保证该抵押在任何情况下都不得影响乙方在本协议租期内根据本协议的条件和条款占有、控制及使用租赁标的物的权可编辑精选利,包括占有、控制及使用房屋、乙方室外公共区和停车区的权利。DuringtheTermofthisAgreement,ifPartyAintendstomortgagetheLeaseholdProperty,orbeforePartyAaltersamortgage,orestablishesanymannerofotherlegalencumbrancerelatingtotheLeaseholdProperty,PartyAwillservewrittennoticetoPartyBinadvanceandwillwarrantthatsuchmortgagewillnotinanycaseaffecttherightsofPartyBtopossess,control,andusetheLeaseholdProperty,includingtherighttopossess,control,andusethePremises,PartyB’sOutdoorPublicArea,andParkingLotduringtheTerminaccordancewiththetermsandconditionsofthisAgreement.如甲方违反本条承诺,乙方有权要求甲方支付相当于届时租赁标的物一年的租赁费用款项作为违约金,该违约金款项,经甲乙双方书面确认后,如甲方未在一个月内支付的,乙方可直接在其后应支付的租赁费用中进行抵扣。如甲方的违约严重影响了乙方的合同权利,乙方并有权解除合同,甲方仍应承担乙方因此而产生的其他损失。IfPartyAbreachesitsrepresentationsandwarrantiesinthisterm,PartyBisentitledtoaskPartyAforanamountequaltothecurrentannualLeaseExpensesforthewholeLeaseholdPropertyaspenalty,andPartyBisentitledtodeductdirectlytheabovepenaltyfromtheLeaseExpensespayable.Insuchsituation,PartyAwillstillberesponsibleforallthedamagessufferedbyPartyBtherefrom.(2)甲方应自负所有税费使得该土地使用权的有效期限不会在初始租期及全部续约期的期限届满前届满;PartyAshallberesponsibleforallthetaxandleviestoensurethetermofsuchlanduserightwillnotexpireduringtheInitialTermandalltheExtensionPeriods;(3)甲方已付清与租赁标的物所附连土地的土地使用权出让金和所有相关的税费;PartyAhaspaidinfullthefeeforthegrantofthelanduserightandalltaxesorfeesrelatedtothelanduserightofthepieceoflandoccupiedbytheLeaseholdProperty;(4)房屋依法可用于商业用途,乙方在本协议项下对租赁标的物的使用不受任何限制,且甲方有权按本协议的规定将房屋出租给乙方;ThePremisescanbelegallyusedforcommercialpurposeandPartyB’suseoftheLeaseholdPropertyunderthisAgreementisnotsubjecttoanyrestriction.PartyAhastherighttoleasethePremisestoPartyBinaccordancewiththeprovisionsofthisAgreement;(5)在本协议的租期内,乙方根据本协议的约定为任何合法目的使用租赁标的物的权利均不受甲方现有的或未来的任何合同或其它安排的限制;PartyB’suseoftheLeaseholdPropertyinaccordancewiththisAgreementforanylawfulpurposeduringtheTermofthisAgreementisnotsubjecttoanyrestrictionunderanyexistingorfuturecontractoranyotherarrangementof可编辑精选PartyA;(6)租赁标的物及其之下的土地不含有危险废料、有毒物质或环境污染物;TheLeaseholdPropertyandthelandoccupiedbytheLeaseholdPropertycontainnohazardouswastes,toxicmaterials,orenvironmentalpollutants;(7)代表甲方签署本协议的人为甲方的法定代表人或经甲方适当授权的代表;ThepersonexecutingthisAgreementonbehalfofPartyAisthelegalrepresentativeortheproperlyauthorizedrepresentativeofPartyA;(8)甲方保证将取得包括但不限于本协议所规定的出租租赁标的物所需的一切政府许可或批文;PartyAwarrantstoobtainallgovernmentpermitsandapprovalsrequiredforleasingtheLeaseholdProperty,includingbutnotlimitedtothosesetforthinthisAgreement;(9)本大厦之任何部分不会用于或允许他人用于从事任何违法、不道德及不正当之行为,或赌博,或任何危险性、剧毒性、产生噪音或有危害性之行业或业务,或任何可能导致乙方及乙方的分租户受到滋扰、不便或损害的用途;PartyAwillfileandregisterthisAgreementwiththelocalRealEstateAdministrationAuthoritywithinThirty(30)daysfollowingtheexecutionofthisAgreement,andtopresentandsubmittoPartyBtheproofofthepropercompletionofsuchleasefilingandregistration;(10)甲方不得提供任何形式的礼品或馈赠给乙方的任何员工,不管甲方提供的礼品或馈赠是否被接受,均构成甲方违约。PartyAshallnotofferanyformofgiftorgratuitytoanyassociatesofPartyB.WhetherPartyA’sgiftorgratuityisacceptedornotwillconsistabreachofthisAgreement.9.2违反陈述与保证的赔偿若甲方违反其陈述和保证,或做出任何错误陈述的,乙方有权发出通知,要求违反甲方在收到通知后的十五(15)日内纠正其的行为;如果甲方在前述期限内没有予以纠正的,则乙方有权解除本协议,并有权要求甲方赔偿由此所造成的损失。IfPartyAbreachesanyofitsrepresentationsandwarrantiesaboveormakesanymisrepresentation,PartyBisentitledtonotifyPartyA,requestingPartyAtocuresuchbreachofrepresentationsandwarrantiesaswellastocorrectthemisrepresentationswithinFifteen(15)days.IfPartyAfailstocurethebreachwithintheabovementionedperiod,PartyBmayterminatethisAgreementanddemandPartyAtocompensatethelossesPartyBsuffersfromPartyA’sbreach.可编辑精选9.3反腐败责任Anti-Corruption本协议各方同意,在根据本协议进行的商务及其他活动的过程中及其与本协议下的资产有关的事项中,各方将严格遵守中国反腐败和反贿赂的所有法律和规定。甲方在此向乙方声明、保证及承诺其没有,并将不会在甲方根据本协议进行任何活动的过程中及与本协议下的资产有关的事项中直接或间接地对:(i)任何政府官员和/或政府雇员或任何公共机关的雇员,或(ii)任何政党或政党的官员或候选人,为获得或保持某项业务或得到任何不当利益,而在甲方或其全资或拥有部分所有权的关联公司的业务活动中支付、承诺支付或表示会支付任何款项或转让任何有价物品。双方的意图为禁止以贿赂、商业贿赂、接受或默许索贿及其它违法或不当地获取业务的方式为目的或有该等效果的付款或有价物的转让。甲方将:(a)就其在本协议下的所有收款及付款在财务账册和记录中作准确和完整的记载,(b)并授权乙方及乙方的代表在本协议租期内和本协议终止或结束后一(1)年内,在正常工作时间查阅与乙方有关的财物资料。EachPartyagreesthatitwilltakenoactioninviolationoftheChineseanti-corruptionlawsandregulationsinrelationtothebusinessorassetsoritsactivitiesunderthisAgreement.PartyAherebyrepresents,warrantsandcovenantstoPartyBthatithasnot,andwillnot,inconnectionwithanyactivitiesandassetsunderthisAgreement,makeorpromiseoroffertomakeanypaymentortransferofanythingofvalue,directlyorindirectly(i)toanygovernmentofficialand/oranyemployeeofanygovernmentoranypublicauthority;or(ii)toanypoliticalpartyorofficialsorcandidatesthereofinconnectionwithanyofitsbusinessactivitiesorthebusinessactivitiesofitswholly-orpartially-ownedaffiliatesinordertoobtainorretainbusinessortosecureanyimproperadvantage.ItistheintentofthePartiesthatnopaymentsortransfersofvaluewillbemadewhichhavethepurposeoreffectofpublicorcommercialbribery,acceptanceoforacquiescenceinextortion,orotherunlawfulorimpropermeansofobtainingbusiness.PartyAwill(a)maintainaccuratebooks,recordsandaccountsforallpaymentsreceivedandallpaymentsmadeunderthisAgreement;and(b)granttoPartyBanditsrepresentativesaccesstosuchbooks,recordsandaccountsduringnormalbusinesshours,forthelifeofthisAgreementandforOne(1)yearthereafter,forthepurposesofauditingcompliancebyPartyAwiththisArticle.如由于甲方自身、甲方的董事、管理人员、职员、雇员、代理或其他代表的违反中国反腐败和反贿赂法律法规的行为,或由于甲方的关联公司自身,或甲方的关联公司的董事、管理人员、职员、雇员、代理或其他代表的违反中国反腐败和反贿赂法律法规的行为,而导致乙方自身和/或乙方的董事、管理人员、职员或雇员,和/或导致乙方关联公司自身,和/或关联公司的董事、管理人员、职员或雇员蒙受任何民事损失,甲方应赔偿乙方及乙方关联公司的前述全部损失。IfPartyBand/oranyofitsdirectors,officersoremployeesand/oranyofitsaffiliatesand/oranydirectors,officersoremployeesofsuchaffiliatessuffercivildamagesorlossesduetoanyviolationofanyapplicableChineseanti-corruptionlawsandregulationsbyPartyA,itsdirectors,officers,employees,agents,orotherrepresentativesoranyofitsaffiliatesoranyoftheirdirectors,可编辑精选officers,employees,agents,orotherrepresentatives,PartyAwillindemnifyPartyBanditsaffiliatesforallsuchdamagesandlosses.第10条转让和转租;优先购买权Article10ASSIGNMENTANDSUBLEASING;PREEMPTIVEPURCHASERIGHT10.1乙方的权利义务转让PartyB’sAssignmentofRightsandObligations甲方同意,在本协议租期内,经乙方书面通知甲方,乙方(包括按本条规定接受转让的乙方的关联公司)可将本协议项下的全部或任何权利和义务转让给任何乙方的关联公司。前述乙方的关联公司指:直接或间接控制乙方的任何公司;或乙方直接或间接控制的任何公司;或与乙方直接或间接地共同受控于同一家公司的任何公司。PartyAagreesthatduringtheTermofthisAgreement,uponpriorwrittennoticefromPartyBtoPartyA,PartyB(includinganyaffiliateofPartyB,whoistheassigneeunderthisArticle)mayassignalloranyofitsrightsandobligationsunderthisAgreementtoanyaffiliateofPartyB,includingbutnotlimitedtoanycompanyestablishedbyPartyBoranyofitsaffiliate.Theaffiliate(s)ofPartyBwillrefertoanycompanydirectlyorindirectlycontrollingPartyB,orcontrolleddirectlyorindirectlybyPartyB,orunderdirectorindirectcommoncontrolwithPartyB.10.2乙方的转租PartyB’sSublease甲方同意,在整个租期内,乙方均有权随时将租赁物承租面积的50%范围内房屋转租。甲方亦同意,乙方在承租部分50%范围内转租时无须就每一项转租另行取得甲方的事先同意但需另行事先书面通知甲方。根据当地房管部门的要求,如受转租人在办理相关证照时需提供甲方的营业执照、产权证明、同意转租证明及其他与转租有关的文件时,则甲方应予以协助和配合。受转租人在遵守本协议约定下可将房屋用于合法的经营用途。本协议项下的权利和义务仍由甲方和乙方继续享有和承担。PartyAagreesthat,PartyBwillhavetherightatanytimeduringtheTerm,tosub-leasepartofthePremiseswithoutpriorconsentornoticetoPartyA;PartyBwillhavetherighttosub-leasetheentirePremisesuponwrittennoticetoPartyA.PartyAwillassistandcooperatetoprovidePartyA’sbusinesslicense,propertyownershipcertificate,consentforsub-lease,andotherdocumentsrelatedtosub-leaseinaccordancewiththerequirementofthelocalrealestatemanagementauthoritywhenthesub-lesseeapplyforitspermits.Thesub-lesseemayusethePremisesforanylawfulcommercialpurposesinaccordancewiththisAgreement.TherightsandobligationsunderthisLeaseAgreementwillbedirectlyenjoyedandbornebyPartyAandPartyB.10.3甲方权利义务的转让AssignmentofPartyA’sRightsandObligations可编辑精选在征得乙方事前书面同意并向乙方提供由受让人出具的其内容和形式均为乙方所接受的保证函,保证乙方在本协议项下的权利不受转让的任何影响后,甲方可将本协议转让给任何第三方。如甲方违反本条的规定,则乙方有权立即停付租赁费用,解除本协议,且甲方有义务向乙方赔偿乙方因此而受到的全部损失。PartyAmayassignthisAgreementtoanythirdpartyuponapriorwrittenconsentfromPartyB,providedthatPartyAhaspresentedtoPartyBaguaranteeletter,thecontentandformofwhichisacceptedbyPartyB,issuedbytheassigneetoensurethattherightsofPartyBhereunderwillnotbeaffectedbytheassignment.IfPartyAbreachesthisArticle,PartyBwillbeentitledtowithholdtheLeaseExpensesimmediatelyandhavetherighttoterminatethisAgreementandPartyAwillbeobligedtocompensatePartyBforallthedamagessufferedbyPartyBtherefore.10.4租赁标的物的出售及乙方的优先购买权TransferoftheLeaseholdPropertyandPreemptivePurchaseRightofPartyB在本协议租期内,甲方不得将租赁标的物部分转让给第三方或向不同主体分割转让。如甲方有意出售全部租赁标的物给任何第三方,甲方应提前六十(60)天预先向乙方发出出售的书面意向书,且保证受让方为单个法律主体,并及时向乙方提供第三方的价格及购买条件的书面证明。乙方在收到相关的通知及证明后,应在六十(60)天内明确表示是否购买。DuringtheTermofthisAgreement,PartyAisnotallowedtoselltheLeaseholdPropertyinpartorselltheLeaseholdPropertytoseveralentities.IfPartyAintendstosellalloftheLeaseholdProperty,PartyAwillnotifyPartyBinwritingandprovidePartyBwithwrittenproofofthepurchasepriceandtermsofferedbysuchthirdpartyandtheassigneeshouldbeasinglelegalentityorsinglenaturalperson.PartyBwilldecidewhethertopurchasetheLeaseholdPropertyforsalewithinSixty(60)daysafteritsreceiptofsuchwrittennoticeandprooffromPartyA.双方同意,上述保证、通知及证明义务为甲方的重要义务,甲方对上述义务的违反构成其在本协议项下的严重违约。若甲方未能履行上述义务,则乙方有权要求甲方支付相当于届时一年租赁费用的款项作为违约金。该违约金款项,经甲乙双方书面确认后,如甲方未在一个月内支付的,乙方可直接在其后应支付的租赁费用中进行抵扣。ThePartiesagreethatPartyA\'sabove-mentionedobligationconstitutesanessentialobligationofPartyAunderthisAgreement.BreachofthisobligationbyPartyAwillberegardedasmaterialbreachofthisAgreementbyPartyA.IfPartyAfailstoperformtheaforesaidobligation,PartyBisentitledtoapenaltybyPartyA,theamountofwhichisequaltothecurrentannualLeaseExpensesforthewholeLeaseholdPropertyandPartyBisentitledtooffsettheamountequaltothepenaltyfromtheLeaseExpensesdueandpayabledirectly.甲方整体出售租赁标的物给第三方时,应将本协议中所列明的甲方提供的设施设备一并出售,由新的受让方承接甲方在本协议中出租方的全部权利和义务。可编辑精选IntheeventthatPartyAtransferstheLeaseholdsPropertytothethirdparty,PartyAshalltransferthefacilitiesandequipmentprovidedbyPartyAinthisAgreementtothethirdpartyalongwiththetransferoftheLeaseholdProperty.ThethirdpartyshalltakealltherightsandobligationsofPartyAunderthisAgreement.如果甲方违反约定将房屋部分出售给任何第三方的,并不因此免除甲方向乙方提供设施设备(包括但不限于中央空调、电梯等)的义务。IfPartyAbreachesthisAgreementbytransferringpartoftheLeasePropertytoanythirdparty,PartyAwillnotbeexemptedfromitsobligationtoprovidefacilitiesandequipment(includingbutnotlimitedtocentralconditioning,elevators,etc.)第11条不可抗力FORCEMAJEURE11.1不可抗力ForceMajeure“不可抗力”是指不能预见、不能避免并且不能克服的客观事件,包括但不限于洪水、台风、地震、自然火灾、战争或军事行动、内乱或民众动乱、恐怖主义行动、爆炸、罢工(甲、乙双方内部员工的罢工除外)等情况及类似的天灾人祸。"ForceMajeure"meansanyeventwhichisunforeseeable,unavoidableandinsurmountablesuchas:flood,typhoon,earthquake,naturefire,waroractsofmilitaryauthority,riotorcivilcommotion,terrorism,explosion,strike(excludinginternalemployeestrikewithinPartyAorPartyB),oranyothersimilaractsofGod.当事人一方因不可抗力事件而无法履行其在本协议下的义务的,则无法履行义务的一方应立即将该不可抗力事件书面通知另一方。如该不可抗力事件自另一方收到通知后持续超过三十(30)日,则无法履行义务的一方可解除本协议而无须向另一方承担任何责任。在不可抗力事件存续期间,无法履行义务的一方可暂时不履行其义务,也无须对另一方由此引起的任何损失、不便、麻烦或不适进行赔偿。任何相关的期限应根据该事件所影响的期限相应顺延。当不可抗力事件消失时,无法履行义务的一方应继续履行其义务,除非无法履行义务的一方已根据本条前述规定解除了本协议。IfeitherPartyisunabletoperformitsobligations,duetoaneventofForceMajeurethatisunforeseeable,uncontrollable,andisnotcausedbythefaultornegligenceofthenon-performingParty,thenon-performingPartywillpromptlynotifytheotherPartyoftheeventofForceMajeureinwriting.IfsucheventofForceMajeurelastsformorethanThirty(30)daysfollowingthereceiptofsuchwrittennoticebytheotherParty,thenon-performingPartymayterminatethisAgreementwithoutanyliabilitytotheotherParty.AslongassucheventofForceMajeureexists,thenon-performingPartywillbetemporarilyrelievedfromtheperformanceofitsobligationsandwillnotbeliabletotheotherPartyforanydamage,inconvenience,nuisanceordiscomfortcaused.Anyrelevantdeadlinewillbeextendedforaperiodequal可编辑精选totheperiodofdelaycausedbysucheventofForceMajeure.OncetheeventofForceMajeuredisappears,thenon-performingPartywillresumeitsperformanceofitsobligationshereunder,unlessthenon-performingpartyhasterminatedthisAgreementaccordingtotheprovisionssetforthaboveinthisArticle.11.2当事人延迟履行后发生不可抗力的,不能免除其按照本协议所应承担的违约责任。IfthedefaultofobligationofeitherPartyhappensafterForceMajure,thenon-performingPartyshallnotbeexemptedfromliabilityofdefault.第12条违约责任及提前解除Article12LIABILITESFORBREACHANDEARLYTERMINATION12.1违约责任Liabilitiesforbreach如本协议其他条款规定了违约责任的,适用该规定。如任何一方严重违反本协议并且未能及时纠正,另一方有权要求违约方继续全面正确地履行本协议,并要求违约方赔偿其因此而受到的损失。若违约方拒不纠正违约行为或构成根本违约,则守约方有权事先书面通知违约方后解除本协议。IfotherarticlesprovideforliabilitiesforbreachinthisAgreement,theotherprovisionswillapply.IfonePartymateriallybreachesthisAgreementanddoesnotcuresuchbreachpromptly,thenon-defaultingPartymayeitherdemandthedefaultingPartytoperformthisAgreementinfull,andclaimthedamagessufferedagainstthedefaultingparty.IfthedefaultingPartyrefusestorectifyorconstitutematerialbreach,thenon-defaultingPartyisentitledtoterminatethisAgreementaftergivingpriorwrittennoticetothedefaultingparty.12.2赔偿范围ScopeofCompensation除非本协议其他条款另有不同约定,否则,若任何一方违反本协议项下的任何条款,该方应赔偿另一方因此而遭受到的全部损失,包括但不限于实际损失及预期收益。ExceptwhereotherwisestipulatedinotherarticlesofthisAgreement,ifonePartymateriallybreachesthisAgreement,causinganydamagesand/orlossestotheotherParty,thedefaultingPartywillbeliableforallthedamagesand/orlossessufferedbytheotherParty,includingbutnotlimitedtotheactualdamagesand/orlossesandanyanticipatedprofitslost.12.3甲方解除权PartyA’sRightofTermination因下列情形,甲方有权解除本协议,如果造成甲方损失的,甲方还有权要求乙方赔偿直接可编辑精选损失(不包括甲方根据本协议可获得的预期利益,如剩余租期的租赁费用等):Ifanyofthefollowingoccurs,PartyAmayterminatethisAgreement,andifPartyAhassufferedanylosses,PartyAisentitledtopursueaclaimforcompensationagainstPartyBforallthedirectdamagesincurredbyPartyAthatareallowedundertheapplicablelaws(excludingtheanticipatedprofitslostbyPartyAhereunder,suchastheLeaseExpensesforthebalanceoftheTerm);(1)因可归因于乙方的过错,乙方逾期两个月未支付租赁费用;PartyBfailstopaymorethanthree(3)consecutivemonthsoftheLeaseExpensesforanyreasonattributabletoPartyB’sfault;(2)未经甲方同意及有关部门批准,乙方擅自改变房屋用途(本协议另有约定者除外)。PartyBchangesthepurposeofthePremiseswithouttheconsentofPartyAandtheapprovaloftherelevantauthorities(unlessotherwisestipulatedinthisAgreement).(3)严重损坏租赁标的物,且拒不修复或赔偿的;(4)擅自将租赁标的物全部或超过合同约定转租面积比例转租他人的;(5)在租赁标的物内从事本合同禁止的活动的;(6)违反消防、用电有关规定,且未能及时整改或未能通过政府相应整改要求的;(7)由于乙方原因,致使租赁标的物被司法机关、行政机关查封的;(8)依本合同约定应视为根本违约的其他事项。如甲方依据上述情形解除本协议的,甲方应书面通知乙方迁离并交回房屋,若乙方违反上述义务,则甲方有权要求乙方支付相当于一年租赁费用的款项作为违约金向甲方支付。在任何情况下,无论本协议其它条款如何约定,乙方均不应为甲方的间接损失承担责任。IfPartyAterminatesthisAgreementunderanyoftheabovecircumstances,itwillnotifyPartyBinwritingthatitwillevacuateandreturnthePremises.AnybalanceoftheprepaidLeaseExpensesmadebyPartyBwillbeimmediatelyrefundedtoPartyB.NotwithstandinganyotherprovisionsofthisAgreement,innoeventwillPartyBbeliabletoPartyAforconsequentialdamages.12.4乙方解除权PartyB’sRightofTermination除本协议其它条款规定的乙方解约权外,乙方还有权在下列任何一项情形下,解除本协议:NotwithstandinganyotherprovisionofthisAgreementinrelationtoPartyB’sterminationrights,ifanyoneofthefollowingcircumstancesoccurs,PartyBmayterminatethisAgreement:(1)自第六(6)个租约年的第一天起至租期届满之日止,经提前六(6)个月向甲方发出终止协议的书面通知,乙方有权以任何理由提前解除本协议且无需承担任何责任可编辑精选UpongivingThree(3)monthspriorwrittennoticeofterminationtoPartyA,PartyB,fromthefirstdayoftheFifth(5th)LeaseYearthroughthebalanceoftheTerm,mayterminatethisAgreementearlyforanyreasonwithoutanyliability;(2)无论本协议任何其他条款如何规定,如果自本协议约定的交付日后的两(2)个月内,乙方仍无法取得中国政府有关部门所颁发的同意乙方在房屋内营业的营业执照,乙方有权在上述期满后的合理期间内向甲方发出书面通知后立即解除本协议,乙方承担由此造成的一切损失。NotwithstandinganyotherprovisionsofthisAgreement,ifPartyBfailstoobtainthebusinesslicenseforthebusinessoperationsofitsStorewithinthePremisesfromtherelevantChinesegovernmentalauthoritywithinTwo(2)monthsafterthePossessionDateofthisAgreement,PartyBmayterminatethisAgreementatareasonabletimeaftergivingawrittennoticetoPartyAwithoutbearinganyliabilityforsuchtermination;(3)如甲方未能按本协议第3.2条款的约定实现进场日,则甲方应按照每延迟一日人民币贰万元(RMB20,000)的标准向乙方支付违约金,若甲方延迟天数超过三个月,则乙方有权解除本协议,并要求甲方向乙方支付相当于第一个租约年两个月租赁费用的违约金;IfPartyAfailstoachievetheStartingDateofConstructioninaccordancewithArticle3.2,PartyBwill,atitssolediscretion,havetherighttoclaimabreachfeeofRMBThirtyThousandYuan(RMB30,000)foreachoverdueday.IfPartyAdelaystheachievementoftheStartingDateofConstructionformorethanThreemonths,PartyBisentitledtoterminatethisAgreement,inwhichcase,PartyAwillpaytoPartyBthebreachfee,theamountofwhichisequaltotheLeaseExpensesoftheFirstLeaseYear;(4)乙方的营业执照被中国政府吊销,或乙方不被允许继续在租赁标的物所在城市从事经营业务,则乙方有权解除本协议或者根据约定转让本协议;并且乙方应给予甲方不少于6个月租赁费用的赔偿(按当时的租赁费用计算)。IfPartyB’sbusinesslicenseforitsbusinessoperationwithinthePremisesisrevokedbytherelevantauthorityofChinaorPartyBisnotallowedtocarryoutitsbusinesswithinChinaortheCitywheretheLeaseholdPropertylocatedduetoanyreason,PartyBmayterminatethisAgreementwithoutanyliability;or,PartyBisentitledtoassignthisAgreement;(5)如甲方未能按本协议第3.5条款的约定实现交付日,则甲方应按照每延迟一日人民币贰万元(RMB20,000)的标准向乙方支付违约金,若甲方延迟天数超过三个月,则乙方有权解除本协议,并要求甲方向乙方支付相当于第一个租约年一年租赁费用的违约金;IfPartyAfailstodelivertheLeaseholdPropertytoPartyBonthePossessionDayassetforthinArticle3.5,PartyAwillpayPartyBabreachfeeaccordingtoRMBThirtyThousandYuan(RMB30,000)foreachoverdueday.IfsuchdelayismorethanThree(3)months,PartyBmayterminatethisAgreementin可编辑精选accordancewiththisArticle,PartyAwillpaytoPartyBthebreachfeeofRMB,theamountofwhichisequaltotheLeaseExpensesofthefirstleaseyear;(6)甲方违反本协议的约定,使乙方无法按其经营目的使用租赁标的物;IfItisimpossibleforPartyBtocontinueusingtheLeaseholdPropertyforbusinesspurposesduetoPartyA’sbreachofthisAgreement;(7)甲方违反本协议的约定,没有提供如附件一、二所示的装卸货区或停车区,又无法提供其他满足乙方营运需求的装卸货区或停车区;或者其提供的装卸货区、停车区遭受第三方的限制或妨碍,导致乙方无法正常经营,而甲方又无法消除此种限制或妨碍的;PartyAbreachestheprovisionsbynotprovidingtheLoadingandUnloadingAreaorParkingLotasspecifiedinExhibitI&ExhibitII,andnotabletoprovideotherloadingandunloadingareaorparkinglotwhichsatisfiesPartyB’soperationneeds,ortheloadingandunloadingareaorparkinglotislimitedorinterferedbyathirdpartyandPartyBcannotoperatenormallywhilePartyAcannotgetridofthelimitorinterference.(8)除因乙方过错外,甲方提供的任何设施不能持续地提供服务,且该状态至少持续了三十(≥30)天,则乙方有权通知甲方解除本协议或者要求甲方减少租赁费用;ExceptforPartyB’sdefault,ifutilitiesprovidedbyPartyAcannotcontinuouslyprovideserviceforaconsecutiveperiodofThirty(30)daysorlonger,PartyBwill,atitssolediscretion,havetherighttoterminatethisAgreementbygivinganoticetoPartyAorPartyAagreestoreducetheLeaseExpensesaccordingtoPartyB’srequest;(9)甲方违反本协议第6.1条的规定,未经乙方事先书面同意或有关部门的批准(如有必要批准),对房屋进行任何安装、改建或扩建;PartyAbreachesArticle6.1byperforminganyaddition,installationoralterationtothePremiseswithoutthepriorwrittenconsentofPartyBortheapprovaloftherelevantauthorities(ifapplicable);(10)甲方违反本协议第6.2条的规定,未经乙方事先书面同意将大厦房屋的任何部分或房屋周围由其占用或控制的任何物业的任何部分出租给乙方的竞争者或出租给乙方关联公司的竞争者或从事第6.2条所禁止的业务。PartyAbreachesArticle6.3ofthisAgreementbyleasinganyportionofthePremisesandtheBuildingoranyportionofanyadjacentpropertytothePremisescontrolledorpossessedbyPartyAtocompetitorsofPartyBorofPartyB’saffiliatesorbyengaginginthebusinessprohibitedunderArticle6.3withoutpriorwrittenconsentofPartyB.如乙方因上述(3)、(4)、(5)、(6)、(7)、(8)、(9)和(10)项理由中任何一项解除本协议的,乙方应及时书面通知甲方。甲方应赔偿乙方因此而遭受到的全部损失,且乙方可行使法律规定的所有其它的救济方法。可编辑精选IfPartyBterminatesthisAgreementunilaterallyforanyofthereasonsasspecifiedintheabove(3),(4),(5),(6),(7),(8),(9)and(10),itwillpromptlynotifyPartyAinwriting.Insuchevent,PartyAwillindemnifyPartyBforallthelossessufferedbyPartyBthereforeandPartyBwillalsohavetherighttopursueanyotherremediesprovidedbylaw.12.5本协议签订后的前四个租约年内,任何一方不得单方解除合同,否则,违约方向守约方支付人民币壹亿元作为违约金。第13条交还房屋Article13RETURNOFTHEPREMISES13.1交还房屋ReturnofthePremises在租期届满或本协议被解除后的三十(30)日内,乙方应将房屋清扫干净,将房屋按租赁合同签订时甲方交付乙方时的现状交还给甲方,但乙方有权拆除房屋内由其改建和安装的可拆除物。在此三十(30)日内,乙方须向甲方支付当期租赁费用。WithinSixty(60)daysaftertheexpirationoftheTermortheterminationofthisAgreement,PartyBwillcleanupthePremisesandreturnthePremisesatthen-currentstatustoPartyA.PartyBhasrighttoremoveallmovableitemsandfixturesinstalledbyPartyBfromthePremisesorleavethemwithinthePremises.PartyBwillnotbeobligedtopayanyLeaseExpensestoPartyAduringthisSixty(60)dayperiod.13.2乙方赔偿PartyB’sLiability除非双方另有约定,否则,如果在本协议第13.1条约定的期限内,若因乙方的原因,乙方未将房屋清扫干净并交给甲方,则每拖延一(1)日,乙方须按届时租赁费用标准按日支付占用费及本协议约定的其它费用,且不再享受本协议承租人的其它权利。UnlessotherwiseagreedbytheParties,ifPartyBfailstoreturnthePremisestoPartyAinbroom-cleanconditionwithintheperiodsetforthinArticle13.1ofthisAgreement,PartyBwillpayPartyAanoccupationalfeeforeachdelayeddayintheamountequivalenttothethen-prevailingdailyLeaseExpensesandotherchargesand/orfeesprovidedinthisAgreementandwillnotenjoyanyotherrightofthetenantinthisAgreement.第14条适用法律和争议的解决Article14APPLICABLELAWANDRESOLUTIONOFDISPUTES14.1管辖法律GoverningLaw本协议的效力、解释和执行受中国法律管辖。对任何事项若无中国法律适用,则应参照一般国际商业惯例办理。可编辑精选Thevalidity,interpretationandimplementationofthisAgreementwillbegovernedbythelawsofChina.IftherearenoapplicablelawsofChinagoverninganyofthematters,referenceswillbemadetogenerallyacceptedinternationalcommercialpractices.14.2仲裁Arbitration如因本协议发生任何争议,双方应首先尝试通过友好协商解决争议。如双方不能通过友好协商解决争议,则任何一方均可将该争议提交中国国际经济贸易仲裁委员会华南分会,依据申请仲裁时该会当时有效的仲裁规则在深圳进行仲裁。仲裁应以中文进行。仲裁裁决是终局的,对双方均具有约束力。仲裁费用由败诉方承担。如任何一方不履行仲裁裁决,另一方可向有管辖权的法院申请强制执行。与强制执行有关的费用由不履行裁决的一方承担。AnydisputearisingfromorinconnectionwiththisAgreementwillfirstberesolvedthroughfriendlyconsultation.IfthePartiescannotresolvethedisputethroughfriendlyconsultation,eitherPartymaysubmitthedisputebeforetheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)SouthChinaSub-commissionforarbitrationinShenzheninaccordancewithCIETAC’stheneffectiveArbitrationRules.ThearbitrationwillbeconductedinChinese.ThearbitrationawardwillbefinalandbindingontheParties.Thecostsandfeesofthearbitrationwillbebornebythelosingparty.IfeitherPartyfailstoperformthearbitrationaward,theotherPartymayapplytoacourtwithcompetentjurisdictionfortheenforcementofsuchawardandtheexpenseinconnectionwithsuchenforcementwillbebornebythenon-performingParty.14.3权利和义务继续存在SurvivalofRightsandObligations当发生争议并通过友好协商或仲裁解决时,除争议的事项外,双方应继续行使其在本协议项下的其余权利,并应履行其在本协议项下的其余义务。Ifthereareanydisputesunderfriendlyconsultationsorarbitration,thePartieswillcontinuetoexercisetheirremainingrightsandperformtheirremainingobligationspursuanttothisAgreement,respectively,exceptforthosemattersunderdispute.第15条其它规定Article15MISCELLANEOUS15.1通知Notices与履行本协议有关的事宜,双方应根据本条向对方发出通知。如甲方公司情况发生重大变化,包括但不限于甲方股东变更、公司更名等,甲方亦应根据本条向乙方发出书面通知。ThePartiesshallnoticetheotherpartyforan
